d)TheBuyerandSellerhaveagreedtocomplywithallapplicablelaws,regulations,andtradepracticesoftheexportingandimportingcountries,respectively.

e)ThePartiesacknowledgethatthisContractisexecutedingoodfthandwiththeintentionofestablishingalong-termbusinessrelationshipbasedontrust,quality,andtimelyperformance.

1.Thedetlsoftheglasscups,includingbutnotlimitedto,design,material,size,andquantity.

2.Theprice,paymentterms,andmethodsforthepurchaseoftheglasscups.

3.Thedeliveryschedule,packaging,andshippingarrangementsfortheproducts.

4.Theinspectionandacceptanceprocedurestoensurethequalityoftheglasscups.

5.TherightsandobligationsofbothPartiesinrelationtotheperformanceofthisContract.

6.Theconditionsfortermination,breach,forcemajeure,anddisputeresolution.

第二条定义

ForthepurposeofthisContract,thefollowingtermsshallhavethemeaningsascribedbelow:

1."GlassCups"referstothespecifictypeofglasswareproductsthatarethesubjectmatterofthisContract,asdescribedinthespecificationsattachedhereto.

2."DeliveryDate"meansthedateordatesagreeduponbythePartiesforthedeliveryoftheGlassCups.

3."ForceMajeure"referstoanyeventorcircumstancebeyondthecontrolofaParty,whichpreventsthatPartyfromperformingitsobligationsunderthisContract.

4."AcceptanceCriteria"referstothequalitystandardsandspecificationsthattheGlassCupsmustmeetforacceptancebytheBuyer.

第三条双方权利与义务

1.甲方的权力和义务：

e)TheBuyershallnotreselltheGlassCupsinanyterritorywheresuchsaleisprohibitedbytheSellerorbyapplicablelaw.

第四条价格与支付条件

ThepricefortheGlassCupsshallbeasagreeduponbetweenthePartiesandspecifiedintheattachedpurchaseorder.Thepaymenttermsareasfollows:

1.TheBuyershallmakeahundredpercent(100%)advancepaymenttotheSellerpriortotheproductionoftheGlassCups.

2.PaymentshallbemadebywiretransfertotheSeller'sdesignatedbankaccount,withallbankfeesandchargespdbytheBuyer.

3.TheSellershallprovidetheBuyerwiththenecessarypaymentinstructionsandaccountdetls.

4.TheBuyer'spaymentmustbereceivedbytheSellerwithinthirty(30)daysfromthedateoftheinvoice,unlessotherwiseagreedinwriting.

5.Intheeventoflatepayment,theSellerreservestherighttochargeinterestontheoutstandingamountatarateof[X]%perannum,calculateddlyfromtheduedateuntilthedateofpayment.

第六条违约责任

IntheeventofabreachofthisContractbyeitherParty,thefollowingconsequencesandliabilitiesshallapply:

1.IftheSellerflstodelivertheGlassCupsbytheagreedDeliveryDatewithoutvalidreasonornotice,theSellershallpayapenaltytotheBuyerequivalentto[X]%ofthetotalcontractvalueforeachweekofdelay,uptoamaximumof[X]%.

2.IftheGlassCupsdonotmeettheAcceptanceCriteria,theBuyerhastherighttorequestareplacementorrefund.TheSellershallberesponsibleforallcostsassociatedwiththereturnandreplacementofthedefectiveproducts.

3.IntheeventofamaterialbreachbyeitherPartythatisnotremediedwithin[X]daysfromthereceiptofnotice,thenon-breachingPartyshallhavetherighttoterminatethisContractandclmdamages.

4.ThePartiesagreethatanydamagesclmedshallbelimitedtodirectlossesandshallnotincludeindirect,consequential,orpunitivedamages.

5.TheSellershallbeliableforanylossordamagetotheGlassCupsduringtransit,andshallprovideappropriateinsurancecoveragefortheshipment.

6.TheBuyer'sfluretomaketimelypaymentshallentitletheSellertosuspendfurtherdeliveriesandclminterestaspertheagreedterms.

BothPartiesshallusetheirbesteffortstomitigateanylossesordamagesresultingfromabreachandshallpromptlyinformtheotherPartyofanypotentialbreachorissuethatmayarise.

第七条不可抗力

Theterm"ForceMajeure"asusedinthisContractshallmeananyeventorcircumstancethatisbeyondthereasonablecontrolofaParty,includingbutnotlimitedto,actsofGod,naturaldisasters,war,riots,embargoes,strikes,labordisputes,andanyothereventsthatcouldnothavebeenreasonablyanticipatedoravoidedbytheaffectedParty.

IntheeventofForceMajeure,theaffectedPartyshallbeexcusedfromperformingitsobligationsunderthisContract,providedthatitpromptlynotifiestheotherPartyinwritingoftheexistenceandnatureofsuchForceMajeureevent.ThenoticemustincludereasonableevidencesupportingtheclmofForceMajeure.

TheobligationsoftheaffectedPartyshallbesuspendedforthedurationoftheForceMajeureevent.IftheForceMajeureeventcontinuesforaperiodexceeding[X]months,eitherPartyshallhavetherighttoterminatethisContractbyprovidingwrittennoticetotheotherParty.

NeitherPartyshallbeliableforanyflureordelayintheperformanceofitsobligationsunderthisContractduetoForceMajeure.However,thePartiesagreetousetheirbesteffortstoresumeperformanceassoonasreasonablypracticalaftertheForceMajeureeventhasceased.

第八条争议解决

AnydisputeorclmarisingoutoforinconnectionwiththisContract,includinganyquestionregardingitsexistence,validity,ortermination,shallberesolvedinthefollowingmanner:

1.Negotiation:ThePartiesshallfirstattempttoresolveanydisputesthroughnegotiation.ThePartyinitiatingthedisputeshallsendawrittennoticetotheotherParty,andbothPartiesshallmakeagenuineefforttosettlethedisputeamicablywithin[X]daysfromthereceiptofthenotice.

2.Mediation:IfthePartiesfltoresolvethedisputethroughnegotiation,theymayagreetosubmitthedisputetomediation.Themediatorshallbeappointedbymutualagreement,andthemediationshalltakeplaceinalocationagreeabletobothParties.

1.Notices:Allnotices,requests,demands,andothercommunicationsunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenonthedateofserviceifservedpersonallyoronthethirddayaftermlingifmledtotheaddressesspecifiedabove,ortosuchotheraddressaseitherPartymayfromtimetotimespecifybynoticetotheotherParty.

2.ModificationandAmendments:ThisContractmaybemodifiedoramendedonlybyawritteninstrumentexecutedbybothParties.Anychangestothespecifications,quantities,prices,orothertermsmustbeagreeduponinwritingandsignedbybothParties.

3.Termination:EitherPartymayterminatethisContractbyprovidingwrittennoticetotheotherPartyintheeventofamaterialbreachthatisnotremediedwi
