**ContractforInvestmentTrust**

ThisContract(hereinafterreferredtoasthe"Contract")ismadeandenteredintoasof[Date],byandbetween[Investor'sName](hereinafterreferredtoasthe"Investor"),and[Investee'sName](hereinafterreferredtoasthe"Investee").

**Article1:InvestmentAmountandPurpose**

1.1TheInvestoragreestoinvestatotalamountof[InvestmentAmount](the"InvestmentAmount")intotheInvestee.

1.2TheInvesteeshallusetheInvestmentAmountforthepurposeof[PurposeofInvestment],asfurtherdescribedintheinvestmentplanattachedheretoasExhibitA.

**Article2:InvestmentPeriod**

2.1TheInvestmentPeriodshallcommenceontheEffectiveDateandshallcontinueforaperiodof[InvestmentPeriod](the"InvestmentPeriod").

2.2TheInvestormayrequestthepartialorfullwithdrawalofitsinvestmentpriortotheexpirationoftheInvestmentPeriod,subjecttothetermsandconditionssetforthinArticle4hereof.

**Article3:InterestandReturns**

3.1TheInvesteeshallpayinterestontheInvestmentAmounttotheInvestoratanannualinterestrateof[InterestRate].

3.2TheInvestorshallbeentitledtoreceivereturnsonitsinvestment,includingbutnotlimitedtodividends,profits,andcapitalgains,asapplicableandinaccordancewiththelawsandregulationsoftherelevantjurisdiction.

**Article4:WithdrawalandLiquidation**

4.1TheInvestormayrequestthepartialorfullwithdrawalofitsinvestmentduringtheInvestmentPeriod,providedthattheInvestorgivestheInvesteeatleast[NoticePeriod]days'priorwrittennotice.

4.2IntheeventoftheInvestee'sliquidationorwinding-up,theInvestorshallbeentitledtoreceiveitsinvestmentandanyaccruedinterestandreturnsthereoninaccordancewiththeliquidationproceedings.

**Article5:RepresentationsandWarranties**

5.1TheInvestorrepresentsandwarrantsthatithasthelegalcapacityandauthoritytoenterintothisContractandtomaketheinvestmentcontemplatedhereby.

5.2TheInvesteerepresentsandwarrantsthatithasthelegalcapacityandauthoritytoenterintothisContractandtousetheInvestmentAmountforthepurposecontemplatedhereby.

**Article6:Confidentiality**

6.1Thepartiesheretoagreetomaintaintheconfidentialityofanynon-publicinformationexchangedbetweentheminconnectionwiththisContract,excepttotheextentrequiredbylaworregulation.

**Article7:GoverningLawandDisputeResolution**

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].

7.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindinguponthepartieshereto.

**Article8:Miscellaneous**

8.1ThisContractmaynotbeassignedbyeitherpartywithoutthepriorwrittenconsentoftheotherparty.

8.2ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,andnegotiations,whetheroralorwritten,betweentheparties.
