**EmploymentContract**
ThisEmploymentContract(the"Contract")ismadeandenteredintoasof[InsertDate],byandbetween[CompanyName]("Company"),acompanyorganizedandexistingunderthelawsof[Country/State],witharegisteredaddressat[CompanyAddress],and[EmployeeName]("Employee"),aresidentof[Country/State],witharesidentialaddressat[EmployeeAddress].
**Article1:EmploymentPositionandDuties**
1.1TheCompanyemploystheEmployeeas[JobTitle]("Position"),reportingdirectlyto[Supervisor'sName],[DepartmentHead'sName]orsuchotherpersonastheCompanymaydesignatefromtimetotime.
1.2TheEmployeeshallperformsuchdutiesandresponsibilitiesasarecustomarilyassociatedwiththePosition,aswellassuchotherdutiesastheCompanymayfromtimetotimereasonablyassign.
**Article2:TermofEmployment**
2.1ThisContractshallcommenceon[StartDate]andshallcontinueindefinitely,subjecttotherightofeitherpartytoterminatetheContractasprovidedinthisArticle.
2.2EitherpartymayterminatethisContractupongiving[InsertNoticePeriod]months'writtennoticetotheotherparty.
2.3TheEmployee'semploymentmayalsobeterminatedbytheCompanyimmediatelyuponwrittennoticeintheeventoftheEmployee'sdeath,disabilityorconductdetrimentaltotheinterestsoftheCompany.
**Article3:Compensation**
3.1TheCompanyshallpaytheEmployeeasalaryof[SalaryAmount]peryear,payablein[PaymentFrequency]installments,subjecttoapplicabledeductionsandwithholdings.
3.2TheEmployeeshallbeentitledtoreceivesuchbenefits,bonuses,andallowancesastheCompanymayfromtimetotimeestablishforitsemployees.
**Article4:WorkingHoursandVacation**
4.1TheEmployeeshallwork[HoursPerWeek]hoursperweek,orsuchotherhoursastheCompanymayreasonablyrequirefromtimetotime.
4.2TheEmployeeshallbeentitledto[NumberofDays]daysofvacationperyear,inaccordancewiththeCompany'spoliciesandapplicablelaws.
**Article5:ConfidentialityandNon-Disclosure**
5.1TheEmployeeacknowledgesthatduringthecourseofemploymentwiththeCompany,theywillhaveaccesstoConfidentialInformation(asdefinedbelow).TheEmployeeagreestomaintainthestrictestconfidencewithrespecttoallsuchConfidentialInformation.
5.2TheEmployeeshallnot,eitherduringoraftertheterminationofthisContract,use,disclose,ordisseminateanyConfidentialInformation,exceptasrequiredbylaworwiththepriorwrittenconsentoftheCompany.
**Article6:IntellectualProperty**
6.1TheEmployeeacknowledgesthatallinventions,improvements,designs,trademarks,tradesecrets,andotherintellectualpropertycreatedbytheEmployee,eitherduringthecourseofemploymentorusingCompanyequipment,facilities,orConfidentialInformation,shallbethepropertyoftheCompany.
**Article7:Termination**
7.1TheEmployeeshallbeentitledtoreceiveseverancepayinaccordancewithapplicablelawsandtheCompany'spolicies,iftheContractisterminatedbytheCompanywithoutcause.
7.2TheEmployeeshallbeentitledtoreceivecompensationforanyunusedvacationdaysupontheterminationofthisContract.
**Article8:GoverningLawandDisputeResolution**
8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/State].
8.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.
**Article9:EntireAgreement**
9.1ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.
9.2ThisContractmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.
INWITNESSWHEREOF,thepartieshaveexecutedthisContractasofthedatefirstabovewritten.
