1.ProductandQuantity

6.Confidentiality

6.1ThePartiesagreetomaintaintheconfidentialityofanyandallinformationexchangedbetweentheminconnectionwiththisContract,excepttotheextentthatsuchinformationisorbecomespubliclyknownthroughnofaultofeitherParty.

6.2ThePartiesagreethatanybreachofthisconfidentialityobligationshallconstituteamaterialbreachofthisContract.

7.Indemnification

7.1TheSelleragreestoindemnifyandholdharmlesstheBuyerfromanyandallclaims,damages,liabilities,andexpenses(includingattorney'sfees)arisingoutoforresultingfromtheuseormisuseoftheEquipment.

7.2TheBuyeragreestoindemnifyandholdharmlesstheSellerfromanyandallclaims,damages,liabilities,andexpenses(includingattorney'sfees)arisingoutoforresultingfromtheBuyer'suseoftheEquipmentinviolationofanyapplicablelaworregulation.

8.GoverningLawandDisputeResolution

8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertGoverningJurisdiction].

8.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbyarbitrationinaccordancewiththerulesofthe[InsertArbitrationInstitution].

9.Miscellaneous
