**ExhibitionContractAgreement**

ThisExhibitionContractAgreement(the"Agreement")ismadeandenteredintoasof[InsertDate],byandbetween[InsertExhibitorName]("Exhibitor"),a[InsertJurisdiction]corporation,and[InsertOrganizerName]("Organizer"),a[InsertJurisdiction]corporation.

1.**EventDetails**

TheExhibitoragreestoparticipateinthe[InsertEventName]("Event")tobeheldat[InsertVenue],locatedat[InsertVenueAddress],from[InsertStartDate]to[InsertEndDate].TheEventisorganizedbytheOrganizer.

2.**ExhibitionSpaceandSetup**

a.TheExhibitorshallbeallocatedaexhibitspacemeasuring[InsertBoothSize]withintheEventvenue.ThespecificlocationoftheexhibitspaceshallbedeterminedbytheOrganizerandcommunicatedtotheExhibitorinwriting.

b.TheExhibitorshallhavetherighttousetheallocatedexhibitspaceforthepurposeofdisplayingproducts,promotionalmaterials,andconductingbusinessactivitiesrelatedtotheEvent.

c.TheExhibitorshallberesponsiblefortheinstallationanddismantlingoftheirexhibitbooth.Theinstallationperiodwillbefrom[InsertInstallationStartDate]to[InsertInstallationEndDate],andthedismantlingperiodwillbefrom[InsertDismantlingStartDate]to[InsertDismantlingEndDate].

3.**ExhibitionHours**

TheEventwillbeopentothepublicduringthefollowinghours:[InsertEventHours].TheExhibitorshallensurethattheirexhibitboothisstaffedandreadytoreceivevisitorsduringtheEventhours.

4.**RentalFeeandPaymentTerms**

a.InconsiderationfortherightsandbenefitsgrantedunderthisAgreement,theExhibitorshallpaytotheOrganizerarentalfeeof[InsertRentalFee](the"RentalFee").

b.TheRentalFeeshallbepaidbytheExhibitorwithin[InsertPaymentDeadline]daysafterthedateofthisAgreement.ThepaymentshallbemadebybanktransfertotheaccountdesignatedbytheOrganizer.

5.**UseofExhibitSpace**

TheExhibitorshallusetheexhibitspacesolelyforthepurposeofdisplayingproducts,conductingpromotionalactivities,andperformingotherrelatedbusinessactivitiesinconnectionwiththeEvent.TheExhibitorshallnotusetheexhibitspaceforanyotherpurposeswithoutthepriorwrittenconsentoftheOrganizer.

6.**CompliancewithRegulations**

TheExhibitorshallcomplywithallapplicablelaws,regulations,andrulesoftheEventvenue,aswellasanyadditionalrequirementsorguidelinessetforthbytheOrganizer.TheExhibitorshallberesponsibleforanyfines,penalties,orotherliabilitiesincurredasaresultofnon-compliance.

7.**CancellationandModification**

a.eitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyiftheEventiscancelledorpostponed.Insuchcase,theRentalFeeshallberefundedtotheExhibitor,lessareasonableadministrativefee.

b.eitherpartymayrequestamodificationtothetermsofthisAgreementbyprovidingwrittennoticetotheotherparty.Themodificationshallbeeffectiveuponwrittenagreementbybothparties.

8.**Indemnification**

TheExhibitorshallindemnifyandholdharmlesstheOrganizerfromanyandallclaims,damages,liabilities,costs,andexpenses(includingattorney'sfees)arisingoutoforrelatedtotheExhibitor'sparticipationintheEvent,exceptforclaimsarisingoutoftheOrganizer'snegligenceorwillfulmisconduct.

9.**GoverningLawandJurisdiction**

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertGoverningJurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[InsertGoverningJurisdiction].

INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasofthedatefirstabovewritten.
