ContractforWarehouseLease

ThisContractforWarehouseLease(the"Contract")ismadeandenteredintoasof[Date],byandbetween[Landlord],a[Landlord'sjurisdiction]corporation("Landlord"),and[Tenant],a[Tenant'sjurisdiction]corporation("Tenant").

1.LeasedPremises

1.1LeaseofWarehouse.TheLandlordherebyleasestotheTenant,andtheTenantherebyleasesfromtheLandlord,thewarehouselocatedat[WarehouseAddress]("Premises"),foratermcommencingon[CommencementDate]andendingon[TerminationDate].

1.2RentableArea.TheRentableAreaofthePremisesshallbe[RentableArea].

2.LeaseTerm

2.1InitialLeaseTerm.TheinitialtermofthisLease(the"InitialLeaseTerm")shallbeforaperiodof[InitialTermLength]years,commencingontheCommencementDateandendingonthe[ExpirationDate].

2.2RenewalOptions.TheTenantshallhavetherighttorenewthisLeasefor[RenewalTermLength]years,uponthesametermsandconditions,bygivingwrittennoticetotheLandlordnolaterthan[NoticePeriod]dayspriortotheexpirationoftheInitialLeaseTermoranysubsequentrenewalterm.

3.Rent

3.1BaseRent.TheTenantshallpaytotheLandlordasbaserentforthePremisestheamountof[BaseRentAmount]perannum,payableinequalmonthlyinstallments,duringtheInitialLeaseTermandanyrenewalterm.

3.2AdjustmentofRent.TherentshallbeadjustedannuallybasedontheConsumerPriceIndexfor[IndexArea]publishedby[IndexPublisher],effectiveonthefirstdayofeachcalendaryearduringtheLeaseTerm.

4.UseofPremises

TheTenantshallusethePremisesfor[PermittedUse]onlyandshallnotusethePremisesforanyillegalorunauthorizedpurpose.

5.MaintenanceandRepair

5.1Landlord'sResponsibilities.TheLandlordshallberesponsibleforthemaintenanceandrepairofthestructuralcomponentsofthePremises,includingtheroof,foundation,andexteriorwalls,andthecommonareasofthebuilding.

5.2Tenant'sResponsibilities.TheTenantshallberesponsibleforthemaintenanceandrepairoftheinteriorofthePremisesandanyalterationsorimprovementsmadebytheTenant.

6.Insurance

TheTenantshallobtainandmaintainduringtheLeaseTermcomprehensivegeneralliabilityinsuranceinanamountnotlessthan[InsuranceLimit]namingtheLandlordasanadditionalinsured.

7.Indemnification

TheTenantshallindemnifyandholdharmlesstheLandlordagainstanyloss,liability,damage,orexpenseresultingfromtheuseoroccupancyofthePremisesbytheTenantoritsemployees,contractors,orinvitees.

8.Default

8.1DefaultbyTenant.IftheTenantfailstopayrentorperformanyotherobligationunderthisLease,theLandlordmaydeclaretheTenantindefaultandterminatetheLease.

8.2DefaultbyLandlord.IftheLandlordfailstoperformanyobligationunderthisLease,theTenantmaynotifytheLandlordandgivetheLandlordareasonableperiodoftimetocurethedefault.IftheLandlordfailstocurethedefaultwithinsuchperiod,theTenantmaydeclaretheLeaseterminated.

9.Miscellaneous

9.1GoverningLaw.ThisLeaseshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].

9.2EntireAgreement.ThisLeaseconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisLease.

INWITNESSWHEREOF,thepartieshaveexecutedthisContractforWarehouseLeaseasofthedatefirstabovewritten.
