I.Sales&purchaseoftheproperty
PartyAagreestosellthepropertytoPartyB.ThepropertyisqualifiedforsaleinthemarketinaccordancewiththeregulationofBeijingMunicipalConstructionCommittee.Togetherwiththesalesoftheproperty,theallocatedlandareaforthepropertyandtheusabletermofthelandistransferredtoPartyBjointly.Thepropertyisdescribedas:

Togetherwiththetitleoftheproperty,facilitiesandinteriordecorationstobetransferredareasdescribedinAppendix(1);
PartyAshallguaranteethatithascompletelydisclosedthefactsabouttheproperty,includingbutnotlimitedtothetitle,decorationandrelevantinformation;PartyBhasfullyunderstoodthefactsandagreestobuythepropertyvoluntarily.
II.Salespriceandtermsofpayment

PartyAandPartyBagreethatthesalespriceofthepropertybe(CAD______);
Thepriceincludes:[priceoftheproperty],[publicmaintenancefund],[permanentinteriordecoration],[air-conditioners]andothers
TermsofPayment
PartyBshallmakethepaymentinaccordancewithasfollow:
Cash
UponsigningofthisAgreement,PartyBshallpay10%oftheprice(________)asthedeposit.Thispaymentshallbemadeinaccordancewith______asfollow:
PaidtoPartyAinfullandPartyAshallissueaninvoice;
DepositedtemporarilyThisdepositwillbereleasedonlywhenthetitletransferfromPartyAtoPartyBiscompletedandthepropertyhandoverhasbeenconcluded,andthedepositwillbereleasedtogetherwiththeremainingpaymenttoPartyA.Todothis,PartyAandPartyBneed
PartyAandPartyBherebyagreethat,fortheafore-saidmethod(b),oncetheescrowfundisdepositedintheescrowaccountitisdeemedthatPartyBhasperformeditspaymentobligationofdepositandthesalesprice.
Mortgage
UponsigningofthisAgreement,PartyBshallpayofthepriceasthedeposit,whichwillbepartofthedownpayment.
WithindaysaftersigningofthisAgreement,PartyBshallmakeuptherestpartofthedownpayment(thedownpaymentshallbenolessthanofthepriceinaccordancewithmortgagebank’srequirement).
Throughthenegotiation,PartyBagreestomaketheafore-saidpaymentinwayasfollow:
PaidinfullamounttoPartyAandPartyAshallissueaninvoice;
DepositedtemporarilyintotheescrowaccountThisdepositwillbereleasedonlywhenthetitletransferfromPartyAtoPartyBiscompletedandthepropertyhandoverhasbeenconcluded,andthedepositwillbereleasedtogetherwiththeremainingpaymenttoPartyA.Todothis,PartyAandPartyBneedtosignaseparateEscrowAgreementwithRegion.
PartyAandPartyBherebyagreethat,fortheafore-saidmethod(b),oncetheescrowfundisdepositedintheescrowaccountitisdeemedthatPartyBhasperformeditspaymentobligationofdepositandthedownpayment.
IfPartyBmakestheremainingpaymentwithbankmortgage,PartyBshallsignaseparateEntrustedPaymentAuthorizationwithCentury21BeijingRegionforitsmortgageservices.
IfPartyBsatisfiesthecriteriaofgettingthemortgageloanthroughtheexaminationofthelendingbank,thelendingbankshallremittheloaninlumpsumtothespecialsettlementaccountopenedbyPartyAatthebankinaccordancewiththeEntrustedPaymentAuthorization.
IncasePartyBdoesnotsatisfythecriteriaofgettingtheloanthroughtheexaminationofthelendingbank,PartyBwillchoosethefollowingmethodsasthesolution:
Withindaysafterthebankdecidesnottoprovidetheloan,PartyBshallraisetheremainingpaymentbyhimselfandpayincashtoPartyA.PartyBshallbearalltheexpensesoccurredduringthisperiod;
TerminatethisAgreement,andPartyAandPartyBshallrefundthemoneywhichhavebeenpaidtoeachother.PartyBshallbearalltheexpensesoccurredduringthisperiod.
Taxesandfees
PartyAandPartyBshallpayallthetaxesandfeesrespectivelyinaccordancewithrelevantregulationsofthestateandlocalgovernments.shallassistPartyAandPartyBtocalculaterelevanttaxesandfees.Throughnegotiation,PartyAandPartyBagreetobearthetaxesandfeesasfollows:
Foranytaxesorfeesunspecified,unclear,orchangedwiththepolicy,PartyAandPartyBshallreachaconsensusdaysbeforethetitletransfer,orPartyAandPartyBshallmakethepaymentinaccordancewiththegovernmentregulation.
Feesincludingbutnotlimitedtopropertymanagementfee,utilityfeesforwater,electricity,gas,telephoneandothersbeforethehandoverofthepropertyisconcludedshallbebornbyPartyA.AndthefeesaftershallbebornbyPartyB.
B.PartyAandPartyBmayentrusttopaytheaforesaidtaxesandfeesandshalltransferthepaymentproof,receiptsandinvoicesissuedbyrelevantgovernmenttothepartiesthatmakethepayment.
III.Commissionandtermsofpayment
Theafore-saidcommissionshallnoberefundedbytoanypartyshallthisagreementfailtobeperformedduetodefaultofeitherPartyAorPartyBoncethisAgreementisenteredbythethreeparties.
IV.Titletransferagencyservices
PartyAandPartyBshallpreparethecertificatesandmaterialsfortitletransferandshallprovidechargeabletitletransferservicesforPartyAandPartyBwithfees.
V.Handoveroftheproperty
PartyAandPartyBagreethatPartyAshallvacatethepropertdaysbeforethetitletransfer.shallassistPartyAandPartyBwiththehandoveroftheproperty.IncasePartyAandPartyBagreetoconducthandoverofthepropertyafterthetitletransfer,PartyAshallpayadepositintheamountandthisamountwillberefundedtoPartyBafterthehandoverofthepropertyiscompleted.
PartyAshallpromisetocompensatePartyBforthedamagetoorthedismantlingofthedecorationsandaccessoriescoveredbyAppendixIoftheagreementfromthesigningoftheagreementtothehandoverofthepropertyinaccordancewiththeevaluationofthedamagedordismantleddecorationsandaccessories.
PartyAshallbearthepropertymanagementfeeandotherrelevantfeesbeforethehandoverofthepropertyandtheaforesaidfeesshallbepaidbyPartyBafterthehandoveroftheproperty.
4.PartyAandPartyBagreetoconductthetitletransferdaysaftersigningofthisAgreementtakingtitlecertificateandrelevantmaterial.willinformthespecificdate.Partyshallpaythetaxesandfeesfortitletransferinaccordancewiththegovernmentregulations.
VI.RightsandobligationsofPartyA
RightsofPartyA
PartyAshallhavetherighttocheckPartyB’sidentification.
PartyAshallhavetherighttogetdepositandpropertysalespriceasstipulatedintheAgreement.
PartyAshallhavetherightoflawsuituponPartyB’sbreachtothisAgreement.
DutiesofPartyA
PartyAshallprovidePartyBwithtrue,completedandvalidinformationabouttheproperty;
PartyAshalldisclosetoPartyBtherealfactsabouttheproperty,includingbutnotlimitedtotherental,collateral,leakageandotherdefectoftheproperty;
PartyAshallchangeitsresidenceaddressatthepropertydaysaftertitletransfer;
PartyAshallcooperatewithPartyBfortitletransferinatimelymanner;
PartyAshallguaranteeallthefacilitiesandaccessoriesofthepropertydescribedinAppendixIareingoodconditionuponthehandoveroftheproperty;
F.PartyAshallpayoffallthefeesrelatedwiththepropertybeforethehandoveroftheproperty.
VII.RightsandobligationsofPartyB
1.RightsofPartyB
PartyBshallhavetherighttocheckallthematerial,contractsandcertificateabouttheproperty;
PartyBshallhavetherighttoinspecttheproperty;
PartyBshallhavetherighttobeinformedofthefactsabouttheproperty;
PartyBshallhavetherightoflawsuituponPartyA’sbreachtothisAgreement.
2.ObligationsofPartyB
PartyBshallpaythedepositandsalespriceinaccordancewiththestipulationofthisAgreement;
PartyBshallcooperatewithPartyAfortitletransferinatimelymanner;
C.PartyBshallprovidetrue,completedandvalididentificationmaterial.
VIII.RightsandobligationsofPartyC
PartyCshallprovideagencyservicesforPartyAandPartyBforsigningthisAgreement,providingthesigningplace,andbearingtestimonyofsigningthisAgreement;
PartyCshallprovidePartyAandPartyBrelatedmaterial,updatethemthetransactionprocessandassistthemwithpropertyhandover.
IX.BreachoftheAgreementbyPartyA
PartyAshallrefunddoubleddeposittoPartyBincasethetitleofthepropertyfailstobetransferredorthepropertyfailstobehandedoverduetothefalse,uncompletedorinvalidcertificates,contractsormaterialinrelationwiththepropertyprovidedbyPartyA;
IncasePartyAfailstohandovertheaforesaidpropertytoPartyBwithintheperiodstipulatedintheagreement,PartyAandPartyBagreetoadoptofthefollowingsolutions:
PartyAshallpayPartyofthecollectedpaymentpardayasthedefaultfineandtheagreementshallcontinuetobeeffective.
IncasethelengthofoverdueperiodexceedsdaysandPartyAhasnothandedoverthepropertyortransferthepropertytitletoPartyB,PartyBshallsendawrittennoticetoPartyA,andPartyBshallhavetherighttoterminatetheagreementwhenPartyAstillfailstohandoverthepropertyortransferthetitledaysafterPartyBsendsoutthewrittennoticetoPartyA.Inthiscase,PartyAshallreturndoublethedeposittoPartyBandcompensatePartyBeconomicdamageduetothedefault.
3.IncasethereoccursanydamageonPartyBastheresultthatPartyAfailstodisclosetoPartyBtherealfactsabouttheproperty,includingbutnotlimitedtotherental,collateral,leakageandotherdefectoftheproperty,PartyAandPartyBagreetoadoptthefollowingsolutions:
PartyAshallpayPartyofthepropertysalespricepardayasthedefaultfineandtheagreementshallcontinuetobeeffective.
PartyApromisestorecoverthepropertytotheconditionsatisfiedbyPartyBwithindays,andtheagreementshallcontinuetobeeffective.Otherwise,PartyBreservestherighttoterminatethisAgreementandinthiscase,PartyAshallreturndoublethedeposittoPartyBandcompensatePartyBeconomicdamageduetothedefault.
4.PartyAshallchangetheresidenceaddresswithindaysandshallpaytoPartyBasthedefaultfine.
5.IncasePartyAdamagesthefacilitiesoraccessoriesinthepropertyintentionallyornegligently,PartyAshallcompensatePartyBtheactualpriceforthedamageandpaydefaultingfinetoPartyB.
X.BreachoftheAgreementbyPartyB
1.Incasethetitlefailstobetransferredduetothefalse,uncompletedorinvalidcertificatesormaterialprovidedbyPartyB,PartyAreservestherightnottorefundthedeposittoPartyB.
2.IncasePartyBfailstomakethepaymentorconducttitletransferprocessfollowingthetimingasstipulatedinthisAgreement,PartyAandPartyBagreetoadoptasthesolution:
PartyBshallpayPartyofthedefaultpaymentpardayasthedefaultfineandtheagreementshallcontinuetobeeffective.
Incasetheoverdue,PartyAshallsendawrittennoticetoPartyB,andPartyAshallhavetherighttoterminatetheagreementwhenPartyBstillfailstomakethepaymentorconducttitletransferprocessdaysafterPartyBreceivesthewrittennoticefromPartyA.Inthiscase,PartyAshallreservetherightnottorefundthedeposittoPartyB,andPartyBshallcompensatetheeconomicdamagetoPartyAduetothedefault.
XI.Validityoftheagreement
TheagreementshalltakeeffectonthedatewhenPartyA,PartyBandPartyCsignandaffixsealstotheagreement.
IncasethecontentoftheagreementsreservedbyPartyAandPartyBdisagrees,bothPartyAand
