国际货物运输代理协议(中英文)AGENCYAGREEMENTOFCARGOTRANSPORTATIONContractdate:**签约日期：****甲方（托运方）：****乙方（承运方）：**PartyA(Consignor)PartyB(ConsigneeforTransport)(双方信息略)根据《中华人民共和国合同法》及相关道路运输法律法规，甲乙双方本着合法、公平、平等、协商一致、诚实信用的原则签订本合同，并共同遵守。双方就代理货物运输及相关责任、权利达成如下协议：根据《中华人民共和国合同法》和其他有关道路运输的法律法规，双方遵循合法、公平、平等和自愿的原则，共同遵守并签订本合同，就代理货物运输及各自的权利和责任达成一致。###一、代理范围：SCOPEOFAGENCY**1.**乙方作为国际货物运输代理，接受甲方委托处理以下国际运输事务：PartyB,actingastheagencyforinternationalcargotransportation,acceptsPartyA’scommissionforthefollowinginternationaltransportationmatters.###二、甲方责任：PartyA’sDutyandResponsibility**1.**甲方应对所提供的委托单、报关单、许可证、合同、商检证明、核销文件、发票、装箱单和提单等文件的真实性、合法性和完整性负责。PartyAisresponsiblefortheauthenticity,legality,andcompletenessoftheentrusteddocuments,includingtheentrustmentform,customsdeclaration,license,contract,commodityinspectioncertificate,cancellationverificationdocuments,invoice,packinglist,andbilloflading.**2.**甲方应根据本协议中规定的运费和其他费用的结算条款支付运费及相关费用；对于运费到付的货物，甲方作为第二偿付人，在收货方拒付运费的情况下承担支付责任。PartyAshallpaythetransportationfeesandotherrelatedexpensesinaccordancewiththesettlementtermsspecifiedinthisagreement.Forfreightcollectshipments,PartyAwillactasasecondarypayerandassumepaymentresponsibilityiftheconsigneerefusestopaythefreight.###三、乙方责任：PartyB’sDutyandResponsibility**1.**乙方应严格遵循国际运输操作流程。PartyBshallstrictlyadheretotheproceduresforinternationaltransportation.**2.**乙方应尽最大努力确保甲方委托的运输在规定的时间内完成。PartyBshallmakeeveryefforttoensurethatthetransportationentrustedbyPartyAiscompletedwithinthespecifiedtimeframe.**3.**乙方保证其活动不超出本协议规定的代理范围，并自觉维护客户利益，不得以任何不当理由损害甲方的利益。PartyBguaranteesthatitsactivitieswillnotexceedthescopeofagencyspecifiedinthisagreementandwillconsciouslysafeguardtheclient'sinterests,refrainingfromharmingPartyA'sinterestsforanyimproperreasons.**4.**乙方应对已签收的货物负责，直到将其移交给承运人或甲方及其代表。PartyBshallberesponsibleforthegoodsoncesignedforreceiptuntiltheyaretransferredtothecarrierortoPartyAoritsrepresentatives.**5.**乙方有责任向甲方提供运输咨询，并协助设计最安全、快捷和经济的运输方案；对于已运输的货物，乙方应按照甲方的要求报告货物状态。PartyBhastheresponsibilitytoprovidePartyAwithtransportationconsultationandassistindesigningthesafest,fastest,andmosteconomicaltransportationroutes;fordeliveredgoods,PartyBshallreportontheconditionofthegoodsasrequiredbyPartyA.**6.**除不可抗力外，乙方应对因自身过失或故意造成的运输延误、额外费用、货物短装、破损及其他后果负责。Exceptforforcemajeure,PartyBshallbeliablefordelays,additionalcosts,shortshipments,damages,andotherconsequencesarisingfromitsnegligenceorintentionalactions.###四、运输货物描述DescriptionofTransportGoods**1.**货物名称：NameofGoods**2.**货物包装：Package**3.**运输方式：ModeofTransport**4.**起运地及目的地：PlaceofDispatchandDestination**5.**其他事项：Miscellaneous###五、运输费用TransportCost**1.**运费：Freight**2.**报关、报检：CustomsandInspectionFees**3.**卸货、仓储费用：UnloadingandStorageFees**4.**保险费：InsurancePremium**5.**其他费用:otherfees###六、费用结算SettlementofFees**1.**甲方应在货物运输完成后，按照双方约定的结算周期支付乙方的运费及相关费用。PartyAshallpayPartyBthefreightandrelatedexpensesaccordingtotheagreedsettlementperiodafterthetransportationofthegoodsiscompleted.**2.**甲方如需变更运输方式或运输时间，应提前通知乙方，并承担因此产生的额外费用。IfPartyAneedstochangethemodeoftransportationorthetransportationschedule,itmustnotifyPartyBinadvanceandbearanyadditionalcostsincurredasaresult.**3.**乙方应按时向甲方提供费用清单及相应的发票，甲方应在收到后及时审核并支付。PartyBshalltimelyprovidePartyAwithalistofexpensesandcorrespondinginvoices,andPartyAshallpromptlyreviewandmakepaymentuponreceipt.###七、违约责任LiabilityforBreachofContract**1.**任何一方如未能履行本合同的约定，应承担违约责任，并赔偿因违反合同而给对方造成的损失。Ifeitherpartyfailstofulfilltheprovisionsofthiscontract,itshallbearliabilityforbreachofcontractandcompensatetheotherpartyforthelossescausedbythebreach.**2.**由于不可抗力导致的合同无法履行，双方均不承担违约责任，但应及时通知对方并提供相关证明。Neitherpartyshallbearliabilityforbreachofcontractduetoforcemajeurethatpreventstheexecutionofthecontract;however,theymustpromptlynotifytheotherpartyandproviderelevantproof.###八、合同的变更与解除ModificationandTerminationoftheAgreement**1.**本合同一经签署，任何一方不得擅自变更或解除，需经双方协商一致并书面确认。Oncethiscontractissigned,neitherpartymayunilaterallymodifyorterminateitwithoutmutualagreementandwrittenconfirmation.**2.**如一方严重违反合同，另一方有权单方面解除合同，并要求赔偿损失。Ifonepartyseriouslybreachesthecontract,theotherpartyhastherighttounilaterallyterminatethecontractandseekcompensationfordamages.###九、争议解决DisputeResolution**1.**本合同的履行及解释均适用中华人民共和国法律。TheperformanceandinterpretationofthiscontractshallbegovernedbythelawsofthePeople'sRepublicofChina.**2.**双方因本合同发生的争议，应首先通过友好协商解决；如协商不成，任一方可向合同签署地的人民法院提起诉讼。Intheeventofadisputearisingfromthiscontract,bothpartiesshallfirstattempttoresolveitthroughfriendlynegotiation;ifnegotiationfails,eitherpartymayfilealawsuitinthePeople'sCourtattheplaceofcontractsigning.###十、其他事项Miscellaneous**1.**本合同自双方签字盖章之日起生效，有效期为两年。Thiscontractshalltakeeffectfromthedateofsignatureandsealbybothpartiesandshallbevalidfortwoyears.**2.**本合同一式两份，甲乙双方各持一份，具有同等法律效力。Thiscontractisexecutedintwocopies,witheachpartyholdingonecopy,bothhavingeq
