1.ScopeofConsultationServices:

3.Compensation:

TheClientagreestopaytheConsultantafeeof[currencyandamount]fortheServicesrendered.PaymenttermsandschedulesshallbemutuallyagreeduponandstatedinExhibitAattachedhereto.

4.Confidentiality:

BothpartiesagreetomaintainstrictconfidentialityregardinganyconfidentialinformationexchangedduringthetermofthisAgreement.Confidentialinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

5.IntellectualProperty:

TheConsultantwarrantsthatallworkproducts,reports,anddeliverablespreparedbytheConsultantinthecourseofperformingtheServiceswillbeoriginalandwillnotinfringeuponanythird-partyintellectualpropertyrights.TheClientshallhavetherighttousesuchworkproductsforitsinternalpurposes.

6.Termination:

EitherpartymayterminatethisAgreementbyprovidingwrittennoticetotheotherpartyatleast[number]dayspriortothedesiredterminationdate.Incaseoftermination,theConsultantshallbeentitledtopaymentforServicesrendereduptothedateoftermination.

7.DisputeResolution:
