ThisAgencyFranchiseContractAgreement("Agreement")isenteredintoasof[Date],byandbetween[YourCompanyName]("Franchisor"),acompanyorganizedandexistingunderthelawsof[Country/State],withaprincipaladdressat[YourCompanyAddress],and[AgencyName]("Agency"),acompanyorganizedandexistingunderthelawsof[Country/State],withaprincipaladdressat[AgencyAddress].

1.GrantofRights

SubjecttothetermsandconditionsofthisAgreement,FranchisorherebygrantsAgencythenon-exclusiverighttoactasanagentforFranchisorin[Territory]("Territory"),andtooffer,promote,market,andselltheproductsandservicesofFranchisor(the"Products")inaccordancewiththetermsofthisAgreement.

2.DutiesofAgency

Agencyagreestoperformthefollowingduties:

(a)ActasanagentforFranchisorinTerritoryandcarryoutthemarketingandsalesactivitiesfortheProductsinaccordancewiththeguidelinesandpoliciesprovidedbyFranchisorfromtimetotime;

(b)UseitsbesteffortstopromotetheProductsinTerritoryandachievethesalestargetssetbyFranchisor;

(c)MaintainaccuraterecordsofalltransactionsrelatedtothesaleoftheProductsinTerritory,andprovidesuchrecordstoFranchisoruponrequest;

(d)Complywithallapplicablelaws,regulations,andindustrystandardsintheperformanceofitsdutiesunderthisAgreement.

3.CommissionsandPayments

(a)FranchisoragreestopayAgencyacommission("Commission")equalto[Percentage]percentofthenetsalesrevenuegeneratedfromthesaleoftheProductsinTerritory,lessanydiscounts,returns,orallowancesgrantedbyFranchisor.TheCommissionshallbepaidtoAgencyonamonthlybasis,within[Number]daysaftertheendofeachcalendarmonth.

(b)ThepaymentofCommissiontoAgencyshallbesubjecttotheprovisionofaccurateandcompletedocumentationandreportingbyAgencyinaccordancewiththetermsofthisAgreement.

4.TermandTermination

(a)ThisAgreementshallcommenceontheEffectiveDateandshallcontinueforaninitialtermof[Number]years(the"InitialTerm").TheInitialTermshallautomaticallyrenewforsuccessivetermsof[Number]yearseach,unlesseitherpartyprovideswrittennoticeofitsintentionnottorenewatleast[Number]monthspriortotheendoftheInitialTermoranysucceedingterm.

(b)eitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyintheeventofamaterialbreachofthisAgreementbytheotherpartythatisnotcuredwithin[Number]daysafterreceiptofwrittennoticethereoffromthenon-breachingparty.

(c)IntheeventofterminationofthisAgreement,AgencyshallpromptlyreturntoFranchisorallmaterials,documents,andinformationprovidedbyFranchisorunderthisAgreement,andFranchisorshallhavenofurtherobligationtopayCommissiontoAgency.

5.Confidentiality

BothpartiesagreetomaintaintheconfidentialityofthetermsandconditionsofthisAgreement,andanyotherproprietaryorconfidentialinformationexchangedbetweenthepartiesinconnectionwiththeperformanceofthisAgreement,exceptasrequiredbylaworregulation.

6.Miscellaneous

(a)ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.

(b)ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.

(c)Ifanyterm,provision,orconditionofthisAgreementisheldtobeinvalid,void,orunenforceable,theremainderoftheprovisionsshallremaininfullforceandeffectandshallinnowaybeaffected,impaired,orinvalidated.

(d)ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction],andanydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].
