EitherpartymayterminatethisAgreementproviding______________________________(NoticePeriod)writtennoticetotheotherparty.Groundsforterminationinclude,butarenotlimitedto,breachofcontract,failuretomeetperformancestandards,ormutualagreement.

4.1ConfidentialInformation
TheServiceProvideragreestokeepallproprietaryinformationreceivedfromtheClientconfidential.Thisincludes,butisnotlimitedto,businessstrategies,customerdata,andmarketingplans.
4.2NonDisclosure
TheServiceProvidershallnotdiscloseanyconfidentialinformationtothirdpartieswithouttheClient’spriorwrittenconsent,unlessrequiredlaw.
IntellectualProperty:
5.1Ownership
AllintellectualpropertycreatedasaresultoftheservicesprovidedunderthisAgreement,includingreportsandmarketingmaterials,shallbeownedtheClient.TheServiceProvideracknowledgesthatitretainsnorightstothisintellectualpropertybeyondwhatisnecessaryfortheexecutionofthisAgreement.
5.2UsageRights
TheClientgrantstheServiceProvideralimited,nonexclusiverighttousetheClient’sintellectualpropertysolelyforthepurposeofperformingtheservicesoutlinedinthisAgreement.
PerformanceandReporting:
6.1PerformanceStandards
TheServiceProvideragreestoperformtheserviceswithduediligenceandinaccordancewithindustrybestpractices.Theperformancewillbemeasuredagainsttheagreeduponobjectivesanddeliverables.
6.2Reporting
TheServiceProvidershallprovidetheClientwithregularreportsontheperformanceofSEOandPPCcampaigns.Thesereportswillincludemetricssuchastraffic,conversionrates,andcampaigneffectiveness.
DisputeResolution:
7.1Negotiation
IntheeventofanydisputesarisingunderthisAgreement,thepartiesagreetoengageingoodfaithnegotiationstoresolvetheissueamicably.
7.2Arbitration
Ifdisputescannotberesolvedthroughnegotiation,theyshallbesubmittedtoarbitrationundertherulesof______________________________(ArbitrationInstitution).Thedecisionofthearbitrator(s)shallbefinalandbinding.
