nceofthecontract,andshallnotdisclosethemtoathirdpartywithoutthewrittenconsentoftheotherparty.Theconfidentialityperiodis_______yearsaftertheterminationofthecontract.Article15IntellectualPropertyRightsTheintellectualpropertyrightsgeneratedbyPartyBintheprocessofprovidingservicesbelongtoPartyB,butPartyAhastherighttousethemwithinthescopeagreedinthecontract.TheinformationandmaterialsprovidedbyPartyA,theirintellectualpropertyrightsbelongtoPartyA,andPartyBcanonlyusethemintheprocessofprovidingservices.Article16AnnexTheannexestothiscontractareanintegralpartofthecontractandhavethesamelegaleffectasthecontract.Theannexesincludebutarenotlimitedto:Engineeringdrawings;Engineeringbudget;Projectprogressplan;Otherrelateddocuments.Article17EffectivenessoftheContractThiscontractshallcomeintoeffectfromthedateofsignatureandsealbybothPartyAandPartyB.Article18NumberofCopiesoftheContractThiscontractismadeintwocopies,eachpartyholdsonecopy,andbothcopieshavethesamelegaleffect.PartyA(Seal):_______AuthorizedRepresentative(Signature):_______Date:_______PartyB(Seal):_______AuthorizedRepresentative(Signature):_______Date:_______Article19WarrantyoftheProjectPartyBshallprovideawarrantyservicefortheprojectinaccordancewithrelevantnationalregulationsandtheagreement,withthewarrantyperiodcalculatedfromthedateofacceptanceofthecompletedproject,lastingfor_______years.Duringthewarrantyperiod,iftherearequalityissueswiththeproject,PartyBshallcarryoutfreerepairorreplacementwithin_______daysafterreceivingthenoticefromPartyA.Afterthewarrantyperiodexpires,PartyBmayprovidepaidmaintenanceservices,withthespecificcostsdeterminedbymutualagreementbetweenPartyAandPartyB.Article20ProjectInsurancePartyBshallinsuretheprojectagainstallrisksofconstructionandthird-partyliability,withtheinsurancecostsbornebyPartyB.Theinsuranceperiodshallcommencefromthedateofcommencementoftheprojectuntilthedateofacceptanceofthecompletedproject.Article21ProjectDocumentationWithin_______daysaftertheacceptanceofthecompletedproject,PartyBshallsubmitcompleteprojectdocumentationtoPartyA,includingbutnotlimitedtoengineeringdrawings,constructionlogs,qualityinspectionrecords,etc.PartyAhastherighttoreviewtheprojectdocumentation,andifincompleteornon-compliantdocumentationisfound,PartyAhastherighttorequestPartyBtosupplementorcorrectit.Article22ProjectSafetyPartyBshallstrictlycomplywithnationallawsandregulationsonsafetyproductiontoensurethesafetyofconstructionwork.PartyBshallestablishandimplementaprojectsafetymanagementsystem,conductregularsafetyinspections,andpromptlyeliminatesafetyhazards.Article23EnvironmentalProtectionoftheProjectPartyBshallcomplywithnationallawsandregulationsonenvironmentalprotectionandtakemeasurestoreducetheimpactofconstructionworkontheenvironment.PartyBshallproperlyhandlewastegeneratedduringtheconstructionprocesstopreventenvironmentalpollution.Article24ProjectProgressReportsPartyBshallregularlysubmitprojectprogressreportstoPartyA,whichshouldincludeprojectprogress,qualitystatus,existingproblems,andsolutions.PartyAhastherighttoreviewtheprojectprogressreportsandmakesuggestionsandopinions.Article25TerminationoftheContractUponcompletionofthecontract,therightsandobligationsofbothpartiesareterminated.Ifeitherpartybreachesthecontract,theotherpartyhastherighttoterminatethecontractanddemandthebreachingpartytobeartheliabilityforbreachofcontract.Ifthecontractcannotbeperformedduetoforcemajeure,bothpartiesmayterminatethecontractandarenotliableforbreachofcontract.Article26ApplicableLawandDisputeResolutionTheconclusion,interpretation,performance,andresolutionofdisputesofthiscontractshallallbegovernedbythelawsofthePeople'sRepublicofChina.Ifanydisputesariseintheperformanceofthiscontract,bothpartiesshallresolvethemthroughfriendlynegotiation.Ifnegotiationfails,eitherpartymayfilealawsuitinthePeople'sCourtoftheplacewherethecontractissigned.Article27ModificationandSupplementoftheContractAnymodificationorsupplementtothiscontractmustbemadeinwritingandshalltakeeffectafterbeingsignedandsealedbytheauthorizedrepresentativesofbothparties.Withoutthewrittenconsentofbothparties,neitherpartymayunilaterallymodifyorsupplementthiscontract.Article28EffectivenessoftheContractThiscontractshallcomeintoeffectfromthedateofsignatureandsealbybothPartyAandPartyB.Article29NumberofCopiesoftheContractThiscontractismadeintwocopies,eachpartyholdsonecopy,andbothcopieshavethesamelegaleffect.AnnexI:ListofAnnexesEngineeringdrawings;Projectbudget;Projectprogressplan;Projectqualityinspectionrecords;Projectsafetymanagementsystem;Projectenvironmentalprotectionmeasures;Projectprogressreports.AnnexII:BreachofContractandDeterminationPartyA'sfailuretopaytheprojectpriceasagreedinthecontractisconsideredabreachofcontract.PartyB'sfailuretocompletetheprojectasagreedinthecontractortheprojectqualitynotmeetingtheagreedstandardsisconsideredabreachofcontract.Thedeterminationofbreachofcontractshouldbenotifiedinwritingtotheotherparty,andareasonablerectificationperiodshouldbegiven.AnnexIII:LegalTermsandDefinitions"Forcemajeure"referstoobjectivecircumsta
