rets.6.1.2Neitherpartyshalldisclosesuchconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.6.2ConfidentialityPeriod6.2.1TheconfidentialityobligationsshallcommenceonthedateofsigningthisContractandshallcontinueforaperiodof______yearsaftertheterminationorexpirationofthisContract.6.3ExceptionstoConfidentiality6.3.1Theconfidentialityobligationsshallnotapplytoinformationthat:6.3.1.1IsorbecomespubliclyknownthroughnobreachofthisContract;6.3.1.2Islawfullyreceivedfromathirdpartywithoutanyobligationofconfidentiality;6.3.1.3Isindependentlydevelopedbythereceivingpartywithouttheuseofthedisclosingparty'sconfidentialinformation;6.3.1.4Isrequiredtobedisclosedbylaworregulation,providedthatthedisclosingpartygivespriornoticetotheotherparty.Chapter7:DisputeResolution7.1Negotiation7.1.1AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughfriendlynegotiationsbetweentheparties.7.1.2Ifthepartiesareunabletoresolvethedisputethroughnegotiationswithin______days,eitherpartymayproceedtoarbitrationorlitigation.7.2Arbitration7.2.1Thepartiesagreetosubmitanyunresolveddisputesto______ArbitrationCommissionforarbitration.7.2.2ThearbitrationshallbeconductedinaccordancewiththerulesoftheArbitrationCommission.7.2.3Thearbitrationawardshallbefinalandbindingonbothparties.7.3Litigation7.3.1Ifeitherpartychoosestopursuelitigation,thedisputeshallbesubmittedtothe______People'sCourt.7.3.2Thelosingpartyshallbearallcostsassociatedwiththelitigation.Chapter8:Miscellaneous8.1EffectivenessofContract8.1.1ThisContractshallbecomeeffectiveuponthesignaturesofbothparties.8.1.2ThisContractisexecutedin______copies,witheachpartyretaining______copies,allofwhichhavethesamelegaleffect.8.2AmendmentofContract8.2.1
