机器设备的买卖合同范本2024年通用合同编号：__________machineequipmentpurchaseandsalecontracttemplate2024generalBETWEEN:[Buyer'sName]Address:[Buyer'sAddress]City:[City]Province:[Province]PostalCode:[PostalCode]AND:[Seller'sName]Address:[Seller'sAddress]City:[City]Province:[Province]PostalCode:[PostalCode]WITNESSETH:WHEREAS,theBuyerdesirestopurchasefromtheSellercertainmachineryandequipment(the"Equipment")asdescribedinExhibit"A"attachedhereto;WHEREAS,theSelleragreestosellanddelivertheEquipmenttotheBuyeruponthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:1.SaleandPurchaseofEquipment1.1TheSelleragreestosellandtheBuyeragreestopurchasetheEquipmentsubjecttothetermsandconditionsofthisAgreement.1.2TheEquipmentshallbeofthegrade,qualityandspecificationssetforthinExhibit"A"attachedhereto,andtheSellerwarrantsthattheEquipmentwillconformtothesaidgrade,qualityandspecifications.1.3ThepurchasepricefortheEquipmentshallbetheamountsetforthinExhibit"A"attachedhereto(the"PurchasePrice").1.4ThePurchasePriceshallbepaidtheBuyertotheSellerinthemannerandaccordingtotheschedulesetforthinExhibit"A"attachedhereto.2.DeliveryofEquipment2.1TheSellershalldelivertheEquipmenttotheBuyeratthelocationsetforthinExhibit"A"attachedhereto(the"DeliveryPoint")onorbeforethedeliverydatesetforthinExhibit"A"attachedhereto(the"DeliveryDate").3.Warranties3.1TheSellerwarrantsthattheEquipmentisfreefromanyandallliensandencumbrancesofanynature,andthattheSellerhasgoodandmarketabletotheEquipment.3.2TheSellerwarrantsthattheEquipmentisfreefromanyandalldefectsindesign,materialandworkmanship,andthattheEquipmentconformstothegrade,qualityandspecificationssetforthinExhibit"A"attachedhereto.3.3TheSellerwarrantsthattheEquipmentisfitforthepurposeforwhichitisintended,andthattheEquipmentconformstoallapplicablelaws,regulationsandstandards.3.4TheSellerwarrantsthattheEquipmentdoesnotinfringeuponanypatents,trademarks,copyrightsorotherintellectualpropertyrightsofanythirdparty.4.InspectionandAcceptance4.1TheBuyershallhavetheright,butnottheobligation,toinspectandtesttheEquipmentwithinareasonabletimeaftertheDeliveryDate.4.2IftheBuyerdiscoversanydefectsornonconformitiesintheEquipment,theBuyershallnotifytheSellerinwritingwithinareasonabletimeafterthediscovery.4.3IftheBuyernotifiestheSellerofanydefectsornonconformitiesinaccordancewithSection4.2,theSellershall,atitssoleoption,either:(i)repairorreplacetheEquipment;or(ii)refundthePurchasePricefortheEquipmentlessanyreasonablecostsincurredtheBuyerinconnectionwiththeinspectionandacceptanceoftheEquipment.5.TitleandIntellectualProperty5.1TitletotheEquipmentshallremainintheSelleruntilthePurchasePriceispaidinfulltheBuyer.5.2TheBuyershallnotusetheEquipmentinanymannerthatinfringesuponanypatents,trademarks,copyrightsorotherintellectualpropertyrightsofanythirdparty.6.DefaultandTermination6.1IfeitherpartydefaultsintheperformanceofanyofitsobligationsunderthisAgreement,theotherpartymay,atitssoleoption,terminatethisAgreementandpursueanyotheravailableremedies.7.GoverningLawandDisputeResolution7.1ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsoftheProvinceof[Province]andthelawsofCanadaapplicabletherein.7.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolved一、附件列表：1.附件A：机器设备详细描述

2.卖家提供的设备存在缺陷或不符合约定规格，未能在合理时间内进行修复或更换，视为违约。

3.买家未能按照约定的时间和方式支付购买价格，视为违约。
