TheProductshallbedeliveredtheSellertotheBuyerat[DeliveryAddress],onorbefore[DeliveryDate].TheProductshallbedeemeddeliveredwhentheriskoflossandpassestotheBuyeruponreceiptattheDeliveryAddress.3.PriceandPaymentTerms

ThepricefortheProductshallbe[Price]per[Unit],totaling[TotalAmount].TheBuyershallmakepaymentfortheProductwiretransfertotheSeller'sdesignatedbankaccount,inaccordancewiththepaymentinstructionsprovidedtheSeller,within[Number]daysafterthedateoftheinvoiceissuedtheSeller.4.InspectionandAcceptance

Upondelivery,theBuyershallhavetherighttoinspectandtesttheProducttoconfirmitsconformitywiththespecificationsandqualitystandardssetforthinExhibitA.IftheProductdoesnotconformtotheagreedspecificationsandqualitystandards,theBuyershallnotifytheSellerinwritingwithin[Number]daysafterdelivery.TheSellershall,atitssolediscretion,eitherreplacethenonconformingProductorrefundtheBuyerforthenonconformingProduct.5.Warranty

SellerwarrantsthattheProductconformstothespecificationsandqualitystandardssetforthinExhibitA,andisfreefromanyliensandencumbrances.EXCEPTASEXPRESSLYPROVIDEDINTHISCONTRACT,SELLERDISCLMSALLOTHERWARRANTIES,EXPRESSORIMPLIED,INCLUDINGBUTNOTLIMITEDTOWARRANTIESOFMERCHANTABILITYANDFITNESSFORAPARTICULARPURPOSE.6.ForceMajeure

NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,ordisruptionsintransportation,providedthattheaffectedpartypromptlynotifiestheotherpartyoftheexistenceandnatureofsuchcause.7.GoverningLawandDisputeResolution

ThisContractshallbegovernedandconstruedinaccordancewiththelawsof[GoverningJurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.8.EntireAgreement
