英文项目贷款守则合同编号：__________parties1.__________(the"Borrower")2.__________(the"Lender")agreement1.TheBorrowerandtheLender(collectivelyreferredtoasthe"Parties")haveenteredintothisLoanAgreement(the"Agreement")asof__________(the"EffectiveDate").2.TheBorrowerdesirestoobtainaloanfromtheLenderintheprincipalamountof__________(the"PrincipalAmount"),andtheLenderiswillingtoprovidesuchloansubjecttothetermsandconditionssetforthherein.loan1.SubjecttothetermsandconditionsofthisAgreement,theLenderagreestolendtotheBorrowerthePrincipalAmount.2.TheBorroweragreestorepaythePrincipalAmount,togetherwithinterestthereonandotherfeesandexpensesasprovidedherein,inaccordancewiththerepaymentschedulesetforthinExhibitAattachederest1.TheBorroweragreestopayinterestontheoutstandingPrincipalAmountfromthedateoftheadvanceoftheloanuntilthedateoffullrepaymentoftheloan,atanannualinterestrateof__________(the"InterestRate").2.Interestshallbecalculatedona__________(the"InterestCalculationBasis")andshallbepayabletheBorrowertotheLenderona__________(the"InterestPaymentDate")basis.repayment1.TheBorroweragreestorepaythePrincipalAmount,togetherwithinterestthereonandotherfeesandexpensesasprovidedherein,inaccordancewiththerepaymentschedulesetforthinExhibitAattachedhereto.2.TheBorrowershallmakeallpaymentsunderthisAgreementwiretransferofimmediatelyavailablefundstoanaccountdesignatedtheLenderorsuchothermethodastheLendermayagree.useofproceeds1.TheBorrowerrepresentsandwarrantsthattheproceedsoftheloanwillbeusedonlyforthepurposessetforthinExhibitBattachedhereto(the"PermittedPurposes").2.TheBorrowershallnotusetheproceedsoftheloanforanypurposethatisinviolationofanylaw,regulationorguidelineorthatcouldreasonablybeexpectedtoresultinanyliabilitytotheLender.conditions1.TheobligationsoftheLendertomaketheloanandoftheBorrowertorepaytheloanunderthisAgreementaresubjecttothesatisfactionofthefollowingconditions:(a)TheexecutionanddeliverythePartiesofthisAgreementandallotherdocumentsandagreementsrequiredtobeexecutedanddeliveredtheminconnectionwiththeloan.(b)TheaccuracyofallrepresentationsandwarrantiesmadetheBorrowerinthisAgreement.(c)ThereceipttheLenderofallconsents,approvals,permissionsandfranchisesfromanygovernmentagencyorauthoritynecessaryfortheexecution,deliveryandperformanceofthisAgreement.2.TheLendermay,initssolediscretion,requiretheBorrowertoprovideadditionaldocumentationorinformationtosatisfyanyoftheconditionssetforthinparagraph1ofthisArticle.representationsandwarranties1.TheBorrowerrepresentsandwarrantstotheLenderasfollows:(a)TheBorrowerisalegalentitydulyorganizedandvalidlyexistingunderthelawsofthejurisdictionofitsorganizationandhasthepowerandauthoritytoenterintoandperformitsobligationsunderthisAgreement.(b)TheexecutionanddeliveryofthisAgreementandtheperformancetheBorrowerofitsobligationsunderthisAgreementhavebeendulyauthorizedallnecessarycorporateorotherorganizationalaction,andthisAgreementconstitutesalegal,validandbindingobligationoftheBorrowerenforceableagainstitinaccordancewithitsterms.(c)TheBorrowerisingoodstandingwithallapplicablefederal,stateandlocaltaxauthorities,andhaspaidalltaxesandassessmentsdueandpayable.(d)TheBorrowerisnotsubjecttoanyjudgment,decree,orderorrulinganycourtoradministrativeagencywhichhastheeffectofprohibitingorrestrictingtheBorrower'sabilitytoengageinanybusinessactivityortoobtain,useorrepaytheloan.(e)TheBorrowerisnotinvolvedinanybankruptcy,insolvencyorreceivershipproceeding,andthereisnoproceedingofsuchnaturependingor,tothebestknowledgeoftheBorrower,threatenedagainsttheBorrower.一、附件列表：1.附件A：还款时间表2.附件B：贷款用途说明3.附件C：贷款条件满足证明4.附件D：借款人财务报表5.附件E：借款人法律文件6.附件F：担保文件（如有）7.附件G：贷款协议的附加条款和条件二、违约行为及认定：1.未能按时偿还本金或利息2.未能履行合同约定的任何其他财务义务3.使用贷款用于未经同意的目的4.未能满足合同约定的任何条件5.借款人涉及破产、重组或清算程序6.借款人提供虚假、不准确或不完整的信息7.借款人违反任何法律法规或合同条款三、法律名词及解释：1.本金（PrincipalAmount）：指合同约定的贷款金额。2.利息（Interest）：指借款人因使用贷款而需支付给贷款人的费用。3.还款（Repayment）：指借款人按照约定的时间和方式向贷款人归还本金和支付利息的行为。4.违约（Default）：指借款人未能履行合同约定的任何义务。5.贷款条件（LoanConditions）：指借款人获得贷款必须满足的一系列要求。6.担保（Guarantee）：指为借款人的债务承担额外保证责任的财产或个人。7.适用法律（ApplicableLaw）：指合同约定的解决双方纠纷时应遵循的法律体系。四、执行中遇到的问题及解决办法：1.还款困难：与贷款人协商，寻求延期还
