PartyB:Registereddomicile:Habitualresidence:NumberofIDCard:Tel:二、立合同事由2.RECITALS鉴于甲方愿意录用乙方,乙方愿意到甲方工作,按照《中华人民共和国劳动法》、《中华人民共和国劳动合同法》和《上海市劳动和同条例》等我国国家和地方政府的有关法律法规和行政规章,以及甲方制定的各项规章制度,本着平等、自愿的原则,经甲、乙双方协商一致,特签订本劳动合同(以下简称“本合同”)。WHEREAS,PartyAintendstoemployPartyBandPartyBintendstoworkforPartyA,

).第二条(工作内容和工作地点)Article2DescriptionofWorkandWorkSite(一)根据甲方需要,乙方在

);PartyBshallbesubjecttotheworkarrangementmadebythedivisionheorsheworksinorthedirectorathigherlevel.(二)乙方应履行甲方制定的岗位职责,按时、按质、按量完成其本职工作。2.2PartyBshallperformhisorherworkdutiesprovidedbyPartyA,andshallcompletehisorherworktaskinaccordancewiththeprovisionsintermsoftimelimit,qualityandworkload.(三)乙方承诺,愿服从甲方根据工作需要、乙方工作能力及其表现而安排或调动的工作岗位。并同意在下列情况下本合同不作变更处理。2.3PartyundertakestoacceptthearrangementorchangeofworkmadebyPartyAinlightofPartyA’sworkrequirementsandPartyB’sworkingabilityandperformance;PartyBagreesthatthisAgreementmaynotbealteredunderanyofthefollowingcircumstances:1、乙方的工作地点由所在部门安排。今后因工作需要乙方在甲方所在本市的全部经营办公场所及附属场所(包括公司自有产权的物业或租赁的物业,)之间调整时。1.PartyB’sworkingsiteistobearrangedbythedivisionheorsheworksin;PartyAistochangePartyB’sworkingsitewithinallitsbusinessofficesandattachedsitesinthecitywherePartyAisdomiciled(includingPartyA’sownpropertyorotherpremisesleasedbyPartyA),onthebasisofPartyA’sworkingrequirement;2、甲方因工作需要,临时指派乙方到境内外短期出差地点工作的。2.PartyAassignsPartyBtoworkathomeorabroadonbusinesstravelforashorttermonthebasisofPartyA’sworkingrequirement.3、甲方因工作需要,安排乙方临时外借到其它部门或其它他单位工作的。3.Inresponsetoworkingrequirement,PartyAtemporarilyassignsPartyBtoworkatotherdivisionsofPartyAorotherentities.(四)因工作需要,乙方被指派到外省市或境外企业或机构长期工作的,协商一致后,本合同作变更处理。2.4Where,inresponsetoworkingrequirement,PartyAassignsPartyBtoworkinenterprisesororganizationslocatedinotherprovincesormunicipalitiesorabroadforlongperiod,thisAgreementmaybealteredonthebasisofmutualconsentthroughnegotiation第三条(工作时间和休息休假)Article3WorkingHoursandHoliday(一)乙方的岗位实行全日制标准工时工作制度,甲方安排乙方每日工作时间不超过8小时,每周工作五天。3.1PartyBistoworkunderthefull-timestandardworkingtimesystem:PartyAmayrequirePartyBtoworkfornomorethan8hourseverydayandforfivedayseveryweek.(二)甲方由于工作需要,经与乙方协商后可以延长工作时间,一般每日不超过1小时,因特殊原因需要延长工作时间的,在保障乙方身体健康的前提下工作时间不得超过3小时,每月不得超过36小时。3.2Ifnecessaryforwork,PartyAmay,onthebasisofnegotiationwithPartyB,extendPartyB’sworkinghoursfornomorethanonehoureverydaygenerally;whereitisnecessarytoextendworkinghoursunderspecialcircumstances,suchextensionofworkinghoursmaynotexceedthreehourseverydayonthepremiseofbeingnoharmfultoPartyB’shealth,andnomorethanatotalof36hourseverymonth.

(三)乙方有享受国家规定的各类休息休假的权利,具体按甲方的《职工工作时间及休息休假管理办法》执行。3.3PartyBisentitledtoalltheholidaysandleavesprovidedbytheState,towhichtheImplementationRulesforEmployeesWorkingHoursandHolidaysformulatedbyPartyAshallapply.(四)如遇国家或本市政府有关部门调整工作时间和休息、休假时间,或甲方在特殊季节临时调整休息、休假时间的,不作本合同变更处理。3.4WheretheStateortherelevantauthoritiesofthislocalmunicipalityreadjuststheprovisionsonworkinghours,holidaysorleaves,orPartyAreadjuststheprovisionsonholidaysorleaves,thisAgreementmaynotbedeemedasbeingaltered.第四条(劳动报酬)Article4Remuneration(一)乙方的劳动报酬包括每月发放的固定工资和以及相关的津贴补贴、每季度考核发放的绩效工资等部分组成,按照甲方薪酬管理规定执行。合同签订后甲方发给《职工薪酬告知书》,具体明确薪酬类别和标准。《职工薪酬告知书》作为本合同的附件,与本合同具有同等法律效力。4.1TheremunerationforPartyBincludesfixedmonthlysalary,allowance,quarterlyperformance-basedwageandthelike,andtheremunerationistobepaidinaccordancewithPartyA’sregulationsonremuneration.Afterexecutionhereof,PartyAistosendPartyBaNotificationofEmployee’sRemuneration,whichspecifiesthetypeandstandardoftheremuneration;suchNotificationconstitutesanannextothisAgreementandhavethesamelegalbingingforceasthisAgreement.(二)在履行本合同期间的日常操作中,甲方依照《职工薪酬告知书》中约定的薪酬标准作以下扣除处理的,本合同不作变更处理。4.2If,inthecourseoftheperformanceofthisAgreement,PartyAdeductsanypaymentoftheremunerationinaccordancewiththeNotificationofEmployee’sRemuneration,thisAgreementmaynotbedeemedasbeingaltered.1、由公司代扣代缴的个人所得税。2、由职工个人承担的社会保险费、住房公积金、企业年金的扣款。3、因职工违反公司规章制度所发生违约金、赔偿等扣款。4、因职工发生事假等非带薪假期所作的扣款。5、因法院对职工涉案判决所指定公司执行的扣款。6、其它符合法律及公司制度而发生的扣款。1.IndividualincometaxeswithheldandpaidbyPartyAonbehalf;2.Thepartofsocialinsurancepremium,housingaccumulationfunds,enterpriseannuitytobebornebyPartyB;3.Penalty,compensationandthelikearisingfromPartyB’sbreachofPartyA’sregulationsorrules;4.DeductionofremunerationmadebyPartyAowingtoprivateaffairleaveandleavestakenbyPartyBotherthanleaveswithpayment;5.DeductionofremunerationmadebyPartyAundertheorderofcourtonthebasisofthejudgementofcaseconcerningPartyB;6.DeductionofremunerationincompliancewithlawsorPartyA’sregulationsystem.(三)在本合同期间,甲方因调增职工薪酬标准的,本合同不作变更处理。4.3If,duringthevaliditytermofthisAgreement,PartyAincreasestheremunerationforemployees,thisAgreementmaynotbedeemedasbeingaltered.(四)甲方每月5日以货币形式通过银行转账到乙方个人帐户的办法支付乙方工资,包括岗位工资、工龄工资及按月发放的相关补贴。乙方同意属于乙方可得的绩效工资、补贴津贴等按甲方薪酬管理规定的日期和形式发放,届时甲方以电子邮件等形式通知乙方。4.4PartyAshall,onthefifthdayofeachandeverymonth,payPartyBremunerationbytransferringthecurrencytoPartyB’saccountthroughbank,includingpost-basedwage,workingage-basedwageandrelevantallowancetobepaidonamonthlybasis.PartyBagreesthatalltheperformance-basedwage,allowanceandthelikemaybepaidonthedateandbythemeansprovidedbyPartyAwithrespecttoremuneration,andPartyAistonotifyPartyBbymeansofemailofthepaymentthereafter.(五)若乙方提供了正常劳动,甲方支付给乙方的工资报酬不得低于本市政府规定的最低工资标准。4.5TheremunerationpaidbyPartyAtoPartyBmaynotbelessthantheminimumlevelprovidedbythelocalmunicipalgovernment,providedthatPartyBprovidesnormalworkforPartyA.(六)甲方每月向乙方发放上月工资清单。该清单属于保密范围,应妥善保管,不得泄露给本人家庭成员以外的任何第三人、员工之间不得相互打探,如有疑义可以向甲方人力资源部咨询。4.6PartyAshall,onamonthlybasis,sendPartyBremunerationlistforthelastmonth;suchremunerationlistmustbetreatedasconfidentialinformationandkeptproperly,andsuchlistmaynotbedisclosedtoanythirdpartiesotherthanthefamilymembersofPartyB;employeesmaynotenquireofoneanotherabouttheremuneration;intheeventofanyobjection,PartyBmayconsultPartyA’shumanresourcedepartment.第五条(社会保险及其它)Article5SocialInsuranceandOtherMatters(一)甲方按照国家和上海市的有关规定,为乙方交纳社会保险和住房公积金。5.1PartyAshallpaysocialinsurancepremiumandhousingaccumulationfundsforPartyBinaccordancewiththerelevantregulationsoftheStateandShanghaimunicipality.(二)乙方原意按照国家和上海市的有关规定,由个人承担的社会保险、住房公积金部分由甲方在工资中代扣代缴。5.2PartyBagreesthatPartyAmay,fromtheremunerationpayabletoPartyB,withholdthepartofsocialinsurancepremiumandpublicremunerationfundtobebornebyPartyBandPartyAmaypaysuchwithheldpartonbehalf,inaccordancewiththerelevantregulationsoftheStateandShanghaimunicipality.(三)乙方因病或非因工负伤期间,享有上海市规定的医疗期和疾病休假待遇。5.3IfPartyBsufferssicknessornon-work-relatedinjury,PartyBisentitledtomedicaltreatmentperiodandsickleavetreatmentprovidedbyShanghaimunicipality.(四)符合计划生育政策的乙方(女职工)享有本市规定的产假和其它特殊待遇,事前乙方须提出申请,经甲方(但不限于甲方,如果需要政府有关机构审核批准的)核准后执行。5.4PartyB(ifPartyBisafemaleemployee)isentitledtomaternityleaveandotherspecialtreatmentprovidedbythislocalmunicipality,providedthatshemustbeincompliancewiththeState’sfamilyplanningpolicyandPartyBshallsubmitanapplicationtoPartyA(iftheapprovalofthegovernmentisnecessary,PartyBshallsubmitsuchapplicationtocompetentauthorities)forapprovalinadvance.(五)乙方享有甲方按国家或本市政府及甲方的规定设定的福利待遇,具体按甲方的有关办法执行。5.5PartyBisentitledtothewelfareprovidedbyPartyAinaccordancewiththerelevantprovisionsmadebytheState,thelocalmunicipalgovernmentorPartyA;PartyA’srelevantimplementationrulesshallapplytothewelfare.(六)如遇国家或本市政府调整社会保险、住房公积金的政策,甲方相应调整乙方的社会保险、住房公积金的,本合同不作变更处理。5.6If,intheeventofthereadjustmentmadebytheStateorlocalmunicipalgovernmentofthepolicyonsocialinsuranceorhousingaccumulationfund,PartyAreadjuststhesocialinsuranceandhousingaccumulationfundforPartyBaccordingly,thisAgreementmaynotbedeemedasbeingaltered第六条(劳动保护、劳动条件和职业危害防护)Article6LaborProtection,WorkingConditionandPreventionagainstOccupationalHazard(一)乙方享有甲方提供的相应的劳动保护和劳动条件。(二)乙方享有甲方执行的国家劳动标准提供的职业危害防护条件。6.1PartyBisentitledtothecorrespondinglaborprotectionandworkingconditionbyprovidedbyPartyA.6.2PartyAshallprovidePartyBwithpreventingconditionsagainstoccupationalhazardinaccordancewiththeState’slaborstandard.第七条

(劳动纪律和规章制度)Article7LaborDisciplineandRegulationsandRules(一)甲方应根据国家有关法律、法规,依法制定各项规章制度。(二)乙方应诚实守信,自觉遵守国家的法律、法规和社会公德、职业道德,自觉维护甲方的声誉和利益,保守甲方秘密。(三)甲方有权根据乙方的表现或行为,依据国家的法律、法规、行政规章和甲方的规章制度,给予乙方相应的奖励或处理。其中:1、乙方如发生符合甲方《职工奖励办法》规定的积极行为的,甲方可以按照《职工奖励办法》给与乙方奖励;2、乙方如发生违反甲方规章制度的消极行为的,甲方有权按《职工违规处理办法》给与处理。7.1PartyAshallformulatevariousregulationsandrulesinaccordancewiththeState’slawsandregulations.7.2PartyBshalldeporthimselfwithsincerityandgoodfaith,abidebytheState’slawsandregulationsandsocialethicsandprofessionalethics,maintainPartyA’sreputationandinterestsinitiativelyandkeepsecretPartyA’sconfidentialinformation.7.3PartyAmayawardortreatPartyBasfollowsinthelightofPartyB’sperformanceandactsandinaccordancewiththeState’slaws,regulationsandadministrativerulesandPartyA’sregulationsandrules.1)IfPartyBhasanypositiveactionsdeservingawardasprovidedinPartyA’sRulesofAwardingEmployees,PartyAmayawardPartyBinaccordancewiththeRulesofAwardingEmployees.2)IfPartyBhascommittedanyactionsinbreachofPartyA’sregulationsorrules,PartyAmaytreathimorherinaccordancewiththeRulesforTreatmentofEmployeesinBreachofRegulations.

第八条(教育与培训)Article8EducationandTraining(一)甲方可以根据工作需要不定期地对乙方进行所必须的教育与培训。(二)乙方应参加甲方的各项教育与培训安排。(三)凡由甲方出资培训乙方,双方另行签订《培训/教育协议》,因乙方原因而提前解除劳动合同,乙方应赔偿甲方的培训等费用,具体赔偿标准执行《培训/教育协议》的约定。8.1PartyAmayeducateortrainPartyBirregularlywhennecessaryinthelightoftheworkingrequirements.8.2PartyBshallparticipateinalltheeducationandtrainingcoursesarrangedbyPartyA.8.3WherePartyAinvestsintrainingofPartyB,thetwopartiesshallconcludeagreementforeducation/trainingseparately;ifthisEmploymentAgreementisterminatedearlierthanoriginallystipulatedforreasonsattributabletoPartyB,PartyBshallcompensatePartyAthetrainingfeeinaccordancewiththestipulationsinsuchagreementforeducation/training.

第九条(保密约定)Article9Confidentiality(一)双方签订本合同后,乙方应遵守甲方《保密条例》,不得泄露甲方秘密,不得在合同期内再受聘其他任何单位从事与甲方相同或类似或有竞争冲突的业务。不得引诱甲方的其他在职职工离职。9.1PartyBshall,aftersigningofthisAgreement,observePartyA’sConfidentialityRules,andmaynotdiscloseanyofPartyA’sconfidentialinformation;duringthevaliditytermhereof,PartyBmaynotengageinanybusinesssimilarwithorincompetitionwithPartyA’sbusinessforanyotheremployer,andPartyBmaynotinduceotheremployeesworkingforPartyAtoresignfromPartyA.(二)乙方在合同期内,属其岗位职务行为或主要利用甲方的物质技术条件所产生的所有专利、版权和其他知识产权归甲方所有,乙方无权进行商业性开发。9.2Anyandallpatents,copyrightsandotherintellectualpropertyrightsproducedbyPartyBashisorherworkdutyormainlybyutilizingPartyA’smaterialduringthevaliditytermofthisAgreementshallbePartyA’sproperty,andPartyBisnotentitledtoanycommercialrightspertainingthereto.(三)甲乙双方另订《保密协议》,具体确定双方的权利义务。乙方在本合同存续期间和终止解除后承担甲方《保密协议》中规定的保密义务。9.3PartyAandPartyBaretoenterintoNon-disclosureAgreementseparately,soastostipulatetheobligationsandrightsofthetwoparties.DuringthevaliditytermofthisAgreementandaftertheterminationhereof,theconfidentialityobligationstipulatedintheConfidentialityAgreementhasbindingforceuponPartyB.(四)乙方如在本合同存续期间,违反《保密协议》约定的,视作违纪行为,按《职工违规处理办法》有关规定处理。9.4If,duringthevaliditytermofthisAgreement,PartyBbreachestheConfidentialityAgreement,PartyBshallbedeemedashavingbreachedPartyA’sdisciplinesandistobetreatedinaccordancewiththeRulesforTreatmentofEmployeesinBreachofRegulations.(五)乙方因违约给甲方造成经济或名誉损失的,应承担侵权赔偿责任,甲方有权利向乙方追偿经济损失。9.5IfPartyBbreachesthisAgreementandtherebycausesanyeconomiclossorreputationloss,PartyBshallbeartheliabilitythereforandPartyAmayhavetherightofrecourseagainstPartyBforanyeconomicloss.第十条(本合同的变更)Article10Alteration

(一)有下列情形之一的,甲、乙双方可以变更本合同:10.1Inanyofthefollowingcases,thetwopartiesheretomayalterthisAgreement:1.在不损害国家、集体和他人利益的情况下,双方协商一致的;1.OntheconditionofnoprejudicetotheinterestoftheState,organizationsorotherindividuals,thetwopartiesreachagreementforalteration;2.本合同订立时所依据的下列客观情况发生了重大变化,致使本合同无法履行,经甲乙双方协商一致的;2.AnymajorchangeoccurstoanyofthefollowingconditionsonwhichthisAgreementisbased,whichrendersperformancehereofimpossible,andthetwopartiesreachagreementforalteration:(1)、公司因经济原因或法律原因导致职工从事的公司经营项目消失。(2)、因公司战略调整,组织架构改变后,职工所从事的工作岗位消失。(3)、因其他原因导致经营项目消失或工作岗位消失

(4).由于不可抗力的因素致使本合同无法完全履行的;(5).本合同订立时所依据的法律、法规已修改的;(1)PartyA’scompanybusinessiteminwhichPartyBisengagedendsowingtoeconomicorlegalreasons;(2)TheworkingpositionsinwhichPartyBisengagedarecanceledowingtothereadjustmentofPartyA’scompanystrategyororganizationalstructure;(3)Somebusinessitemorworkingpositionsarecanceledforotherreasons;(4)ThisAgreementispreventedbyForceMajeureeventfrombeingperformedcompletely;(5)ThoselawsorregulationsonthebasisofwhichthisAgreementisconcludedhavebeenmodified.(二).法律、法规规定的其他情形。10.2OthercircumstancesprovidedbylawsorregulationsunderwhichthisAgreementmaybealtered.第十一条(本合同的解除)Article11RescissionofAgreement

(一)乙方有下列情形之一的,甲方可以解除本合同:11.1Inanyofthefollowingcases,PartyAmayrescindthisAgreement:1、在试用期间,被证明不符合录用条件的;2、严重违反劳动纪律及甲方规章制度的;3、严重失职,营私舞弊,给甲方利益造成重大损害的;4、同时与其他用人单位建立劳动关系,对完成甲方工作任务造成严重影响,或者经甲方提出,拒不改正的;5、以欺诈、胁迫的手段或者乘人之危,使甲方在违背真实意思的情况下订立或者变更本合同的;6、乙方被查实在应聘时或应聘后向甲方提供的其个人资料是虚假的、7、乙方因卖淫嫖娼被收容教育的;8、乙方受公安治安拘留处罚或者被劳动教养的;9.乙方被依法追究刑事责任的;1.Duringtheprobation,PartyBprovestobeunqualifiedforemployment;2.PartyBbreachesPartyA’slabordisciplinesorregulationsorrulesseriously;3.PartyBcommitsderelictionofdutyorengagesinjobberyandtherebycausesmajordamagetoPartyA;4.PartyBhaslaborrelationshipwithotheremployerduringthevaliditytermhereofwhichhasseriousimpactoncompletionoftheworktaskassignedbyPartyA,orPartyBrefusestotakerectificationinspiteofPartyA’sproposal;5.PartyB,bymeansofdeceptionorcoercionorbytakingadvantageofPartyA’sdifficulties,forcesPartyAtoconcludeorchangethisAgreementagainstPartyA’struewill;6.ItisverifiedthatPartyBsubmittedfraudulentpersonalinformationtoPartyAwhenorafterapplyingforemployment;7.PartyBreceivescustodialeducationowingtoprostitutionorwhoring;8.PartyBisgivensecuritydetentionorreeducation-through-laborbypublicsecurityorgans;9.PartyBisinvestigatedforbearingcriminalresponsibilityaccordingtolaws.(二)有下列情形之一的,甲方提前三十日以书面形式通知乙方后,可以解除本合同:11.2Inanyofthefollowingcircumstances,PartyAmay,bysendingPartyBa30days’priorwrittennotification,terminatethisAgreement:

1.乙方患病或者非因工负伤,医疗期满后,不能从事原工作也不能从事由甲方另行安排的工作的;

2.乙方不能胜任工作,经过培训或者调整工作岗位,仍不能胜任工作的;3.本合同订立时所依据的客观情况发生重大变化,致使原本合同无法履行,经甲、乙双方协商不能就变更本合同达成协议的;1.PartyBcontractssicknessorsustainsnon-work-relatedinjury,andafterthemedicaltreatmentperiod,PartyBcanengageinneithertheoriginalworknorotherworkassignedbyPartyA;2.PartyBisnotcompetentforhisorherworkandstillcannotbecompetentforworkafterbeingtrainedorchangeofworkingposts;3.AnyobjectiveconditiononwhichthisAgreementisconcludedundergoesmaterialchange,whichpreventsthisAgreementfrombeingperformed,andthetwopartiesheretocannotreachagreementforalterationhereofthroughnegotiation.

(三)甲方濒临破产进行法定整顿期间或者生产经营发生严重困难等进行经济性裁员的,提前三十日向工会或者全体职工说明情况,听取工会或者职工的意见后,裁减人员方案经向政府的劳动行政部门报告,可以解除本合同。11.3IncasePartyAcutsoffthenumberofemployeesowingtorectificationonbankruptcyordifficultyinproductionandbusiness,PartyAshallmakeexplanationtothetradeunionandallthestaffmembersin30days’prior;afterhearingtheopinionofthetradeunionoremployees,thisAgreementmayberescindedaftertheplanforreductionofstaffisreportedtotheadministrativedepartmentsforlabor.

(四)乙方有下列情形之一的,甲方不得依据本条第(二)、(三)款的规定解除本合同(法律、法规有特别规定的除外):11.4Unlessotherwiseprovidedbylawsorregulations,PartyAmaynotterminatethisAgreementunderArticle11.2orArticle11.3hereofifPartyB:1.从事接触职业病危害作业的劳动者未进行离岗前职业健康检查,或者疑似职业病病人在诊断或者医学观察期间的;

2.患职业病或者因工负伤并被确认丧失或者部分丧失劳动能力的;

3.患病或者非因工负伤,在规定的医疗期内的;

4.女职工在孕期、产期、哺乳期的;

5.在甲方连续工作满十五年,且距法定退休年龄不足五年的;

6.法律、行政法规规定的其他情形。1.isengagedinoperationsthatwouldexposehimorhertooccupationaldiseasehazardsandhasnotundergoneaoccupationalhealthcheck-upbeforeleavingwork,orissuspectedofhavingcontractedanoccupationaldiseaseandisbeingdiagnosedorundermedicalobservation;2.hasbeenconfirmedashavinglostorpartiallylosthisorhercapacitytoworkduetoanoccupationaldiseasecontractedorawork-relatedinjurysustainedduringhisorheremploymentwithPartyA;3.hascontractedanillnessorsustainedanon-work-relatedinjuryandtheprescribedperiodofmedicaltreatmenthasnotexpired;

4.isafemaleworkerinherpregnancy,confinementornursingperiod;5.hasbeenworkingforPartyAcontinuouslyfornotlessthan15yearsandislessthan5yearsawayfromthelegalretirementage;or6.fallsintoanyothercircumstancesstipulatedbylawsoradministrativeregulations.(五)乙方提前30日以书面形式通知甲方,可以解除本合同。乙方在试用期内提前3日通知甲方,可以解除本合同。11.5PartyBmay,bysendingPartyAa30days’writtennotification,rescindthisAgreement;duringtheprobation,PartyBmayrescindthisAgreementbysendingPartyAa3days’writtennotification.

(六)有下列情形之一的,乙方可以随时通知甲方解除本合同:

11.6Inanyofthefollowingcases,PartyBmayrescindthisAgreementbysendingPartyAanotificationatanytime:

1.甲方未按照本合同约定提供劳动保护或者劳动条件的;

2.甲方未及时足额支付劳动报酬的;

3.甲方未依法为劳动者缴纳社会保险费的;

4.甲方的规章制度违反法律、法规的规定,损害劳动者权益的;

5.因《中华人民共和国本合同法》第二十六条第一款规定的情形致使本合同无效的;

6.法律、行政法规规定劳动者可以解除本合同的其他情形。

1.PartyAfailstoprovidelaborprotectionorworkingconditionasstipulatedinthisAgreement;2.PartyAfailstodulypayremunerationinfullamount;3.PartyAfailstopaysocialinsurancepremiumforPartyBaccordingtolaws;4.PartyA’sregulationsgocountertolawsorstatutesandthusdamagePartyB’srightsandinterests;5.ThisAgreementbecomesnullandvoidowingtothecircumstancesprovidedinfirstsectionofArticle26ofContractLawofthePeople’sRepublicofChina.6.OthercircumstancesinwhichPartyBmayrescindthisAgreementaccordingtolawsoradministrativeregulations.(七)甲方以暴力、威胁或者非法限制人身自由的手段强迫乙方劳动的,或者甲方违章指挥、强令冒险作业危及乙方人身安全的,乙方可以立即解除本合同,不需事先告知甲方。但乙方应在事发当时或事发后3个工作日内向甲方提出解除本合同的意思表示,经公司确认无误后,约定办理解除本合同手续的时间。如果一方既没有明确的书面意思表示,又不上班的,甲方有理由理解为旷工的行为,将按甲方的《职工违规处理办法》的有关规定处理。11.7IncasePartyAusesviolence,threatsorunlawfulrestrictionofpersonalfreedomtoforcePartyBtowork,orifPartyAforcesorinstructsPartyBtoperformdangeroustaskswhichwouldendangerhisorherpersonalsafetyinviolationofrulesorregulations,PartyBmayterminatethisAgreementimmediatelywithoutgivinganypriornoticetoPartyA.

PartyBshall,atthetimeoftheoccurrenceoftheabove-mentionedfactsorwithinthreedaysthereafter,expresshisintentiontoterminatethisAgreement,andthenthetwopartiesmaystipulatethetimeforterminationhereofaftertheconfirmationbyPartyA.IfPartyBneitherexpresseshisintentionofterminationinwritingnorgoestoworkforPartyA,PartyAmaydeemPartyBasabsencefromworkwithoutduereasonandmaytreatPartyBinaccordancewiththeRulesforTreatmentofEmployeesinBreachofRegulations.

(八)经甲、乙双方协商一致,可以解除本合同。11.8ThetwopartiesheretomayterminatethisAgreementbyreachingmutualconsent.

第十二条(本合同终止)Article12Termination有下列情形之一的,本合同即行终止:ThisAgreementisterminatedif:

1.本合同期满前,任何一方提出本合同不续签的,则本合同期满即行终止。

2.乙方开始依法享受基本养老保险待遇的;

3.乙方死亡,或者被人民法院宣告死亡或者宣告失踪的;

4.甲方被依法宣告破产的;

5.甲方被吊销营业执照、责令关闭、撤销或者甲方决定提前解散的;

6.法律、行政法规规定的其他情形。

PartyBhasstartedtoenjoyhisentitlementtobasicold-ageinsurancepensioninaccordancewiththelaw;

PartyBisdeceased,orisdeclareddeadormissingbyapeople’scourt;4.

PartyAisdeclaredbankruptinaccordancewithlaw;5.

PartyAhasitsbusinesslicenserevoked,isorderedtocloseoriscloseddown,orPartyAdecidesonearlydissolution;or6.

Othercircumstancesstipulatedbylawsoradministrativeregulationsarise.

第十三条(本合同续签)Article13Renewal甲乙双方应在本合同期满提前

天,就是否续订本合同事宜进行协商。Thetwopartiesheretoshall,30dayspriortotheexpirationofthevaliditytermhereof,holdnegotiationastowhethertorenewthisAgreement.第十四条(本合同的补签)Article14RetroactiveSignatureofAgreement在本合同期满前甲乙双方虽有续签意向,但因不可抗力特殊原因,双方不能就续签意向进行有效沟通或不能及时续签本合同,致使本合同期满后,双方仍存在劳动关系的,甲乙双方应在不可抗力特殊原因消除后及时补办续订本合同的有关手续。IfthetwopartieshaveintentiontorenewthisAgreementbeforetheexpirationhereof,buttheyfailtoholdeffectivecommunicationortorenewthisAgreementowingtoForceMajeureevents,andthereforethereisemploymentrelationshipbetweenthetwopartiesaftertheexpirationhereof,thenthetwopartiesmayrenewthisAgreementretroactivelyaftertheendofeffectofsuchForceMajeureevent.第十五条(本合同的无效、失效)Article15IneffectivenessandNullificationofAgreement(一)乙方在签订本合同之前,甲方有权了解乙方与本合同直接相关的基本情况,包括(但不限于)乙方的学历、工作经历、资格证书或任职证书(明)以及以前劳动关系是否解除或终止,是否存在竟业限制等。乙方应提交有关的书面资料,作如实说明,并应书面承诺其真实性。若因故意漏报、隐瞒前述基本情况,骗取甲方签订本合同的,视为乙方的欺诈行为并导致甲方的严重误解,甲方有权依法申请认定本合同自始无效,由此给甲方造成的损失,应由乙方全额承担。15.1BeforeconclusionofthisAgreement,PartyAshallhavetherighttoobtainPartyB’sinformationrelatedhereto,includingbutnotlimitedtoPartyB’seducationalbackground,workingexperience,qualificationcertificateorpositionassumptioncertificateandotherinformationastowhetherhispreviouslaborrelationshipisterminatedandwhetherPartyBisundercompetitiverestriction.PartyBshallsubmitrelevantwrittendocumentsandmakeexplanationfaithfully,andshallwarrantinwritingtheauthenticityofsuchdocument.IfPartyBmisrepresentsorconcealsanyofsuchinformationanddefraudsPartyAinconcludingthisAgreement,PartyBshallbedeemedasdefraudingandcausingPartyAtoseriouslymisunderstand,andundersuchcircumstances,PartyAshallhavetherighttoapplyforconfirmationofnullificationofthisAgreement,andPartyBshallbeliableforanylossofPartyAarisingtherefrom.(二)乙方未按照本合同第一条规定的到岗日到岗的,本合同自到岗日满后自动失效,但甲方认可的除外。由此给甲方造成的损失,应由乙方全额承担。15.2IfPartyBfailstobeavailableforthepositiononthedatestipulatedinArticle1ofthisAgreement,thisAgreementbecomesnullandvoidaftersuchdate,exceptasotherwiseacceptedbyPartyA;andPartyBshallbeliableforanyandallthelossofPartyAarisingtherefrom.(三)乙方理解并同意,诚信是重要的原则。因此乙方保证,不会作出任何不诚信的行为。15.3PartyBunderstandsandagreesthatthegoodfaithisanimportantprinciple,andtherefore,PartyBwarrantsthatheorshewillnevercommitanyactionsofnogoodfaith.

第十六条

解除、终止和违反本合同的责任Article16Rescission,TerminationandLiabilityforBreach(一)有下列情形之一的,甲方应当承担赔偿责任:16.1PartyAshallpayPartyBcompensationinanyofthefollowingcircumstances:

1.甲方制定的劳动规章制度违反法律、法规规定,给乙方造成损害的;

2.由于甲方的原因订立的无效本合同,给乙方造成损害的;

3.甲方违反劳动法律、法规规定的条件解除本合同或者故意拖延不订立本合同,给乙方造成损害的;4.法律、法规规定的其他情形。1.ThelaborregulationsorrulesformulatedbyPartyAgocountertolawsorstatutes,andtherebycausedamagetoPartyB;2.ThisAgreementisnullandvoidforreasonsattributabletoPartyA,andthusPartyBisdamagedthereby;3.PartyAterminatesthisAgreementbyviolatinglaborlawsorregulationsordelaysconclusionhereofinpurposeandtherebycausesdamagetoPartyB;4.Othercircumstancesprovidedinlawsorstatutes.(二)乙方违反劳动法律、法规和甲方规章制度规定解除本合同或者违反本合同中约定的事项,给甲方造成经济损失的,应当依法承担赔偿责任。16.2IfPartyBrescindsthisAgreementbyviolatinglaborlaws,regulationsorPartyA’sregulationsandrules,orPartyBbreachesanyprovisionshereofandtherebycausesanylosstoPartyA,PartyBshallbeliableforsuchlossaccordingtolaws.1.甲方为其支付的培训费和招收录用费;2.对生产、经营和工作造成的直接经济损失;3.本合同约定的其它赔偿费用。1.Trainingfeeandrecruitmentfe
