ToborroworraiseorsecurethepaymentofmoneyinsuchmannerastheCompanyshallthinkfitandforsuchpurposesoranyotherpurposestoissuedebenturesordebenturestock(perpetualorotherwise)，chargeduponalloranyofthepropertyandrightsoftheCompany，bothpresentandfuture，includingitsuncalledcapital，orwithoutanysuchsecurity，andtopurchase，redeemorpayoffanysuchsecurities.

Toadvanceandlendmoneyandprovideorgrantcreditandfinancialaccommodationtoanyperson，bodyofpersonsorbodycorporateonsuchtermsanduponsuchsecurityasmaybethoughtproperbytheDirectorsoftheCompany，orwithouttakinganysecuritythereforandtoactasagentsforthecollection，receiptorpaymentofmoneyandgenerallytoactasagentsandbrokersforandrenderservicestoanycompanyandtoundertakeandperformsub-contracts.

Toengageincurrencyandinterestratetransactionsandanyotherfinancialorothertransactionsofwhatevernature，includinganytransactionforthepurposeof，orcapableofbeingforthepurposesof，avoiding，reducing，minimising，hedgingagainstorotherwisemanagingtheriskofanyloss，cost，expenseorliabilityarising，orwhichmay

arise，directlyorindirectly，fromachangeorchangesinanyinterestrateorcurrencyexchangerateorinthepriceorvalueofanyproperty，asset，commodity，indexorliabilityorfromanyotherriskorfactoraffectingtheCompany'sundertakingandbusiness，includingbutnotlimitedto，dealings，whetherinvolvingpurchases，salesorotherwiseinanycurrency，spotandforwardexchangeratecontracts，forwardrateagreements，caps，floorsandcollars，futures，options，swapsandanyothercurrencyinterestrateandotherhedgingarrangementsandsuchotherinstrumentsasaresimilarto，orderivativesof，anyoftheforegoing.

Topurchaseorbyanyothermeansacquireanyfreehold，leaseholdorotherpropertyforanyestateorinterestwhatever，andanyrights，privilegesoreasementoverorinrespectofanyproperty，andanyrealorpersonalpropertyorrightswhatsoever.

(i)

ToinvestanddealwiththemoneysoftheCompanynotimmediatelyrequiredforusebytheCompanyandtohold，sellordealwithsuchinvestmentsandtocarryonthebusinessofaninvestmentcompanyandtoopenandmaintainbankaccounts(whetherornotbearinginterest)，insuchmannerasfromtimetotimemaybedeterminedbytheDirectorsoftheCompany.

ToissueandallotsecuritiesoftheCompanyforcashorinpaymentorpartpaymentforanyrealorpersonalpropertypurchasedorotherwiseacquiredbytheCompanyoranyservicesrenderedtotheCompanyorassecurityforanyobligationoramount(eveniflessthanthenominalamountofsuchsecurities)orforanyotherpurpose.

TopurchaseandmaintaininsuranceforthebenefitofanypersonwhoisanofficeroremployeeorformerofficeroremployeeoftheCompanyorofasubsidiaryoftheCompanyorinwhichtheCompanyhasaninterestwhetherdirectorindirectorwhoisorwastrusteeofanyretirementbenefitsschemeoranyothertrustinwhichanysuchofficeroremployeeorformerofficeroremployeeisorhasbeeninterested，indemnifyingsuchpersonagainstliabilityfornegligence，default，breachofdutyorbreachoftrustoranyotherliabilitieswhichmaylawfullybeinsuredagainst.

Topurchaseandmaintaininsuranceinrespectofthepaymentofinterestand/orcapitalonanynotes，bondsordebenturesissuedbytheCompanyforthebenefitofsuchpersonsasmayforthetimebeingholdanysuchnotes，bondsordebentures.

Toguaranteeandotherwisesupportthepaymentofanydebtsortheperformanceofanycontractorobligationofanyperson，bodyofpersons，bodycorporateorundertakinginsofarasnotprohibitedbyapplicablelawwithorwithoutconsiderationtothecompanyandtogiveindemnitiesofallkindsandtosecureanysuchguarantee，supportandindemnityinanymannerandincluding，withoutlimitation，bythecreationofchargesormortgages(whetherlegalorequitable)orfloatingchargesortheissueofdebenturesorchargesuponalloranyofthepropertyandrightsoftheCompanybothpresentandfuture，includingitsgoodwillanduncalledcapital.

ToremuneratebycashpaymentorallotmentofsharesorsecuritiesoftheCompanycreditedasfullypaid-uporotherwise，anyperson，bodyofpersonsorbodycorporateforservicesrenderedortoberenderedtotheCompany，whetherintheconductor

(a)

ThesharecapitaloftheCompanyis€40,000dividedinto40,000OrdinarySharesof€1.00each.

TheSharesshallrankparipassuinallrespectsandwiththesamerightsandobligationsattachingtheretoincludingfortheavoidanceofdoubtthesamerightswithrespecttodividendsonshares.WithoutprejudicetoanyspecialrightsconferredontheHoldersofanyexistingsharesorclassofsharesintheCompanyandsubjecttotheprovisionsoftheActs，anysharemaybeissuedwithsuchpreferred，deferredorotherspecialrightsorrestrictionswhetherinregardtodividend，voting，returnofcapitalorotherwiseastheCompanymayfromtimetotimebyordinaryresolutiondetermineandsubjecttotheapplicableprovisionsofthe1990Act，theCompanymayissueshareswhichare，orattheoptionoftheCompanyare，tobeliabletoberedeemedonsuchtermsandinsuchmannerastheCompanybeforetheissuethereofmaybyspecialresolutiondetermine.

VariationofRights

(a)

Wheneverthesharecapitalisdividedintodifferentclassesofshares，therightsattachedtoanyclassmaybevariedorabrogatedwiththeconsentinwritingoftheHoldersofthree-fourthsoftheissuedsharesofthatclass，orwiththesanctionofaspecialresolutionpassedataseparategeneralmeetingoftheHoldersofthesharesoftheclassandmaybesovariedorabrogatedeitherwhilsttheCompanyisagoingconcernorduringorincontemplationofawinding-up.Exceptprovidedinrespectofanadjournedmeeting，thequorumforanysuchgeneralmeetingshallbetheHoldersofnotlessthanone-thirdoftheissuedsharesoftheclassinquestion.

(b)

Unlessotherwiseprovidedbytherightsattachedtoanyshares，thoserightsshallbedeemedtobevariedbythereductionofthecapitalpaiduponthesharesandbytheallotmentoffurthersharesrankinginpriorityforpaymentofadividendorinrespectofcapitalorwhichconferontheHoldersvotingrightsmorefavourablethanthoseconferredbysuchfirstmentionedshares，butshallnototherwisebedeemedtobevariedbythecreationorissueoffurthersharesorbyaspurchaseorredemptionbythecompanyofitsownshares.

Exceptasrequiredbylaw，nopersonshallberecognisedbytheCompanyasholdinganyshareuponanytrust，andtheCompanyshallnotbeboundbyorbecompelledinanywaytorecognise(evenwhenhavingnoticethereof)anyequitable，contingent，futureorpartialinterestinanyshareoranyinterestinanyfractionalpartofashareor(exceptonlyasbytheseArticlesorbylawotherwiseprovide)anyotherrightsinrespectofanyshareexceptanabsoluterighttotheentiretythereofintheHolder：thisshallnotprecludetheCompanyfromrequiringthemembersoratransfereeofsharestofurnishtheCompanywithinformationastothebeneficialownershipofanysharewhensuchinformationisreasonablyrequiredbytheCompany.

DisclosureofBeneficialOwnership

(a)

NotwithstandingtheprovisionsoftheimmediatelyprecedingArticle，theDirectorsmayatanytimeandfromtimetotimeif，intheirabsolutediscretion，theyconsiderittobeintheinterestsoftheCompanytodoso，giveanoticetotheHolderorHolders，ofanyshare(oranyofthem)requiringsuchHolderorHolderstonotifytheCompanyinwritingwithinsuchperiodasmaybespecifiedinsuchnotice(whichshallnotbelessthantwenty-eightdaysfromthedateofserviceofsuchnotice)offullandaccurateparticularsofalloranyofthefollowingmatters，namely:

hisinterestinsuchshare;

(ii)

ifhisinterestinthesharedoesnotconsistoftheentirebeneficialinterestinit，theinterestsofallpersonshavinganybeneficialinterestintheshare(providedthatonejointHolderofashareshallnotbeobligedtogiveparticularsofinterestsofpersonsinthesharewhichariseonlythroughanotherjointHolder)；and

(iii)

anyarrangements(whetherlegallybindingornot)enteredintobyhimoranypersonhavinganybeneficialinterestinthesharewherebyithasbeenagreedorundertakenortheHolderofsuchsharecanberequiredtotransfertheshareoranyinterestthereintoanyperson(otherthanajointHolderoftheshare)ortoactinrelationtoanymeetingoftheCompanyorofanyclassofsharesoftheCompanyinaparticularwayorinaccordancewiththewishesordirectionsofanyotherperson(otherthanapersonwhoisajointHolderofsuchshare).

AllotmentofShares

(a)

ThesharesshallbeatthedisposaloftheDirectors，andtheymay(subjecttotheprovisionsoftheActs)allot，grantoptionsoverorotherwisedisposeofthemtosuchpersonsonsuchtermsandconditionsandatsuchtimesastheymayconsidertobeinthebestinterestsoftheCompanyanditsshareholders.

WithoutprejudicetothegeneralityofthepowersconferredontheDirectorsbyparagraph(a)

ofthisArticle，theDirectorsmayfromtimetotimegrantoptionstosubscribefortheunallottedsharesinthecapitaloftheCompanytopersonsintheserviceoremploymentoftheCompanyoranysubsidiaryorassociatedcompanyoftheCompany(includingDirectorsholdingexecutiveoffices)onsuchtermsandsubjecttosuchconditionsasthemembersoftheCompanyingeneralmeetingmayfromtimetotimeapprove.
