对外贸易合同中英文对照外贸合同中英文对照ContractforInternationalTrade受卖方和买方一致同意，签订如下外贸合同。ThefollowingContractforInternationalTradeisherebyagreedandenteredintobyandbetweentheSellerandtheBuyer.一、甲方（卖方）BasicInformationoftheSeller(PartyA)公司名称：_________________________CompanyName:_______________________注册地址：_________________________RegisteredAddress:_______________________法定代表人：_________________________LegalRepresentative:_______________________联系电话：_________________________ContactTelephone:_______________________二、乙方（买方）BasicInformationoftheBuyer(PartyB)公司名称：_________________________CompanyName:_______________________注册地址：_________________________RegisteredAddress:_______________________法定代表人：_________________________LegalRepresentative:_______________________联系电话：_________________________ContactTelephone:_______________________三、各方身份、权利、义务Parties'Identity,Rights,Obligations甲方身份：商品出售方，享有相应的商品所有权和经营权，且商品合法合规。PartyA'sIdentity:Thesellerofthegoodsownsthecorrespondingownershipandoperationrights,andthegoodsarelegalandcompliant.乙方身份：商品购买方，享有在合同中规定的购买商品的权利和义务。PartyB'sIdentity:Thebuyerofthegoodsenjoystherightandobligationtopurchasethegoodsstipulatedinthecontract.甲方权利、义务：I.PartyA'sRightsandObligations（一）甲方应确保商品质量，完全符合国家相关标准，如果因为商品质量问题而发生纠纷的，乙方有权退货或要求甲方给予相应的赔偿。(I)PartyAshallensurethequalityofthegoodsinfullcompliancewithrelevantnationalstandards.Ifdisputesariseduetoqualityissues,PartyBshallhavetherighttoreturnthegoodsordemandcorrespondingcompensationfromPartyA.（二）甲方应在双方约定的时间和地点交付买方所需要的商品，并根据买方的要求办理相关的海关手续。(II)PartyAshalldelivertherequiredgoodstoPartyBattheagreedtimeandplace,andhandlerelevantcustomsproceduresaccordingtoPartyB'srequirements.（三）甲方应严格遵守中国相关法律法规，确保商品合法合规。(III)PartyAshallstrictlycomplywithrelevantChineselawsandregulationstoensurethelegalityandcomplianceofthegoods.（四）如果买方因为甲方的原因而不能按照约定的时间和地点收货的，甲方应承担相应的违约责任。(IV)IfPartyBfailstoreceivethegoodsattheagreedtimeandplaceduetoPartyA'sreasons,PartyAshallbearcorrespondingbreachofcontractliability.乙方权利、义务：II.PartyB'sRightsandObligations（一）乙方应按照约定的时间和地点支付货款。(I)PartyBshallpaythepaymentattheagreedtimeandplace.（二）乙方有权检验商品的质量和数量，如果发现商品不合格或数量不足的，有权退货或要求甲方给予相应的赔偿。(II)PartyBhastherighttoinspectthequalityandquantityofthegoods.Ifthegoodsarefoundtobeunqualifiedorinsufficientinquantity,PartyBhastherighttoreturnthegoodsordemandcorrespondingcompensationfromPartyA.（三）乙方应按照双方约定的方式和时间接受商品，并办理相关的海关手续。(III)PartyBshallacceptthegoodsinthemannerandtimeagreedbybothparties,andhandlerelevantcustomsprocedures.（四）乙方应严格遵守中国相关法律法规，确保货款的合法合规。(IV)PartyBshallstrictlycomplywithrelevantChineselawsandregulationstoensurethelegalityandcomplianceofthepayment.四、履行方式PerformanceMethod甲方应在双方约定的时间和地点交付买方所需要的商品，并根据买方的要求办理相关的海关手续。PartyAshalldelivertherequiredgoodstoPartyBattheagreedtimeandplace,andhandlerelevantcustomsproceduresaccordingtoPartyB'srequirements.乙方应按照约定的时间和地点支付货款，并接受商品，并办理相关的海关手续。PartyBshallpaythepaymentattheagreedtimeandplace,acceptthegoodsandhandlerelevantcustomsprocedures.五、期限ValidityPeriod本合同自双方盖章及签字之日起生效，至履行完毕之日为止。Thiscontractshalltakeeffectfromthedateofthesealsandsignaturesofbothpartiesandshalllastuntilthecompletionoftheperformance.六、违约责任LiabilityforBreachofContract（一）如果甲方违反合同规定未按时交付商品，每逾期一天乙方有权按照货款金额的千分之三向甲方追加赔偿金。(I)IfPartyAfailstodeliverthegoodsontimeinviolationofthecontract,PartyBshallhavetherighttoaddcompensationtoPartyAattherateof0.3%ofthepaymentamountforeachdayofdelay.（二）如果乙方违反合同规定未按时支付货款，每逾期一天甲方有权向乙方追加货款金额的千分之二的违约金。(II)IfPartyBfailstopaythepaymentontimeinviolationofthecontract,PartyAshallhavetherighttoaddabreachofcontractpenaltyof0.2%ofthepaymentamountforeachdayofdelaytoPartyB.（三）如果因为甲方的原因，商品质量或数量存在问题而发生纠纷的，甲方应承担相应的赔偿责任。(III)IfdisputesariseduetoqualityorquantityproblemsofthegoodscausedbyPartyA,PartyAshallbearthecorrespondingcompensationliability.（四）如果因为买方的原因不能按照约定的时间和地点收货的，买方应承担相应的违约责任。(IV)IfPartyBfailstoreceivethegoodsattheagreedtimeandplaceduetoPartyB'sre
