反商业贿赂协议

AGREEMENTOFANTICOMMERCIALBRIBERY

为表达公正合理、对等互利的合作宗旨，确保甲乙双方各级从业人员遵守职业道德，廉洁守法、秉公办事，不利用职权之便谋取私利,致使合作双方蒙受损失,特制定本协议。

Toembodythecooperationtenetoffairness,justice,equityandmutualbenefit,andtoensurethatpersonnelatalllevelsofPartyAandPartyBhereofwillabidebyprofessionalethicsandlawsandregulations,keepwhitehands,handaffairsimpartially,andneverabusepowerforpersonalbenefitsandthuscausedlosstothetwoparties,PartyAandPartyBhereofcometothisagreement:

1、甲方从业人员应秉承如下原则：

PersonnelofPartyAshalladheretothefollowingprinciples:

1.1、在供给商考评时，应秉持诚信与公正的原则，选择其产品在品质、价格、交期和效劳等方面最具优势的厂家；

Whenperformingassessmentonsupplier,theyaretofollowaprincipleofcreditandfairness,andchoosefactorieswiththemostadvantagesinproductquality,price,delivery,service,etc.

1.2、不得向乙方收取、索取回扣或其他不正值利益；

TheyshallnotacceptoraskforbackhanderorotherillegalbenefitsfromPartyB;

1.3、不得接收乙方赠送的礼品、现金或现金等价物等财物（人民币壹佰圆以内的价值微小的笔记本、台历等除外），不得在乙方报销任何应由其个人担当的费用；

Theyshallneitheracceptgift,cashorcashequivalents(excludingmininotebook,deskcalendarorotherthingspricedlessthanRMB100),norhavePartyBtoreimburseanyexpensesthatshouldbebornebythemselves.

1.4、不得要求或者承受乙方为其住房装修、婚丧嫁娶、家属和子女的工作安排以及出国、外出旅游等供应便利；

TheyshallnotaskfororacceptPartyB’shelpinhousedecoration,weddingorfuneral,jobarrangementforfamilymembers,goingabroadortraveling.

1.5、不得向乙方推举家属、亲友等从事材料、设备供给以及工程分包等经济活动；

TheyshallnotrecommendfamilymembersorrelativestoPartyBformaterialandequipmentsupply,projectsubcontractorotherbusinessactivities.

1.6、不得参与可能对公正开展业务有影响的宴请和消遣活动。如甲方工作人员确因实际状况须参与宴请、进展消遣活动的，须事先报上一级批准；

Theyshallnotattendbanquetsorentertainmentthatwillpossiblyaffectthefairnessofbusinessoperation.IfpersonnelofPartyAhavetoattendbanquetorentertainmentduetopracticalneeds,apriorreporttoseniorauthorityforapprovalisrequired.

1.7、不得以任何形式持有乙方公司的股份（乙方为上市公司的除外）；

TheyshallnotholdanyshareofPartyB(unlessPartyBisalistedcompany).

1.8、在合作期间，不得向乙方借钱或其他财物；

TheyshallnotborrowmoneyoranyotherpropertyfromPartyBduringtheprocessofcooperation.

1.9、不得在合作过程中有意刁难乙方，利用职权谋取私利；

TheyshallnotmakethingsdifficultforPartyBonpurposeforprivatebenefitsduringtheprocessofcooperation.

1.10、不得泄露乙方的商业机密。TheyshallnotdisclosebusinesssecretesofPartyB.

2、乙方从业人员应秉承如下原则：

PersonnelofPartyBshalladheretothefollowingprinciples:

2.1、不得给甲方人员回扣或其他不正值利益；

TheyshallnotprovidebackhanderorotherillegalbenefitstopersonnelofPartyA.

2.2、不得向甲方人员赠送礼品、现金或现金等价物等财物（人民币壹佰圆以内的价值微小的笔记本、台历等除外），不得为甲方人员报销任何应由其个人担当的费用；

Theyshallneitherprovidegift,cashorcashequivalents(excludingmininotebook,deskcalendarorotherthingspricedlessthanRMB100),norreimburseanyexpensesforpersonnelPartyAthatshallbeundertakenbythemselves.

2.3、不得为甲方人员的住房装修、婚丧嫁娶、家属和子女的工作安排以及出国、外出旅游等供应便利；

TheyshallnotprovidehelptopersonnelofPartyAinhousedecoration,weddingorfuneral,jobarrangementforfamilymembers,goingabroadortraveling.

2.4、不得引荐甲方人员推举的家属、亲友等从事材料、设备供给以及工程分包等经济活动；

TheyshallnotrecommendfamilymembersorrelativesofPartyAformaterialandequipmentsupply,projectsubcontractorotherbusinessactivities.

2.5、不得邀请甲方人员参与可能对公正开展业务有影响的宴请和消遣活动；

TheyshallnotinvitepersonnelofPartyAtobanquetorentertainmentthatwillpossiblyaffectthefairnessofbusinessoperation.

2.6、不得允许甲方人员以任何形式持有乙方的股份（乙方为上市公司除外）；

TheyshallnotallowpersonnelofPartyAtoholdanyshareofPartyB(unlessPartyBisalistedcompany).

2.7、在合作期间，不得借钱或其他财物给甲方人员。

TheyshallnotlendmoneyoranyotherpropertytopersonnelofPartyAduringtheprocessofcooperation.

2.8、不得在合作过程中有意刁难甲方，利用职权谋取私利；

TheyshallnotmakethingsdifficultforPartyAonpurposeforprivatebenefitsduringtheprocessofcooperation.

2.9、不得泄露甲方的商业机密。

TheyshallnotdisclosebusinesssecretesofPartyA.

3、品质廉洁保证金Qualityandwhitehandsdeposit

3.1“品质＆廉洁保证金”的定义：“品质＆廉洁保证金”是指乙方产品可能存在质量问题并给甲方造成经济损失，或可能未经甲方许可而擅自更改生产工艺、品质标准或者产品品牌等而给甲方产品品质带来隐患，或可能乙方违反《廉洁保证协议》的规定使用非正值手段，或可能有其他给甲方造成不良影响或损失大事的违约风险押金。

Definitionof“qualityandwhitehandsdeposit”:“Qualityandwhitehandsdeposit”meansthedepositPartyBpaystoPartyAfortheriskofcausingharmfulinfluenceorlossestoPartyA,includingbutnotlimitedto:economiclossduetopotentialqualityproblemsinproductsfromPartyB;hiddenqualitydangerofproductsofPartyAduetounauthorizedchangeinproductiontechnology,qualitystandardorproductbrandwithoutconsentfromPartyA;harmandlossesincurredbyillegalmeasurestakenbyPartyBagainstWhiteHandsGuaranteeAgreement.

3.2双方合作后，乙方同意交纳___币（币种）___（金额大写）作为乙方“品质＆廉洁保证金”，缴纳方式可以通过电汇、从货款中扣除等方式执行。甲方收取“品质＆廉洁保证金”后，开具《品质＆廉洁保证金收款收据》作为收款凭证。

Atsigningtheagreement,PartyBagreestoPay__(Currency)___(amountinword)as“qualityandwhitehandsdeposit”bywayofwiringordeductionfromproductpayment.Afterreceivingthe“Qualityandwhitehandsdeposit”,PartyAshallissueaReceiptofQualityandWhiteHandsDepositasaproof.

3.3双方业务完结后乙方申请退还保证金时，乙方需出具经过甲方相关部门签审的《业务完结证明》和《品质＆廉洁保证金收款收据》原件。甲方财务收到乙方递交的上述请款资料后3个月内连本带息返还乙方的品质＆廉洁保证金。利息从甲方开具《品质＆廉洁保证金收款收据》之日起、按银行同期活期存款利率计算。

Atterminationofbusinessbetweenthetwoparties,whenPartyBappliesforrefundingthedeposit,PartyBisrequiredtoshowtheoriginalBusinessTerminationCertificateandReceiptofQualityandWhiteHandsDepositsignedbyrelateddepartmentsofPartyA.FinancialpersonnelofPartyAshallrefundthequalityandwhitehandsdepositofPartyBwithinterestswithin3monthsafterreceivingthepaymentrequestdocumentsfromPartyB.TheinterestshallbecalculatedcountingfromdateofissuingReceiptofQualityandWhiteHandsDepositbyPartyAandbasedonbankingdemanddepositinterestrateofthesameperiod.

4、违规处理Treatmentforbreakofrules

4.1乙方若检举甲方人员在双方合作过程中违反上述原则，违反甲方《廉洁守则》的，甲方将按甲方《廉洁守则》的相关规定赐予乙方检举人员1-50万元的高额嘉奖，同时对甲方违规人员按《廉洁守则》相关规定执行惩罚。

IfPartyBimpeachesthatpersonnelofPartyAhavebrokentheabovementionedrulesandRulesofWhiteHandsofPartyAduringthecooperation,PartyAshallputapremiumofRMB10,000-500,000ontheimpeachingpersonnelofpartyBundertheprovisionsofRulesofWhiteHandsofPartyA.Moreover,thepersonnelofPartyAwhobreakstherulesshallbepunishedaccordingtoRulesofWhiteHands.

4.2经查实乙方从业人员在合作过程中违反上述原则，实行了非正值手段的，甲方有权利取消订单、收回差价、退还品质廉洁保证金、不予支付乙方的全部未付货款，同时取消乙方供给商资格。

ProvideditisverifiedthatpersonnelofPartyBhasviolatedtheabovementionedrulesandtakenillegalmeasuresduringtheprocessofcooperation,PartyAhastherighttocancelpurchaseorder,takebackpricedifference,refundqualityandwhitehandsdeposit,refusetopayalltheunpaidbalance,andcancelthequalificationofPartyBasasupplier.

4.3甲乙双方承诺如在双方合作过程中发觉某方有不正值行为，对方有向该方法人投诉、直至诉之法律的权利。

PartyAandPartyBhereofpromisethatifillegalactionisfoundtakenbyonepartyduringthecooperation,thecounterpartyhastherighttocomplaintolegalpersonofthepartyandevenresorttothecourt.

4.4若乙方实行走私、开假票等违法行为与甲方进展业务来往，一经查实，甲方有权不予退还乙方的品质＆廉洁保证金、不予支付乙方的未付货款，乙方还应担当由此给甲方造成的一切经济损失。

ProvideditisverifiedthatPartyBhasirregularactionsuchassmugglingorissuingfalsevoucherduringtransactionwithPartyA,PartyAhastherighttorefusetorefundthequalityandwhitehandsdepositofPartyB,makenopaymentfortheunpaidbalance,andPartyBshallalsobeheldresponsibleforalltheeconomiclossescausedtoPartyA.
