14.Termsofshipment:

(1)ForthegoodsorderedinthisContract,thecarryingvesselshallbearrangedbythebuyersorthebuyers’ShippingAgentChinaNationalCharteringCorporation.Thesellersshallbearallthechargesandrisksuntilthegoodsareeffectivelyloadedonboardthecarryingvessel.

(2)Thesellersshalladvisethebuyersbycable,andsimultaneouslyadvisethebuyers’shippingagentattheloadingport,30daysbeforethecontractedtimeofshipment,ofthecontractnumber,nameofcommodity,quantity,loadingportandexpecteddateofarrivalofthegoodsattheloadingport,enablingthebuyerstoarrangeforshippingspace.Absenceofsuchadvicewithinthetimespecifiedaboveshallbeconsideredassellers’readinesstodeliverthegoodsduringthetimeofshipmentcontractedandthebuyersshallarrangeforshippingspaceaccordingly.

(3)Thebuyersshalladvisethesellersbycable,12daysbeforetheexpectedloadingdate,oftheestimatedlaydays,contractnumber,nameofvessel,quantity,tobeloadedandshippingagent.Thesellersshallthenarrangewiththeshippingagentforloadingaccordingly.Incaseofnecessityforsubstitutionofvesseloralterationofshippingschedule,thebuyersortheshippingagentshalldulyadvisethesellerstothesameeffect.

(4)Intheeventofthesellers’failureineffectingshipmentuponarrivalofthevesselattheloadingport,alllosses,includingdeadfreight,demurragefinesetc.thusincurredshallbeforsellers’account.Ifthevesselfailstoarriveattheloadingportwithinthelaydayspreviouslydeclaredbytheshippingagent,thestoragechargesandinsurancepremiumfromthe16thdayafterexpirationofthefreestoragetimeattheportshallbebornebythebuyers.However,thesellersshallbestillundertheobligationtoloadthegoodsonboardthecarryingvesselimmediatelyafterherarrivalattheloadingport,attheirownexpensesandrisks.Theexpensesandlossesmentionedaboveshallbereimbursedagainstoriginalreceiptsorinvoices.

15.Adviceofshipment:

Thesellersshalluponcompetitionofloading,adviseimmediatelythebuyersbycableofthecontractnumber,nameofcommodity,numberofpackages,grossandnetweights,invoicevalue,nameofvesselandloadingdate.

16.Guaranteeofquality:

TheSellershallguaranteethatthecommodityisentirelyinconformitywithwhathasbeenstipulatedintheContractwithregardtoitsqualityspecifications.Theguaranteeperiodshallbe3monthscountedfromthedateonwiththecommodityarrivesattheportofdestination.

17.Inspectionandclaim:

ThebuyersshallhavetherighttoapplytotheGeneralAdministrationofQuantitySupervision,InspectionandQuarantineofthePeople’sRepublicofChinaforinspectionafterdischargeofthegoodsattheportofdestination.ShouldthequalitybefoundnotinconformitywiththecontractorinvoicetheBuyersshallbeentitledtolodgeclaimswiththeSellersonthebasisofAQSIQ’sSurveyReport,within90daysafterdischargeofthegoodsatportofdestination,withtheexception,however,ofthoseclaimsforwhichtheshippingcompanyantheinsurancecompanyaretobeheldresponsible.AllexpensesincurredontheclaimincludingtheinspectionfeeaspertheAQSIQinspectioncertificatearetobebornebythesellers.

18.Forcemajeure:

(1)NeitherpartytothisAgreementshallbedeemedtobeinbreachofthisAgreementorotherwiseliabletotheotherasaresultofanydelayorfailureintheperformanceofitsobligationshereunderifandtotheextentthatsuchdelayorfailureiscausedbyanycircumstancesnotforeseeableatthedateofthisAgreementandnotwithinthereasonablecontrolofthepartyinquestionincluding,withoutlimitation,anyactofGod,outbreakofhostilities,riot,actofterrorism,actionbygovernmentalauthorityorindustrialaction,fire,explosion,flood,destructionofpremises,war,strikes,lock-outsandthetimeforperformanceoftherelevantobligations)shallbeextendedaccordingly.ApartywhoseperformanceofitsobligationsunderthisAgreementisdelayedorpreventedbyanysuchcircumstancesshallforthwithnotifytheotherpartythereof.

(2)Incaseofanyeventstatedinclause18.1arises,theSellershallnotberesponsibleforlateshipmentornon-deliveryoftheproducts.TheSellershallprovideacertificateofsucheventinclause18.1uponrequestofthePurchaser.

19.Notices:

(1)AnynoticeorotherinformationrequiredorauthorisedbythisAgreementtobegivenbyeitherpartytotheothershallbemadeinwritingintheEnglishlanguageandsenttotherecipientattheaddresssetoutbelow,ortosuchotheraddressorfacsimilenumberormarkedfortheattentionofsuchotherpersonastherecipientmaydesignatebynoticegiveninaccordancewiththeprovisionsofthisClause.

(2)Noticesshallbesentbyregisteredpostorbyfacsimiletransmissionandshallbedeemedtohavebeeneffectivelyserved(Ifsentbyregisteredpost)onthedateofreceiptor(ifsentbyfacsimile)onthedateoftransmission.

20.Latedeliveryandpenalty:

ShouldtheSellerfailtomakedeliveryontimeasstipulateintheContract,withtheexceptionofforcemajeurecausesspecifiedinClause18oftheContract,theBuyershallagreetopostponethedeliveryontheconditionthattheSelleragreestopaypenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.Therateofnegotiationischargedat0.5%foreverysevendays,odddayslessthansevendaysshouldbecountedassevendays.Butthepenalty,however,shallnotexceed5%ofthetotalvalueofthegoodsinvolvedinthedelayeddelivery.IncasetheSellerfailstomakedeliverytenweekslaterthanthetimeofshipmentstipulatedintheContract,theBuyershallhavetherighttocanceltheContract,andtheSeller,inspiteofthecancellation,shallneverthelesspaytheaforesaidpenaltytotheBuyerwithoutdelay.

21.Arbitration:

Anydispute,controversyorclaimarisingoutoforrelatingtothiscontract,orthebreachterminationorinvaliditythereof,shallbesettledthroughfriendlynegotiationsbetweentwoparties.Incasenosettlementcanbereachedthroughnegotiation,shallbesettledbyarbitrationinaccordancewiththeUNCITRALArbitrationRulesasatpresentinforce.ThecaseshallbesubmittedtotheForeignEconomicandTradeArbitrationCommissionoftheChinaCouncilforthePromotionofInternationalTrade.ThereshallbeonlyonearbitratorandthearbitrationshallbeconductedinChinese.Thearbitrationexpensesshallbebornebythelosingpartyunlessotherwiseawardedbythearbitrationorganization.

22.Conditionofsale:

(1)ItisstrictlyunderstoodthattheSellercannotbeheldresponsiblefornon-deliveryordelayeddeliveryofthegoodsorderedifthesituationiscausedbyforcemajeure,war,rebellion,fire,strike,newleviesimposedbygovernment,inabilityoforrefusalbythemanufacturerstofulfilltheContractoranyothercausesbeyondtheSelle
