te,theBuyershallhavetheoptiontocancelthisContractandinsucheventnopenaltyshallbeclaimedbyeitherpartyagainsttheother.Seller’sfailuretoobtaintheexportlicencecannotbeconsideredasForceMajeure.(14)罚则：除本合同第［15］条人力不可抗拒原因外,如卖方不能按期交货,罚金数额不得超过最迟交货时货值总额的5%。罚金按每7天0.5%的比率计算，不足7天按7天计算。如卖方迟于合同规定交货期10周还未发货,除支付罚款外，买方有权撤消合同.,因此而造成的买方损失应由卖方赔偿。或经买方同意在卖方缴纳罚款的条件下延期交货,罚金在议付款时由付款银行扣除。Penalty:IftheSellerfailstoeffectduedeliveryowingtocauseotherthanForceMajeureasstipulatedinclause(15),thepenalty,however,shallnotexceed5%ofthetotalvalueofthegoodsincurredfromthelatedelivery.Therateofpenaltyischargedat0.5%foreverysevendays,odddayslessthansevendaysshouldbecountedassevendays.IncasetheSellerfailstomakedeliverytenweekslaterthanthetimeofshipmentstipulatedintheContract,theBuyershallhavetheoptiontocancelthisContractbesidespenaltyforlatedeliveryandtheSellershallberesponsiblefortheBuyer’slossesarisingtherefrom.Oralternatively,thesellermaypostpone,withBuyer’sconsent,deliveryontheconditionthattheSellerpaystotheBuyerapenalty,whichshallbedeductedbypayingbankatthetimeofnegotiationforpayment.(15)仲裁：凡是因为执行合约有关事项所发生的争执,双方应协商解决。如协商不能解决时,应提交北京中国国际贸易促进委员会对外贸易仲裁委员会根据其仲裁程序暂行规则进行仲裁,仲裁裁决是终局的,对双方都有约束力。仲裁费用,除仲裁委员会另有决定外,由败诉一方负担。Arbitration:AlldisputesinconnectionwiththisContractoftheexecutionthereofshallbesettledbynegotiation.Incasenosettlementcanbereachedth
