甲方（承办方）：PartyA(Host):地址：Address法定代表人：LegalRepresentative乙方（投资运营方）：PartyB(Investor/Operator):地址：Address法定代表人：LegalRepresentative鉴于：Whereas1.甲方希望通过借助国际马拉松赛事的影响力提升城市知名度，起到良好的宣传作用，故与乙方订立本战略合作协议。PartyAisdesirousofpromotionofcity’sfameandpopularitythroughinternationalmarthonandplayagoodpublicityroleinpropaganda,soenterintothisstrategiccooperationagreementwithpartyB.2.乙方是旨在为跑者提供跑步运动服务、赛事组织、赛事运营服务等一系列增值服务的公司，而且乙方在运营马拉松赛事方面具有丰富的成功经验。PartyBisaprofessionalcompanywhichaimstoproviderunnerswithaseriesofvalue-addedserviceincluding,interalia,runningsportsservices,theorganization/operationofcompetitions,withrichsuccessfulexperienceinmarathonoperation.为此，在遵循自愿、公平的原则基础上，经友好协商，甲乙双方根据《中华人民共和国合同法》和《中华人民共和国体育法》的规定，就共同举办以甲方为承办单位、乙方为赛事运营与推广方的马拉松事宜，达成合作协议，共同遵照执行。NOWTHEREFORE,partieshereto,onthebasisoftheprincipleofvoluntarinessandfairness,throughamicablenegotiation,inaccordancewiththeContractLawofthePeople'sRepublicofChinaandtheSportsLawofthepeople'sRepublicofChina,havereachedacooperationagreementonjointlyorganizingthemarathoninwhichpartyAasthehostandpartyBastheoperatorandpromoter.Itisherebyagreedasfollowsforabideby:一、赛事概况GeneralView1．赛事项目：男女全程马拉松、半程马拉松、一万米跑、五千米跑和健身跑。RaceItems:Male/female’smarathon,Halfmarathon,10,000meters,5,000metersandfitnessrun.2．举办地和规模：HostPlaceandPlayersNumber3．赛事名称及赞助冠名：国际马拉松赛。具体的比赛名称和赞助冠名可以由甲方与乙方协商一致后另行确定。RaceNameandSponsorshipTitle:InternationalMarathon.Specificcompetionname/sponsorshiptitlemaybedeterminedthroughconsensusofconsultationbetweenpartieshereto.4．主办单位：；承办单位：；赛事运营与推广：Organizer:;Host:;Operation/Promotion:5．竞赛办法：按照中国田径协会审定的最新田径竞赛规则和本届马拉松赛竞赛规程执行。Competitionmethods:asperthelatestTrack/FieldRulesapprovedbyChinaAthleticsAssociationandthisyear’smarathoncompetitionrules.6.比赛举办时间：。本届赛事完成之后的其他场次的比赛举办时间（每年至少一届），由甲方与乙方协商一致后再行确定。CompetionTime:.Theholdingtimeforothermarathonmatchessubsequenttothiscompetition,atleastonceayear,willbedeterminedbyconsensusagreementbewteenpartyAandpartyB.7.参赛规模：全程马拉松项目7,000人，半程马拉松项目8,000人，健身跑项目5,000人，共计20,000人。Participationscale:marathon7,000people,halfmarathon8,000people,fitnessruning5,000people,total20,000people.二、合作方式CooperationMeans1.甲方作为赛事承办方，为赛事提供所必需的政府公共资源，并委托乙方负责该赛事及相关系列活动的运营和推广工作。PartyA,asthehostofmarathon,shallprovidethenecessarygovernmentpublicresourcesforthecompetition,andentrustpartyBwiththeresponsibilityfortheoperationandpromotionofthecompetitionandrelatedactivities.2.乙方负责赛事运营和推广工作并承担如下费用（赛事执行、赛事物料、赛事设备、赛事公关、赛事前中后期宣传推广、工作人员差旅费、嘉宾邀请的费用等）。PartyBshallberesponsiblefortheoperationandpromotionofthecompetitionandshallundertakethefollowingcostsandexpenses(theexecution,material/equipment,publicrelations,propagandaofpre-andpost-competion,stafftravelfees,guestinvitationexpense,etc.)三、收益分配、账户管理和审计ProceedsDistribution,BankAcountandAutit1.赛事营运和广告推广过程中所获得的收益，甲方分配%；乙方分配%，税收各自缴纳。赛事相关名称、标识、音像资料等知识产权归双方共同所有。TheproceedsfromtheoperationandadvertisingpromotionwillbedistributedasthatpartyA’sdistributionis%;partyB’sdistributionis%andtaxesarepaidseparatelybyeachparty.Theintellectualpropertyrightsoftitle,logo,audio/videodataandotherwithrespecttothismarathonwillbejointlyownedbypartieshereto.PartyBshallenjoythefullrightsofoperation,commercialdevelopmentandincomedistributionoftheinternationalmarathonforatotalofyears.六、保密Confidentiality合同有效期内，双方应采取适当措施对本合同项下的任何资料或信息予以严格保密，未经一方的书面同意，另一方不得泄露给任何第三方。Withinthevalidityperiodofcontract,partiesheretoshalltakepropermeasurestokeepthematerialsorinformationstrictlyconfidential.Theotherpartyshallnotdiscloseordivulgetoanythirdpartywithoutpriorwrittenconsentofoneparty.七、报批SubmissionforApproval关于履行本合同所需办理相关管理机构的报批、报备手续，各方应按照本协议约定的工作分工各自负责相关报批、报备程序中的具体工作。如果由乙方作为申报主体的报批、报备手续，甲方应当在行政职权范围内给予必要协助。Withregardtotheapprovalandfilingproceduresoftherelevantadministrativeauthotitieswhichrequiredfortheperformancehereof,eachpartyheretoshall,aspertheagreementherein,beresponsibleforcompletionofitsspecificworkwithrespecttotheapprovalandfilingprocedures.ProvidedthatpartyBwillbeaprinciplepartofapplicationforapprovalandfilingprocedures,partyAshallrendernecessaryassistancewithinscopeofitsadministrativeauthority.八、违约责任ResponsibilitiesforBreach甲方承诺在合作期限内本协议项下所涉及赛事项目仅与乙方独家合作；乙方承诺将按照协议约定的目标和规模运营该赛事。如果甲方违约，应向乙方支付违约金美元；如果乙方违约应向甲方支付违约金元。PartyAundertakes,intheperiodofcooperation,tocooperateexclusivewithpartyBonthecompetitionprojectwhichisconcernedherewith;andpartyBundertakestooperatethiscompetionaspertheobjectivesandscaleagreeduponherein.WherepartyAbreachthecontract,shallpaypartyBapenaltyinUSdollars;andpartyBbreachthecontract,shallpaypartyAapenaltyofinUSdollars.九、适用法律及争议解决ApplicableLawandSettlementofDispute1．本协议的签订、效力、解释及执行，均适用中华人民共和国的法律。Thesignature,validity,interpretationandexecutionhereofshallbegovernedbythelawsofthepeople'sRepublicofChina.2．甲乙双方应严格遵守本协议的规定，并履行各自的义务。如果因履行本协议而产生的任何争议，双方应当友好协商解决；如协商不成或任何一方不愿协商的，任何一方均可向被告所在地的具有管辖权的法院提起民事诉讼。Partiesheretoshallstrictlyabidebytheprovisionshereofandfulfilltheirrespectiveobligations.Providedthatanydisputewhichariseoutoforinconsequenceofperformancehereof,partiesheretoshouldmakesettlementthroughamicablenegotiation;wherenoreasultbynegotiationoranypartyisunwillingtodoso,eitherpartymaylodgeacivillitigationtothecompetantcourtatlocalofdefendent.十、其他约定Misscellaneous1.本协议自签字盖章之日起生效。本协议一式三份，具有同等法律效力。甲
