2.PurchasePrice:

TheBuyeragreestopaytheSellerthetotalpurchasepriceof[amountincurrency](the"PurchasePrice"),tobepaidasfollows:

-Deposit:[amountincurrency]tobepaiduponsigningthisAgreement.

-Balance:[amountincurrency]tobepaidinfullonorbefore[date].

3.VehicleCondition:

TheSellerrepresentsandwarrantsthattheVehicleisfreefromanyliens,encumbrances,orotherclaims.TheVehicleissold"asis"withoutanywarrantiesorguarantees,exceptasotherwiseexpresslystatedinthisAgreement.TheBuyeracknowledgesthattheyhaveinspectedtheVehicleandacceptsitinitscurrentcondition.

4.TransferofOwnership:

UponreceiptofthefullPurchasePrice,theSelleragreestotransferownershipoftheVehicletotheBuyerbyprovidingasignedandnotarizedtitleorotherappropriatedocumentsnecessaryfortransferofownership.

5.DeliveryofVehicle:

TheSellershalldelivertheVehicletotheBuyeronorbefore[date].TheBuyershallberesponsibleforallcostsassociatedwiththedelivery,includingtransportationfees,insurance,andanyapplicabletaxesorduties.

6.InspectionandTestDrive:

TheBuyershallhavetherighttoinspectandtestdrivetheVehiclepriortothecompletionofthesale.AnydefectsorissuesfoundduringtheinspectionandtestdriveshallbebroughttotheSeller'sattentionforresolution.

7.Indemnification:

ThePartiesagreetoindemnifyandholdeachotherharmlessfromanyclaims,damages,losses,orliabilitiesarisingoutoforinconnectionwiththisAgreement,exceptforthoseresultingfromtheotherParty'sgrossnegligenceorwillfulmisconduct.

8.GoverningLaw:

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[state/country].AnydisputesarisingfromorrelatingtothisAgreementshallberesolvedthrougharbitrationinaccordancewiththerulesofthe[arbitrationassociation].

9.EntireAgreement:

ThisAgreementconstitutestheentireunderstandingbetweenthePartiesandsupersedesanyprioragreementsorunderstandings,whetherwrittenororal,relatingtothesubjectmatterherein.

10.Confidentiality:

ThePartiesagreetokeepallinformationrelatedtothisAgreementconfidentialandnotdiscloseittoanythirdpartieswithoutthepriorwrittenconsentoftheotherParty.

11.Severability:

IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallcontinuetobevalidandenforceabletothefullestextentpermittedbylaw.
