＂ITISHEREBYAGREEDthatinconsiderationofthemutualpromisessetoutbelow,thePartiesagreedonthetermsandconditions,containedinthepresentContract(hereinafterreferredtoas＂theContract＂).ARTICLE1:PURPOSEANDSCOPEPartyAgivestoPartyBwhoagreesandacceptstoorganize,inhisownnamebutforandonbehalfofPartyA,theshipmentofCargoasmentionedinAppendix1(hereinafterreferredtoas ＂Cargo＂)fromLome,Togo(hereinafterreferredtoastheplaceofLading ＂toDiffa,Niger(hereinafterreferredtoas ＂theplaceofDestination＂).

＂ARTICLE2:DUTIESOFPARTYB2.1PartyBagreesandundertakestoorganisetheshipmentoftheCargofromtheplaceofLadingtotheplaceofDestinationwithinforty(40)naturaldaysandwillbeinchargeofthefollowing:CargocollectionfromtheplaceofLading.PartyBpromisestocollectCargowithoutdelay,efficiently,andfelicitouslyinordertoavoiddemurragecharge;Portformalities,warehousing,clearanceintheplaceofLading.LoadingontotrucksproperlyandappropriatelyattheplaceofLading;TransportationfromtheplaceofLadingtotheplaceofDestination,includingtransitborderformalitiesinBurkinaFaso;CustomsclearanceattheplaceofDestination.Forduty-freeCargo,iftherearespecialmethodsfortheCustomsclearance,PartyBpledgestosucceedintakingoneofthosemethodsathiscostandexpense;IfPartyAinformsPartyBformallytopaytheCustomsduties&Taxes,paymentofCustomsduties&Taxesincluded,otherwiseexcluded.2.2PartyBcommitstosendtoPartyAaformallistenumeratingallthedocumentsoftheCustomsclearanceandbordertransitandothernecessarydocumentsatleastthirty(30)workingdaysbeforethearrivaloftheconveyanceattheplaceofLading.PartyBisresponsibleforaccuratelytranslatingtheoriginaldocumentsintootherlanguagerequiredbytheauthorities.2.3PartyBguaranteesandneverfailtosendtoPartyAadetailedreportofalltheshipmentseveryday.2.4PartyBpledgestoobeyallthelawsofrelatedcountriesandregions,takeallmeasurestoprotecttheenvironmentandensuretheCargosafety.ARTICLE3:DUTIESOFPARTYA3.1ForgeneralCargo,PartyAcommitstosendtoPartyBallthedocuments,includedinthePartyB’sformallist,atleastten(10)workingdaysbeforethearrivaloftheconveyanceattheplaceofLading.Forairshipment,thecompletesetofdocumentswillbesenttoPartyBthedayoftheshipmentcommandofeachCargo.3.2PartyAshallinformPartyBofthesuitablemeansofloadingandunloading.PartyAshallunloadtheCargoattherateof500tonsperdayor2trucksperdayafter72hoursofthetruck ’sarrivalattheplaceofDestination.Otherwisedetentionchargesof100EURwillbeappliedperimmobilizedconveyanceperday.3.3PartyAhastherightofterminatingContract,alteringtheconsigneeandtheplaceofDestination.ARTICLE4:STIPULATIONOFPRICE4.1RatesmentionedinAppendix2areallchargefromtheplaceofLadingtotheplaceofDestination.AnyotherrateshallbesubjecttoadditionalquotationbyPartyBandwrittenacceptancebyPartyA.4.2AnyalterationtotheRatesand/orconditionsstipulatedintheAppendix2totheContractaresubjecttowrittenmutualconsentofthePartieshereto,effectivefromthedateagreedupon,orlackingsuchdate,fromthedateofsignature.VerbalContractsarenullandvoid.4.3EachPartyshallhavetherighttorenegotiateRatesand/orconditionssubjecttodiscussionandwrittenmutualconsentofthePartiesthatwillbeformalizedbyanappendixoftheContract.VerbalContractsarenullandvoid.Ifthereisnoalterationagreedbytheparties,theratesareconstantandfixed.ARTICLE5:TERMSOFPAYMENT5.1PartyAshallpayPartyBfortheserviceswithoutdelayaccordingtothefollowingconditions:IfPartyBhandsalltheexactdocumentsandbills,includingbutnotlimitedtobillsofentry,listsoflading,overtoPartyA,thelumpsuminAppendix2willbepaidatleastthirty(30)workingdaysaftertheunloadingofthelastCargoattheplaceofDestination.5.2TransportationexpensesshallbesettledinUSD.Ifexchangeisneeded,theexchangerateofUSDandEURshallbecalculatedaccordingtotherateofUSDandEURonthedateofissue.5.3PartyBhasnorightoflienandpriorityonanyorallCargo,propertyofPartyA.ARTICLE6:REPRESENTATION6.1ThePartiesshall,atalltimes,complyfullywithallapplicablelawsandregulationsissuedbyanyrelatedauthorityhavingjurisdiction.6.2ThePartiesexpresslywarrantthattheindividualexecutingtheContractonitsbehalfisadulyauthorizedrepresentativeoftheParty,andhasfullauthoritytoexecutetheContractontheParty ’sbehalf.ARTICLE7:LICENSESANDPERMITS7.1PartyAshallobtainandmaintainathiscostandexpenseallnecessarylicensesandpermitsrequiredtoimporttheCargo.7.2PartyBshallobtainandmaintainathiscostandexpenseallnecessarylicenses,staffs,instrumentsandequipmentsfortheshipment.ARTICLE8:DURATIONANDTERMINATION8.1TheContractinitsentiretywillcomeintoforceatthedateofsignatureandwillbeineffectuntilthedeliveryofthelastshipment.8.2TheContractmaybeterminatedwithimmediateeffectbyanyParty,iftheotherParty:makesitclearnottoperformtheContractobligations;isdeclaredinsolventorbankruptandthelike;ceasesitsbusiness,operationsorlegalexistence.8.3IfthePartysuffersalossbecauseofthetermination,theotherPartyshouldcompensateforitcorrespondingtohisfault.8.4Intheeventoftermination,thePartiesagreetocomplywithanyobligationarisinghereunderuptotheterminationdateand,asappropriate,thereafter.ThePartiesshallnotknowinglyuseorpermittheuseofanyinformationobtainedduringitsrelationshiptothedisadvantageoftheotherPartyorfortheprofitofitsownoranythirdParty’sinterest.ARTICLE9:LIABILITY9.1Ifanyeventoraccidentoccurs,includingloss,damageandimpairment,whentheCargoisinPartyB’scustody,PartyBshouldinformPartyAwithin24hours,presentingrelatedinformationanddocumentsinwriting.Failingtodoso,anyclaimsdirectedagainstPartyBshallbecomeintobeing.9.2Foranyevent,lossordamageoccurringduetoPartyB'snegligenceorfault,PartyBshallbeartheresponsibilitytowardPartyAorPartyA ’sCargoinsurer.Andlikewise,foranyevent,lossordamageoccurringduetoPartyA'snegligenceorfault,PartyAshallbeartheresponsibilitytowardPartyB.9.3ThePartiesexpresslyagreetoexcludeanyindemnityfromPartyBtoPartyAforexemplaryand/orpunitivedamagesleviedagainstPartyA.Notwithstandinganythingtothecontraryherein,thePartiesagreetowaiveandreleaseagainstoneanotheranyclaimforexemplary,consequentialorpunitivedamages,regardlessoffault.ARTICLE10:INSURANCE10.1PartyAshallpurchasetheall-riskinsuranceontheCargoremittedtoPartyB.PartyBhasalsothepossibilityuponwrittenrequestfromPartyAtosubscribeaCargoinsuranceonPartyA ’sbehalf.ThecostofsuchinsuranceshallbeforPartyA ’saccount.10.2AlthoughPartyAwouldlikethatPartyBorganisesconvoysofimportedvehiclesownwheeldrive,PartyAwillhavenoobligationtosubscribe,throughPartyB,aspecificdrivinginsurance.Ifthedrivinginsuranceforownwheeltransportationiscompulsoryforthecrossingcountries.ThecostofsuchinsuranceshallbeforPartyB ’saccount.10.3Inanyevent,thoughPartyAfailstopurchaseCargoinsurance,PartyBshouldstrivetominimisethelosses.ARTICLE11:FORCEMAJEUREIfPartyBispreventedfromexecutingtheContractbyforcemajeure,suchasbutnotlimitedtoearthquake,typhoon,flood,fireandwarandotherunforeseenevents,oranyotherunpreventableandunavoidableevent,PartyBshouldstrivetominimisethelossescorrectlyandreasonablyandnotifyPartyAintwenty-fourhoursandprovidehimwithdetailedinformationofeventsexplainingthereasonforitsinabilitytoexecuteordelayintheexecutionofallorpartoftheContract.ARTICLE12:CONFIDENTIALITYThePartiesshallpreservestrictconfidentialityconcerningtheservicesandbusiness.ThisundertakingshallextendbeyondanyterminationoftheContract,ortheParties ’co-operation.EachPartyshallberesponsibleforanynon-complianceherewithofitsemployees,itsservants,agents,ortheirrespectivesub-parties.ARTICLE13:MODIFICATIONSTheContractcontainstheentireunderstandingbetweenthePartiesandsupersedesandreplacesanypriorContractorunderstanding,beitwrittenorverbal.AnyadditionsandmodificationsheretoshallbebywritteninstrumentsignedbytheParties.SuchinstrumentwouldformpartoftheContract.ARTICLE14:LANGUAGEIncaseofcontradictionbetweentheEnglishversionoftheContractanditstranslationofotherlanguageversionsforbetterunderstandingoftheEnglishpart,theEnglishversionshallprevail.ARTICLE15:ENTIRECONTRACTTheContract,togetherwiththeattachedAppendix,constitutestheentireContractbetweentheParties.TotheextentofanyinconsistencyorconflictbetweenanyprovisionsoftheContractandtheAppendix,theprovisionsofContractshallprevail.ARTICLE16:NOTICE16.1Noticeswhichservetoalter,revise,terminateorotherwisehaveamaterialimpactorintheordinaryexecutionoftheParties’obligationsontheContractshallbeservedbyregisteredmailorcourierserviceor,intheeventexpeditiousnoticeisrequired,byfaxorelectronicmailconfirmedbycourierserviceorregisteredmailtooneofthecommunicationaddressesappointedintheContract.16.2Wherenoticesareservedorally,thePartyservedmaydemandthenoticereconfirmedbyoneofthem
