/建设工程设计技术协议ConstructionProjectDesignTechnicalAgreement（专业建设工程技术协议）（ProfessionConstructionProjectTechnicalAgreement）工程名称：尼日利亚BPP发电工程ProjectName:NigeriaBPPGenerationEngineering工程地点：尼日利亚ProjectLocation:Nigeria合同编号：ContractNo.:发包人：Employer(PartyA):承包单位：DesignFirm(PartyB):签订日期：Signedon:5中华人民共和国建设部监制国家工商行政管理局SuperviseandManufacturedbyMinistryofConstructionofPeople’sRepublicofChinaandtheStateAdministrationofindustryandCommerce发包人：Employer(PartyA):设计人：DesignFirm(PartyB):发包人托付设计人担当尼日利亚BPP发电工程设计任务，工程地点为尼日利亚,经双方协商一样，签订本合同，共同执行。Client(PartyA)entrustsXi’anDatangElectricPowerDesignResearchInstituteNajingtoundertakethedesignforNigeriaBPPGenerationEngineering，ProjectLocationisNigeria.ThisContractismadebythetwopartiesaftertheirmutualagreement.第一条本合同签订依据Article1.ThisContractissignedinaccordancewith:1.1《中华人民共和国合同法》、《中华人民共和国建筑法》和《建设工程勘察设计市场管理规定》。1.1《TheContractLawofthePeople’sRepublicofChina》,《ThebuildingregulationsofthePeople’sRepublicofChina》and《ThedevelopmentalLawofthePeople’sRepublicofChina》.1.2国家及地方有关建设工程勘察设计管理法规和规章。1.2Lawsandregulationsoftherelatedstateandlocalconstructionsurveyanddesignmanagement.1.3建设工程批准文件。1.3DocumentsofApprovalforConstruction其次条设计依据Article2.DesignBasis2.1发包人给设计人的托付书2.1TheTrustDeedofthetenderacceptedprovidedtothedesignerbytheemployer.2.2发包人提交的基础资料2.2Fundamentalmaterialssubmittedbytheemployer.设计人接受的主要技术标准是：中华人民共和国设计规范、规定和规程.Themajortechnicalstandardsadoptedbythedesignerare:LawsandregulationsofthePeople’sRepublicofChina.合同文件的优先次序Article3.PriorityofContractDocument构成本合同的文件可视为是能相互说明的，假如合同文件存在歧义或不一样，则依据如下优先次序来推断：ThedocumentsconsistingofthisContractmaybedeemedasdemonstratingmutually;ifthereisanyambiguityordiscordanceinthecontractdocument,thefollowingpriorityshallbefollowedtojudgment.3.1合同书3.1TheContract3.2发包人要求及托付书3.2RequirementoftheemployerandLetterofAuthority第四条本合同项目的名称、规模、阶段及设计内容（依据行业待点填写）：名称：尼日利亚BPP发电工程Article4.Name,Scale,Phase,InvestmentanddesignContentfortheContractItem(fillinbasedonindustrycharacteristics)规模：3台MS9001E燃气轮发电机组+3台余热锅炉+3台60Mw汽轮发电机组联合循环发电系统Scale:3x126MWMS9001Egasturbinegeneratingunit+3x60MWHRSG+3x60MWturbo-generationunitcombinedcyclepowersystem阶段：概念设计、初步设计及施工图设计Phase:conceptdesign,preliminarydesignanddetaileddesign设计内容:designcontent1、热力系统：电站内主蒸汽系统、主给水系统、抽、排汽系统、补给水系统及工业冷却水系统。1,ThermodynamicsystemMainsteamsystem,MainFWsystem,Extractionsteam,Dumpsteamsystem,Make-upwatersystem,Industrycoolingwatersystem.2、海水淡化处理系统和化学水处理系统淡化海水经化学水处理系统处理后供应除盐水送至电厂余热锅炉和生活用水。2,SeawaterdesalinationsystemandchemicalwatertreatmentsystemDesalinationofseawatershallbetreatedbythechemicalwatertreatmentsystemfortheHRSGandlivingwater.3、海水循环冷却水系统3,SeawaterCirculationcoolingwatersystem4、自然气燃料输送系统：自然气燃料经输送系统至MS9001E燃气轮机入口。4,GasfuelconveyingsystemGasfuelshallbetransportedbyGasfuelconveyingsystemtotheentranceofMS9001Egasturbine.5、电气系统电气主接线系统及330Kv升压站系统，出线开关柜出线端以内的全部电气部分，接入系统由甲方负责。5,ElectricalsystemDesignContent:ThemainelectricalsystemandBoosterstation,Electricalpartwithintheoutletsideofoutletswitchcabinet.ResponsibilitiesofClient:switchinsystem6、限制系统上述范围内的全部DCS限制系统。6.ControlsystemDCSControlsystemabovetherange.7、建筑结构部分厂房建筑结构；管网支架；设计包含本项目电厂内整个厂区的有关设计,包括消防、采暖通风、照明及厂内通讯等，设计人供应全部的设备清册、材料清册、安装图、施工图等。7,BuildingstructuralpartsBuildingstructural,pipingsupport;HelpHaiyicompanycompletethebaseofstructuredesign.Thedesignincludethewholeareaofthepowerstationinthisproject,firecontrol,heatingventilation,lighting,communication.Thedesignersupplythealloftheequipmentlist,materiallist,installationdiagram,constructiondrawingansoon.第五条发包人和设计人相互提交的有关资料、文件刚好间：Article5.Relevantmaterials,documentsandtimesubmittedtothedesignerbytheemployer.第1阶段：概念设计1、合同签订时，发包人即供应自然气元素分析资料、海水水质资料，电站当地气象资料和当地震烈度资料；燃气轮发电机组及余热锅炉资料。2、合同生效和收到上述有效资料后45天内设计人供应概念设计文件：1）初步概念GA图（PDF格式）

2）3D渲染的图像（五个视图，PDF格式）

3）3D动画解说（长达一分钟）

4）概述功能规格说明书

5）粗略订购成本，建立和组件预算细目第2阶段：修改概念设计的内容初步概念设计审查后,修改概念设计的内容提给NAMCO。须要调整和修正内容需经有关部门审定。第3阶段：完成驳船及驳船电厂的基本设计成果：规范

24）吨位计算第4阶段：招标船厂合作协调的补充基础+安装Stage1:TheconceptdesignWhenthecontractsigned,theemployermustsupplytheanalysisdataofnaturalgas,waterqualitydataofseawater,localweatherdataofpowerplant,localearthquakedata,MS9001EgasturbinegeneratingunitdataandHRSGdata.2.Aftercontractbecomeeffectiveandreceivetheavailabilitydataabovein45days,thedesignersupplytheconceptdesign.DraughtconceptGAdrawing(PDFformat)3Drenderedimages(uptofiveviews–PDFformat)3Dwalkthrough/flyaround(uptooneminute)OutlinefunctionalspecificationRoughorderofmagnitudecosttobuildandcomponentbudgetbreakdownStage2:AnyamendmentsneededtotheconceptcantakeplaceaftertheinitialpresentationtoNAMCO.therewillneedtobesometweaksandrevisionsfollowingthestatutoryauthoritiesandreactionIamsure.Amendmentstoconcept.Stage3:Basicdesignofbargepowervessel(thisstageshallbecompletedwithHaiYicompany)Deliverables:specificationGAdrawingLifesavingapplianceplanFirecontrolplanStructuralfireprotectionplanArrangementofnavigationlightsCapacityplanMidshipsectionProfile&deckplanShellfabricationTypicaltransversesectionsTransverse&longitudinalbulkheadsForeendstructureAftendstructureEmbarkationramporotherarrangementFuelsystemdiagramBilgesystemdiagramBallastsystemdiagramFreshwatersystemdiagramElectricalsinglelinediagramElectricalloadbalanceTrim&stabilityFreeboardcalculationTonnagecalculationStage4Supplementaryfeefortenderingtoshipyardsandcocoordinationbuildsandinstallation.第六条设计人向发包人交付的设计文件、份数、地点刚好间：方案设计文件：份(中英文)(PDF版)交图地点：南京交图时间：按第五条规定Article6Documents,numberofcopies,locationandtimesubmittedtotheemployerbythedesigner:Designdocuments:8copies(inChineseandEnglish)SubmissionLocation:NajingSubmissionTime:AccodingtoArticle5第七条费用双方商定，本协议的设计费为：万元（含审图费）。Article7.ExpenditureItisagreedbetweenbothpartiesthatthedesignfeeunderthiscontractisRMB(includecheckingdrawingfee)第八条支付方式第1阶段：概念设计完成后，支付预算费用：万元。第2阶段：初步概念设计审查通过后，支付预算费用：万元。。第3阶段：完成驳船及驳船电厂的基本设计：支付预算费用：万元第4阶段：:完成招标船厂合作协调的补充基础+安装：支付预算费用：，万元Article8.FormofpaymentStage1:ConceptDesign,budgetfees:10%,sumisRMBStage2:Amendmentstoconcept,budgetfees:5%,sumIsRMBStage3:Basicdesignofbargepowervessel,budgetfees:50%,sumisRMBStage4:Supplementaryfeefortenderingtoshipyardsandcocoordinationbuilds+installation,budgetfees:35%,sumisRMB第九条双方责任9.1发包人责任发包人按协议第五条规定的内容，在规定的时间内向设计人提交基础资料及文件，并对其完整性、正确性刚好限负责。发包人不得要求设计人违反国家有关标准进行设计。发包人变更托付设计项目、规模、条件或因提交的资料错误，或所提交资料作较大修改，以致造成设计人设计返工时，发包人应按设计人所耗工作量向设计人支付返工费。在协议履行期间，发包人要求终止或解除协议，设计人未起先设计工作的，不退还发包人已付的定金；已起先设计工作的。发包人应依据设计人已进行的实际工作量，不足一半时，按该阶段设计费的一半支付；超过一半时，按该阶段设计费的全部支付。发包人要求设计人派驻现场服务时，派驻现场的工作人员的差旅费由发包人负担，并按每人每天120美元的标准供应服务津贴，并供应工作、生活及交通等方面的便利条件及必要的劳动爱惜装备。Article9ResponsibilityofTwoParties9.1ResponsibilityoftheEmployerTheEmployershallbedeliverbasicmaterialsanddocumentstothedesignerwithinthespecifiedtimeinaccordancerequirementsstipulatedinArticle5,andshallberesponsiblefortheircompleteness,correctnessandtimelimit.Theemployershallnotrequestthedesignertodesignbyviolatingtheconcernednationalstandards.Ifitexceedstheprescribedtimelimitwithinfifteendayswhentheemployerdeliversabovematerialsanddocuments,thedesignercanpostponeaccordinglythetimeofdeliveringthedesigndocumentsinaccordancewithArticle6inthecontract;ifitexceedstheprescribedtimelimitoverfifteendayswhentheemployerdeliversabovematerialsanddocuments,thedesignisentitledtodecideagainthetimeofdeliveryofdesigndocuments.Whentheemployeraltersentrusteddesignitems,scale,andconditions,ordeliversthewrongmaterials,ordeliversmostlyrevisedmaterialssothatthedesignerreworkforthedesign,theemployershallpayforreworkcostforthedesignerbasedontheamountoftheworkperformedbythedesignerexceptthesupplementalagreement(orcontract)signedseparately,andtherelevantarticlesspecifiedagainbybothpartiesthroughtheconsultation.DuringimplementationoftheContract,whentheemployerrequeststoterminateandcancelthecontract,thedownpaymentpaidbytheemployershallnotbereturnedifthedesignerdoesn’tbeginthedesignwork;ifthedesignerstartsthedesign,theemployershallpayhalfofdesignchargeinthephaseifitislessthanhalfoftheactualamountofworkperformedbythedesigner;ifitexceedsthehalf,thefulldesignchargeinthephaseshallbepaidinall.TheEmployershouldofferconveniencesinaspectsofworking,livingandtrafficandnecessarylabor-protectionequipments.Theonsiteworkershouldbeprovidedserviceallowanceof$120eachpersonperday,whileemployerrequestslongtermonsiteservicefromdesigncompany.9.2设计人责任设计人应按国家规定和协议约定的技术规范、标准进行设计，按本协议第五条规定的内容、时间及份数向发包人交付设计文件。并对提交的设计文件的质量负责。设计合理运用年限为20年。负责对外商的设计资料进行审查，负责该协议项目的设计联络工作。帮助发包人向厂家订货，指导发包人支配项目进度支配。对全部设备及辅机供应详细的规格参数、技术要求和供货范围，以作为发包方向厂家订货的协议附件。9.2ResponsibilitiesoftheDesignerThedesignershallperformthedesigninaccordancewithprovisionsoftheStateandthetechnicalcodesandstandardsstipulatedintheContract,deliverthedesigndocumentsintheaccordancewithcontents,timeandnumberofcopiestotheemployerspecifiedinArticle6,andberesponsibleforqualityofthedelivereddesigndocuments.Thedesignlifeoftheengineeringconstructionshallbe20years.Responsibleforexaminingfordesignmaterialsofforeignbusinessman,andresponsiblefordesignliaisonofContractproject.AProvidedetailinformationforallequipmentsandtheiraccesso第十条保密双方均应爱惜对方的学问产权、未经对方同意，任何一方均不得对对方的资料及文件擅自修改、复制或向第三人转让或用于本协议项目外的项目。Article10ConfidentialityBothPartiesshallprotecteachother’sintellectualpropertyrights.Withoutpriorconsent,neitherpartyshallrevise,copyortransfertoathirdpartyorusefortheprojectotherthantheprojectofthisContractanymaterialsanddocumentsoftheotherparty,Undersuchcircumstances,thedisclosingpartyshallberesponsibleforallanyconsequenceitresultedandshallbeartherelevantcompensation.第十一条本协议在履行过程中发生的争议，由双方当事人协商解决，协商不成的按下列两种方式解决：（一）提交仲裁委员会仲裁；（二）依法向人民法院起诉。Article11:ArbitrationIfanydisputearisesinconnectionwiththisEngineeringServiceContract,itshallbesettledbyfriendlyconsultationoftheParties,orbesubmittedtothecompetentlocalconstructionadministrationdepartmentformediation.Wherethedisputecannotbesettledbymediation,itshallbesubmittedtotheArbitrationCommitteeforsettlement.WherethePartieshavenotagreedonthearbitrationorganizationintheContractnorconcludearbitrationagreementinwrittenform,thedisputewillbebroughtthePeople’sCourt.第十二条协议生效及其他12.1本工程项目中，设计人不得指定建筑材料、设备的生产厂或供货商。发包人须要设计人协作建筑材料、设备的加工订货时，所需费用由发包人担当。12.2发包人托付设计人担当本协议内容以外的工作服务，另行签订协议并支付费用。12.3由于不行抗力因素致使协议无法履行时，双方应刚好协商12.4本协议双方签字盖章后即生效，一式份，发包人份，设计人份。12.5双方认可的来往传真、电报、会议纪要等，均为协议的组成部分，和本协议具有同等法律效力。12.6未尽事宜，经双方协商一样，签订补充协议，补充协议和本协议具有同等效力。Article12:Contracteffectiveandmiscellaneous12.1IntheprojectsoftheContract,DesignershallnotappointmanufacturersorDesignersofconstructionmaterialsandequipments.WherethereisanecessitythatDesignershallcooperatewithEmployerinorderingtheprocessofconstructionmaterialsandequipments,therelevantchargeshallbepaidbyEmployer.12.2Additionalagreementforanyotherservice,whichEmployerentrustsDesignertoprovide,however,outofthescopeoftheContract,shallbesignedandthepayments
