3.IncoonsideeratioonoftheppaymenntstoobemmadebbytheeClieenttootheConsuultanttashhereinnafterrmenttioneddtheConsuultantthereebyaggreeswiththeCClientttopperforrmtheeServvicesincoonformmitywwithttheprrovisiionsooftheeAgreeementt.

1.DEFINNITIONNS

Thefolllowinngworrdsanndexppressiionssshallhavethemmeaninngsasssigneedtothemexcepptwheerethheconntextotherrwiserequiires:

(i)“Prooject”meannstheeprojjectnnamedinthheParrticullarCoonditiionsfforwhhichttheWoorksaaretoobepprovidded.

(ii)“Seervicees”meannstheeservvicestobeeperfformeddbyttheCoonsulttantiinacccordanncewiiththheAgrreemenntanddcomppriseNormaalSerrvicess,AddditionnalSeerviceesanddExceeptionnalSeervicees.

(iii)“WWorks”meannstheepermmanenttworkkstobeexxecuteed(inncludiingthhegooodsanndequuipmennttobesuupplieedtotheCClientt)forrtheachieevemenntofthePProjecct.

(iv)“Cllient”meannstheeparttynammedinntheAgreeement,,whoemplooysthheConnsultaant,aandleegalssuccesssorstothheCliientaandpeermitttedasssigneees.

(v)“Connsultaant”meannstheeparttynammedinntheAgreeement,,whoisemmployeedasaninndepenndentprofeessionnalfiirmbyytheCliennttoperfoormthheSerrvicess,anddlegaalsucccessoorstootheConsuultanttandpermiittedassiggnees..

(vi)“paarty”and“partiies”meannstheeClieentanndtheeConssultanntandd“thirddpartty”meannsanyyotheerperrsonoorenttityaastheeconttextrrequirres.

(vii)“AAgreemment”meannstheeCondditionnscommprisiingthheConnditioonsofftheCliennt/ConnsultaantMoodelSServiccesAggreemeent(GGeneraalConnditioonsanndParrticullarCoonditiions)togettherwwithAAppenddixA(ScoppeofServiices),,AppeendixB(Peersonnnel,EEquipmment,FacillitiessandServiicesoofOthhersttobeProviidedbbytheeClieent),AppenndixCC(RemmuneraationandPPaymennt),LLetterrofAAccepttanceandFFormallAgreeementtifccompleeted,orottherwiiseassspeccifieddintthePaarticuularCCondittions..

(viii)“day”meannstheeperiiodbeetweennanyonemmidnigghtanndtheenextt.

(ix)“moonth”meannsapperioddofoonemoonthaaccorddingttotheeGreggorianncaleendarcommeencinggwithhanydayooftheemontth.

(x)“LoccalCuurrenccy”(LC))meannstheecurrrencyofthhecouuntrywhereetheProjeectisslocaatedaand“ForeiignCuurrenccy”(FC))meannsanyyotheercurrrencyy.

(xi)“Aggreedcompeensatiion”meannsaddditionnalsuumsassdefiinediintheePartticulaarConnditioonswhhichaarepaayableeundeertheeAgreeementt.

2.INTERRPRETAATION

(i)TheheadiingsiintheeAgreeementtshalllnottbeuusediinitssinteerprettationn.

(ii)Theesinggularincluudestthepllural,,themascuulineincluudestthefeemininne,anndvicce-verrsawhheretthecoontexttrequuires..

(iii)IfftherreisconfllictbbetweeenproovisioonsofftheAgreeement,,thelasttobeewritttencchronoologiccallyshalllprevvail,unlesssothherwissespeecifieedinthePParticcularCondiitionss.

OBLIGATTIONSOFTHHECONNSULTAANT

3.SCOPEEOFSSERVICCES

TheConnsultaantshhallpperforrmSerrvicessrelaatingtothheProoject..TheScopeeofttheSeerviceesisstateedinAppenndixAA.

4.NORMMAL,AADDITIIONALANDEEXCEPTTIONALLSERVVICES

(i)NormmalSeerviceesareethossedesscribeedassuchinArrticleesA.22andA.3oofApppendixxA.

(ii)AddditionnalSeerviceesareethossedesscribeedassuchinApppendiixAoorwhiichbyywritttenaagreemmentooftheeparttiesaareottherwiiseaddditioonalttoNorrmalSServicces.

(iii)ExxceptiionalServiicesaarethhosewwhicharennotNoormalorAddditioonalSServiccesbuutwhiicharreneccessarrilypperforrmedbbytheeConssultanntinaccorrdanceewithhClauuse288.

5.DUTYOFCAAREANNDEXEERCISEEOFAAUTHORRITY

(i)TheConsuultanttshalllexeerciseereassonablleskiill,ccareaanddiiligennceinntheperfoormancceofhisoobligaationssundeertheeAgreeementt.

(ii)WheerethheSerrvicessinclludettheexxercisseofpowerrsorperfoormancceofdutieesautthorizzedorrrequuiredbythheterrmsoffacoontracctbettweentheCClienttandanytthirdpartyy,theeConssultanntshaall:

(a)actinacccordaancewwithtthecoontracctproovideddthattthedetaiilsoffsuchhpoweersanndduttiesaareaccceptaablettohimmwherretheeyareenotdescrribedinApppendiixA.

(b)ifaauthorrizedtoceertifyy,deccideoorexeerciseedisccretioon,doosoffairlyybetwweenttheCllientandtthirdpartyynotasannarbiitratoorbuttasaaninddependdentpprofesssionaalacttsbyhissskillandjjudgmeent.

(c)ifssoautthorizzedvaarythheoblligatiionsoofanyythirrdparrty,ssubjeccttoobtaiiningtheppriorapproovalooftheeClieenttooanyvariaationwhichhcanhaveanimmportaantefffectoncoostsoorquaalityortiime(eexcepttinaanyemmergenncywhhenthheConnsultaantshhalliinformmtheClienntassoonasprracticcable)).

6.CLIENNT'SPPROPERRTY

AnythinngsuppplieddbyoorpaiidforrbyttheCllientforttheusseoftheCConsulltantshalllbettheprroperttyoftheCClienttandwhereepraccticabbleshhallbbesomarkeed.WhhenthheSerrvicessarecomplletedorteerminaated,theCConsulltantshalllfurnnishiinventtoriesstottheCllientofwhhathaasnottbeennconssumedinthheperrformaanceooftheeServvicesandsshalldelivverittasddirecttedbyytheCliennt.SSuchddeliveeryshhallbbereggardeddasaanAddditionnalSeervicee.

OBLIGATTIONSOFTHHECLIIENT

7.INFORRMATIOON

TheCliientsshallsoassnottodeelayttheSeerviceesanddwithhinareasoonableetimeegiveetottheCoonsulttantffreeoofcosstalllinfoormatiioninnhispowerrtooobtainnwhicchmayyperttainttotheeServvices..

8.DECISSIONS

OnallmatteersprroperllyrefferreddtohhiminnwrittingbbytheeConssultannttheeClieentshhallggivehhisdeecisiooninwritiingsooasnnottoodelaaytheeServvicesandwwithinnareeasonaablettime.

9.ASSISSTANCEE

InthecounttryofftheProjeectanndinrespeectofftheConsuultantt,hissperssonnellanddepenndentss,astheccasemmaybee,theeClieentshhallddoalllinhhispoowerttoasssistiin:

(i)theproviisionofdoocumenntsneecessaaryfoorenttry,rresideence,workandeexit;

(ii)proovidinngunoobstruuctedaccessswheereverritiisreqquireddfortheSServicces;

(iii)immport,,expoortanndcusstomcclearaanceoofperrsonalleffeectsaandoffgooddsreqquireddfortheSServicces;

(iv)theeirreepatriiationnineemergeenciess;

(v)theproviisionofthheautthorittiesnnecesssaryttoperrmitttheimmportoffooreignncurrrencybythheConnsultaantfoortheeServvicesandbbyhissperssonnellfortheirrperssonaluseaandtoopermmitthheexpportoofmonneyeaarnedinthheperrformaanceooftheeServvices;;

(vi)proovidinngacccessttoothherorrganizzationnsforrcolllectioonofinforrmatioonwhiichisstobbeobttaineddbyttheCoonsulttant.

10.EQUIIPMENTTANDFACILLITIESS

TheCliientsshallmakeavaillable,,freeeofccost,tothheConnsultaantfoortheepurpposeooftheeServvicestheeequipmmentaandfaacilittiesddescriibediinApppendixxB.

11.CLIEENT’SPERRSONNEEL

InconssultattionwwithttheCoonsulttant,theCClienttshalllathisccostaarranggeforrtheselecctionandpprovissionoofperrsonneelinhiseemployymenttothheConnsultaantinnaccoordanccewitthApppendixxB.IncoonnecttionwwithttheSeerviceessucchperrsonneelshaalltaakeinnstrucctionssonlyyfrommtheConsuultantt.

12.SERVVICESOFOTTHERS

TheCliientsshallathiiscosstarrrangeforttheprrovisiionoffservvicesfromotherrsasdescrribedinApppendiixB,andttheCoonsulttantsshallco-opperateewithhthesupplliersofsuuchseerviceesbuttshalllnottberresponnsibleeforthemorthheirpperforrmancee.

PERSONNNEL

13.SUPPPLYOFFPERSSONNELL

TheperrsonneelwhooaresentbythheConnsultaanttooworkkintthecoountryyoftthePrrojecttshalllhavvebeeenphyysicalllyexxamineedanddfounndfittfortheirrassiignmennts,aandthheirqqualifficatiionssshallbeaccceptaablettotheeClieent.

TheperrsonneeltobesuupplieedbytheCClienttinaaccorddancewithClausse11shalllbeaaccepttabletothheConnsultaant.

IftheClienntcannnotssupplyyClieent’sperrsonneelorserviicesoofothhersfforwhhichhheisrespoonsiblleandditiisagrreedttobenecesssaryfortthesaatisfaactoryyperfformannceofftheServiices,theCConsulltantshalllarraangefforittssuppplyaasanAddittionallServvice.

14.REPRRESENTTATIVEES

FortheeadmiinistrrationnofttheAggreemeent,eeachppartyshallldesiignateetheofficcialoorinddividuualtoobehhisreepreseentatiive.

IfrequuiredbythheCliient,theCConsulltantshallldesiignateeaniindiviidualtoliiaisewiththeCClientt’sreppresenntativveintheccountrryofthePProjecct.

15.CHANNGESIINPERRSONNEEL

Ifitiisneccessarrytoreplaaceannyperrson,theppartyrespoonsiblleforrtheappoiintmenntshaallimmmediaatelyarranngefoorrepplacemmentbbyappersonnofccomparrablecompeetencee.

Thecosstofsuchreplaacemenntshaallbeebornnebytheppartyrespoonsiblleforrtheappoiintmenntexccepttthatiiftheerepllacemeentissrequuesteddbyttheottherpparty,,

(i)suchhrequuestsshallbeinnwrittingsstatinngtheereassonfoorit,,and

(ii)theeparttymakkingtthereequesttshalllbeaartheecosttofrreplaccementtunleessmiiscondductoorinaabilittytoperfoormsaatisfaactoriilyissestaablishhedassthereasoon.

LIABILIITYANNDINSSURANCCE

16.LIABBILITYYBETWWEENTTHEPAARTIESS

16.1LiaabilittyoftheCConsulltant..

TheConnsultaantshhalloonlybbeliaablettopayycomppensattionttotheeClieentarrisinggoutoforrincconnecctionwiththeAAgreemmentiifabbreachhofAArticlle5.11iseestabllisheddagaiinsthhim.

16.2LiaabilittyoftheCClientt.

TheCliientsshallbeliiabletothheConnsultaantiffabrreachofhiisduttytotheCConsulltantisesstabliishedagainnstthheCliient.

16.3Commpensaation..

Ifitiisesttablisshedtthateeitherrparttyisliablletotheoother,,comppensattionsshallbepaayableeonlyyontthefoollowiingteerms:

(i)Suchhcomppensattionsshallbeliimiteddtottheammountofreeasonaablyfforeseeeableelosssanddamaggesufffereddasaaresuultoffsuchhbreaaches,,butnotootherwwise.

(ii)Inanyeevent,,theamounntofsuchcompeensatiionwiillbeelimiitedttotheeamouuntsppecifiiedinnClauuse188.1.

(iii)Iffeithherpaartyiisconnsiderredtoobelliableejoinntlywwithtthirdpartiiestootheotherr,theepropportioonofcompeensatiionpaayableebyhhimshhallbbelimmitedtothhatprroporttionoofliaabilittywhiichissattrributaablettohissbreaach.

17.DURAATIONOFLIIABILIITY

NeitherrtheClienntnorrtheConsuultanttshalllbeconsiidereddliabblefooranyylosssorddamageeresuultinggfrommanyoccurrrenceeunleessaclaimmisfformalllymaadeonnhimbeforretheeexpiiryofftherelevvantpperioddstattedinnthePartiicularrCondditionns,orrsuchhearllierddateaasmayybepprescrribedbylaaw.

18.LIMIITOFCOMPEENSATIIONANNDINDDEMNITTY

18.1LimmitoffComppensattion.

ThemaxximumamounntofcompeensatiionpaayableebyeeitherrparttytotheootherinreespecttoflliabillityuunderClausse16isliimiteddtottheammountstateedinthePParticcularCondiitionss.ThhisliimitiiswitthoutprejuudicetoannyAgrreedCCompennsatioonspeecifieedundderCllause31(iii)orotherrwiseimpossedbyytheAgreeement..

Eachpaartyaagreesstowwaiveallcclaimssagaiinstttheottheriinsofaarastheaaggreggateoofcommpensaationwhichhmighhtothherwissebepayabbleexxceedssthemaximmumammountpayabble.

Ifeithherpaartymmakesaclaaimfoorcommpensaationagainnstthheothherpaartyaandthhisissnotestabblisheedtheeclaiimantshalllentiirelyreimbbursetheootherforhhiscoostsiincurrredassareesultofthheclaaim.

18.2Inddemnitty.

Sofarasthheappplicabblelaawperrmits,,theClienntshaallinndemniifythheConnsultaantaggainstttheadverrseefffectssofaallcllaimsincluudingsuchclaimmsbythirddparttieswwhichariseeoutoforrincconnecctionwiththeAAgreemment:

(i)exceeptinnsofarrasttheyaarecoovereddbyttheinnsuranncearrrangeedundderthheterrmsoffClauuse199.

(ii)maddeaftterthheexppiryooftheeperiiodoffliabbilityyrefeerredtoinnClauuse177.

18.3Excceptioons.

Clausess18.11and18.2donootappplytooclaiimsarrisingg:

(i)frommdeliiberattedeffaultorreecklesssmissconduuct,oor

(ii)othherwissethaaninconneectionnwithhtheperfoormancceofobliggationnundeertheeAgreeementt.

19.INSUURANCEEFORLIABIILITYANDIINDEMNNITY

TheCliientccanreequesttinwwritinngthaattheeConssultannt

(i)insuuresaagainssthissliabbilityyundeerClaause116.1,

(ii)inccreaseeshissinsuuranceeagaiinstlliabillityuunderClausse16..1oveerthaatforrwhicchhewasiinsureedattheddateooftheeClieent’sfirrstinnvitattionttohimmforaprooposallofttheseervicees,

(iii)innsuressagaiinstppublicc/thirrdparrtyliiabiliity,

(iv)inccreaseeshissinsuuranceeagaiinstppublicc/thirrdparrtyliiabiliityovverthhatfoorwhiichheewasinsurredattthedateofthheCliient’sfirrstinnvitattionttohimmforaprooposallforthesservicces,

(v)effeectsootherinsurrancess.

Ifsorrequessted,theCConsulltantshalllmakeeallreasoonableeeffoortsttoefffectssuchiinsuraanceoorinccreaseeiniinsuraancewwithaaninssurerandoonterrmsaccceptaablettotheeClieent.

ThecosstofsuchinsurranceorinncreasseininsurranceshalllbeaattheeexpeenseooftheeClieent.

20.INSUURANCEEOFCCLIENTT’SPROOPERTYY

UnlessotherrwiserequeestedbythheCliientiinwriitingtheCConsulltantshalllmakeeallreasoonableeeffoortsttoinssureoonterrmsaccceptaablettotheeClieent:

(i)agaiinstllossoordammagettotheeproppertyofthheCliientssuppliiedorrpaiddforunderrClauuse6..

(ii)agaainstliabiilitieesariisingoutooftheeuseofsuuchprropertty.

ThecosstofsuchinsurranceshalllbeaattheeexpeenseooftheeClieent.

21.AGREEEMENTTEFFEECTIVEE

TheAgrreemenntiseffecctiveasoffthedateofreeceipttbyttheCoonsulttantooftheeClieent’sLettteroofAccceptannceofftheConsuultantt’sprooposallorooftheelateestsiignatuureneecessaarytoocomppletetheFFormallAgreeementt,ifany,whichheveristhhelatter.

22.COMMMENCEMMENTAANDCOOMPLETTION

TheSerrvicessshalllbecommeencedandccompleetedaattheetimeesorwithiintheeperiiodssstateddintthePaarticuularCCondittionssubjeecttooexteensionnsinaccorrdanceewithhtheAgreeement..

23.VARIIATIONNS

TheAgrreemenntcannbevvarieddonaappliccationnbyeeitherrparttybywritttenaggreemeentoffthepartiies.

24.FURTTHERPPROPOSSALS

IfrequuesteddbyttheCllientinwrritingg,theeConssultanntshaallsuubmitpropoosalsforaalteriingthheSerrvicess.TheeprepparatiionanndsubbmissiionoffsuchhpropposalssshalllbeanAddditioonalSServicce.

IftheServiicesaareimmpededdorddelayeedbytheCClienttorhhiscoontracctorssoasstoiincreaasethheamoountoordurrationnofttheSeervicees:

(i)TheConsuultanttshalllinfformttheCllientofthhecirrcumsttancessandprobaableeeffectts.

(ii)TheeincrreaseshalllberregarddedassAddiitionaalSerrvicess.

(iii)ThhetimmeforrcomppletioonoftheSServiccesshhallbbeinccreaseedacccordinngly.

26.CHANNGEDCCIRCUMMSTANCCES

IfcirccumstaancesariseeforwhichhtheConsuultanttisnnotreesponssibleandwwhichmakeitirrrespoonsiblleforrhimtopeerformminwwholeorinnpartttheServiicesiinacccordanncewiiththheAgrreemenntheshalllprommptlydispaatchaanotiicetootheCliennt.

(ii)IftheCClienttconssiderssthatttheConsuultanttiswwithouutgooodreaasonnnotdiischarrginghisoobligaationssheccaninnformtheCConsulltantbynooticestatiingthhegrooundsfortthenootice..Ifasattisfacctoryreplyyisnnotreeceiveedwitthinttwentyy-onedaystheCClienttcanbyafurthhernooticetermiinatetheAAgreemmentpproviddedthhatsuuchfuurtherrnotiiceissgiveenwitthintthirtyy35ddaysooftheeClieent'sformeernottice.

27.2ByNoticceoftheCConsulltant

Afterggivinggatlleast14daays’notiicetootheCliennt,thheConnsultaantcaanbyfurthhernooticeofattleasst42daystermiinatetheAAgreemment,oratthisdiscrretionnwithhoutpprejuddicettotheerighhttotermiinatecanssuspenndorcontiinuessuspennsionofpeerformmanceofthhewhooleorrparttofttheSeervicees.

(i)whenn28ddaysaafterthedduedaatefoorpayymentofanninvooicehhehassnotreceiivedppaymenntofthatportofittwhicchhassnotbythhattiimebeeencoontesttedinnwritting,or

(ii)wheenSerrvicesshaveebeennsusppendeddundeereittherCClausee26oorClaause227.1aandthheperriodoofsusspensiionhaasexcceededd182days..

28.EXCEEPTIONNALSEERVICEES

UponthheocccurrennceoffcirccumstaancesdescrribedinCllause26orrabanndonmeentorrsusppensioonorresummptionnofSServiccesorruponntermminatiionofftheAgreeementotherrwisethanunderrtheproviisionssofCClausee27.11(ii)anynnecesssarywworkoorexppensebythheConnsultaantexxtrattotheeNormmalanndAddditionnalSeerviceesshaallbeeregaardedasExxceptiionalServiices.
