本液化天然气购销总协议于2013年[]月[]日由以下双方共同订立：THISMASTERLNGSALEANDPURCHASEAGREEMENTismadethis[DAY][MONTH]2013between:协议双方EN(1)----，一家根据英格兰和威尔士法律注册成立并合法存续的公司，主要办公场所位于----acompanyorganisedandexistingunderthelawsofEnglandandWales,andhavingitsprincipalplaceofbusinessat5----("----");and(2)[],("[]")(以上当事人在本协议中合称“协议双方”或单独称为“协议一方”)(togetherthe"Parties"andindividuallya"Party")WHEREASAPartymayhaveLNGavailableforsaleduringthetermofthisMasterAgreementandtheotherPartymaywishtopurchaseLNGduringthetermofthisMasterAgreement.B.协议双方会不定期以销售备忘录的形式达成LNG买卖协议。ThePartiesmay,fromtimetotime,enterintoAgreementsforthesaleandpurchaseofLNGbyexecutingSaleMemoranda.C.本总协议书对适用于协议的通用条款进行了说明。ThisMasterAgreementsetsoutthegeneraltermsandconditionsapplicabletoAgreements.1.术语与释义DEFINITIONSANDINTERPRETATION1.1术语ons进行一批LNG货品的接收，卖方对这批LNG进行转卖而收取的实际价格(以美元/MMBtu计)。"ActualResalePrice"meanstheactualpriceinUSDperMMBtupaidtoSelleruponresaleoftheLNGfollowingafailurebyBuyertoacceptaLNGCargo.“恶劣天气条件”：根据装货港或卸货港(视情况而定)当地发布的现行规范，或经相关港和/或离泊作业的恶劣程度。"AdverseWeatherConditions"meansweatherand/orseaconditionsactuallyexperiencedthataresufficientlyseveretopreventaLNGShipfromproceedingtoberth,loadingorunloading(asthecasemaybe)and/ordepartingfromberthinaccordancewithpublishedstipulationsineffectattheLoadingPortortheDischargePort(asthecasemaybe)orbytheorderoftherelevantharbourmaster.“附属公司”：与协议任一方具有从属关系的任何公司。如果一家公司受另一家公司控制，家公司(直接或间接)持有另一家公司的大多数有表决权股份，或有权(直接或间接)指定该公司的大多数董事成员，则可以认定前者对后者有控制作用。"Affiliate"meansinrelationtoeitherParty,anycompanywhichisaffiliatedtoit.Acompanyisdeemedtobeaffiliatedtoanotherifthefirstcompanyiscontrolledby,undercommoncontrolwith,orcontrolstheother.Acompanyshallbedeemedtohavecontrolofanotherif(directlyorindirectly)itownsamajorityofthevotingshares,orisentitled(directlyorindirectly)toappointamajorityofthedirectors,oftheothercompany.成的LNG购销活动。"Agreement"meansasaleandpurchaseofLNGconcludedbywayofexecutionofaSaleMemorandumincorporatingthetermsofthisMasterAgreement.“允许装卸时长”：装运港船上交货时，销售备忘录中对卖方在装货港的允许装货时长；目的港船上交货时，销售备忘录中对买方在卸货港的允许卸货时长。"AllowedLaytime"means,inthecaseofaFOBdelivery,LaytimetobeallowedtoSellerattheLoadingPortasstatedintheSaleMemorandum,and,inthecaseofaDAPdelivery,Laytimetobe英制热量单位，相当于1,055.06焦耳的热量。"Btu"meansaBritishthermalunit,beingtheamountofheatequalto1055.06Joules.下所含的Btu数量(假定该气体为理想气体)。"Btu/SCF"meansthenumberofBtucontainedinastandardcubicfootofgasatatemperatureof60degreesFahrenheitandatanabsolutepressureof14.696poundspersquareinch,thegasbeingassumedtobeanidealgas."BusinessDay"meansadayuponwhichbanksarenormallyopenforbusinessinLondon,England,andinNewYorkCity,UnitedStatesofAmerica."Buyer"meansthePartynamedinaSaleMemorandumasthebuyer.“买方设施”：目的港船上交货时，位于或靠近卸货港的设施，具体信息会在相关销售备忘和卸货港设施，(ii)LNG卸货、接收、储存、处理(如有必要)和再气化设施，(iii)天然气(和LNG，如适用)的加工和交付设施，以及(iv)所有附属设备，无论是否为买方所有，终端闸门到下游主要气体传输设施互联点的管线。"Buyer'sFacilities"means,inthecaseofaDAPdelivery,facilitieslocatedatorneartotheDischargePort,asfurtherspecifiedintherelevantSaleMemorandum,thatareusedbyBuyerforthefulfilmentofitsobligationsunderanAgreement,whichincludes(i)theLNGshipberthingfacilitiesandtheDischargePortfacilities,(ii)theLNGunloading,receipt,storage,treatment(ifnecessary)andregasificationfacilities,(iii)theNaturalGas(andLNGifapplicable)processinganddeliveryfacilitiesand(iv)allancillaryequipment,whetherornotownedbyBuyerandwhetheroperateddirectlybyBuyerorbyaThirdParty.SuchfacilitiesshallincludethepipelinethatextendsfromthetailgateoftheregasificationterminaltothepointofinterconnectionwiththedownstreamprimarygastransmissionfacilitiesonlytotheextentsuchpipelineisspecifiedintherelevantSaleMemorandum.“主管当局”：装货港或卸货港所在国家(或任何其他相关国家)政府或该国任何政治部门权)。"CompetentAuthority"meansanyagency,authority,department,inspectorate,minister,ministryorotherpublicorstatutoryPerson(whetherautonomousornot)of,orthegovernmentofthecountryoftheLoadingPortortheDischargePort(oranyotherrelevantcountry)oranypoliticalsub-divisioninorofthatcountry.或任何协议相关的信息，或在披露之时，协议一方认定为“机密”的其它任何信息。"ConfidentialInformation"meansthisMasterAgreement,allAgreements,andallinformation,whethercommunicatedinwritingorverbally,whichconcernsthecontentsofthisMasterAgreementoranyAgreement,oranyotherinformationidentifiedbyaPartyas"confidential"atthetimeofdisclosure."DeemedDailyBoil-OffRate"hasthemeaningspecifiedinSection5.6ofScheduleBandSection5.6ofScheduleC."DefaultingParty"hasthemeaningspecifiedinSection13.1.“差额量”：根据第6.2(a)条中的定义。"DeficiencyQuantity"hasthemeaningspecifiedinSection6.2(a).“交付点”：(i)装货港船上交货时，卖方设施的输出管线法兰接合处与LNG船装货管线法兰接合处的连接点，或(ii)目的港船上交货时，相关LNG船卸货管线法兰接合处与买方设施接收管线法兰接合处的连接点。"DeliveryPoint"means(i)inthecaseofaFOBdelivery,thejunctionpointwheretheflangecouplingoftheexportlinesatSeller'sFacilitiesconnectwiththeflangecouplingoftheLNGShip'sloadinglinesor(ii)inthecaseofaDAPdelivery,thejunctionpointwheretheflangecouplingoftherelevantLNGShip'sunloadinglinesconnectwiththeflangecouplingofthereceivinglinesatBuyer'sFacilities."DeliveryWindow"meanstheperiodoftimespecifiedinaSaleMemorandumwithinwhichtheNoticeofReadinessistobetenderedbytherelevantLNGShip."DemurrageRate"meansthedemurrageratespecifiedintheSaleMemorandum.“DAP(目的港船上交货)”：根据《国际贸易术语解释通则(2010版)》中的定义。"DAP"hasthemeaningspecifiedinIncoterms2010."DischargePort"meanstheportwheretheLNGpurchasedandsoldistobedischarged."Dispute"hasthemeaningspecifiedinSection16.1“ETA”或“预计到达时间”：装货港船上交货时，根据附件B第4.1(a)条中的定义；目的港船上交货时，根据附件C第4.1(a)条中的定义。"ETA"or"EstimatedTimeofArrival"has,inthecaseofaFOBdelivery,themeaningspecifiedinSection4.1(a)ofScheduleBand,inthecaseofaDAPdelivery,themeaningspecifiedinSection4.1(a)ofScheduleC."EventofDefault"hasthemeaningspecifiedinSection13.1.。"Expert"meansapersonappointedpursuanttoSection16.2toresolveaDispute.“FOB(装运港船上交货)”：根据《国际贸易术语解释通则(2010版)》中的定义。"FOB"hasthemeaningspecifiedinIncoterms2010."ForceMajeure"hasthemeaningspecifiedinSection12.1.LNG船进行装载的最大LNG量，以及装货港限制因素予以考虑后，确保LNG船能够安全装载并运输的最大LNG量(以立方米计)。"FullCargoLot"meansthevolumeofLNGincubicmetreswhichfillstheLNGShiptothefullestextentthatsuchLNGShipcansafelyloadandcarrytakingintoaccountthemaximumamountofLNGthatcanpracticallybeloadedontotheLNGShipattheLoadingPortandLoadingPortrestrictions."GasSupplyArea"meansthearea,specifiedintheSaleMemorandum,fromwhichNaturalGasusedtomanufactureLNGtobesoldbySellertoBuyerhereunderisproduced.G"Heel"means,withrespecttoagivenLNGCargo,thevolumeorquantityofLNGspecifiedassuchintheSaleMemorandum(i)inthecaseofDAPdeliveries,toberetainedbytheLNGShipafterdischarge;and(ii)inthecaseofFOBdeliveries,expectedtobeonboardtheLNGShippriortocommencementofloadingofaLNGCargo."IncomeTax"meansanytaxofgeneralapplicationimposedonincome.“破产事件”：协议一方经相关法律(或由管辖法院)认定为破产或无法偿还债务的；协议债和解计划，或协议一方或其资产被指定了接管人、管理人、行政接管人、强制经理人或其它类似官员；协议一方导致或遭遇的任何事件经管辖权内的相关法律认定与上述规定破产事件具备类似效果。"InsolvencyEvent"meanswithrespecttoaPartywhensuchPartyisbyapplicablelaw(orisfoundbyacompetentcourttobe)insolventorunabletopayitsdebts;stops,suspendsorthreatenstostoporsuspendpaymentofallorasubstantialpartofitsindebtedness;orproposesormakesageneralassignmentorschemeofarrangementorcompositionwith,orforthebenefitofitscreditorsinrespectofalloramaterialpartofitsindebtednessorwhereareceiver,administrator,administrativereceiver,compulsorymanagerorsimilarofficerinrespectofsuchPartyoranyofitsassetsisappointed;orcausesorissubjecttoanyeventwithrespecttoitwhich,undertheapplicablelawsofanyjurisdiction,hasananalogouseffecttoanyoftheeventsspecifiedherein.“利率”：相当于(i)高出伦敦同业拆借利率(LIBOR)百分之二(2)的利率。伦敦同业拆相关发票到期之日格林尼治标准时间11:00时效的三(3)月期利率；(ii)如果英国银行家协会不再制定或出台上述伦敦同业拆借利率，由协议双方协商一个合理的类似利率，相关利率需以一年三百六十(360)天，每日计息，每三个月进行复利为基础计算得出。"InterestRate"meansaninterestrateequaltotwo(2)percentabove(i)theLondonInterbankOfferedRateasfixedbytheBritishBankers'AssociationfortheofferingofdepositsinUSD,forathree(3)monthperiodineffectat11:00hours,GMTontherelevantinvoiceduedateor(ii)iftheBritishBankers'AssociationceasestofixorpublishtheLondonInterbankOfferedRateasaforesaid,areasonablycomparableinterestrateagreedbythePartiesineithercasewheretheassociatedinterestiscalculatedonthebasisofathreehundredandsixty(360)dayyear,dailyaccrualandcompoundingatthree-monthlyrests.“国际标准”：由国际海事组织(IMO)、石油公司国际海事讨论会(OCIMF)或国际天然气油轮和终端运营商协会(SIGTTO)(或任何等同继任机构)和/或任何其它具备国际认可度的船只或终端站的国际运营商普遍遵守其出具的标准和规范)出具的就LNGStandards"meansthestandardsandpracticesfromtimetotimeinforceapplicabletotheownership,design,equipment,operationormaintenanceofLNGshipsandterminalsestablishedbytheIMO,OCIMForSIGTTO(oranysuccessorbodyofthesame)and/oranyotherinternationallyrecognisedagencyororganisationwithwhosestandardsandpracticesitiscustomaryforinternationaloperatorsofsuchshipsorterminalstocomply."Laytime"hasthemeaning,inthecaseofaFOBdelivery,specifiedinSection5.1ofScheduleBand,inthecaseofaDAPdelivery,Section5.1ofScheduleC.“LNG”或“液化天然气”：卖方设施生产的，处于沸点或以下，处于或接近大气压的液态"LNG"or"LiquefiedNaturalGas"meansNaturalGasinaliquidstateatorbelowitspointofboilingandatornearatmosphericpressurewhichisproducedattheSeller'sFacilities."LNGCargo"meansacargoofLNGtobedeliveredbySellertoBuyerpursuanttoanAgreement.用于交付作业。"LNGShip"meansanoceangoingvesselmeetingtherequirementsofSection2.5ofScheduleBinthecaseofaFOBdeliveryandSection2.5ofScheduleCinthecaseofaDAPdeliveryandsuitablefortransportingLNG,which,inrespectofeachdeliverypursuanttoanAgreement,shallbeidentifiedintheSaleMemorandum,orsubsequentlyagreedbetweentheParties,andbeusedforsuchdelivery."LoadingPort"meanstheportwhereLNGpurchasedandsoldunderanAgreementistobeloaded.租赁行业广受认可的的市场价格信息和/或评估提供方出具。"MarketPrices"meansrelevantpricesforphysicalpurchasesofLNGandcharteringLNGcarriers,aspublishedbyrecognisedprovidersofmarketpriceinformationand/orassessmentsrelatingtothesaleandpurchaseofphysicalLNGorNaturalGasandthecharteringofLNGcarriers;"MasterAgreement"meansthisMasterLNGSaleandPurchaseAgreement.“MMBtu”：一百万(1,000,000)Btu。"MMBtu"meansonemillion(1,000,000)Btus.十万零一千三百二十五(101,325)帕的压力和十五摄氏度(15.C)的温度下为气相状态。"NaturalGas"meansacombustiblemixtureofhydrocarbongaseswithorwithoutinertelementsand/orimpuritiesofwhichthemajorcomponentshallbemethaneandwhichisinthegaseousphaseatapressureofonehundredandonethousand,threehundredandtwenty-five(101,325)PascalsandatthetemperatureoffifteendegreesCelsius(15.C).舶从装货港到卸货港选用LNG运输标准航道的航程中一般适用的闪蒸率，到达卸货港时所需的吃水量，以及合适情况下进行LNG留底货的保留量予以考虑；或(ii)装货港船上交货时，对离开装货港时所需的吃水量，以及留底货量予以考虑。"NominalQuantity"meansaquantityofLNGinMMBtuasspecifiedintheSaleMemorandumandbeingagoodfaithestimateofaFullCargoLotoftherelevantLNGShip,(i)inthecaseofaDAPdelivery,reducedtotakeaccountofthequalityofLNGusuallyapplicableatSeller'sFacilities,theboil-offrateusuallyapplicableforavoyageoftheLNGShipbetweentheLoadingPortandtheDischargePortinthestandardcourseoftheLNGbusiness,therequireddraftuponarrivalattheDischargePort,andretentionwhereappropriateoftheLNGHeel;or(ii)inthecaseofaFOBdelivery,reducedtotakeaccountoftherequireddraftupondeparturefromtheLoadingPort,andtheHeel."NoticeofReadiness"hasthemeaning,inthecaseofaFOBdelivery,specifiedinSection4.1(f)ofScheduleBand,inthecaseofaDAPdelivery,specifiedinSection4.1(f)ofScheduleC."OCIMF"meanstheOilCompaniesInternationalMarineForum."Party"and"Parties"havethemeaningsspecifiedinthepreambletothisMasterAgreement.“领港员登船区(PBS)”：领港员登船的习惯区域，或由卸货港或装货港(视情况而定)的相关港口当局确定的习惯性备选临时锚地。"PBS"meansthecustomarypilotboardingstationorthecustomaryalternativetemporaryanchorageareaasdeterminedbytheproperportauthoritiesattheDischargePortorLoadingPort(asapplicable).托公司、政府机关或其它实体或协会。porationcompanypartnershipgeneralorlimitedlimitedliabilitycompany,businesstrust,governmentalauthorityorotherentityorassociation.“合理审慎的作业者”：能诚信地力求履行其合约义务的人员，该人员在力求履约以及在其"ReasonableandPrudentOperator"meansaPersonseekingingoodfaithtoperformitscontractualobligationsunderanAgreement,andinsodoing,andinthegeneralconductofitsundertaking,exercisingthatdegreeofskill,diligence,prudenceandforesightwhichwouldreasonablyorordinarilybeexpectedfromaskilledandexperiencedoperatorengagedinthesametypeofundertakingunderthesameorsimilarcircumstancesandconditions.并使协议生效。"SaleMemorandum"meansadocumentexecutedbythePartiessubstantiallyintheformcontainedinScheduleAgivingeffecttoandstatingthetermsofanAgreement."SaleMemorandumDate"meansthedateonwhichaSaleMemorandumisexecuted."Seller"meansthePartynamedinaSaleMemorandumastheseller.“卖方设施”：位于或靠近装货港的设施，具体信息会在销售备忘录中予以说明。卖方依靠这些设施履行协议义务，卖方设施包括：(i)天然气输入、压缩、处理、加工与液化设施； (ii)LNG储存与装载设施；(iii)LNG船靠泊设施和装货港设施；以及(iv)所有附属设备和公共设施，无论是否为卖方所有，也无论是否由卖方或第三方直接运营。"Seller'sFacilities"meansthosefacilitieslocatedatorneartotheLoadingPort,asfurtherspecifiedintheSaleMemorandum,thatareusedbySellerforthefulfilmentofitsobligationsunderanAgreementwhichincludes(i)theNaturalGasinlet,compression,processing,treatmentandliquefactionfacilities,(ii)theLNGstorageandloadingfacilities,(iii)theLNGShipberthingfacilitiesandLoadingPortfacilities,and(iv)allancillaryequipmentandutilities,whetherornotownedbySellerandwhetheroperateddirectlybySellerorbyaThirdParty."SIGTTO"meanstheSocietyofInternationalGasTankerandTerminalOperators."Specifications"hasthemeaningspecifiedinSection5.1."SubstituteLNGShip"hasthemeaningspecifiedinSection2.3ofScheduleBinrespectofFOBdeliveriesandSection2.3ofScheduleCinrespectofDAPdeliveries.“税款”：所有形式的税收和法定、政府、政府以上、国家、主要、当地政府或市政的各种别的相关扣款或扣税。"Taxes"meansallformsoftaxationandstatutory,governmental,supra-governmental,state,principal,localgovernmentalormunicipalimpositions,duties,contributionsandlevies,imposts,tariffsandrates(includingwithoutlimitationallemploymenttaxesandnationalinsurancecontributions)andallpenalties,charges,costsandinterestpayableinconnectionwithanyfailuretopayordelayinpayingthemandanyassociateddeductionsorwithholdingsofanysort.“接收站规范”：(i)装运港船上交货时，所有适用于LNG在装货港卖方设施处交货的规章制度，或(ii)目的港船上交货时，所有适用于LNG在卸货港买方设施处交货的规章制度；在以上两种情况下，上述规章制度需由适当的港口当局、卖方设施或卖方设施(视情况而定)"TerminalRules"meansalltherulesandregulationsapplicable(i)inthecaseofaFOBdelivery,tothedeliveryofLNGatSeller'sFacilitiesattheLoadingPort;or(ii)inthecaseofaDAPdelivery,tothedeliveryofLNGatBuyer'sFacilitiesattheDischargePort;ineithercaseabove,eitherissuedbytheproperportauthorities,theoperatorofSeller'sFacilitiesorBuyer'sFacilities(asapplicable)."ThirdParty"meansanyPersonotherthanaParty.“承运方”：装运港船上交货时，LNG船舶的持有、运营人员和/或与买方就提供或运营任LNG协议的人员。"Transporter"meansinthecaseofaFOBdelivery,anyPersonwhoowns,operatesand/orcontractswithBuyerforthepurposesofprovidingoroperatinganyoftheLNGShips,andinthecaseofaDAPdelivery,anyPersonwhoowns,operatesand/orcontractswithSellerforthepurposesofprovidingoroperatinganyoftheLNGShips.“未交付量”：根据第6.1(a)条中的定义。"UndeliveredQuantity"hasthemeaningspecifiedinSection6.1(a).“美元(USD)”：美国的法定货币。"USD"meansthelawfulcurrencyoftheUnitedStatesofAmerica.G流管入口法兰的连接处；目的港船上交货时，买方设施蒸发气回流管出口法兰与LNG船蒸发气回流管入口法兰的连接处。"VapourReturnPoint"means,inthecaseofaFOBdelivery,thepointatwhichtheoutletflangeofthevapourreturnlineoftheLNGShipconnectswiththeinletflangeofthevapourreturnlineofSeller'sFacilities,and,inthecaseofaDAPdelivery,thepointatwhichtheoutletflangeofthevapourreturnlineofBuyer'sFacilitiesconnectswiththeinletflangeofthevapourreturnlineoftheLNGShip.“故意不当行为”：任何故意的作为或不作为，或毫不顾及或故意无视可预见的不利后果而意作为或不作为。"WilfulMisconduct"meansanyactoromissionwhichisdoneoromittedtobedonewilfullyhavingregardto,orisdoneoromittedtobedonewithrecklessdisregardfororwantonindifferenceto,itsforeseeableandharmfulconsequences.1.2释义在本总协议和/或销售备忘录中，除非另行规定，均按下述要求执行：InthisMasterAgreementand/oraSaleMemorandumunlessotherwisestated:a本协议包括其附件内容；referencestothisMasterAgreementincludeitsSchedules;(b)文中提及的条款、陈述文字和附件均为本总协议中的内容；referencestoSections,RecitalsandSchedulesaretosuchprovisionsinthisMasterAgreement;(c)本总协议主体部分与附件部分提出的协议双方的权利与义务需具备同等效力；rightsandobligationsofthePartiessetoutintheScheduleshavethesameeffectasthosesetoutinthemainbodyofthisMasterAgreement;(c)文中提及项的单数形式应包括其复数形式，反之亦然；referencesinthesingularshallincludereferencesinthepluralandviceversa;(e)表示任一性别的术语应包括所有其他性别，表示自然人的术语应包括任何其他人员；wordsdenotinggendershallincludeanyothergenderandwordsdenotingnaturalpersonsshallincludeanyotherPersons;(f)条款标题的设置只为方便阅读，在分析理解本总协议和/或销售备忘录时，可以忽略条款headingsareinsertedforconvenienceonlyandshallbeignoredinconstruingthisMasterAgreementand/oraSaleMemorandum;(g)本总协议和任何销售备忘录的解释语言需为英语；thelanguagewhichgovernsinterpretationofthisMasterAgreementandanySaleMemorandumisEnglish;(h)术语“包含”和“包括”不应理解为具备限定作用；thewords"include"and"including"aretobeconstruedwithoutlimitation;条例、规章、法案、条约或其它任何立法措施，依据具体管辖区域的具体情况而定(“合法”和“不合法”也根据上述法律理解)；anyreferencetoa"law"includescommonorcustomarylawandanyconstitution,decree,judgment,legislation,order,ordinance,regulation,statute,treaty,orotherlegislativemeasure,ineachcaseofanyjurisdictionwhatever(and"lawful"and"unlawful"shallbeconstruedaccordingly);(j)所有提及的特定实体需包括该实体的接任机构和经允许的受托单位。allreferencestoaparticularentityshallincludesuchentity'ssuccessorandpermittedassigns.2.销售和购买SALEANDPURCHASE2.1本总协议适用于协议双方为销售和购买LNG可能签订的所有协议。但是，只有当协议双方以销售备忘录的形式达成协议，协议方才具有销售和购买任意LNG量的责任或义务。ThisMasterAgreementappliestoallAgreementsthePartiesmayenterintoforthesaleandpurchaseofLNG,butneitherPartyshallhaveanyobligationorliabilitywithrespecttothesaleorpurchaseofanyquantityofLNGunlessanduntilthePartiesmakeanAgreementbywayofexecutionofaSaleMemorandum.2.2一旦签订销售备忘录，卖方便有义务根据相关销售备忘录条款向买方出售并交付一批LNG货品，买方便有义务根据相关销售备忘录条款向卖方购买、接收上述LNG货品并支付UpontheexecutionofaSaleMemorandum,SellerwillbecomeobligedtosellanddeliveraLNGCargotoBuyerandBuyerwillbecomeobligedtopurchase,receiveandpaySellerforsuchLNGCargoinaccordancewiththetermsofsuchSaleMemorandum.2.3如果销售备忘录中的任何条款与本总协议中的条款存在冲突，以销售备忘录中的条款为IfanyprovisioninaSaleMemorandumisinconsistentwithaprovisionorprovisionsinthisMasterAgreement,thentheprovisionintheSaleMemorandumshallprevail.2.4如果本总协议或销售备忘录中的任何条款与Incoterms(国际贸易术语通则)存在冲突，以本总协议或销售备忘录(视情况而定)中的条款为准。IfanyprovisionofthisMasterAgreementoraSaleMemorandumisinconsistentwithIncoterms,thentheprovisioninthisMasterAgreementortheSaleMemorandum,asthecasemaybe,shall4.2交付窗口期prevail.3.期限TERM3.1本总协议从签订之日起保持完全有效，除非协议一方根据本总协议条款对协议予以终ThisMasterAgreementshallremaininfullforceandeffectfromthedateofitsexecutionuntilterminatedbyeitherPartyinaccordancewiththetermsofthisMasterAgreement.3.2协议任一方可以提前三十(30)天向另一方发出书面通知，提出终止本总协议；但是，全得到履约之后，上述的总协议终止方可生效。EitherPartymayterminatethisMasterAgreementbygivingtheotherPartythirty(30)dayspriorwrittennotice;provided,however,thatifaSaleMemorandumhasbeenexecutedbythePartiesandtheAgreementeffectedtherebyhasnotbeenfullyperformed,suchterminationshallonlybeeffectiveonceallobligationsundersuchAgreementhavebeenperformed.3.3本总协议的任何终止行为不应影响协议任一方在协议终止日期前已产生的任何权利或AnyterminationofthisMasterAgreementshallbewithoutprejudicetoanyrightsorremediesthatmayhaveaccruedtoeitherPartypriortothedateofsuchtermination,andanyprovisionsoftheMasterAgreementnecessaryfortheexerciseofsuchaccruedrightsorremediesshallsurviveexpiryorterminationoftheMasterAgreementtotheextentsorequired.4.交付量和交付时间QUANTITYANDDELIVERYSCHEDULE4.1交付量antity每份销售备忘录中需对卖方在交付点交付给买方的标称量进行规定。除非销售备忘录中另行EachSaleMemorandumshallsetouttheNominalQuantitytobedeliveredbySellertoBuyerattheDeliveryPoint.UnlessotherwisestatedinaSaleMemorandum,LNGshallbesoldinFullCargoLots.DeliveryWindow每批LNG货品的交付窗口期需以销售备忘录中的协议规定为准。TheDeliveryWindowforeachLNGCargodeliveredpursuanttoanAgreementshallbestatedintheSaleMemorandum.5.质量ITY5.1卖方需确保根据相关协议在交付点交付给买方的所有LNG产品，在转化成气态时，符合销售备忘录中规定的质量规范(以下简称“规范”)。SellershallcauseallLNGdeliveredtoBuyerattheDeliveryPointunderanAgreement,whenconvertedintoagaseousstate,tocomplywiththequalityspecificationssetoutintheSaleMemorandum("Specifications").5.2如果卖方意识到即将交付给买方的LNG质量不符合或可能不符合规范要求，卖方需将LNG不符合或可能不符合规范的情况尽快通知买方，并告知买方LNG与规范的差异程度或度。IfSellerbecomesawarethatLNGtobedeliveredtoBuyerdoesnotcomplywithorislikelynottocomplywiththeSpecifications,SellershallnotifyBuyerassoonasreasonablypracticablethattheLNGdoesnotormaynotcomplywiththeSpecificationsandtheextenttowhichitdoesnotormaynotcomplywiththeSpecifications.5.3在卖方根据第5.2条发出通知后，买方认为上述LNG会对买方设施的安全可靠运营产WhereSellergivesanoticepursuanttoSection5.2andBuyerreasonablyconsidersthattheLNGwouldprejudicethesafeandreliableoperationofBuyer'sFacilitiesorwouldnotbeacceptabletotheoperatorofBuyer'sFacilities,BuyermayrejectsuchLNGbygivingSellernoticeofrejectionwithinforty-eight(48)hoursofBuyer'sreceiptofSeller'snotice,andSellershallremainobligedtodeliveraLNGCargostrictlyinaccordancewiththeapplicableAgreement.5.4在卖方根据第5.2条发出通知后，买方认为上述LNG不会对买方设施的安全可靠运营和偿金，包括接收和处理LNG的费用、买方由于无法履行合同义务而对第三方产生的法律WhereSellergivesanoticepursuanttoSection5.2andBuyerconsidersthattheLNGwouldnotprejudicethesafeandreliableoperationofBuyer'sFacilitiesandwouldbeacceptabletotheoperatorofBuyer'sFacilities,Buyershallwithinforty-eight(48)hoursofreceivingSeller'snoticeprovideSellerwithareasonableestimateofallloss,damage,costs,expensesandliabilitiesthatBuyerwouldincurasaresultoftakingdeliveryoftheLNGdescribedinSeller'snotice,includingcostsofreceivingandtreatingtheLNGandBuyer'sliabilitiestoThirdPartiesforfailuretoperformcontractualobligations.5.5在买方根据第5.4条发出通知后，卖方在收到通知的四十八(48)个小时内通知买方其LNG，卖方则需对买方因接收LNG所产生的所有损失、赔偿、成本、费用和偿金向买方予条发出通知中的描述不一致的，则根据第5.7条进行处理。If,withinforty-eight(48)hoursofreceivinganoticefromBuyerpursuanttoSection5.4,SellernotifiesBuyerthatitagreestocompensateBuyerforBuyer'sreasonablyestimatedloss,damage,costs,expensesandliabilities,thenBuyershalltakedeliveryofsuchLNGandSellershallcompensateBuyerforallloss,damage,costs,expensesandliabilitiesincurredbyBuyerasaresultoftakingdeliveryoftheLNGinanamountnotexceedingtheestimategivenbyBuyerpursuanttoSection5.4;provided,however,iftheLNGactuallydelivereddoesnotcorrespondtothedescriptioninthenoticegivenbySellerpursuanttoSection5.2,thenSection5.7shallapply.5.6在买方根据第5.4条发出通知后，卖方在收到通知的四十八(48)个小时内未通知买方方发出相关LNG的拒收通知，卖方仍有责任严格按照相关协议交付一批LNG货品。If,withinforty-eight(48)hoursofreceivinganoticefromBuyerpursuanttoSection5.4,SellerdoesnotnotifyBuyerthatitagreestocompensateBuyerforBuyer'sreasonablyestimatedloss,damage,costs,expensesandliabilities,thenBuyermayrejectsuchLNGbygivingSellernoticeofrejection,andSellershallremainobligedtodeliveraLNGCargostrictlyinaccordancewiththeapplicableAgreement.5.7如果卖方在未事先告知买方的情况下，将不符合规范的LNG交付给买方，或者卖方未将LNG不合规范的程度告知买方：IfLNGthatdoesnotcomplywiththeSpecificationsisdeliveredtoBuyerwithoutBuyerbeingmadeawarebySellerofthefactthatitdoesnotcomplywiththeSpecifications,orwithoutBuyerbeingmadeawarebySelleroftheextenttowhichitdoesnotcomplywiththeSpecifications,then:a通过合理努力，对上述LNG进行处理或通过其它途径使其达到规范要求或可销售的要求，卖方需(i)对买方由于相关LNG不符合规范而对LNG进行处理或采取其LNGLNG对LNGLNG是，卖方根据本条第5.7条的累积责任不应超过LNG符合规范条件下的合同价与标称量的乘积值的百分之五十(50%)；或者ifBuyerisable,usingreasonableendeavours,totreatorotherwisedealwithsuchLNGsothatitmeetstheSpecificationsorotherwisetomaketheLNGmarketable,Sellershall(i)reimburseBuyerforallreasonableanddocumentedcostsincurredbyBuyer(whethertoThirdPartiesorotherwise)intreatingorotherwisedealingwithsuchLNGbyreasonofitsnotcomplyingwiththeSpecifications;and(ii)reimburseandindemnifyBuyerinrespectofallloss,damage,costs,expensesorliabilitiesincurredbyBuyerinconsequenceofthedeliveryofsuchLNG,inc
