Hereinaftertogetherreferas“PartyC”or“SchneiderElectric”,eachlogisticcentreofSchneider

Electrichereinrefersto“SchneiderElectricLogisticsCentre”.

Inordertogivebetterserviceforclientsofelectriccompletefactory,toimproveservicequalityofelectriccompletefactory,meanwhile,tofixpurchasechannelsfortheelectriccompletefactory,thistripartiteAgreementismadeamongclientsofelectriccompletefactory,distributorsandSchneiderElectric.

Whereas,PartyA,PartyBandPartyCascooperativepartnerofelectricproductsforeachother,thethreePartiesnegotiationfriendlyandreachanagreementonthematterofproductssupplyofSchneiderElectric:

1RELATIONSHIPBETWEENBOTHPARTIES

1.1SchneiderElectricherebyhasconfirmedthatPartyBwasdulyauthorizedasdistributorfor

SchneiderElectricProducts,andhadsignedDistributorAgreementwithPartyB(hereinafterreferto“DistributorAgreement”).PursuanttothisAgreement,SchneiderElectricauthorizedPartyBtosellSchneiderElectricproductsforPartyAaccordingtotheconditionsanditemsinthisAgreement.InordertostandardizedthesalechannelsforSchneiderElectricproductsaswellasdistributorsbehaviours,SchneiderElectricenjoystherighttosupervisethefactthatPartyBexecutesthisAgreementornot,andownstherighttodecideimportanteventsundertheitemsinthisAgreement,includingbutnotlimitedtogivediscountrateforPartyAandsoon.

1.2PartyBreferstoSellerpursuanttothisAgreement,whowillbearallkindsofrights,

obligationsinthisAgreementaswellaswholeresponsibilitieswhichcausedbytheAgreement,butPartyBshallallowtoreceivethesupervisionfromSchneiderElectricaccordingtoDistributorAgreementandthestipulationsinthisAgreement,including:(1)PartyBshallallowtosellSchneiderElectricproductsforPartyAaccordingtotheconditionsandthestipulationsinthisAgreement,andwillstrictlyexecuteallthesaleitemsstipulatedinthisAgreement;(2)PartyBshallstrictlyexecuteanydirectionsandinstructionsissuedbySchneiderElectricforit,whichrelevanttoandsuitableforthisAgreement;(3)PartyBregardsasproductsdistributorofSchneiderElectric,shallobeythesalespolicyandstipulationinDistributionAgreement.

1.3PartyCregardsasBuyerpursuanttothisAgreement.PartyAallowsPartyBtosupply

productsbecausePartyBisregardedaslongtermsupplierofSchneiderElectric.

2DEFINITION

ThefollowingwordsinthisAgreementanditsattachmentshavespecificdefinition:

2.1Agreement:refertoYearlyThreePartySupplyAgreementIn2013anditsallattachments.

2.2Cooperation:refertotherelationshipofsupplyanddemandamongthetri-partyinthis

Agreement,thecooperativeperiodinthisAgreementisannualcooperation,whichshallstartfromthesigningdateofthisAgreement,andtheterminationdateshallbeDecember31,2013.

2.3OneParty/Tri-Party:refertoSchneiderElectric,includingitsaffiliatedcompanies,suchas

DCBJ,SCSH,SCGZ,DCCD,DCWH,or/andPartyA,or/andPartyB.

2.4PeriodofAgreement:refertotheperiodfromthesigningdatetilltheterminationdate

stipulatedinthisAgreement,theterminationdateofthisAgreementisDecember31st,2013.

2.5Products/ProductGroup:refertoallproducts/productgrouplistedinattachmentsofthis

Agreement.AnytypeofdivisionandclassificationforsingleproductshallsubjecttofinaldeterminationoflogisticcentreofSchneiderElectric.

2.6Pricelistforproducts:refertotheproductspricebedeterminedandpublishedbySchneider

Electricduringtheperiodofagreement.SchneiderElectricenjoytherighttoupdatetheproductspricelist,theproductssalespriceforPartyApurchase

2.7Annualcommitmentpurchaseamount:refertotheperiodofthisAgreement(fromthesigning

datetoDecember31,2013),PartyApromisestopurchasetotalamountofminimumsumofmoneyofsigningproducts
