PartyAagreetoProvidethefollowingBankGuaranteetoPartyBwhoiswillingandabletofundagainsttheInstrument,PartyAshallget85%ofthefacevaluefundfromthepartyB.PartyBguaranteewithlawful,cleanandnon-criminalfundsforits InvestmentProjectunderthefollowingtermsandconditions:開證方(甲方)與接證方(乙方):雙方經友好協定，甲方同意把以下開給乙方，作為無罪證來源之資金支付給甲方;以下之保函條款與條件如下：BankInstrumentDescription/條件：TypeInstrument :BankGuarantee(BG),ICCFormat458IssuingBank :BarclaysBank(London)Age :NewIssueTerm :One(1)yearandone(1)dayInterest :Zero〔0%〕CouponCurrency :EURO歐元ContractAmount :FiftymillionwithrollsandextensionsInvoicePrice : %+%+%Delivery :ViaSWIFTMT-799,760&hardcopybybankbondedcourierPaymentMode :ViaMT-799ICBPOBeneficiary :HongKongGlamourWayInvestmentLimited(Singapore)ClosingProcedures/進行程式：1.)UponsigninofCooperatioAgreementbothPartiewilfinisthedetaiparticulfCompanyBusinessRegistration(ColourCopy).BothPartieswillprovideBankcoordinates.thcooperationAgreementwillbeeffective合作協議書時，雙方必須供给公司商業登記証彩印件，雙方出具銀行接証座標與接款座標以附件行文確認進入操作。此協議書即時生效。.2.)AfterbothPartiessigntheAgreementcompletely,withinThree〔3〕bankingdaysPartyA‟sIssuingBankshallissuethePre-advice(attachment–A)ofBankGuaranteeinfavorofthePartyBasBeneficiarytodesignatedPartyB”sBank./雙方簽署此協議書後,3個銀行工作天內,甲方開證銀行開出保函预开通知书(附件-A)，受益人為乙方指定。3.)WithinThree〔3〕bankingdaysuponsuccessfulauthenticationandverificationofthesaidPre-adviceofBankGuarantee,PartyBshallinstructReceivingbanktoissuethe“ICBPO”of60%ofFaceValueviaMT799andwithin30dayof25%wiretransfertoPartyA‟sdesignatedbankaccountsasthepaymentmode./確認上述之保函预开通知书後3個銀行工作天內乙方將指令其接證銀行開出有條件付款保證函”ICBPO”按票面額百分之六十以MT799送達和日起三十天内,电汇百分之二十五發至甲方指定的銀行帳戶作為付款模式.4.)WithinThree〔3〕bankingdaysuponsuccessfulauthenticationandverificationofthe“ICBPO”,/MT799PartyAshallinstructhisissuingbanktoissuethesaidBankGuaranteetoPartyBasbeneficiaryviaMT760(attachment-B)toPartyB„sreceivingbankforverificationandauthenticationofthesaidBankGuarantee./當MT799發出之”ICBPO”後,在三個銀行工作日內將指示其開證銀行將該MT760(附件-B)發至乙方接證銀行確認與驗證該保函,.5.)AfterthePartyA”sBankreceivethefund,within7bankingdays,TheBankGuaranteeHardCopyoriginalinstrumentwillbesenttoPartyB„sreceiving7个银行工作日内将保函之正本檔送至乙方接證銀行.6.)Simultaneously,PartyBshalleffectpaymenttoalltheintermediariesaccordingtotheMasterFeeProtectionAgreementwithoutdelayorwithholding./在此同時,乙方必頇根據MFPA將傭金支付給相關仲介方,並不得藉故延遲或拒絕給付.7.)TheMasterFeeProtectionAgreementwiththisTransactionCodeandDateshallbemadeanintegralpartofthisLOI/Contractasanattachment./ 與本約一样之交易碼與日期,並以本合約附件成為合約之一部份.8.)Thesubsequenttranchesshallcontinueaccordingtotheagreetranchesscheduleandprocedures./剩餘之交易將根據雙方同意之進度與程式持續進行.BankCoordinate/銀行座標：IssuingBankCoordinate/開証銀行座標：attachment/附件-AFunder”sBankingCoordinates/接证銀行座標attachment/附件-BFundsReceivingBankCoordinate/接款銀行座標：BankName银行名称：BankAddress银行地址：AccountName账户名称：AccountNo.账号：Bankofficer银行官员名称：BankTelephone银行：SWIFTCode/IBAN：BOTHPARTIESAGREE雙方同意：1〃Thenegotiationsofthiscontractaretobefinalizedandsignedoffbybothparties.Uponreceiptofissue,deliveryoftheBankGuarantee,andpaymentmustbedoneon bank-to-bank basis with responsibility for operating completion.
