EMPLOYMENTCONTRACTBETWEENXXXXXXXXXXXTrading(Beijing)Co.Ltd.,whollyforeigninvestedcompany,XXXXXXXXXChaoyangDistrict,Beijing,100020,LegalRepresentative:XXXXXXXX(hereinafterreferredtoas'EMPLOYER');ANDXXXXXXXXXXXXX,GermanPassportnumber:xxxxxxxxxx,born21.12.1955andpresentlyresidinginXXXXXXXXXXXXXXXXXXXXXXXX,100026Beijing/People'sRepublicofChina,telephonenumber:xxxxxxxxxxe-mailaddress:wolfgang.jussen@(hereinafterreferredtoas'EMPLOYEE');Above-mentionedEmployerandEmployee(hereinafteras"Parties")haveherebyagreedtoenterintotheemploymentcontract(hereinafteras"Contract")andcomplywiththetermshereof,inaccordancewiththePRC,LaborLawofP.R.CandtheLaborManagementRegulationsforForeignInvestmentEnterprises,andotherrelevantChineselaws,regulations,policiesandrules,andbasedontheprinciplesofequality,freewillandmutualconsent.APPOINTMENTAsfromthedateunderArticle2.1,theEmployershallengagetheservicesoftheEmployeeasCEOofXXXXXXXXXXTrading(Beijing)Co.Ltd.onprobationforaperiodofthreemonths.CONTRACTTERMSubjecttoArticle1above,thisContractisconcludedfrom1Januar2009foraperiodofthree(3)years.However,thecontractdoesnotstartbeforetheEmployeewillhaveobtainedthenecessaryworkvisaforChina.IfthevisaonlyisgrantedafterthedateunderArticle2.1andtheEmployeeneverthelessworksforXXXXXXXXXXXXXTrading(Beijing)Co.Ltd.,theEmployeeshallwiththeapprovalofthecontractbecomeretro-activelyentitledtoallremunerationandperquisitesunderthiscontract.JOBDESCRIPTIONTheEmployerengagestheEmployeeastheCEOoftheCompany.TheEmployeewillbebasedinBeijing.TheprimaryjobdutiesoftheEmployeeinclude:Co-operatefaithfullywiththeboardofdirectors,thesupervisoryboardoftheEmployerandpossibleshareholders,prepareandparticipateintheirmeetings.SteerallcompanyactivitiessothattheCompanyachievesthetargetsdefinedbytheboard,inparticularbyrepresentingXXXXXXXXSystemsAGinChina;continueandimprovetheperformingorganization;securingthesalesofturbines;managementofstrategicsourcingactivityinChina;sourcingofcomponentsfulfillingthequalityrequirements;establishinganefficientprojectmanagementandareliableafter-salesservice;optimizingtaxpaymentsoftheCompanyinthesetransactions;monitoringtheChinesecomponentsandturbinemarket;communicatingwithStateandLocalAuthorities:StrengtheningthebrandoftheCompanyInordertodoso,theEmployeeinparticularhastoSteerthehumanresourcesoftheCompany;ControlthefinancingoftheCompany;DelivermonthlyreportsontheCompany'sactivitiesaccordinglyCo-operatefaithfullywiththeXXXXXXXSystemsAGinGermanyinallbusinessaspects,especiallyregardingthesourcingofcomponentsandthesalesofproducts.OBLIGATIONSOFTHEEMPLOYEE4.1Inadditiontotheabove-mentioned,theEmployeewillalsobeobligedto:PerformthedutiesandexercisethepowersandfunctionswhichfromtimetotimemayreasonablybeassignedtoorvestedinhimbytheBoardofDirectorsasmaybeprovidedbyaseparatepowerofattorneytobeexecutedbytheEmployer;NotduringhisengagementwiththeEmployer,takeupoffice,whetherornotitissimilartotheofficetakenupbyhimhereunder,withanyothercompany/entityorbodycorporate;DisclosetotheBoardofDirectorsallhisinterests/concernsinanyothercompany/entity/bodycorporate/organization/soleproprietorshipetc.,priortothecommencementofhisappointmentwiththeEmployer/Company.ItbeingunderstoodandagreedthatwithoutthewrittenconsentoftheBoardofDirectors,andexceptinthecaseofanon-competing,non-conflictingfamilybusiness,directlyorindirectlybeengaged,concerned,orinterestedinanyotherbusinesswhatsoeverwhetherasprincipalorotherwiseprovided,theEmployeemayholdforinvestmentpurposesonlyshare,debenturesorothersecurities(notcarryingtherightofcontrol)inanycompanywhosesharesarelistedonarecognizedStockExchange;ObserveandcomplywiththepoliciesandproceduresoftheEmployermadeorgivenfromtimetotime,whethersetoutthePoliciesoftheEmployer/Companyornot;EnsurethattheChinaoperationsoftheEmployerareconductedinaccordancewithwell-establishedprinciplesinallrespects;ToservewellandfaithfullytheEmployerandusehisutmostendeavortopromotetheinterestoftheEmployergivingatalltimesthefullbenefitofhisknowledge,expertise,technicalskillandingenuityandshallperformsuchdutiesandexercisesuchpowers(beingconsistentwiththeappointment)inrelationtotheconductandmanagementoftheaffairsoftheEmployerassetoutinaseparatepowerofattorneytobeexecutedbytheEmployerinfavoroftheEmployee;Ensurereductionofvariablecostsincludingcostsofprocurement,logistics,establishandexpandlocalsupplyofmaterialsandpartsandenhancetheproductivityofemployees;TheEmployeeshallnotassignhisofficetoanyotherperson,andintheeventofsuchassignment,thesameshallbevoid;TheEmployeeherebyfurthercovenantsthatinanycase,ifheacquiresaninterestinarunningtransactionoftheEmployer,thenheshalldisclosethisfactimmediatelyinwritingformtotheEmployerafterhebecomessointerested;Whatisthemeaning(runningtransaction)TheEmployeeherebyacknowledgesthathewillparticipateinworkingoutandshallthenstrictlycomplywiththepoliciesandproceduresoftheEmployerincludingthesafetyguidelinesandconfidentialityobligationstipulatedbytheEmployer;TheEmployeeshalltreattheEmployer'spropertycarefullyandconformtotheprofessionalethics;TheEmployeeshallactivelyparticipateinthevocationaltrainingarrangedbytheEmployer;IntheeventthattheEmployeeviolatesthePoliciesandProceduresorthetermsofthisContract,theEmployershalltakedisciplinaryactionontheEmployeeaccordingtoitsrelevantregulationsorrules;ProperlynotifytheEmployerofthereceiptandvalueofallpecuniaryorothertypeofbenefitwithavalueofmorethanRMB'500,00thathemayreceivefromthirdpartiesincludingsuppliersofgoodsorservicestothebusiness,inconsequenceofhisemploymentwiththeEmployer,andtheEmployeemust,ifandwhenrequiredbytheEmployer,signalldocumentsanddoallthingsnecessarytotransferorassigntotheEmployeroritsnomineethebenefitsorsuchstatedbenefitsasshallbedesignatedbytheEmployer;Doyoureallymentheamountof500,-RMB(=40,-Euro)???o.ThetasksoftheEmployeecanbemodifiedaccordingtothedecisionsoftheBoardofDirectorsortheEmployer'sPolicyandGuidelines.2TheEmployeemustexerthis/herbesteffortstofulfillhis/herjobdutiesinaccordancewiththelawfulrequirementsoftheEmployer,andshallcompletehis/herprescribedworkwithinthefixedtimeandmeetthestandardssetbytheEmployer.POSTING,TRANSFERANDDEPUTATIONTheinitialplaceofpostingwillbeBeijing,P.R.China.TheEmployerreservestherighttotransfertheEmployeetoanyotherlocationwithinChina,withreasonablenotice.TheEmployeralsoreservestherighttodeputetheEmployeetoanyaffiliateoftheEmployerinChinaaslongasinsuchcasethebenefitswillremainthesameaswhilewiththeEmployer.XXXXXXXXSystemsAGinGermany,themothercompanyoftheEmployer,willdecidetoappointtheEmployeeasCEOfortheexistingaffiliatedJonitVentureinBaotaotillJune2009.Further100%ownedorpartlyownedorganizationsinChinamightbeassignedtotheemployeeaswell.Thisadditionalresponsibilityshallnotchangethebenefitpackageasagreedinthiscontract.WORKPERMITTheEmployeewillberesponsibleforprovidingallnecessarydocumenttoobtainingnecessaryworkvisafortakinguphisemploymentwiththeEmployerasearlyaspossible.TheEmployerwillprovidetheEmployeewithanyassistance/supportthatmayberequiredtobeprovidedbyittoenabletheEmployeetoobtaintherequiredpermissions/registrationsrequiredtobeobtainedfortheperformanceofthisContract.AnynecessarycostforenteringthePeople’sRepublicoChinasuchasvisa,passportandotherrelatedcostaswellasanynecessarymedicalcostinthiscontextincludingeventuallynecessaryexaminationstoevaluatetheconstitutionfortropicalenvironmentandvaccinationshallbebornebytheCompanyuponcostsubstantiation.TheEmployeefurtheragreestocancelthisworkpermitinthenameoftheEmployeeintheeventofhimortheEmployerterminatinghisserviceswiththeEmployer.TheremainingvalidationperiodofthepassportvisawillbenoteffectedWORKINGHOURSANDOVERTIMETheEmployershallimplementthestandardworkinghoursystemwherebytheEmployeeshall,notincludinglunchtimeaccordingtotherulesoftheEmployer,atleasteight(8)hoursperdayandforty(40)hoursperweek.Accordingtotheoperationorbusinessrequirements,theEmployermayadjusttheworkinghoursfortheEmployeetoaccordingtotherelevantChineseLaws.IftheEmployerneedstorequesttheEmployeetoworkovertimeinspecialcircumstances,theEmployermayextendtheEmployee'sworkinghoursafterconsultingwiththeEmployeeandobtaininghis/herconsent.However,theEmployershallarrangetheEmployeetotaketimeoffinlieuoftheovertimeworkedorpayovertimesalaryinaccordancewithChineseLaws,but5notincludingtheeventthatapaymentfortheovertimeworkedofstaffshasbeencalculatedinhis/herannualsalarystipulatedinArticle9.1ofthisContract,throughamutualconsentoftheParties.HOLIDAYSANDLEAVETheEmployeeshallbeentitledtoenjoytheChinesepublicandfestivalholidaysasperPolicyoftheCompanyonanannualbasis.TheEmployeeshallalsobeentitledtopaidleaveof30workingdayseveryyear.TheEmployeeisentitledtocarryoverasmanydaysasallowedbythelaw.Ifthereisnobindingprovisionapplicable,heshallbeallowedtocarryover15daysduringayearwhichhavetobetakenbefore31Marchofthefollowingyear.TheEmployeeshallbeentitledtopaidweddingandfuneralleaveaswellasmaternityleaveinaccordancewithChineseLawsforhisdirectrelativesREMUNERATIONInconsiderationoftheServicesbeingprovidedbytheEmployee,theEmployeewillreceiveayearlygrosssalaryofXX,XX.00EUROintwelveequalmonthlypayments,respectivelypayableonorbeforethelastdayofeachcalendarmonthbybanktransferintothebankaccountspecifiedbyMr.XXXXXXXXtheamountcontainsindividualincometax,aswellasathepaymentforhis/herovertimeworkedTheEmployeeshallbesolelyresponsibleforpaymentofalloranytaxeswhichbecomeapplicabletotheremunerationpaidbytheEmployertotheEmployee.TheEmployeeagreestopaytheapplicabletaxes,duly,diligentlytotheChineseauthoritieswithinthestipulatedperiodoftime.TheEmployerrecommendsusingtheservicesofataxconsultant.ThecostforthistaxconsultantisbornbythecompanyTheEmployeeagreestoindemnifyandkeepindemnifiedtheEmployerforalloranyclaimsthatmaybemadebythetaxauthorities/thirdpartieswithrespecttohistaxliabilitiesbyvirtueofhisemploymentwiththeEmployer.TheEmployerimplementsajobevaluationsystemandabonussystem("ManagementbyObjectives").Accordingtoitssituationofbusinessoperation,theEmployershalldecidewhethertodistributethebonusornot.Onlywhengrouptarget,companytargetandpersonaltargetarefulfilled,abonusofmax.20%oftheyearlysalarybasedon12monthswillbepaid.ShouldtheContractberescindedorterminatedbyeitherPartyforwhatsoeverreasonuponorbeforethedateofthebonuspayment,theEmployeeshallnotbeentitledtoaskanypaymentforsuchbonusuponthedateofthedeclarationontherescissionorterminationoftheContract.TheEmployercompensatestheEmployeecostsformax.2returnflightsduetononbusinessreasonsfortheemployeespartner,singleperson(BusinessClass)betweenBeijingandfinaldestinationinGermany.Theannualleaveflightsfortheemployeehavetobecombinedwithbusinessappointmentsintheheadquarter.TheEmployeeshalltakeeveryefforttoreducethesecosts.TheEmployershallcovertherentcostoftheEmployeeforanapartmentinBeijing.Thecostsshallbeagreedmutuallyinadvanceandapprovedthroughrelevantdocumentslikesignedrentalagreementandbankevidence,butshallnotexceedtheequivalentofEUR2.700permonth.TheEmployeeisobligednottorevealanydetailsoftheContractonhis/hersalarytoathirdparty.TheEmployeeisentitledtoaVWPASSATcompanycarofChineseproduction.Thecarcanalsobeasecondhandcar.TheEmployeecanalsousethecarforprivatepurposes.Inrelationtotheabove,itisemphasizedthatsuchcarwouldbethesolepropertyoftheEmployerandwouldbeonlygiventotheEmployeeduringthetermofhisemploymentandwhichshallbereturnedaftertheexpiryofhistermorterminationduetowhateverreason.However,notwithstandinganythingcontainedabove,theEmployee,uponterminationofhisemployment,duetoanyreasonunderthisContract,shallforthwithreturnthecarwithallkeysinthesamemannerandconditionasitwasfirstgiventohimsubjecttonormalwearandtear.InsuranceTheCompanyatitsaccountwillexecuteahealthinsuranceforMr.XXXXXXXXcoveringmedicaltreatmentonaworldwidebasisincluding,inparticular,thePeople’sRepublicofChina.TheCompanywillfurthermoreexecutealiferiskandaccidentinsuranceduringthetermofMr.XXXXXXXX’semploymentcoveringMr.XXXXXXXXwithrespecttoanyprivateandworkaccidentswithaninsuredamountofEUR125,000.-incaseofdeathEUR250,000.-incaseofinvalidity.Anyinsuranceproceedswillbecomedueandpayableinaccordancewiththerespectiveinsurancetermsandconditions,asapplicable.Mr.XXXXXXXXoranybeneficiarynominatedbyhimwillbeentitledtoanysuchinsuranceproceedsdirectly.TheinsurancecoveragewillcommenceuponMr.XXXXXXXX’sfirstdeparturetoChinaandwillendwithhisfinalreturnoncethedeploymenthasended.Thescopeofanysuchinsuranceshallbeinaccordancewiththeapplicableinsurancetermsandconditions.Both,privateandworkaccidentsaretobeformallynotifiedbyMr.XXXXXXXXbothtotherespectiveinsurerandtheCompanywithoutunduedelay.However,theEmployerwillinsuretheEmployeebyaGermanHealthinsurancecompanyandbearthecost(Auslandskrankenversicherung).IftheEmployeeisseriouslyillorinjured,theEmployercoversallnecessarycostsforatransporttoGermanyiftheinsurancecompanyshouldnotcovertheseexpenses.WheretheEmployeehasfallenillorhassustainedinjuriesduringtheContractandneedstostoptoworkforamedicaltreatment,theEmployershalldetermineamedicaltreatmentperiodinaccordancewithrelevantChineseLawsortheinternalrulesandregulationsoftheEmployer.Duringthestatutorymedicaltreatmentperiod,sickleavepayorillnessreliefpaymentsormedicaltreatmentbenefitsshallbepaidpursuanttotherelevantChineselawsortheinternalrulesandregulationsoftheEmployer.IntheeventthattheEmployeehassustainedinjuriesfromworkduringtheContract,theEmployershalldetermineamedicaltreatmentperiodaccordingtotherelevantChineseLawsand/orregulationsofBeijingcityand/ortheinternalrulesandregulationsoftheEmployer.RegardingtheEmployee'ssalaryandmedicaltreatmentbenefitsduringthestatutorymedicaltreatmentperiod,theEmployershallcarryouttherelevantChineseLawsand/ortheregulationsofBeijingcityand/ortheinternalrulesandregulationsoftheEmployer.Expensesoftravel,food,accommodationetc.causedbytheperformanceoftheEmployee'sdutieswillbecompensatedaccordingtotherelevantinternalrulesofregulationsoftheEmployer.LABORPROTECTIONANDWORKCONDITIONTheEmployeewillworkwiththeEmployerunderthesafetyandhealthconditionsprovidedbytheEmployer.Inaccordancewiththeoperationandbusinessrequirements,theEmployershallprovidetheEmployeewithnecessarysafetyatworkitemsthatconformtoStateregulationsaswellastheEmployer'ssafetystandards.TheEmployeeconfirmstousethissafetyatworkitemsaccordingtothesafetystandardsoftheEmployer.AMENDMENTSDISMISSALANDTERMINATIONSInordertobringtheContractinlinewiththestandards/policiesoftheEmployer,whichthenewlyformedEmployerisgoingtodevelop,theEmployermaymodifythisContractduringthisperiodof6monthsaccordingtoareasonablyexerciseddiscretion.TheEmployeeconfirmsthathehasnoobjectiontotheforegoing.Moreover,thisContractmaybeamendedunderanyofthefollowingcircumstances:whereuponthemutualcontractoftheParties;whereuponachangeintheChineseLawsunderwhichthisContractwasenteredinto,therelevantarticlesandconditionsofthisContractshallbeamendedaccordingly;or10whereperformanceofthisContractbecomesimpossibleorgrosslyimbalancedduetomajorchangesintheobjectivecircumstancesunderwhichthisContractwasenteredinto..ThisContractmayberescindedthroughmutualconsentoftheParties.InadditiontotheabovethisContractmaybeterminatedinthefollowingcircumstances:TheEmployerisentitledtoimmediatelyrescindthisContractbygivingawrittennoticetotheEmployeeatanytime,iftheEmployee:hasviolatedtheobligationsonconfidentialityasstipulatedinArticle14ofthisContract;hascommittedaseriousorcontinuedviolationofabreachofitsobligationsunderthisContract,hascommittedaseriousderelictionofhis/herdutiesorpracticedgraftorfavoritism,therebycausingseriouslossestotheinterestsoftheEmployer;orissubjecttocriminalliabilityinaccordancewithChineselaws.Underanyofthefollowingcircumstances,theEmployermayterminatethisContractbyawrittennoticetotheEmployeethirty(30)daysinadvance:wheretheEmployeehasfallenillorhassustainednon-work-relatedinjuries,andhasbeenconfirmedtobeunabletoengageintheoriginalworkorotherworkarrangedbytheEmployeruponthecompletionofmedicalleaveperiod;wheretheEmployeeisincompetentforhis/herpositionandremainsincompetentafterreceivingtrainingorbeingtransferredtoanotherposition;whereamajorchangeintheobjectivecircumstancesunderwhichthisContractwasenteredintohasrenderedperformanceofthisContractimpossibleandthePartiescannotagreeonanadjustmentofthisContractafternegotiations.Inabove-mentionedevents,theEmployerisentitledtoreleasetheEmployeefromworkfromthedayonwhichtheEmployergavenoticeoftherescission.TheEmployeemaygiveawrittennoticetotheEmployeratanytimeandwithoutanynoticeperiodofterminationofthisContractunderanyofthefollowingcircumstances:wheretheEmployerhasmadetheEmployeeworkbymeansofviolence,threatsorillegalrestrictionsofhis/herpersonalliberty;or11wheretheEmployerhasfailedtopaymonthlysalariesorprovideappropriateworkingconditionsfortheEmployeeaccordingtothisContract.Duringtheprobationperiod,theEmployermayrescindtheContractbyawrittennoticeoftwoweekswithoutassigninganyreason.Inthiscase,theEmployerisentitledtoreleasetheEmployeefromworkfromthedayonwhichtheEmployergavenoticeoftherescission.IftheEmployerterminatesitsoperation,theContractmaybeterminatedwithanoticeaccordingtoArticle12.4ofthisContract.OBLIGATIONSUPONTERMINATIONOFEMPLOYMENUpontheterminationoftheEmployee'semploymentforwhateverreason,Employeeshall:forthwithtenderhisresignationfromanyofficehemayholdintheEmployer/Companyoritsparentandanysubsidiarywithoutcompensationandshouldhefailtodoso,theEmployerisirrevocablyauthorizedtoappointsomepersonintheirnamesandontheirbehalftosignanydocumentsanddoanythingsnecessaryorrequisitetogiveeffectthereto;deliveruptotheEmployerallcorrespondences,drawings,documents,confidentialinformationandotherpapersandallotherpropertybelongingtotheEmployerwhichmaybeintheirpossessionorundertheircontrol(includingsuchasmayhavebeenmadeorpreparedbyorhavecomeintothepossessionorunderthecontrolofEmployeeandrelatinginanywaytothebusinessoraffairsoftheEmployerorofanysupplier,agent,distributor,orcustomer,oftheEmployer),andtheyshallnotwithoutthewrittenconsentoftheDirector,retainanycopiesthereof;ifsorequested,sendtotheChairmanoftheBoardofDirectorsoftheCompanyasignedstatementconfirmingthattheEmployeehascompiledwithclauses13.aand13.b;andnotatanytimerepresenthimselfstilltobeconnectedwiththeEmployerunderanycircumstanceswhatsoever.OBLIGATIONSONNON-DISCLOSURE

ANDNON-COMPETITIONConfidentialityIntheeventthatthisContractisterminated,theEmployeeisobligedtoimmediatelyreturnalldocuments,records,copies,equipments,appliances,uniformaswellasothersincluding,butnotlimitedtodrawing,memorandumbook,customerand12supplierlists,formulas,financialstatements,informationonsalesandetc.,whichareinthepossessionoftheEmployee,totheEmployer;DuringtheContract,theEmployeemuststrictlykeepconfidentialityconcerningprinciples,modeofoperation,productionprocesses,developments,improvements,otherdetailsrelatingtodevelopmentorproductionoftheEmployer'sproductsandrelatingtothecompanymanagementmethods,distributionplan,statementsonassetsandfinanceoftheEmployer,aswellasallcommercialsecretsofaffiliatedfirmsoftheEmployer.;WithoutapriorwrittenconsentoftheEmployer,theEmployeeshallnotrevealanyabove-mentionedinformationtoanythirdpartyoutsideofmanagementstaffsoftheEmployer.TheEmployeeshallalsonotusesuchinformationforhis/herpersonalpurpose;TheEmployeemayusesuchinformationonlytocarryoutthedutiesofhisjobduringthisContract;TheEmployee'sconfidentialityobligationsshallcontinueforaperiodoffive(5)yearsfromtheexpirationortheterminationofthisContract.Non-CompetitionWithaviewtoprotectandsafeguardtheproprietaryinterestoftheEmployeraswellasthehugeexpenditurethathasbeenmadebytheparentcompanyintheresearchanddevelopmentinthetechnicalaspectsoftheEmployerwhichoughtnotbedisclosedtoacompetitiveorganization.TheEmployeeonhisownwillandaccordherebyundertakesthatduringthetermofhisemploymentwiththeEmployerandforaperiodofsixmonthsafterthetermination/resignationofhisemploymentwiththeEmployerforanyreasonwhatsoeverheshallnotacceptemployment/establishorconductanyenterprisejointlyorindependentlyormanageorbeanagentforortakepartinorgiveadviceorpracticalsupport,orberelatedinanymannerwhatsoever,anybodycorporateenterpriseorpersonbeingdirectlycompetitiveorpotentiallycompetitivewiththeEmployeranywhereintheworld;TheEmployeefurtheragreesandundertakesnottosolicitpotentialcustomersoftheEmployerifsuchpotentialcustomersareorwereidentifiedthroughleadsdevelopedduringthecourseoftheEmployee'sassociationwiththeEmployer,divertorattempttodivertanyexistingbusinessoftheEmployer,orotherwisesolicitorattempttosolicitanyoftheotheremployeesoftheEmployerforanyreasonwhatsoeverduringthetermoftheContractandforaperiodoftwoyearsthereafter;ShouldtheEmployeeinfringetheabove-mentionedobligationimposedupontheEmployeewithregardtoConfidentialityandnon-competition,theEmployerisentitledtoapplyforsuchequitablereliefincludingpropitiatoryinjunctionwithoutprejudicetoitsotherremediessuchasclaimfordamages;13ThepartiesacknowledgethattheyhaveattemptedtolimittheEmployee'srighttocompeteonlytotheextentnecessarytoprotecttheinterestsoftheEmployerfromunfaircompetition.However,thepartiesherebyagreethat,ifthescopeorenforceabilityofthisrestrictivecovenantisinanywaydisputed,itm
