MemorandumOfUnderstanding

ThisMemorandumOfUnderstandingcoverstheagreementreachedbetweenRCCandSinomabasedonthefinaltechnocommercialnegotiations,heldatRiyadhon15thFebruary2005,inconnectionwiththeRCC’sGreenfieldCementProjectof5,000tpdclinker.本理解备忘录记录了RCC和Sinoma于2005.2.15在利雅得的最终技术商务磋商中就RCC的日产5000吨熟料的节能水泥项目达成的协议。

01Sinoma’s“FullTurnkey”offerforUSD1000wasacceptedbyRCC.Thisincludessparepartsfor1USDwhichwillbeselectedbyRCCatalaterdate.Inadditionthecontractpricealsoincludesasumof1USDwhichshallbepaidontimelycompletionofkilnfiringby24months.ThecustomdutyforimportofmachineryshallbebornebyRCC.AllothertaxesanddutiesshallbetoSinoma’saccount.RCC接受Sinoma的1000美元的完全交钥匙报价，此报价包括RCC将在晚些时候选购的1美元的备件价格，另外此合同价也包括在24个月后回转窑培烧及时竣工后支付的USD1。设备的进口关税由RCC承担，其它税费由Sinoma承担。sinoma2AllRIGHTSRESERVEDMemorandumOfUnderstandingTheabovepriceincludesallitemsofworkfortheturnkeyexecutionoftheproject.HoweverifonfurthergeotechnicalinvestigationbySinomaitisfoundthatfoundationsrequirepilling,thenthecostofpillingwillbetoRCC’saccount.

上述价格包括完成该工程的所有子项目，然而，如果Sinoma通过进一步的地理技术调查，发现地基需要pilling，则此pilling的费用由RCC承担。02ThefollowingimplementationperiodisproposedbySinomaandwhichisacceptabletoRCC.

PAC26monthsPAC26个月sinoma3AllRIGHTSRESERVEDMemorandumOfUnderstanding03Effectivedateofcontractshallbedateofsigningofcontractsubjecttofulfillingofthefollowingactivities:合同的生效日是完成下列活动后的合同签订日：

Submissionofbankguarantee,acceptabletobank,bySinomaforAdvanceandPerformance.

Sinoma提交银行接受的对预付款和性能的银行担保。

PaymentbyRCCofadvancewithinoneweekofreceiptofbankguaranteesfromSinomaRCC在接到Sinoma提交的银行担保后的一周内支付预付款。

OpeningofLCforshipmentbyRCCwithinonemonthofreceiptofbankguarantee(s)fromSinomaRCC在接到Sinoma提交的银行担保后的一个月内针对发货开立信用证。sinoma4AllRIGHTSRESERVEDMemorandumOfUnderstanding04Astheprojectison“FullTurnkey”basisandsitehasbeenidentified,thesame(site)canbehandedovertoSinomaimmediately.HoltechasalsopreparedtheproposedplantlayoutandagradingplanwhichshallformbasisoffurtherdevelopmentbySinoma.Sinomacanalsostartworkimmediatelyforgeotechnicalinvestigations,siteleveling,accesstositeetc.

由于此项目为完全交钥匙工程，施工现场也已确定，故Sinoma可立刻接管现场，Holtec也已做好了其设计总图和分阶段计划，Sinoma可在此基础上作进一步发展，也可立刻开始地理技术调查、场地平整、通往现场道路建设等工作。05TheTwoTendersviz“OffShore”and“OnShore”werenotfor“FullTurnkey”execution.Itishoweverexplicitlyunderstoodthatinternationalpracticefor“FullTurnkey”executionshallbeapplicablefortheproject.Theseaspectsareincludedinthe“TotalContractPrice”ofSinoma.

两个标书viz“离岸”和“岸上”没有采用“完全交钥匙”的执行方式，然而，依国际惯例来理解，“完全交钥匙”的执行方式应适用于本项目，这些方面已被包括在Sinoma的”合同总价”中。sinoma5AllRIGHTSRESERVEDMemorandumOfUnderstanding06Asaconfidencebuildingmeasure,MarubeniissuedalettertoRCC(Annexure1).AlsoSinomaagreedtoprovideextendedwarrantyforfiveyearsforthepartsmanufacturedinChina,FinalAcceptanceCertificateshallhoweverbereleasedafternormalwarrantyperiodof12monthsafterPAC.Alsoinordertoachievetheagreedtimeschedule,RCC/HoltecshallbevisitingChinaforco-ordinationmeetings/inspectionetcaspermutuallyagreedplans.SinomawillmakethearrangementsforthesevisitsinChinaatnocosttoRCC.HoweverthetravelexpensestoChinashallbebornebyRCC.

作为信心建立的标志，Marubeni已给RCC发了一封信（见附件1）。Sinoma也同意对中国制造的部件提供被延长至5年的保证期，但最终验收证书要在PAC后的12个月的常规保证期后签发。同时为了完成约定的时间进度，RCC/Holtec将根据已一致约定的计划来中国参加协调会并从事检查等工作。Sinoma将为这些来访做安排，RCC不承担与这些在中国的来访相关的费用，但到中国的差旅费由RCC承担。sinoma6AllRIGHTSRESERVEDMemorandumOfUnderstanding07Followingschedulefor“ContractSigning”wasagreed:

投入商业运行、启动，试运行及性能保证测试和交付。sinoma20AllRIGHTSRESERVEDContractAgreemente.Remedyingbyrepairorreplacementofanydefect.通过修理或更换缺陷设备进行维修。

TheContractorshallfollowISO/DIN/ASTMstandardswhereverapplicableforequipment,machinery,civilworksandelectro-mechanicalerection.在设备、机械、土建、机电安装方面只要适用，承包商就应依照ISO/DIN/ASTM标准。

TheContractincludeseverythingnecessary,withintheboundarylimitsofthisturnkeycontract,fortheexecutionoftheWorkswhetherspecificallymentionedornotintheContract.不论合同中有否明确提及，本合同包括本交钥匙和范围内对本工程项目的施工必要的一切。

sinoma21AllRIGHTSRESERVED6.2MechanicalEquipment机械设备

TheprovisionofallmechanicalplantandequipmentrequiredtocompletetheWorksexcludingthemobilelimestonecrusher,whethersuchequipmentisparticularlymentionedornotintheContractDocuments.MechanicalplantandequipmentshallbesuppliedbytheContractorcompleteineveryrespectsothatnoprovisionfortheirsatisfactoryinstallation,functionandoperationisrequiredfromtheOwner.除可移动石灰石破碎机外的所有被要求用来完成本工程项目的机械设施和设备的提供，不论这些设施和设备在合同文件中有否被明确提及，承包商须提供全部机械设施和设备，且须保证这些设施和设备的安装、运行和操作令业主彻底满意。

sinoma22AllRIGHTSRESERVED6.2MechanicalEquipment机械设备

Allauxiliaryequipmentsuchaschutes,ductsandpipes,connectingoneitemofplanttoanotherandallnecessaryprovisionsareincludedintheContract,irrespectiveofthembeingmentionedornotintheContractDocuments.本合同包括所有的辅助设备，如滑道、连接管道以及所有必要的供应品，不论这些是否在合同文件中被提及。TheContractorshallensurethatallmechanicalequipmentisfullycoordinatedwiththerespectiveelectricalequipment,control&automationsystemsandwiththecivilandstructuralworks.承包商须确保所有的机械设备与其电气设备、控制和自动化系统以及土建工程相配。sinoma23AllRIGHTSRESERVED6.3Electrical,Control&AutomationSystemsInstallation

TheprovisionofallelectricalplantandequipmentrequiredtocompletetheWorksexcludingthepowerplant,whethersuchequipmentisparticularlymentionedornotintheContractDocuments.ElectricalplantandequipmentshallbesuppliedbytheContractorcompleteineveryrespectsothatnoprovisionfortheirsatisfactoryinstallation,functionandoperationisrequiredfromtheOwner.除电厂外的所有被要求用来完成本工程项目的电气设施和设备的提供，不论这些设备在合同文件中有否被明确提及。承包商须提供全部电气设施和设备，且须保证这些设施和设备的安装、运行和操作令业主彻底满意。

TheContractorshallensurethatallelectrical,control&automationsysteminstallationsarefullycoordinatedwiththerespectivemechanicalequipmentandwiththecivilandstructuralworks.承包商应确保所有的电气系统和自动化控制系统的装置和各自的机械设备及土建工程配套。sinoma24AllRIGHTSRESERVED6.4SpecialErectionandMaintenanceTools

专门安装及维护工具

Theprovisionofallspeciallydesignederectiontools,fieldjoiningdevicesandgadgets,maintenanceandmeasuringtoolsforthesuppliedequipmentnecessaryduringexecution,commissioningaswellasoperationofthePlantrequiredtocompletetheWorks,whethersuchequipmentisparticularlymentionedornotintheContractDocuments.所有被要求来完成本工程项目的专门设计的安装工具，现场连接设备、小配件、用于在工厂的运行、试车和操作中必要的被提供设备的维护和测量工具，不论这些设备有否在合同文件中被提及。sinoma25AllRIGHTSRESERVED6.5SpareParts备件

TheContractorshallsubmitacompleteitemizedsparepartsspecificationandlistcomprisingofallpartstheContractordeemsrequiredtosafeguardnormaloperationofthePlantfortwoyearsofcommercialproduction(fromtheProvisionalAcceptanceDate)andaseparatelistofstrategicparts(e.g.longdeliveryitems)withinfive(05)MonthsoftheEffectiveDate.TheOwnershalldecideandisfreetoselecthischoiceofsparepartswithintwo(02)MonthsthereafterandthesesparepartsshallbedeliveredtotheOwnerwithintwenty(20)monthsfromeffectivedateofcontract.承包商须在生效日后5个月内提交一份完整的逐项列出的、包含所有承包商认为保证工厂在两年（自临时验收之日起）的商业生产中的正常运行所要求的所有零件的说明和清单，和一份单独的战略性零件（如长距离运输项）清单，业主可在生效日后2个月内自由选择备件且这些备件应在合同生效日后20个月内被交给业主。

sinoma26AllRIGHTSRESERVED6.5SpareParts备件

TheContractorundertakesthatintheeventthattheOwnerwishestopurchaseadditionalsparepartsinthefuture(duringthelifetimeoftheequipment),thepriceschargedtotheOwnerwillbereasonablyadjustedtoreflectthepriceindexvariationsfromthepresentlevelstothelevelsondatesoffuturepurchasesforallitemsofsuppliesfromtheContractor(Sinoma).SparesfromSubSuppliersshallbeaspertheirpricingpolicyatthetimeofsalesinfuture承包商保证业主在设备使用年限内想购买新备件时，所有承包商（Sinoma）供应项目的价格以现在价格为基础合理浮动，来自分供货商的备件的价格应依据将来销售时他们的价格政策。sinoma27AllRIGHTSRESERVED6.6CivilandStructuralWorks土建工程

TheprovisionofcivilandstructuralworksrequiredtocompletetheWorks,whethersuchstructuresareparticularlymentionedornotintheContractDocuments.ItshallbesuppliedbytheContractorcompleteineveryrespectsothatnoprovisionfortheirsatisfactoryinstallation,functionandoperationisrequiredfromtheOwner.TheContractorshallensurethatallcivilandstructuralsteelworksarefullycoordinatedwiththerespectivemechanicalequipmentandelectricalplant&equipment,control&automationsystems.完成本工程项目所要求的所有土建项目的提供，无论此项目有否在合同文件中被明确提及。且须保证这些设施和设备的安装、运行和操作令业主彻底满意。承包商须保证所有土建和钢结构项目与其各自的机械设备和电气设备及自动化控制系统的完全配合。sinoma28AllRIGHTSRESERVED6.7Electro-MechanicalErectionWorks机电安装工程

Theprovisionofallelectro-mechanicalerectionworksrequiredtocompletetheWorks,whethersuchworksareparticularlymentionedornotintheContractDocuments.ItshallbeexecutedbytheContractorcompleteineveryrespectsothatnoprovisionfortheirsatisfactoryinstallation,functionandoperationisrequiredfromtheOwner.所有完成本项目所需的机电安装工程的提供，无论这些项目有否在合同文件中被明确提及。且须保证这些设施和设备的安装、运行和操作令业主彻底满意。

TheContractorshallensurethatallelectro-mechanicalerectionworksarefullycoordinatedwiththerespectivemechanicalequipmentandelectricalplant&equipment,control&automationsystemsandcivil&structuralworks.承包商应确保所有的机电安装工程与其各自的机械设备、电气设备、自动化控制系统及土建工程的完全配合。

sinoma29AllRIGHTSRESERVED6.8IncidentalServices配套服务
