2.6.TheTermsandProceduresofPaymentaccordingtowhichXXwillreimbursetheContractoraregivenAppendix1(TermsandModeofPayment)heretoXX将向承包商偿付的付款方式和程序见附录 1:付款条件和方式。Article3.EffectiveDate(ReferenceContractDataSheet)条款3:生效日期(参考合同数据表)EffectiveDate生效日期EffectiveDate生效日期3.1在所有以下条件满足之日，合同全面生效：thisContractAgreementhasbeensignedforandonbehalfofXXandtheContractor;本合同协议书由XX和承包商代表签署TheContractorhassubmittedtoXXthePerformaneeBondandAdvaneePaymentBond.承包商向XX提交了履约保函和预付款保函TheContractorhasreceivedtheAdvaneePaymentfromXXinaccordaneewithrelevanttermsoftheContract.承包商收到了XX按照合同相关条件支付的预付款Article4.Appendices条款4:附件TheAppendiceslistedinthePartIIofArticle1formanintegralpartofthisContractAgreement.条款1中所列的第二部分的附件构成合同协议整体不可分割的部分RefereneeintheContracttoanyAppendixshallmeantheAppendicesattachedheretoandtheContractshallbereadandconstruedaccordingly.合同中所提及的任何附件，指的是合同所附的附件。Article5.Commencement,Completion.PossessionandLiquidatedDamages条款5:开工，竣工，进场和约定赔偿金TimeforCommencement开工时间TheContractorshallcommeneetheWorksrightaftertheEffectiveDateaccordingtothetimescheduleasdescribedinAppendix4oftheContract.承包商须在合同生效日后，立即按照合同附件 4的时间进度要求开始工作。TimeforCompletion竣工时间WithoutprejudicetoGC26.2oftheGeneralConditionsVolume1Biddingdocument,theContractorshallproceedwiththeWorksinaccordaneewiththetimeschedulespecifiedinAppendix4(ProjectImpIementationSchedule)heretoandshallattainProvisionalAcceptanceoftheMMCoal-firedThermalPowerPlantwithin36monthsforUnitNo.1and42monthsforUnitNo.2andthewholePlantfromtheEffectiveDateofContract.在不违背招标文件第1卷的GC26.2的规定的前提下，承包商应该根据附件4（项目实施进度表）的规定，在合同生效之日起 36个月内获得MM燃煤火电厂1号机组的临时验收，在合同生效之日起42个月内获得MM燃煤火电厂2号机组和整个电厂的临时验收。TimeforPossessions场时间5.3XXshallgivefullpossessionofandaccordallrightsofaccesstotheSiteandrightstoallotherareasforimplementationofContractonorbeforethedate(s)ofContractEffectiveDate.XX在合同生效之日或者之前，给承包商进入和占用现场各部分实施合同的权利.LiquidatedDamagesforDelay工期延迟约定损害赔偿金5.4 IftheContractorfailstoattainProvisionalAcceptanceoftheMMCoal-firedThermalPowerPlantoranypartthereofwithintheTimeforCompletionSpecifiedinArticle5.2(TimeforCompletion)aboveorwithinsuchextendedtimetowhichtheContractorshallbeentitledunderGC39(ExtensionofTimeforCompIetion)oftheGeneralConditions/Volume1-ITB,theContractorshallpaytoXXUSD120,000/dayxtotaldaysofdelayforeachUnitpursuanttoGC26.2oftheGeneralConditions.Suchamountshallbepaidasliquidateddamagesandnotexceedtenpercents(10%)ofContractPrice.如果承包商未能按照条款5.2（竣工时间）的规定时间获得MM燃煤火电厂的临时验收，或者根据第1卷（ITB）的GC39（竣工时间的延长）的规定，在延长后的担保竣工之日仍未获得 MM燃煤火电厂的临时验收，那么根据GC26.2的规定，从规定竣工之日起开始计算，承包商应该向XX支付的工期延迟违约赔偿金为每台机组 120,000USD/天，作为延迟违约赔偿金支付的金额不得超过合同总价格的 10%。5.5GuaranteePeriod保证期TheGuaranteePeriodforthePlantshallbenotlessthan24monthseffectivefromthedateofProvisionalAcceptanceUnitissuedbyXXandinaccordaneewithGC27根据GC27的规定，电厂的保证期是从XX对机组临时验收起的二十四（24）个月内Article6Insurance条款6:保险TheinsuraneetobetakenoutandmaintainedbytheContractorpursuanttoGC34(Insuranee)oftheGeneralConditionsVolume1-BiddingDocumentshallbeasspeeifiedinAppendix3(InsuraneeRequirements)hereto.承包商的保险根据招标文件第1卷的GC34（保险）的和附录3（保险要求）的规定执行Article7PerformanceGuaranteesandLiquidatedDamages条款7:性能保证和违约赔偿金PerformanceGuarantees性能保证TheContractorguaranteestheattainmentofthePerformaneeGuaranteesspeeifiedinPerformaneeGuarantees(Appendix8)heretoinaccordaneewithGC28(PerformaneeGuarantees)oftheGeneralConditions/Volume1-ITB,subjecttoandupontheconditionsspeeifiedinPerformaneeGuarantees(Appendix8)hereto.承包商承诺达到附录8（性能担保）规定的性能担保值，并符合第1卷（ITB）GC28的规定。LiquidatedDamagesforFailuretoAttainPerformanceGuarantees未能达到性能保证要求的违约赔偿金
