gpayrollarrangements,pensionadministration,andinsurancesfortheCrewotherthanthosementionedinClause6;EnsuringthattheapplicablerequirementsofthelawoftheflagoftheVesselaresatisfiedinrespectofmanninglevels,rank,qualificationandcertificationoftheCrewandemploymentregulationsincludingCrew'stax,socialinsurance,disciplineandotherrequirements;EnsuringthatallmembersoftheCrewhavepassedamedicalexaminationwithaqualifieddoctorcertifyingthattheyarefitforthedutiesforwhichtheyareengagedandareinpossessionofvalidmedicalcertificatesissuedinaccordancewithappropriateflagStaterequirements.IntheabsenceofapplicableflagStaterequirementsthemedicalcertificateshallbedatednotmorethanthreemonthspriortotherespectiveCrewmembersleavingtheircountryofdomicileandmaintainedforthedurationoftheirserviceonboardtheVessel;EnsuringthattheCrewshallhaveacommandoftheEnglishlanguageofasufficientstandardtoenablethemtoperformtheirdutiessafely;ArrangingtransportationoftheCrew,includingrepatriation;TrainingoftheCrewandsupervisingtheirefficiency;OperatingtheManagers'drugandalcoholpolicyunlessotherwiseagreedTechnicalManagementTheManagersshallprovidetechnicalmanagementwhichincludes,butisnotlimitedto,thefollowingfunctions:ProvisionofcompetentpersonneltosupervisethemaintenanceandgeneralefficiencyoftheVessel;Arrangementandsupervisionofdrydockings,repairs,alterationsandtheupkeepoftheVesseltothestandardsrequiredbythePrincipalsprovidedthattheManagersshallbeentitledtoincurthenecessaryexpendituretoensurethattheVesselwillcomplywiththelawoftheflagoftheVesselandoftheplaceswhereshetrades,andallrequirementsandrecommendationsoftheclassificationsociety;Arrangementofthesupplyofnecessarystores,sparesandlubricatingoil;AppointmentofsurveyorsandtechnicalconsultantsastheManagersmayconsiderfromtimetotimetobenecessary;Development,implementationandmaintenanceofaSafetyManagementSystem(SMS)inaccordancewiththeISMCode(seesub-clauses4.2and5.3).CommercialManagement(onlyapplicableifagreedaccordingtoBox7TheManagersshallprovidethecommercialoperationoftheVessel,asrequiredbythePrincipals,whichincludes,butisnotlimitedto,thefollowingfunctions:providingcharteringservicesinaccordancewiththePrincipals'instructionswhichinclude,butarenotlimitedto,seekingandnegotiatingemploymentfortheVesselandtheconclusion(includingtheexecutionthereof)ofcharterpartiesorothercontractsrelatingtotheemploymentoftheVessel.IfsuchacontractexceedstheperiodstatedinBox13,consenttheretoinwritingshallfirstbeobtainedfromtheOwnersarrangingoftheproperpaymenttoPrincipalsortheirnomineesofallhireand/orfreightrevenuesorothermoneysofwhatsoevernaturetowhichPrincipalsmaybeentitledarisingoutoftheemploymentoforotherwiseinconnectionwiththeVessel;Providingvoyageestimatesandaccountsandcalculatingofhire,freights,demurrageand/ordispatchmoneysduefromorduetothecharterersoftheVessel;Issuingofvoyageinstructions;Appointingagents;Appointingstevedores;ArrangingsurveysassociatedwiththecommercialoperationoftheVessel.InsuranceArrangements(onlyapplicableifagreedaccordingtoBox8TheManagersshallarrangeinsurancesinaccordancewithClause6,onsuchtermsandconditionsastheOwnersshallhaveinstructedoragreed,inparticularregardingconditions,insuredvalues,deductiblesandfranchises.AccountingServices(onlyapplicableifagreedaccordingtoBox9TheManagersshall:EstablishanaccountingsystemwhichmeetstherequirementsoftheOwnersandprovideregularaccountingservices,supplyregularreportsandrecords;Maintaintherecordsofallcostsandexpenditureincurredaswellasdatanecessaryorproperforthesettlementofaccountsbetweentheparties.SaleorPurchaseoftheVessel(onlyapplicableifagreedaccordingtoBox10TheManagersshall,inaccordancewiththeOwners'instructions,supervisethesaleorpurchaseoftheVessel,includingtheperformanceofanysaleorpurchaseagreement,butnotnegotiationofthesame.Provisions(onlyapplicableifagreedaccordingtoBox11TheManagersshallarrangeforthesupplyofprovisions.Bunkering(onlyapplicableifagreedaccordingtoBox12TheManagersshallarrangefortheprovisionofbunkerfuelofthequalityspecifiedbytheOwnersasrequiredfortheVessel'strade.Managers'ObligationsTheManagersundertaketousetheirbestendeavorstoprovidetheagreedManagementServicesasagentsforandonbehalfofthePrincipalsinaccordancewithsoundshipmanagementpracticeandtoprotectandpromotetheinterestsofthePrincipalsinallmattersrelatingtotheprovisionofserviceshereunder.tohaveregardtotheiroverallresponsibilityinrelationtoallvesselsasmayfromtimetotimebeentrustedtotheirmanagementandinparticular,butwithoutprejudicetothegeneralityoftheforegoing,theManagersshallbeentitledtoallocateavailablesupplies,manpowerandservicesinsuchmannerasintheprevailingcircumstancestheManagersintheirabsolutediscretionconsidertobefairandreasonable.Provided,however,thattheManagersintheperformanceoftheirmanagementresponsibilitiesunderthisAgreementshallbeentitled:whenthereareconflictsamongsttheVessel’ssafetyandpollutionprevention,theoperationandmanagement,performanceandefficiency,managersshouldadheretotheprinciplesofsafetyfirstandenvironmentalprotection;Withoutprejudicetothecaptain’sresponsibilitiesunderthepremiseofexercisingthestatutorypowersindependently,theManagershavethefinaldecisionindealingwiththeaffairsofVesselsafetyandpollutionprevention.WheretheManagersareprovidingTechnicalManagementinaccordancewithsub-clause3.2,theyshallprocurethattherequirementsofthelawoftheflagoftheVesselaresatisfiedandtheyshallinparticularbedeemedtobethe"Company"asdefinedbytheISMCode,assumingtheresponsibilityfortheoperationoftheVesselandtakingoverthedutiesandresponsibilitiesimposedbytheISMCodewhenapplicable.'ObligationsThePrincipalsshallpayallsumsduetotheManagerspunctuallyinaccordancewiththetermsofthisAgreement.WheretheManagersareprovidingTechnicalManagementinaccordancewithsub-clause3.2,thePrincipalsshall:procurethatallofficersandratingssuppliedbythemorontheirbehalfcomplywiththerequirementsofSTCW95;ToprovideampleresourcestoenablethemanagementpersonneltocarryouttheworkforVessel’ssafetyandpollutionpreventeffectively.obeyallordersoftheManagersinconnectionwithshipboardcrewmanning&dispatch,ship&equipmentsmaintenanceandemergencyresponse.InsurancePoliciesThePrincipalsshallprocure,whetherbyinstructingtheManagersundersub-clause3.4orotherwise,thatthroughouttheperiodofthisAgreement:atthePrincipals’expense,theVesselisinsuredfornotlessthanhersoundmarketvalueorenteredforherfullgrosstonnage,asthecasemaybefor:Usualhullandmachinerymarinerisks(includingcrewnegligence)andexcessliabilities;Protectionandindemnityrisks(includingpollutionrisksandCrewInsurances);andWarrisks(includingprotectionandindemnityandcrewrisks)inaccordancewiththebestpracticeofprudentownersofvesselsofasimilartypetotheVessel,withfirstclassinsurancecompanies,underwritersorassociations("thePrincipals'Insurances");allpremiumsandcallsonthePrincipals'Insurancesarepaidpromptlybytheirduedate;ThePrincipals’InsurancesnametheManagersand,subjecttounderwriters'agreement,anythirdpartydesignatedbytheManagersasajointassured,withfullcover,withthePrincipalsobtainingcoverinrespectofeachoftheinsurancesspecifiedinsub-clause6.1:ontermswherebytheManagersandanysuchthirdpartyareliableinrespectofpremiumsorcallsarisinginconnectionwiththePrincipals'Insurances;orifreasonablyobtainable,ontermssuchthatneithertheManagersnoranysuchthirdpartyshallbeunderanyliabilityinrespectofpremiumsorcallsarisinginconnectionwiththePrincipals'Insurances;oronsuchothertermsasmaybeagreedinwriting.Indicatealternative(i),(ii)or(iii)inBox14.IfBox在协议开始后的合理时间内、在保险单每次换新时以及在每次支付保险费时（如有要求），应提供令船舶管理人满意的书面证据，表明其能履行本条的义务writtenevidenceisprovided,tothereasonablesatisfactionoftheManagers,oftheircompliancewiththeirobligationswithinareasonabletimeofthecommencementoftheAgreement,andofeachrenewaldateand,ifspecificallyrequested,ofeachpaymentdateofthePrincipals'Insurances.IncomeCollectedandExpensesPaidonBehalfofPrincipalsAllmoneyscollectedbytheManagersunderthetermsofthisAgreement(otherthanmoneyspayablebytheOwnerstotheManagers)andanyinterestthereonshallbeheldtothecreditofthePrincipalsinaseparatebankaccount.AllexpensesincurredbytheManagersunderthetermsofthisAgreementonbehalfofthePrincipals(includingexpensesasprovidedinClause8)maybedebitedagainsttheOwnersintheaccountreferredtoundersub-clause7.1butshallinanyeventremainpayablebytheOwnerstotheManagersondemand.ManagementFeeThePrincipalsshallpaytotheManagersfortheirservicesasManagersunderthisAgreementanannualmanagementfeeasstatedinBox15whichshallbepayablebyequalmonthlyinstallmentsinadvance,thefirstinstallmentbeingpayableonthecommencementofthisAgreement(seeClause2andBox4)andsubsequentinstallmentsbeingpayableeverymonth.ThemanagementfeeshallbesubjecttoanannualreviewontheanniversarydateoftheAgreementandtheproposedfeeshallbepresentedintheannualbudgetreferredtoinsub-clause9.1TheManagersshall,atnoextracosttothePrincipals,providetheirownofficeaccommodation,officestaff,facilitiesandstationery.WithoutlimitingthegeneralityofClause7thePrincipalsshallreimbursetheManagersforpostageandcommunicationexpenses,travellingexpenses,andotheroutofpocketexpensesproperlyincurredbytheManagersinpursuanceoftheManagementServices.IntheeventoftheappointmentoftheManagersbeingterminatedbytheOwnersortheManagersinaccordancewiththeprovisionsofClauses17and18otherthanbyreasonofdefaultbytheManagers,oriftheVesselislost,soldorotherwisedisposedof,the"managementfee"payabletotheManagersaccordingtotheprovisionsofsub-clause8.1,shallcontinuetobepayableforafurtherperiodofonecalendarmonthasfromtheterminationdate.Inaddition,providedthattheManagersprovideCrewfortheVesselinaccordancewithsub-clause3.1:应尽力与船员协调，避免发生额外的船员工资或遣散费用；如果有遣散费用发生，管理人应尽量使费用降低，委托人按实际发生的金额支付，但不大于一个月的船员支持费用。thePrincipalsshallcontinuetopayCrewSupportCosts(crewwages)duringthesaidfurtherperiodofonecalendarmonth;managersshouldendeavortocoordinatewiththecrew,avoidadditionalcrewwagesorseverancecosts;ifseverancecostshappened,managersshouldtrytomakecostslower,andthePrincipalsshouldpaytheactualamountoccurred,butnotmorethanonemonth'screwsupportcosts.管理人应尽量使费用降低，委托人按实际发生的金额支付。ThePrincipalsshallpaythecrewrepatriationresultingseverancecosts,includingtransportation,accommodationcostsandagentfees.Managersshouldtrytokeepcostslower,andthePrincipalsshouldpayperactualamountoccurred.IftheOwnersdecidetolay-uptheVesselwhilstthisAgreementremainsinforceandwhichshouldbenotifiedtotheManagersatleastonemonthinadvance,andmanagementfeeshouldbepaidinfullforthefirstcalendarmonth,afterwards50%forthesubsequentmonths,andifsuchlay-uplastsformorethanthreemonths,anappropriatereductionofthemanagementfeefortheperiodexceedingthreemonthsuntilonemonthbeforetheVesselisagainputintoserviceshallbemutuallyagreedbetweentheparties.UnlessotherwiseagreedinwritingalldiscountsandcommissionsobtainedbytheManagersinthecourseofthemanagementoftheVesselshallbecreditedtotheOwners.BudgetsandManagementofFundsTheManagersshallpresenttothePrincipalsannuallyabudgetforthefollowingtwelvemonthsinsuchformasthePrincipalsrequire.ThebudgetforthefirstyearhereofissetoutinAnnex"C"hereto.SubsequentannualbudgetsshallbepreparedbytheManagersandsubmittedtothePrincipalsnotlessthantwomonthsbeforetheanniversarydateofthecommencementofthisAgreement(seeClause2andBox4ThePrincipalsshallindicatetotheManagerstheiracceptanceandapprovaloftheannualbudgetwithinonemonthofpresentationandintheabsenceofanysuchindicationtheManagersshallbeentitledtoassumethatthePrincipalshaveacceptedtheproposedbudget.Followingtheagreementofthebudget,theManagersshallprepareandpresenttothePrincipalstheirestimateoftheworkingcapitalrequirementoftheVesselandtheManagersshalleachmonthup-datethisestimate.Basedthereon,theManagersshalleachmonthrequestthePrincipalsinwritingforthefundsrequiredtoruntheVesselfortheensuingmonth,includingthepaymentofanyoccasionalorextraordinaryitemofexpenditure,suchasemergencyrepaircosts,additionalinsurancepremiums,bunkersorprovisions.SuchfundsshallbereceivedbytheManagerswithintenrunningdaysafterthereceiptbythePrincipalsoftheManagers'writtenrequestandshallbeheldtothecreditofthePrincipalsinaseparatebankaccount.TheManagersshallproduceacomparisonbetweenbudgetedandactualincomeandexpenditureoftheVesselinsuchformasrequiredbythePrincipalsmonthlyoratsuchotherintervalsasmutuallyagreed.Notwithstandinganythingcontainedhereintothecontrary,theManagersshallinnocircumstancesberequiredtouseorcommittheirownfundstofinancetheprovisionoftheManagementServices.Managers'RighttoSub-ContractTheManagersshallnothavetherighttosub-contractanyoftheirobligationshereunder,includingthosementionedinsub-clause3.1,withoutthepriorwrittenconsentoftheOwnerswhichshallnotbeunreasonablywithheld.Intheeventofsuchasub-contracttheManagersshallremainfullyliableforthedueperformanceoftheirobligationsunderthisAgreement.ResponsibilitiesForceMajeure-NeithertheOwnersnortheManagersshallbeunderanyliabilityforanyfailuretoperformanyoftheirobligationshereunderbyreasonofanycausewhatsoeverofanynatureorkindbeyondtheirreasonablecontrol.LiabilitytoPrincipals-Withoutprejudicetosub-clause11.1,theManagersshallbeundernoliabilitywhatsoevertothePrincipalsforanyloss,damage,delayorexpenseofwhatsoevernature,whetherdirectorindirect,(includingbutnotlimitedtolossofprofitarisingoutoforinconnectionwithdetentionofordelaytotheVessel)andhowsoeverarisinginthecourseofperformanceoftheManagementServicesUNLESSsameisprovedtohaveresultedsolelyfromthenegligence,grossnegligenceorwillfuldefaultoftheManagersortheiremployees,oragentsorsub-contractorsemployedbytheminconnectionwiththeVessel,inwhichcase(savewhereloss,damage,delayorexpensehasresultedfromtheManagers'personalactoromissioncommittedwiththeintenttocausesameorrecklesslyandwithknowledgethatsuchloss,damage,delayorexpensewouldprobablyresult)theManagers'liabilityforeachincidentorseriesofincidentsgivingrisetoaclaimorclaimsshallneverexceedatotaloftheannualmanagementfeepayablehereunder.NotwithstandinganythingthatmayappeartothecontraryinthisAgreement,theManagersshallnotbeliableforanyoftheactionsoftheCrew,evenifsuchactionsarenegligent,grosslynegligentorwillful,exceptonlytotheextentthattheyareshowntohaveresultedfromafailurebytheManagerstodischargetheirobligationsundersub-clause3.1,inwhichcasetheirliabilityshallbelimitedinaccordancewiththetermsofthisClause11.Indemnity-ExcepttotheextentandsolelyfortheamountthereinsetoutthattheManagerswouldbeliableundersub-clause11.2,theOwnersherebyundertaketokeeptheManagersandtheiremployees,agentsandsub-contractorsindemnifiedandtoholdthemharmlessagainstallactions,proceedings,claims,demandsorliabilitieswhatsoeverorhowsoeverarisingwhichmaybebroughtagainstthemorincurredorsufferedbythemarisingoutoforinconnectionwiththeperformanceoftheAgreement,andagainstandinrespectofallcosts,losses,damagesandexpenses(includinglegalcostsandexpensesonafullindemnitybasis)whichtheManagersmaysufferorincur(eitherdirectlyorindirectly)inthecourseoftheperformanceofthisAgreement."Himalaya"-ItisherebyexpresslyagreedthatnoemployeeoragentoftheManagers(includingeverysub-contractorfromtimetotimeemployedbytheManagers)shallinanycircumstanceswhatsoeverbeunderanyliabilitywhatsoevertothePrincipalsforanyloss,damageordelayofwhatsoeverkindarisingorresultingdirectlyorindirectlyfromanyact,neglectordefaultonhispartwhileactinginthecourseoforinconnectionwithhisempl
