劳动合同中英文版劳动合同中英文版劳动合同中英文版劳动合同工号(EmployeeNo.):LaborContract甲方:PartyA:地点:Address:法人代表:LegalRepresentative:乙方:;性别:;身份证号码:PartyB:;Gender:;IDCardNo.:户籍所在地点::Theseatoftheregisteredresidence:Code:上海市通讯地点::MailAddressofShanghai:Code:基于乙方完好理解其所应聘甲方的岗位/职位的工作性质、特点和要求,以及工作环境和条件,依照?中华人民共和国劳动法?〔以下简称“?劳动法?〞〕、?中华人民共和国劳动合同法?〔以下简称“?劳动合同法?〞〕及其他相关中国现行法律法规的相关规定,双方在合法、公正、相同自觉、协商一致、老实信用的基础上,签署本合同。双方在此赞成,企业聘任职工为其整天制职工,且双方之间的劳动关系受劳动法律以及企业不时校正的在企业人力资源部门保存的企业职工手册和其他各项内部规章制度的拘束〔下称“企业内部规章〞〕。BasedonPartyBfullyunderstandingtheoccupation’sdescription,characterandrequirementprovidedbyPartyA,undertheLaborLawofthePeople’RsepublicofChinaandotherrelevantlawsandregulations(togetherreferredtoas“LaborLaws〞),PartyAandPartyBhavereachedthisContractoftheirfreewillonthebasisofequalconsultation,andagreedtocomplywithallprovisionsasstipulatedinthisContract.Bothpartiesconfirmthat,PartyBisafull-timeemployeeofPartyAandobeysLaborLaws;EmployeeHandbookssignedbyPartyBandkeptbyHRdepartment,anyandallPartyA’sotherregulations(“tog,erethfeerrredtoas“CompanyinternalRegulation〞).1.定义和讲解1.DefinitionandExplanation1.1甲方的关系企业:在本合同中指控制甲方或被甲方所控制的、或与甲方共同受控制于同一实体的任何企业。控制是指直接或间接拥有该企业百分之五十〔50%〕以上的股权、投票权或管理权。为明确起见,双方特此确认甲方关系企业包括但不限于[]。1.1PartyA’sAffiliate(s):meansanylegalentitythatdirectlyorindirectlycontrolsanotherentityviabeneficialownershipofmorethanfiftypercent(50%)ofvotingpowerorequityinanotherentity("Control"),orisControlledbyanotherentityorisundercommonControlwithanotherentity,solongassuchControlexists.Moreclear,bothpartiesconfirmthatPartyA‘sAffiliate(s)isincludingbutnotlimited______________..1.2商业奥秘:在本合同中指:〔a〕甲方或甲方的关系企业拥有的也许与甲方或甲方的关系企业实质或者预期的商业活动、研究和睁开相关的未向社会公开的非公开信息、技术资料〔包括但不限于设计、程序、产品配方、制作工艺也许公式、技术、设计、技术图示和图纸、工程方案、硬件配置信息〕、经营资料〔包括但不限于经营决策、客户名单、管理诀窍、供货渠道、销售渠道〕、企业的客户〔包括但不限于那些在乙方受聘时期乙方以前交往和熟悉的客户〕、财务资料〔包括但不限于销售额、营业数额〕、人事资料〔包括但不限于企业组织结构、职工薪资〕、商业交易奥秘也许KNOW-HOW〔包括但不限于研发方案、产品方案、任何与企业的产品、效力和市场相关的其他信息〕和/或其他任何可能对甲方或甲方的关系企业的经济利益或竞争优势造成影响的资料;〔b〕甲方或甲方的关系企业必定对第三方担当保密责任的任何资料。1.2ConfidentialInformation:(a)meansanyinformation,technicaldata,orknow-howconsideredconfidentialbyPartyAorPartyA’sAffiliate(s),includingbutnotlimitedto,research,products,software,services,development,inventions,processes,specifications,designs,drawings,diagrams,engineering,marketing,techniques,maskworks,designtapes,documentation,customerandsupplierinformation,pricinginformation,procedures,data,concepts,andfinancial,marketing,sales,manufacturing,operational,strategicplanning,budgetingandotherinformationdisclosedbyPartyAorPartyA’sAffiliate(s),whichisclearlymarkedoridentifiedas“Confidentialin〞caseofdisclosureinanytangibleformandwhichisclearlydesignatedasconfidentialatthetimeofdisclosureandthereafterreducedtoawrittensummarywithinthirty(30)daysincaseofdisclosureinanyintangibleform.(b)anyandallinformationordocumentsthatPartyAorPartyA’sAffiliate(s)shouldkeepconfidentialtothethirdparty.2.聘任限时、劳动酬金2.TermofLaborContract,RemunerationofLabor2.1甲方聘任乙方的合同种类、限时、试用期、薪资计算方式、详细数额、工作地点、职位、工作内容及职责范围详见本合同附件—:?职工聘任限时/薪资/工作说明表?。2.1LaborContracttype,period,probationperiod,salarycalculation,theamount,workingplace,title,jobdescriptionandresponsibilitywillrefertotheAttachmentone(“EmployeeJobperiod/Salary/JobDescriptionForm)ofthisLaborcontract.2.2乙方赞成依照附件一的相关规定从事相应的岗位工作并领取薪资,附件一中的薪资数额为税前薪资数额,甲方需依法为乙方代扣代缴由此产生的个人所得税。2.2PartyBagreestoworkandgetthesalaryfromAttachmentone,theamountshowedintheattachment1isbefore-taxsalaryandthatPartyAwilldeducttheincometaxforPartyBaccordingtothelaws.2.3甲方应每个月日前以钱币〔人民币〕形式足额支付乙方薪资。在法定工作时间内,乙方完成甲方规定的合理工作任务的,月薪资不得低于本市规定的职工月最低薪资标准。甲方安排乙方加班或延长工作时间,应依照国家及本市相关规定,按企业加班政策支付酬金。2.3PartyAshouldpaythesalarytoPartyBwiththeRMBcurrencyform.Inthelegalworkinghour,PartyBshouldfinishthereasonableandaccordingjob,thesalaryofeachmonthshouldnotislowthanthelowestsalarystandardofthelocal.IfPartyAarrangesPartyBtoovertimeworkorextendtheworkingtime,PartyAshouldpaytheaccordingallowancebasedonlawsandregulationofthecountryandthelocal.3.社会保险、休息休假及福利待遇3.SocialInsurance/RestandHoliday/Welfare3.1甲方依照相关法律法规的规定为乙方缴纳社会保险费,其中乙方个人应担当的局部,由甲方按月在乙方的薪资中代扣代缴。3.1PartyAwillpayforallmandatorysocialinsuranceaccordingtotherelevantgovernmentandcityregulations,anddeductthepartsthatneedtobepaidbyPartyBfromParty’ssalaryofeachmonth.3.2乙方患职业病、因工负伤或非因工负伤时其薪资和医疗待遇按国家相关规定执行。3.2Duringtheperiodofoccupationaldisease,work-relatedinjuryandnon-workrelatedinjury,PartyB’ssalaryandmedicalwelfarewillbepaidaccordingtorelevantregulationofgovernment.3.3乙方依法享受国家法定的节假日、婚假、产假、丧假等,详细状况见甲方相关规定。企业的生活福利政策,见甲方的相关规定。3.3PartyBisentitledtoofficialholiday,marriageleave,maternityleave,funeralleaveandsoon,thedetailpleaserefertoParty’srelevantregulation.PartyB’swelfarepolicywillbedescribedintherelativeregulation.4.工作时间、工作安排、加班认定及调岗调薪4.WorkHour/JobArrangement/OvertimeWorkcognizance/Adjustmentofoccupationandsalary4.1乙方应当依照甲方的工作时间制度:详细请参看甲方的?职工手册?、?考勤管理推行方法?等相关规定。4.1PartyBshouldobeyPartyA’sworkhourpolicy,thedetailpleaserefertoPartyA’sEmployeeHandbook,attendancepolicyandsoon.4.2甲方能够依照生产和工作需要及乙方的能力和表现合理调整乙方的工作,乙方愿意遵从甲方的管理和安排。4.2PartyAcanadjustPartyB’soccupationbasedontheneedofproductandjob,andPartyB’sabilityandperformance,PartyBagreestoobeyPartyA’smanagemgeemnteannt.darran4.3乙方加班须依照甲方的?职工手册?及?加班管理方法?等相关规章制度规定的内容执行。4.3OvertimeworkofPartyBshouldbecarriedoutbasedonPartyBHan’dbosoEkm,Opvloeyretiemeworkpolicyandotherrelativeregulations.4.4乙方在平常工作中应依照企业的要求工作。准时完成规定的合理工作数量,到达规定的质量标准。甲方可依照工作需要、雇员的绩效表现及身体状况能够调整雇员的工作岗位,并依照合同约定推行变岗变薪制度。4.4PartyBshouldworkasPartyA’srequestandmeetPartyA’srequestfromtheamountandqualitystandard.PartyAcanadjusttheemployee’soccupationbasedonjobneed,employee’sperformanceandbandthesalarywillbechangedaccordingly.5.商业奥秘5.ConfidentialInformation5.1除非早先经过甲方董事会赞成,或因乙方执行在甲方的职务所必定显露外,乙方不得将其从甲方或甲方的关系企业获取或得悉的商业奥秘以任何方式供应给其他任何第三方,也不得将该等商业奥秘向社会公开,亦不得为非工作的目的而私自使用该等商业奥秘。5.1UnlessgettingpriorPartyA’sdirectorapproval,orthedisclosurepurposeoffulfillingPartyA’soccupation,PartyisprohibitedtodisclosetheConfidentialInformationtoanythirdpartybyanymethod,todisclosetopublicandtouseitforthenon-workpurpose.5.2在本合同停止此后,乙方在本条款下的保密义务其实不随之停止,乙方仍需遵守保密条款,执行其所承诺的保密义务,直到甲方赞成其清除此项义务,或事实上不会因违反本保密条款而给甲方或甲方的关系企业造成任何形式的损害时为止。5.2ThisConfidentialityliabilityofPartyBshallsurvivetheterminationorexpirationofthisLaborContract.5.3乙方在聘任限时内编制的、使用或拥有的、与甲方或甲方的关系企业奥秘相关的任何文件〔包括全部来往书信、客户名单、笔录、备忘录、方案、图纸和其他性质文件〕、模具及样本均属于甲方或甲方的关联企业全部。如甲方或甲方的关系企业要求,乙方应马上将上述任何文件、资料或软件,交还甲方或甲方的关系企业,并且不得以任何方式连续保存、保存、拥有或使用上述文件、资料或软件。5.3AnydocumentscontrolledbyPartyBduringtheLaborContractperiod,whichisrelativewiththeConfidentialInformation,includingbutnotlimitedallletters,customerlist,note,memo,planandothers,model,andsamplebelongtoParty’sAanditsAffiliate(s).PartyBshouldimmediatelyreturnthemtoPartyAorPartyA’sAffiliate(s)ifrequiredbyPartyAoritsAffiliate(s),andisprohibitedtoretain,keep,ownorusethem.5.3乙方在甲方工作此间,未经第三方(此款所谓之第三方包括乙方以前之全部雇主)和甲方的同意,不得使用任何第三方的商业奥秘和其他知识产权。不得将任何第三方的商业奥秘带入甲方企业。违反此规定给甲方造成的任何损失由乙方担当。甲方有权依照规章制度对乙方进行办理。5.3DuringtheperiodofLaborContract,withoutthethirdpartyincludingPartyB’sbeforeemployerandPartyA’sconsent,PartyBshouldnotuseanythirdparty’sConfidentialInformationandintellectualpropertyrights,notbeallowedtocarryanythirdparty’sConfidentialInformationintoPartyAworkingplace.PartyBShouldcompensatePartyAanyandalllosscausedfrombreachingsuchregulationandPartyAhastherighttopunishPartyBaccordingtoPartyA’sregulation.5.5乙方赞成并成认,其依照本合同第四条和附件一中所确定的薪资已经包括了任何由于乙方担当和执行本合同项下保守商业奥秘的义务而需要甲方在合同有效和清除后依照任何法律所需要向乙方支付的相关补偿金。5.5PartyBagreesandconfirmsthatthesalarythatisdescribedinarticle4andAttachment1hascontainedallrelativecompensationthatneedtobepaidforobeyingtheconfidentialityliabilitywheneverduringtheeffectiveperiodandexpirationoftheLaborContractbasedonanylaws.6.工作设备6.WorkDevice6.1甲方应当向乙方供应执行职责所必定的工作设备。甲方供应乙方的工作设备只能用于与甲方业务有关的用途,不得用于与甲方业务没关并且影响到甲方业务、利益以及规章制度的执行的任何用途。6.1PartyAshouldprovidetheworkdevicetoPartyBfortheworkpurpose.ExceptforPartyA’sbusiness,thisworkdeviceisprohibitedtouseanyotherpurposethatisnotrelativewithPartyAandmaydoharmtoPartyA’sbusiness,interestandregulationfulfillandanything6.2甲方有权随时对工作设备的使用状况进行检查,如发现乙方违反上述规定使用工作设备,甲方有权停止该设备的使用,直至回竣工作设备。乙方不得以工作设备中包括个人物品、个人隐私资料、软件或其他个人财产为原因阻拦甲方对工作设备执行合法的权益。6.2PartyAhastherighttosupervisetheworkdevice,ifanybreachofusingrule,Partycanterminatetheuseofsuchdeviceatanytimetillreturnit.PartyBcan’tdisturbPartyA‘slegalrightstothisdevicewithanypersonalreasons,suchasitcoverspersonalthings,personalconfidentialinformation,softwareandotherpersonalproperty.7.劳动保护、劳动条件及职业病危害防范7.Laborprotect/Laborcondition/ProtectonWork-relatedInjury7.1甲方保证依照法律法规规定恩赐乙方必要的劳动保护和职业危害保护,包括但不限于安排乙方的工作时间及休息日吻合国家规定;供应安全、卫生的工作环境,并依照工作需要,按国家规定向乙方供应劳动保护工具和保健用品;女职工孕期、产期、哺乳期内对其供应相应的劳动保护。7.1PartyAwilldefendPartyBfromthedamagefromwork-relatedinjuryandprovidenecessarylaborprotectaccordingtothegovernmentlawsandregulation,includingbutnotlimitedtoarrangePartyB’sworktimeandresttimebasedontheruleofgovernment;providethesafeandcleanworkenvironment,providethetooloflaborprotectandbodyhealth;providethelaborprotectforthewomenemployeeduringthepregnancy,maternityleaveandfeedingperiods.7.2甲方如安排乙方从事接触职业病危害作业的工作,应早先见告乙方,并进行职业危害防范专项培训,采用针对性的劳动防范措施,供应上岗前、在岗和离岗前职业健康检查。7.2PartyAwillpriornoticePartyBifanyworkmayrefertotheharmofwork-relatedinjury,providethepreventtrainingandmeasures,andprovidethebodycheckbeforethework,inandafterthework.7.3乙方须遵守甲方拟定的作业指导书、操作规程、劳动安全卫生制度,自觉预防事故和职业病的发生。7.3PartyBshouldobeytheguideline,actioninstructionandlaborsafeandhealthregulation,andpreventtheincidentandwork-relatedinjury.8.劳动纪律8.Labordiscipline8.1乙方应遵守国家的各项法律规定和甲方依法拟定的各项规章制度。乙方违反劳动纪律,甲方可依照本单位的规章制度,恩赐必要的纪律处分以及经济处分,包括但不限于清除本合同。8.1PartyBshouldobeyallgovernmentlawsandregulationsmadebyPartyA.Ifanybreach,PartyAcanpunishPartyBbasedontheaccordingpolicy,includingbutnotlimitedtoterminatethislaborcontract.8.2甲方应当向乙方供应执行职责所必定的工作设备。甲方供应乙方的工作设备只能用于与甲方业务相关的用途,不得用于与甲方业务没关并且影响到甲方业务、利益以及规章制度的执行的任何用途。〔与重复〕8.2PartyAshouldprovidetheworkdevicetoPartyBfortheworkpurpose.ExceptforPartyA’sbworkdeviceisprohibitedtouseanyotherpurposethatisnotrelativewithPartyAandmaydoharmtoPartyA’sbusiness,interestandregulationfulfillandanything8.3甲方有权随时对工作设备的使用状况进行检查,如发现乙方违反上述规定使用工作设备,甲方有权终止该设备的使用,直至回竣工作设备。乙方不得以工作设备中包括个人物品、个人隐私资料、软件或其他个人财产为原因阻拦甲方对工作设备执行合法的权益。〔与6.2重复〕8.3PartyAhastherighttosupervisetheworkdevice,ifanybreachofusingrule,Partycanterminatetheuseofsuchdeviceatanytimetillreturnit.PartyBcan’tdisturbPartyA‘slegalrightstothisdevicewithanypersonalreasons,suchasitcoverspersonalthings,personalconfidentialinformation,softwareandotherpersonalproperty.9.技术培训9.SkillTraining9.1甲方将依照需要为乙方供应根本的职业技术培训,乙方应当接受甲方安排的培训活动。9.1PartyAmayprovidethebasicprofessionskilltrainingforPartyB,andPartyshouldacceptsucharrangement.9.2甲方为乙方供应专项培训花销,对其进行专业技术培训〔包括但不限于出国培训,专业技术的外训或内训等〕的,有权与乙方签署培训协议,约定效力年限。详细事宜由双方依照法律规定在培训协议中约定。9.2PartyAhastherighttosignthetrainingagreementandappointtheserviceperiodwithPartyBifPartyApaysthetrainingfeesandprovidestheprofessionskilltraining,includingbutnotlimitedtheabroadtraining,professiontrainingorinternaltraining.Thedetailspleaserefertothetrainingagreementsignedbybothpartiesaccordingtothelaws.10.合同更正10.ContractChange10.1双方经协商赞成,可随时更正本合同的任何内容。包括但不限于以下状况:10.1Afterbothpartiesnegotiateandagreeingoodfaith,anycontentofthisLaborContractcanbechangedatanytimebasedontheconditionasbelow,whichisincludingbutnotlimited:10.1.1订立本合同所依照的法律、法规已经更正;10.1.1TheapplicablelawsorprovisionsofthisLaborContracthavebeenrevised;10.1.2甲方的经营条件、主要业务或产权结构发生重要变化,无法连续执行本合同的;10.1.2AmajorchangeinPartyA’sbusinesscircumstances,mainbusinessorthepropertyframereliedresultstheLaborContracthardtoperform;10.1.3由于任何一方当事人难以战胜的客观原因致使本合同无法正常执行的;10.1.3TheobjectiveandinsurmountablereasonofanypartyresultstheLaborContracthardtoperformnormally.10.1.4法律规定的其他状况。10.1.4Othercircumstancesstipulatedinlawsoradministrativestatutes.10.2乙方赞成,若是发生以下任何一种状况,甲方有权一方面对乙方的任职部门、职位、级别、薪资及工作内容进行调整;10.2PartyBagrees,PartyAcanunilaterallyadjustPartyB’sdepartment,title,scale,salaryandjobcontent,if:10.2.1乙方违反了企业规那么〔包括但不限于职工手册、人事管理制度、标准作业标准等〕并被记大过;10.2.1PartyBisrecordedofseriousdemeritbecauseofbreachingCompanypolicy,includingbutnotlimitedEmployeeHandbook,HRmanagementPolicy,standardpolicyandsoon;or10.2.2乙方有渎职行为或被证明不能够胜任本职工作;10.2.2PartyBcommitsseriousderelictionofdutyorisincompetentandisprovedtobeincompetent;or10.2.3乙方不遵从直接上级职权范围内合理的指示;10.2.3PartyBdoesn’tobeythereasonableorderfromhisdirectleader;or10.2.4乙方行为不当,与正当及忠诚执行职责的原那么不吻合;10.2.4PartyB’sbehaviorisnotapplicableandnotaccordancewiththeprinciplesofjusticeandhonesty;or10.2.5乙方所任职的部门或所担当的岗位因客观原因此被撤掉;10.2.5Theoccupationisrevokedfortheobjectivereason;or10.2.6乙方因疾病、受伤或不测而无法执行其职务的时间连续高出二十个工作日或在十二个月内累计高出三十个工作日。10.2.6PartyBserialleavetimereachesmorethantwenty(20)workingdaysorthirty(30)workingdayswithintwelvemonths.11.合同清除与停止、经济补偿金11.TerminationofLaborContract/Economiccompensation11.1乙方提前清除本合同,试用期内应当提前三日通知甲方,试用期后应当提前三十天以书面形式通知甲方。11.1PartycanterminatetheLaborContractwithpriorthree(3)daysnoticetoPartyAintheprobationperiodandwithpriorthirty(30)dayswrittennoticetoPartyA.11.2其他关于劳动合同的清除和停止及支付经济补偿金的状况照国家和地方的相关规定执行。11.2OthercircumstancesofterminatingtheLaborContractsandpaymentofeconomiccompensationwillrefertotherelativegovernmentlawsorregulations.11.3乙方无论何种原因从甲方处离职的,均应依照?职工手册?的相关规定的流程及要求执行离职通知及工作交接义务。11.3Whateverresignationreasons,PartyBshouldobeytheresignationprocedureandrequestofEmployeeHandbooktofulfilltheliabilityoftakingoverthework.12.补偿责任12.CompensationLiability12.1甲方违反劳动安全和劳动保护的规定,致使发惹祸故,损害乙方利益的,应补偿乙方实质碰到的损失。12.1PartyAshallcompensatePartyBthedirectlossthatcausedbyaccidenceofPartyAbreachingtheregulationoflaborsecurityandprotection.12.2如乙方违反其于本合同项下的知识产权、保密、其他任何义务而给甲方造成经济损失,乙方应当赔偿甲方因此受到的直接经济损失,双方还有约定或国家还有规定的从其约定。12.2PartyBshouldcompensatePartyAthedirectlossforPartyBbreachingoftheliabilityoftheintellectualpropertyrights,confidentialinformationandothers.13.争议解决13.LaborDisputeResolution13.1本合同执行中如发生瓜葛,甲乙双方应协商解决,协商不行时,可提请甲方所在地劳动争议仲裁委员会仲裁解决。对仲裁裁决不服的,可向有管辖权的人民法院提起诉讼。13.1WherealabordisputebetweenthepartiestakesplaceduringtheperformanceofthisContract,thepartiesconcernedmayseekforasettlementthroughconsultation;oreitherpartymayapplytothelabordisputemediationcommitteeoftheirunitformediation.ifthemediationfailsandoneofthepartiesrequestsforarbitration,thatpartymayapplytothelabordisputearbitrationcommitteeforarbitration14.其他规定14Others14.1在双方结束劳动关系后,乙方赞成甲方向乙方的新雇主发出关于乙方依照本合同应有的相关权益和义务的通知。14.1AfterterminationoftheContract,PartyBagreesthatPartyAcansendthenewemployerthenoticeaboutPartyB’srelativerightsandliabilityunderthisContract.14.2乙方赞成倾尽全力遵守附件二?先前创立和原创作品表露表?、?知识产权声明?及附件三?利益矛盾指南?的规定。14.2PartyBagreestotryhis/herbesttoobeytheattachmenttwo(“thedisclosureofformerinventionandoriginalworks〞,“IntellectualPropertyRightDisclaim〞andattachmentthree(“ConflictofInterestGuideline〞).14.3若是本合同中任何条款因违反罪律或其他原因,可视为完好或局部无效,但不影响本合同的其他条款的法律拘束力。如本合同所依照的法律或地方法规更正,双方赞成本合同中相关条款从其更正,同时,如本合同的某些条款必定作出更正方可保持效力,那么双方须赞成对该条款进行最凑近该条款愿意的更正。14.3IfanyoneormoreoftheprovisionscontainedinthisContractshallbeinvalid,illegal,orunenforceableinanyrespect,thesubjectprovision(s)shallbeenforcedtothemaximumextentpermissiblesoastoeffecttheintentoftheParties.Thevalidity,legalityandenforceabilityoftheremainingprovisionscontainedhereinshallnotinanywaybeaffectedorimpairedthereby.NoprovisionofthisContractshallbeamended,modified,waived,dischargedorterminatedotherthanbyex
