TermsofShipment:海运和CIF条款下的装运：SHIPMENTInCaseBySeaOnCIFTerms:1）卖方须按时在装运期限内将货物由装运口岸装船并将货物于交货日期前在到货地点交货。TheSellersshallshipthegoodswithintheTimeofShipmentfromtheportofshipmentandshalldeliverythegoodsbeforethedateofdeliveryattheplaceofdestination.2）除特别说明外，不允许中途转船，不允许分运。装载船只不得悬挂买方不能接受的国家的旗帜。买方需在发货一个月前提前通知卖方不授受的旗帜名称.Transshipmentisnotallowed，Partialshipmentisnotallowed.unlessspeciallyspecified.Thegoodsshallnotbeshippedonanyvesselflyingtheflagofanationunacceptable(Buyertospecifyatleastone(1)monthbeforeshipmentdate)totheBuyers.3）装载船只必须适航、适装。船龄不得超过15年。如果船龄超过15年，其额外保险费则由卖方负担。如果船只在航行途中发生事故或故障时，发货人有责任立即通知买方。Thecarryingvesselmustbesuitableforthevoyageandforloadingthecontractedgoods.Theageofthevesselshallnotexceed15years.Incasetheageofthevesselexceeding15years,theextrapremiumshallbebornebytheSellers.Ifmarineaccidentortroubleofthevesselishappenedenroute,theshipperhasresponsibilitytoadvisetheBuyersimmediately.14．装运通知：Shippingadvice：卖方须于货物装船后，立即将合同号码、货物名称、数量、发票金额、毛重、船名、装运口岸、目的口岸及开航日期等在48小时内以电传或传真方式通知买方。如卖方未能按时通知买方，致使买方不能及时投保，因而发生的损失则由卖方负担。如单件货物的重量超过9公吨或宽度超过3400毫米或高度超过2350毫米，则卖方应将该件货物的重量和尺码告知买方。如货物系危险品，卖方应将其性质及其处理办法电告买方和到货口岸的买方运输代理。卖方所指定的船只或承运人应符合下列条件：TheSellersshall,immediatelyuponthecompletionoftheloadingofthegoodsbysea,advisetheBuyersbytelexorfaxofthecontractnumber,commodity,quantity,invoicedvalue,grossweight,nameofvessel,portofshipment,portofdestinationanddateofsailingetc.IncasetheBuyerfailstoarrangeinsuranceintimeduetotheSellernothavingadvisedintime,alllossesshallbebornebytheSellers.Ifanypackageisabove9metrictonsinweightorover3400mminwidthorover2350mminheight,theSellershalladvisetheBuyeroftheweightandmeasurementsofsuchpackage.Incaseofdangerousgoods,theSellershallnotifytheBuyerandhisshippingagentattheportofdestinationoftheirnatureandthemethodofhandlingthembytelexorfax.ThevesselorcarrierdesignatedbytheSELLERshallbeinconformitywiththefollowingterms:(1)卖方所指定的船只或承运人应能够在正常和合理的时间内到达中国的指定港口。ThevesselorcarrierdesignatedbytheSELLERshouldarriveattheportofdesignationinChinawithinanormalandreasonableperiodofthetime.(2)如在途中发生任何事故，卖方应在得知消息后毫不迟延地通知买方。若卖方未能在得知消息后通知买方，由此产生的一切损失或费用应由卖方承担。Incasethatanaccidentoccursduringthevoyage,theSELLERshall,ifnotifiedofsuchaccident,informtheBUYERattheearliesttimereasonablepossible.AnylossorexpensesincurredbytheSeller’sfailuretoinformtheBUYERafterhavingbeennotifiedoftheaccidentshallbebornebytheSELLER.15．质量保证：a）卖方保证货物是以最好的材料及一流的工艺制成并且是全新的、未曾使用过的、完全符合本合同规定的质量、规格和性能的。如果实际到货产品与提供的工作图不符，由此引起便跟造成的费用，由卖方负责。TheSellerguaranteethatthegoodshereofaremadeofthebestmaterialswithfirstclassworkmanship,brandnew,unusedandcompliesinallrespectswiththequality,specificationsandperformanceasstipulatedinthisContract.Iftheactualdeliveryoftheproductsandprovideworkingdrawingwithdiscrepancies,thecauseandthecostofwithcausedbytheselleris.b）质量保证期为买方向船东交船日期后12个月或者合同货物装运后24个月，以先到者为准。交船后该12个月的质量保证期的受益权将转移给船东。如在此之间货物发生损坏，卖方应保证损坏部分在维修后一年内不会再次损坏。Theguaranteeperiodshallbe12monthscountingfromthedateonwhichtheBuyerdeliversthevesseltotheShipowner,or24monthsafterdeliveryofthecontractedgoods,whicheverisearlier..Theextendedwarrantyperiodof12monthsforthegoodsfromthedateofdeliveryofthevesselshallpasstothebenefitoftheShipowner.IfSellerhasperformedguaranteeworkduringtheguaranteeperiod,Sellershallguaranteetherepairedpartsofthegoodsforaperiodofoneyearfromthedateofcompletionoftheguaranteework,ortheremainingpartoftheguaranteeperiodc）在上述质量保证期内，卖方收到买方的索赔要求后，应及时采取措施免费维修或更换损坏的货物或部件，否则，买方可自行委托修理或更换，费用由卖方负担。如果因为买方违章操作、不按规定进行正常的维护保养等因素造成的损坏和故障，需要卖方来维修及更换零部件所发生的费用由买方负责。同时，卖方应对不符合规格部分进行重新设计，制作，及修改，因此产生的费用由卖方负责。Uponreceiptofsuchnotice,theSellershall,withallreasonablespeed,repairorreplacethedefectiveGoodsorpartsthereofatfinaldestinationorworksite,withoutcoststotheBuyer.Iftheseller,havingbeennotified,failstoremedythedefect(s)withinareasonableperiod,theBuyermayproceedtotakesuchremedialactionasmaybenecessary,attheSeller'sriskandwithoutprejudicetoanyotherrightswhichthebuyermayhaveagainsttheSellerundertheContract.TheSellershallbeliableforallcostsassociatedwiththerepairorreplacementofdefectivework.16．商品检验：INSPECTION:货物装运之前，买方及买方授权的代表有权对货物的质量、规格及数量进行检验，卖方应对检验提供设备及必要的帮助，应买方的要求，卖方应向买方出具相关的检验报告，材质证书，及详细的计算书。货物在目的港卸下后，应买方的请求，中国商检机构可对货物的规格和数量再次进行检验。再次的商检费用由买方承担。BeforetheSeller’sshipmentofthegoods,BuyerorhisauthorizedrepresentativeshallhavetherighttomakewhateverinspectionsandverificationstheyconsidernecessaryinordertoverifythatthegoodsaremanufacturedinaccordancewiththeconditionsofthePurchaseContract.SuchinspectionsandverificationsmaybemadeatSeller’sfacilities,and/oratanyofhissubcontractor’sfacilities.Sellershallgivenecessaryassistanceincarryingouttheseinspectionsandverifications.Seller,ifrequiredbyBuyer,supplytoBuyertestreports,materialcertificates,calculationsetc.AfterdischargeofthegoodsatthedestinationandattheBuyer’srequest,theChinaCommodityInspectionBureauwillrepeattheinspectionofthespecificationsandquantityofthegoods.AnycostsincurredshallbebytheBuyer.17、关联服务incidentalservices:（一）卖方应保证制造厂根据买方需要，到达买方指定的地点提供下述服务：TheSellershallensuretheMakertosupplythefollowingservicesondemands.设备到货清点验收，卖方在收到通知后3天内到达船厂验收地点，验收所提出的问题将有卖方全部负责澄清并予以解决，若卖方不参与现场开箱清点验收工作，那么视为默认船厂自行安排验收得出的结论。 debuggingpersonnel,postponecommissioningtime.调试服务工程师到场后必须先行做出调试计划表，含检查、自行调试、报厂检、报船检等日程安排。调试工作开始后就以此计划表为准，与船厂项目经理日日核对，若发生影响该计划进度事宜，必须第一时间通知调试组及物资部。在最短时间内确认造成问题的原因，同时记录在案，若需要，将作为调试周期变更的依据。在合同规定的调试次数中，调试工程师的旅途时间不计入合同规定的调试周期内。因设备本身质量或卖方设计缺陷问题造成的服务时间不计入合同规定的调试周期内在调试服务期内，调试工程师的日常工作时间包含但不限于8小时工作制，调试周期内，必须根据船厂调试需要进行超出8小时工作服务配合，此时间仅计入当日服务时间，按一天计数调试人员在离厂时必须经过船厂及船东签字认可，否则，调试服务时间无效，需重新计算调试时间。Thedebuggingpersonnelmust
