ThiscontractismadebyandbetweentheBuyersandtheSellers;wherebytheBuyersagreetobuyandtheSellersagreetoselltheundermentionedcommodityaccordingtothetermsandconditionsstipulatedbelow：1、货物及价格/Commodity&Price:序号No.货物及主要规格Commodity&MainSpecifications数量Qty单价（USD）UnitPrice总价（USD）TotalAmount1.2共计CIP上海(欧元美元)/TotalValue（EURUSD）：56,大写：美元CIP上海伍万陆仟圆整USDTotalCIPShanghaiFIFTYSIXTHOUSANDONLY.2、产地及制造商/CountryofOriginandManufactures:德国/HEADACOUSTICSGMBHGERMANY/HEADACOUSTICSGMBH3、装运期限/TimeofShipment:合同正式签订后90天内。（并且在收到买方通知免税手续已办妥之后发货）Within90daysaftersignedthecontract,andafterreceivingtheinformationfromthebuyeroffinishingthecustomsfree-dutyapplicationofthiscontract.4、装运口岸/PortofLoading:德国主要港口MainAirportinGERMANY5、目的地/Destination:上海机场ShanghaiAirport货物清关和国内运输等手续由买方负责，买方承担货物由上海机场到上海市环境科学研究院（地址：钦州路508号）的运保费。Thebuyerinchargeofthegoods’customclearanceandinteriortransportation,andthebuyermustpaythecostoftransportationfromShanghaiairporttoqinzhouRoad.6、保险/Insurance:卖方负责办理一切保险（保险金额为110%合同金额）。TobecoveredbytheSellers(110%ofthetotalvalueofthecontract).7、付款方式/Payment:1）买方在合同签订后的30天内，T/T支付合同总价的40%；2）60%合同金额的货款在货物验收结束后20个工作日内凭以下单据T/T支付：a）60%合同金额的商业发票；b）卖方、买方及最终用户签字的验收合格证明书3份；c）经由买方事先书面确认的合同金额10%的不可撤消银行质量保函。3）质量保函有效期至货物验收合格证书签署后的12个月。银行保函受益人均为买方：上海市机械设备成套（集团）有限公司。1)Advancepaymentof30%ofthecontractvalueshallbepaidbyT/Twithin30daysaftercontractsigned.2)Thebalance60%willbepaidbyT/Tagainstthefollowingdocuments:a）60%contractvaluecommercialinvoice;b）TheacceptancesheetwiththesigneroftheEndUsersandSellers;c）60%ofcontractamountqualityL/GconfirmedbytheBuyers,validitythesamewithqualitywarrantyperiod.3)Thequalityguaranteeisvaliduntilthecontractallthegoodsafterthesigningofthefinalacceptancecertificatefor12months.ThebeneficiaryoftheL/GistheBuyer:SHANGHAIMACHINERYCOMPLETEEQUIPMENT(GROUP)CORP.LTD8、包装/Packing:以坚固的热处理过的木箱或非木质材料包装，适于长途运输，能够防潮、防震，并能抵御气候变化。对于不妥当的包装而引起的货物生锈和损失，其责任应由卖方承担。Tobepackedinwoodencase(s)withIPPCorcontainer(s)suitableforseafreightshipmentandclimatechanging.Thesellersshallbeliableforanydamagesorlossofthegoodscausedbyimpropriatepackingorrustattributabletoinadequateprotectivemeasureinpacking.9、唛头/ShippingMark:【买方填写】10、空运单据/airfreightDocuments:1）标明“运费已付”（CIP）的空白抬头、空白背书的已装运空运提单Fullsetofcleanonboardairbillsoflading,marked“FreightPrepaid”forCIPmadeouttoorderblankendorsednotifyingtheBuyers.2）标明合同号的发票正本3份及副本2份Invoicein5copiesindicatedcontractnumber.3）装箱单正本2份及复印件3份Packinglistin5copies4）制造商出具的货物品质和数量证书Certificateofquantityissuedbythemanufactures5）空运保险单airInsurance6）木质包装外包装上标有IPPC标志或生产厂家出具的无木质包装证明WoodpackingmaterialswithspraypaintmarksIPPCorcertificateofNoonwoodpackingmaterialusedissuedbythemanufactures7）生产厂家签发的原产地证书CertificateofOriginsignedbythemanufactures.卖方须在装上飞机后2个工作日内将以上所记全套装运单据传真给买方。TheSellersshallsendbyfaxafullsetoftheaforesaiddocumentsandinvoicewiththetotalcontractvaluetotheBuyerswithin2workdaysfromtheSeller.11、装运通知/ShippingAdvice:货物装上飞机后，卖方应立即以电报或传真通知买方合同号、重量、装箱尺寸、班次名、起飞日期和目的地。Immediatelyafterthegoodshavebeenloading,theSellersshallnotifytheBuyersbycableorFAXthecontractnumber,weight,packingsize,flightsandtakingoffdateoftheplaneandportofdestination.12、索赔/Claims:在货物到达目的地口岸90天内，如发现货物品质、规格或/和数量与合同规定不符合时，除属于保险公司或航空公司责任者外，买方有权凭中国的商品检验局出具的检验证书向卖方索赔换货或赔款，因此而发生之一切费用（包括检验费、退货及换货运费、保险费、仓储费及装卸费）由卖方负责。Within90daysafterthearrivalofthegoodsatdestinationport,thequality,specificationsorquantitybefoundnotinconformitywiththestipulationsofthecontractexceptthoseclaimsforwhichtheinsurancecompanyoraircompanyisliable,theBuyersshall,onthestrengthoftheInspectionCertificateissuedbyChinaCommodityInspectionBureau,havetherighttoclaimforreplacementwithnewgoods,orforcompensation,andalltheexpenses(suchasinspectioncharges,freightforreturningthegoodsandforsendingthereplacement,insurancepremium,storageandloadingandunloadingchargesetc.),shallbebornebytheSellers.13、质量保证/Warranty:卖方保证在加工产品材质和操作维护符合正常要求的前提下，所售设备自验收证书签署之日起12个月内运转正常。TheSellerswarrantsthatthemachineunitsshallconformtothespecificationsandwarrantiesfreefromdefectsinmaterialandworkmanshipfor12monthsfromsigningtheAcceptanceCertificate.14、人力不可抗拒因素/ForceMarjorie:卖方对在设备制造及运输期间由人力不可抗拒因素而引起的延迟交货或不能交货不负任何责任。例如，在出现了战争、火灾、地震、台风、自然灾害以及其它卖方所不能合理控制的任何意外事故和情况而阻止或干扰了本合同的履行时，卖方应立即通知买方所发生的人力不可抗拒因素，并在14天内，通过航空邮件将由事发当地政府机关颁发的事故证书寄给买方，供其核查。在这种情况下，卖方仍有义务采取必要措施加快交货的速度。TheSellersshallnotresponsibleforthedelayinshipmentornon-deliveryofthegoodduetoForceMarjorie,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit,suchaswar,fire,flood,earthquake,typhoon,naturalcatastropheandallothercontingenciesandcircumstanceswhatsoeverbeyondtheSellers’reasonablecontrolpreventinghinderingorinterferingwiththeperformancethereof.TheSellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,theSellersshallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbythecompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.15、迟交货罚款/DelayeddeliveryandPenalty:如卖方不能按合同规定时间交货时，除本合同第13条中所述的人力不可抗拒因素造成的延迟交货外，如卖方同意支付罚款，买方应同意推迟交货期。罚款总额不应超过货物总价的5%。罚款金额为每7天罚%，不满7天以7天计算。如果交货期的延迟超过10周，买方有权要求取消合同，而卖方仍应及时支付上述罚款。ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withexceptionofForceMarjoriecausesspecifiedinClause13ofthiscontract,theBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenalty.Thepenalty,however,shallnotexceed5%ofthetotalamountthegoodsinvolvedinthelatedelivery.Therateofpenaltyischargedat%foreverysevendays,odddayslessthansevendaysshouldbecountedassevendaysshouldbecountedassevendays.IncasetheSellersfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedinthecontract,theBuyersshallhavetherighttocancelthecontract,theSellersinspiteofthecancellationshallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.16、仲裁/Arbitration:凡有关执行合同所发生的一切争执，双方须通过友好协商解决，双方如协商不能解决时，此争执应提交设在中国上海的上海国际金融贸易仲裁委员会，按该仲裁委员会的仲裁程序进行仲裁。仲裁地点为上海，仲裁委员会的裁决对合同双方均有约束力。仲裁费用由败诉方承担。Alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledbyfriendlynegotiation.Ifnosettlementcanbereached,thecaseindisputeshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommissioninShanghaiinaccordancewiththeprovisionalrulesofprocedurespromulgatedbythearbitrationcommission.ThearbitrationshalltakeplaceinShanghai,China.AnydecisionmadebytheArbitrationCommissionshallbeacceptedasfinalandbindinguponbothparties;neitherpartyshallseekrecoursetoalawcourtorotherauthoritiestoappealforRevisionofthedecision.Arbitrationfeeshallbebornebythelosingparty.17、商品检验/CommoditiesInspection:货物到达目的地口岸后，买方应申请中国商品检验局（以下简称为商检局）就货物的质量、规格和数量进行检验。如发现货物的规格或数量与合同不符，除应由保险公司或船运公司负责的责任外，买方于货物到达目的地口岸卸货后90天内凭商检局出具的检验证书有权拒绝接收货物或向卖方索赔。Afterarrivalofthegoodsatthedestinationport,theBuyersshallapplytotheChinaCommodityInspectionBureau(hereinaftercalledCCIB)forapreliminaryinspectionofthegoodsinrespectoftheirquality,specificationsandquantityorboth,exceptthoseforwhicheithertheinsurancecompanyortheshippingcompanyisresponsible,theBuyersshall,within90daysafterdischargetheSellersonthestrengthoftheinspectioncertificateissuedbyCCIB.18、银行费用/BankingCharges
