3、inHenanProvinceandisthefirstprovincialCBMdevelopmentandutilizationcompanyinChina.PartyAhasobtainedthequalificationtoexclusivelycooperatewithforeignenterprises.PartyBisacompanyincorporatedandoperatingunderthelawsofSingapore.ThecompanyhasthetechnicalandcapitalcapabilitiesoftassessingCBMresources,desig

4、ningappraisalandpilotdrillingprogramsandsubjecttotechnicalsuccessofthoseprograms,movingtodevelopingandproducingcommerciallyviableCBM.Ithasdevelopedinnovative,lowcosthorizontalandverticaldrillingtechnologythatisinstrumentalinestablishingthesustainablegrowthofcommercialCBMproductionandpre-drainageofse

5、veralcoalminingareas.PartyCfocusesoncleanenergyandisengagedindevelopmentandutilizationofautomotivenewenergy,includingLPG,CNGandCBM.NowthecompanyhaseightCNGgasstations,twoLPGgasstationsandoneL-CNGgasstationinoperation.4.ItistheintentionofthepartiesthatPartyAandPartyBwillcooperateandcarryoutexploratio

6、nworkinthe6CBMblocksundertheprincipleof“easierblock/cherry-pickdevelopmentfirst”subjecttotheconditionthatthechoiceisbeneficialtoallparties.AspartoftheprocessofenteringintothePSCs,thepartieswishtocommenceatechnicalevaluationwithaviewtodeterminingthefeasibilityandscaleofCBMexplorationanddevelopmentwit

7、hinthecorrespondingareas.Tothisend,allpartiesagreetoincludeaconfidentialityclauseinthisLOIwiththeaimoffacilitatingtheprovidingandsharingofappropriatedata.6.PartyBandPartyCagreetocoverthecoststocarryoutthetechnicalduediligenceandevaluation,andthepartiesagreetoformulatetheindicativetimetableforthenego

8、tiationofthePSCindetailsafterthecompletiondetailsafterthecompletionofthetechnicalduediligenceandevaluation.B.CooperationIntention1.Evaluation.Thepartiesproposetocarryoutatechnicalcommercial&legalevaluationofthefeasibleareaselectedbyPartyAtodeterminethepotentialforCBMresources.Theevaluationshallalsoi

9、dentifyapreliminaryviewofthemostpromisingareasforinitialexplorationactivities,follow-upappraisalandpotentialdevelopmentofafull-scaleCBMprojectinthecorrespondingarea.2.Technicaldata.PartyAwilluseitsbestendeavorstocoordinatethecollectionoftechnicaldataforthecooperatedareas,asmaybenecessarytoconductthe

10、technical,commercialandlegalevaluation.Atthesametime,PartyAwillalsoarrangeforPartyBandPartyCtocarryoutsiteandundergroundminevisit(s)ofthecorrespondingareasasappropriateand,ifpossible,carryoutanalysisofphysicalcoalsamplesandavailabledrillcoresavailablefrompreviousdrillcoreprogramsundertakeninrespecto

11、fthecorrespondingareas.PartyAshallendeavortoarrangeappropriatestaffandpartyBandPartyCstechnicalpersonneltoworktogether,inordertocompleteallthetechnical,commercialandlegalevaluation,andefficientlyhandlethemutualinterferenceissuesthatmaybeoccurintheevaluationandminingwork.Thepartiesshallusetheirbesten

12、deavorstoworkco-operativelyatalltimeswithinthescopeofthecontentofthecooperationandshall,wherepossible,openlyshareinformationbetweenthemthatwillassistinaccomplishingtheobjectiveandpurposesofthisLOI.ProductionSharingContract.AllpartiesshallusetheirbestendeavorstoconcludeandsignthePSCs.Therightsandobli

13、gationsofeachpartywillbedefinedinPSCs.ThePSCsshallbereportedtothevariouscompetentgovernmentauthoritiesafterbeingsigned,andshallsubjecttotheapprovaloftherelevantregulatoryauthoritiesandtheMinistryofcommerceofthePeoplesRepublicofChinaandothergovernmentauthorities.JointVenture.Threepartiesplantosetupaj

14、ointventurecompanyoutsideofChina,theproportionoftheJointVenturetentativelyis:HenanCBM38%,PartyB/PartyC62%,PartyBhastherighttobringinastrategicpartner,PartyBsfinalshareratiomustbenotlessthan31%.(2)TheJointVenturewillsignthePSCwithHenanCBM,theparticipatinginterestinDevelopmentperiodwillbeHenanCBM20%an

15、dtheJointVenture80%respectivelyConfidentialityThepartiesshallensurethatallDatareferredtoinClause2aboveanddataobtainedfromanysubsequentjointevaluationactivityrelatingtothecooperation,includinganyphysicalsamplinganalysisinformation:(1)IsusedsolelyforthepurposesstatedinthisLOI;Isonlydisclosedtoitsemplo

17、sandanyotherinformation.3.Ifanypartybreachestheconfidentialityterms,thenon-defaultpartywillprosecuteagainstthedefaultpartyforlegalliabilitiesandclaimforcompensationforitslosses.C.Miscellaneous1.GoverningLaw.ThislOIshallbegovernedby,andconstruedaccordingto,theLawsofChina.2.Termination.ThisLOIshallter
