2、cipalplaceofbusinessat(hereinafterreferredtoasthe“buyer”),and,acompanyincorporatedandexistingunderthelawsofthepeoplesrepublicofchinawithitsregisteredaddressat,andwithitsprincipalplaceofbusinessat(hereinafterreferredtoasthe“seller”).whereas,thebuyerdesirestoengagethesellertoprovidetheequipment,relate

3、ddesign,technicaldocumentation,technicalserviceandtechnicaltrainingandtoobtainfromtheselleralicenseofpatentand/orknow-howinrelationtotheerection,testrun,commissioning,performancetest，operationandmaintenancefortheequipment,aswellasmanufactureofthecontractproducts.nowitisherebymutuallyagreedasfollows:

6、ofalltheconditionsstatedinarticle18.1.“equipment”meanstheequipment,machinery,instruments,sparepartsandmaterialssuppliedbytheselleraslistedinappendix3.“erection”meansplacingtheequipmenttothepositionsaccordingtothedesigndrawings,andconnectingitwithrelevantequipmentandutilities.“improvement”referstonew

7、findingsand/ormodificationsmadeinthevalidityperiodofthecontractbyeitherpartyonpatentand/orknow-howintheformofnewdesigns,formulas,recipes,ingredients,indices,parameters,calculations,oranyotherindicators.“jobsite”meansthesitewheretheequipmentshallbelocatedand/orerected,namely.“know-how”referstoanyvalu

8、abletechnicalknowledge,data,indices,drawings,designsandothertechnicalinformation,concerningtheerection,testrun,commissioning,performancetest，operationandmaintenancefortheequipmentaswellasmanufactureofthecontractproducts,developedandownedorlegallyacquiredandpossessedbytheselleranddisclosedtothebuyerb

9、ytheseller,whichisunknowntoeitherpublicorthebuyerbeforethedateofeffectivenessofthiscontract,andforwhichappropriateprotectionmeasureshavebeentakenbythesellerforkeepingknow-howinsecrecy.thespecificdescriptionofknow-howissetforthinappendix3.“lastshipment”meanstheshipmentwithwhichtheaccumulatedinvoiceva

10、lueofshippedgoodshasreached()percentofthetotalequipmentprice.“patent”referstoanyandalloftheeffectivepatentrightspossessedbythesellerandlicensedtothebuyerunderthecontractinconnectionwiththeerection,testrun,commissioning,performancetest,operationandmaintenancefortheequipment,aswellasmanufactureoftheco

11、ntractproducts,theno.andlistofwhicharesetforthinappendix3.“performancetest”meansthetestsforexaminingwhethertheequipmentisabletomeetguaranteefiguresspecifiedinappendix1.“technicaldocumentation”meansthetechnicalindicesanddata,specifications,drawings,processes,technicalandqualitystandards,andotherdocum

12、entscarryingthedescriptionsandexplanationsofpatent,know-howandothertechnicalinformation,inconnectionwiththeerection,testrun,commissioning,performancetest，operationandmaintenancefortheequipment,aswellasmanufactureofthecontractproducts,tobeprovidedbytheselleraslistedinappendix4.“technicalservice”means

13、thetechnicalinstruction,assistanceandguidancerenderedbythesellerasperappendix6.“technicaltraining”meansthetrainingrenderedbythesellerasperappendix7.“testrun”meanstheinitialrunofasinglemachineorthewholesystemoftheequipmentwithoutmaterials.“warrantyperiod”meanstheperiodofthewarrantygivenbythesellerass

14、pecifiedinarticle12.2,duringwhichthesellerisresponsibleforthedefectsoftheequipmentasperarticle12.scopeofthecontractthesellersobligationthesellershallsupplytheequipment,providethedesign,technicaldocumentation,andconductthetechnicalserviceandtechnicaltraining,andgrantthebuyerarighttousethepatentand/or

15、know-howassetforthinthecontract.thesellershallsupplytheequipmentwhichislistedinappendix3,thespecificationisdetailedinappendix1.thesellershallprovidedesigninaccordancewithappendix5,andsubmittothebuyerthetechnicaldocumentationlistedinappendix4.thesellershallconductthetechnicalservicesatthejobsiteasper

16、appendix6.thesellershallconductthetechnicaltrainingasperappendix7.thebuyersobligationthebuyershallathisowncostsandexpenses,providethesellerwithallinformationanddataconcerningthedesignasperappendix2.thebuyershallensurethecompleteness,correctnessandaccuracyofallsuchinformationanddata.thebuyershallathi

17、sowncostsandexpenses,obtainallnecessaryimportpermits,undertakecustomsclearance,takedeliveryoftheequipmenttobesuppliedbythesellerandtransportthemtothejobsiteintime.thebuyershallathisowncostsandexpenses,performallthecivilworks,construction,erection,missioningandperformancetestinaccordancewiththetechni

18、caldocumentationunderthetechnicalservicesrenderedbythesellerasperappendix6.thebuyershallathisowncostsandexpenses,supplyalltheequipments,sparepartsandfacilitiesrequired,exceptfortheequipmentsuppliedbythesellerasperappendix3.thebuyershallathisowncostsandexpenses,providethequalifiedandappropriatetechni

19、calpersonnel,labor,tools,utilitiesandthejobsiteintimeforerection,testrun,commissioning,andperformancetestasspecifiedinappendix2.thebuyershallathisowncostsandexpenses,performnecessaryadministrationandsecurityguardatthejobsite.grantoflicensetheselleragreestogranttothebuyerandthebuyeragreestoobtainfrom

20、theselleralicensetomanufacturethecontractproductsaswellastoconducterection,testrun,commissioning,performancetest,operationandmaintenancefortheequipmentwithpatentand/orknow-howaswellastouseandsellthecontractproducts.thename,model,specification,andtechnicaldataofthecontractproductsaredetailedinappendi

21、x1.thebuyershallnotmakeuseofpatentand/orknow-howforanypurposesotherthanthosestipulatedinthecontractwithoutpriorwrittenapprovalfromtheseller.theannualoutputofthecontractproductsmanufacturedbythebuyershallinnocaseexceed.(option1)thelicensegrantedunderthecontractshallbeanexclusivelicense.thesellershall

22、notretainitsrighttograntthelicensestoanythirdparties,ortoexplorepatentand/orknow-howaswellastosellthecontractproductsbyitselfwithintheterritoryspecifiedinarticle3.4.(option2)thelicensegrantedunderthecontractshallbeanon-exclusivelicense.thesellershallretainitsrighttograntthelicensestoanythirdparties,

23、andtoexplorepatentand/orknow-howaswellastosellthecontractproductsbyitselfwithintheterritoryspecifiedinarticle3.4.thelicensegrantedunderthecontractshallbeanon-transferableandnon-sublicensinglicense,underwhichthebuyershallneitherbeentitledtotransfernorgrantsub-licensetoanythirdpartywithoutpriorwritten

24、approvalfromtheseller.territorytheselleragreestograntthelicensetothebuyeronlywithintheterritoryof(countryorregion).thebuyershallnotexplorepatentand/orknow-howinanyplaceotherthanthejobsitewithoutpreviouswrittenconsentoftheseller.theselleragreestograntalicensetothebuyertouseandsellthecontractproductso

25、nlywithintheterritoryof(countryorregion).incasethebuyerfailstoperformitsobligationsunderthisclause,alltheactuallossesanddamagesthusincurredtothesellershallbebornebythebuyer,andthesellershallhavetherighttoterminatethecontractwithoutprejudicetoanyremediesspecifiedinthecontract.pricethebuyeragreestopay

27、ocumentationsis(sayonly).licensefeeis(say:only)thetotalcontractpricefortheequipmentisfordeliverycifport,andthetechnicaldocumentationsisfordeliverycip(byair)airport.cifandciptermshallbeinterpretedinaccordancewithincotermsXX,issuedbytheinternationalchamberofcommerce(icc).thetotalcontractpriceincludest

28、hepriceforsparepartslistedinappendix3.however,thetotalcontractpricedoesnotcoverthesupplyofanyotherspareparts.atthebuyersrequest,thesellermayprovidewithanyotherspareparts.aseparateagreementshallbesignedbetweentheparties.theabovepriceisfixedandfirm.thetotalcontractpricedoesnotcoverthetechnicalservicef

29、eeandtechnicaltrainingfeespecifiedinappendix6,7.thetotalcontractpriceaswellasthetechnicaltrainingandtechnicalservicefeeshallnotberegardedorinanywaybeexplainedorinterpretedascoveringanyofthecustomduties,taxes,orcharges,fees,andexpensesunlessexpresslylistedinthecontract.paymentdownpaymentwithin()daysa

38、buyerthefinaldeliveryscheduleinthree(3)copiesindicatingcontractnumber,dispatchnumber,nameoftheequipment,quantity,approximatedimensions,volumeofeachpackageandtimeofeachshipment.theportofshipmentis,whiletheportofdestinationis.advanceshipment,partialshipmentandtransshipmentareallowed,however,thesellers

39、hallinformthebuyerthirty(30)daysbeforesuchshipment.thedateofbillofladingforeachshipmentshallbeconsideredastheactualdeliverydate.thesellershallnotifythebuyerbyfaxofthefollowingwithinfive(5)workingdaysaftereachshipmentiseffected:contractnumbernameofthevesselandloadingportnameoftheequipmentshippednumbe

40、randdateofbillofladingtotalvolumetotalgrossandnetweighttotalnumberofpackages/casesthesellershallairmailthefollowingdocumentsinduplicatetothebuyer:billofladingcommercialinvoicepackinglistcertificateoforigininsurancepolicy.thelatedeliveryoftheequipmentifthesellerfailstodelivertheequipmentinaccordancew

43、percentofthevalueofthedelayedportionequipment.thesellershallbereleasedfromtheliabilitytothebuyerwhatsoeverinrespectofthelatedeliveryafterhispaymentofliquidateddamagesinaccordancewitharticle6.2.notwithstandingthesellerspaymentoftheliquidateddamagesforthelatedeliveryequipment,thesellershallnotbereleas

44、edfromhisobligationtodelivertheequipment.thedeliveryofthetechnicaldocumentationthetechnicaldocumentationlistedinappendix4shallbedeliveredcipairportbyairwithin()monthsaftertheeffectivedateofthecontract.thedateofairwaybillshallberegardedastheactualdeliverydateofthetechnicaldocumentation.within()workin

52、actory.eitherpartystechnicalpersonnelshallabidebythelawsoftheotherpartyscountryandtheregulationsoftheotherpartyduringtheirstayintheotherpartyscountry.standardsandinspectionthesellershallcarryoutthedesign,manufacture,inspectionandtestoftheequipmentaccordingtotheexistingstandardsofthepeoplesrepublicof

53、china,namelygb.thesellerorthemanufacturershall,athisowncostsandexpenses,inspecttheequipmentandissuetheex-workqualitycertificate.theopen-caseinspectionoftheequipmentshallbeperformedbythebuyerinthepresenceofthesellersrepresentativesonthejobsiteindaysafterthearrivaloftheequipmentatthejobsite.theopen-ca

54、seinspectionfeeshallbebornebythebuyer.thebuyershallinformthesellerofthedateone(1)monthbeforethedateofopencaseinspectionandshallalsorenderassistancetothesellersrepresentativesintheirinspectionwork.duringthejointopen-caseinspection,adetailedinspectionrecordshallbemadeandsignedbytherepresentativesofbot

55、hparties.incasethesellerisresponsibleforanydefectorshortageoftheequipment,theinspectionrecordshallbetakenasaneffectiveevidenceforthebuyertoclaimrepair,replacementorsupplementtotheseller.anyofsuchclaimsshallbelodgedbythebuyerwithinmonth(s)afterthearrivaloftheequipmentatthejobsite.ifanyshortage,defect

56、ofordamagetotheequipmentisfoundinopen-caseinspectionnotattributabletothesellersresponsibility,thesellershallmakerepair,replacementorsupplementatthebuyersexpensesinaccordancewiththeseparateagreementsignedbybothparties.thebuyerisnotentitledtoopenthecase,assembleand/ordisassembletheequipmentwithoutthes

57、ellerspriorwrittenconsent.ifthereisnojointopencaseinspectionduetothereasonsnotattributabletotheseller,thequantityandapparentqualityoftheequipmentshallbedeemedcorrectandinperfectcondition.designanddesignliaisonthebuyershallprovidetothesellerwithin()daysaftertheeffectivedateofthecontract,allthedesignd

58、atawhichshallbetakenasthedesignbasis.thesellershallnotbeliabletothebuyerfor,andthebuyershallindemnifythesellerandholdthesellerharmlessfromanydamagesorfailurecausedbytheincompleteness,incorrectnessand/orinaccuracyofanysuchinformationanddata.adesignliaisonmeetingshallbeheldinthe()monthafterreceivingab

59、ovementioneddesigndata,thesellerwilldispatchhistechnicalpersonneltothejobsitetoparticipateinthemeeting.duringthemeetingperiod,thesellerwilldiscusswiththebuyertherelevantdesigndetails.bothpartiesshallsignanagreementoutliningthedesigndetails.duringthedesignliaisonmeeting,thesellerandthebuyershallprovi
