2、 entered into the basic procedure for dealing with product quality problems, which is an indivisible part of (“frame agreement”) signed on XX/XX/XXXX and signed on XX/XX/XXXX., by and among Party A and Party B, 甲、乙双方应严格遵守本协议各条款的规定和要求，因违背协议而出现质量问题或质量事故，违约方应负全部责任，并按协议的规定赔偿对方的损失。Party A and Party B mus

3、t have a strict performance of all clauses and requirements of this Agreement. If any quality problem or quality accident due to non-compliance of the agreement, party in breach must take all responsibilities and compensate the other party according to the agreement.本协议对甲乙双方都有同等约束力。对本协议条款的任何变更、修改或增减

4、，须经双方协商并签署书面文件后生效。This Agreement is equally binding on both Party A and Party B. Any modification, revision, add or subtract of this Agreement will not be validated before both parties coordination and signature on paper documents.本协议生效之前发生的一切的质量争议，按原先已签订的质量协议或双方已认可的有效文件执行。Any quality dispute before

The system must get evaluation from a third party quality certification organization with universal recognition.从设计开始到本协议终止之日，乙方应该持续保留原始设计数据以及品质记录，如甲方要求，乙方须即时向甲方提供相应设计数据以及品质记录，包括但不限于原始设计图纸及技术数据（PCB Gerber除外）、生产过

8、程中的检验测试数据、生产直通率数据及OQC抽检数据；Party B must reserve original design data and quality record from the beginning of design till termination of the contract. and if Party A proposes requirements, Party B must provide design data and quality record in time , Including but not limited to Original design 2D/3D

9、 Draw, technical datum, Process test data, FPY, OQC report (except PCB Gerber);乙方应与甲方相关工程人员在技术问题上保持充分的沟通。Party B must keep a complete communication with Party As engineers on technical problems环境要求及可持续性Environmental requirements and sustainability乙方向甲方提供产品必须符合相关法律法规，包含但不仅限于RoHS, REACH等有害物质的限制要求,WEEE

Party B must carry out analysis and improvement within 2 work days once received.乙方向甲方提供产品中的安全器件必须经过甲方认可。The security components provided by Party B to Party A must be approved by Party A.4.2 关键器件验证 Key component verification

17、 a) 乙方应尽量选择甲方认可的关键器件供应商，如 壳料,按键, LCD, TP 等 Party B should priority choose key component supplier from Party As AVL, for example: tooling, keypad, LCD,TP etc b) 若乙方未选择甲方的合格供应商，则乙方须提前知会甲方，并安排甲方参与供应商审核，合格后方可使用。 If party B have no choose Party As AVL, Party A must qualify the supplier 外观件及Logo件验证（不同颜色均须

18、验证） Cosmetic components and Logo components verification (all different colors needed)乙方应向甲方提供相关外观件及Logo件表面工艺处理验证（详情请参考外观件测试标准及计划），甲方应及时向乙方反馈测试中的问题，乙方应该在收到问题反馈后2个工作日之内着手分析和改善；Party B provides to Party A related cosmetic components and Logo components for component surface finish verification (Refer

20、arty B to Party A must be approved by Party A.成品品质及设计相关要求Finished product quality and design requirements乙方向甲方提供产品必须符合甲方要求的相关测试标准及其要求（详情请参考附录AXXX可靠性测试标准及其相关测试计划）Products provided by Party B to Party A must be compliant to related test standards and requirements which are confirmed by both parties. 21、Refer to Appendix A and related test plans for more details)甲方应及时向乙方反馈测试失效项目，乙方在收到反馈立即组织分析原因以及改善对策；Party A must give feedback timely to Party B about invalid test items. Party B must organize immediately analysis and action plans once received.乙方需对设计过程中发生的设计变更项、设计不合格项做闭环管理，确保变更及不合格得到有效的解决，乙方保存所有闭环管理

22、中所有的记录文件并将发生在合同后的变更提交给甲方备案。甲方可适时向乙方提出变更、设计闭环管理的审核；Party B must have close-loop management on design modification parts and non qualified parts during design process, to ensure that modification and non qualified parts get effective solutions. Party B reserves all close-loop management archives, and

23、submit those modifications done after signed the contract to Party A for records. Party A can set audits appropriately on modifications and design close-loop management required by Party B.乙方向甲方提供产品必须获得甲方认可。Products provided by Party B to Party A must be approved by Party A. 硬件要求HW requirements乙方须向甲

24、方提供相关硬件测试报告，相关标准参考硬件性能指标附录BXXX硬件性能指标标准；Party B must provide related HW test reports to Party A. Refer to HW performance index Appendix B；乙方应向甲方输出各个节点的评审记录，包含但不限于设计方案硬件性能测试报告、改善记录，评审报告和质量策划案，试产报告及改善对策和关闭状态等；如果甲方对设计评审提出置疑或建议，乙方应给予合理解答或解决方案，直至甲方不再提出异议。Party B must output each review record to Party A,

25、including but not limited to design plan, HW performance test report and improvement records, review reports and quality plans, trial run reports and action plans and close status etc. If party A has doubts or suggestions on design review, Party B must give reasonable answers or solutions till mo mo

26、re objections raised by Party A.软件要求SW requirements乙方须提供经乙方测试通过，可用于正式量产的设计方案软件版本及按该设计方案生产的相应测试样机给甲方进行验证性测试，相关标准可以参考附录CXXX软件测试标准；Party B must provide SW that passed tests and used for mass production shipment together with test samples to Party A for verification test. Refer to Appendix C for relativ

27、e standards.乙方应向甲方提供软件测试的测试报告，供甲方评审；Party B must provide SW test report to Party A for reviews.乙方须对甲方测试发现的被定为NOK1问题必须改善的软件bug进行改善，NOK2 的问题在出货前必须有改善计划；Party B must correct SW bug tested and rated NOK1 by Party A, and have action plans on NOK2 before shipment.甲方对乙方提供的设计方案是否可用于量产出货拥有决定权，乙方将该设计方案用于量产之前须

28、先得到甲方的书面同意。Party A has the final say whether the SW provided by Party B can be used for shipment or not. Party B must get Party As written approval before using the SW for mass production. 5.4 外观要求Cosmetic requirements乙方出货外观须按照甲方提供的XXX外观检验标准（详见附录D）以及XXX合缝标准（详见附录E）；Party Bs shipment cosmetic must in

31、ipment inspect document according to (Refer to Appendix D for more details)产品认证及其要求Product certification and requirements甲方会根据国家相关法律以及行业内相关要求做相应的认证（包含但不仅限于CE/CTA），乙方应在认证前向甲方提供相关技术支持，并确保一次性通过相关认证。如因乙方的设计原因造成没有一次通过认证的，乙方负责后续的认证费并赔偿因此给甲方造成的其它损失（详情参考框架协议）。Party A will apply for related certification (in

32、cluding but not limited to CE/CTA) according to national laws and industrial regulations. Party B must provide related technical support to Party A before certification and to ensure one-off successful certification. If certification not successful by one time due to Party Bs design problem, Party B

33、 must be responsible for the following certification fees and other losses to Party A. (Refer to frame agreement for more details).设计、工程以及合作方的供应商管理以及供应商变更管理Design, engineering and cooperators suppliers management and supplier change management7.1 设计及工程变更Design and engineering change当乙方必须变更设计且影响产品性能及

34、关键零器件时，乙方应及时书面通知甲方，并提供相关评估报告（包含变更目的，变更风险，变更验证计划）以及变更物料区分管理；When Party B has to change design and influence key component and product performance , Party B must notice Party A in written form on time in advance and provide related evaluation report (including change purpose, change risks, change veri

35、fication plan) and change materials distinction management.对有库存的物料的变更，乙方必须向甲方提供库存物料（包含物料、半成品，成品）等的处理意见；For change on in-stock materials, Party B must inform Party A of way of dealing with in-stock materials (including materials, semi-finished products and finished products).乙方设计变更前必须得到甲方的认可，否则因此导致的损

36、失将由乙方全部承担。Party B must get Party As approval before design change, otherwise, losses caused by this will be counted to Party B.7.2 合作方的供应商管理以及供应商变更管理Cooperators suppliers management & supplier change management甲方有权对与乙方合作的供应商和加工厂进行审核，对不能达到甲方质量要求的，甲方有权要求乙方更换供应商或加工厂；Party A has rights to audit Party Bs

37、 suppliers and manufacturing factory. For those who can not meet Party As quality demands, Party A has rights to ask Party B to change supplier or manufacturing factory.当乙方需要开发物料第二供应商，乙方应至少提前5个工作日书面通知甲方，并提供潜在供应商资质证明以及验证计划和验证结果，并做好第二供应商的管控；When Party B needs to develop 2nd source, Party B must notice

38、 Party A in written form at least 5 work days in advance and provide potential suppliers qualification certificate, verification plans and results. A good management and control on 2nd source is necessary.当乙方变更供应商将会影响甲方生产的，乙方应做好相应的区分管理，并至少提前5个工作日通知甲方新的供应商物料将会到达甲方工厂，要求甲方做好相应的物料管控；When Party Bs change

39、 affects Party As production, Party B must have a good distinguish management, and inform Party A at least 5 work days in advance that new suppliers materials will arrive in Party As factory, to make sure that Party A can have correspondent material control. d). 当乙方需要更换加工厂, 乙方须在不影响产能交付的情况下提前15个工作日通知

40、甲方，并要获得甲方的资质认可后方可导入。 When Party B want to change the OEM factory, party B need to inform party A at least 15 works in advance with cant delay the Delivery, and the factory must be qualified ok by party A e).在未得到甲方认可的情况下，甲方有权否决乙方更换的第二供应商或加工厂；Without Party As approval, Party A has rights to reject the

41、 2nd source or fabrication plant modified by Party B.在产品开发及生产过程中，甲方有权派出相关人员长驻乙方，乙方应提供相应的办公条件及指定人员全力配合工作。During product R&D and production process, Party A has rights to assign resident representative in Party B. Party B must provide office support and appoint staff for cooperation.审核以及改善Audit & Impr

42、ovement甲方有权对乙方以及乙方供应商进行项目审核，月度审核以及季度和年度审核。Party A has rights to carry out project audit, monthly audit, quarterly audit and annual audit in Party B and his suppliers.若审核过程中发现乙方有不合格项目，甲方将会向乙方发出不合格报告并限期整改，乙方应在甲方规定的时间内提交整改报告以及相关记录供甲方验收，或者督促乙方供应商在规定的时间内完成整改；If there is any non qualified item during audi

43、t in Party B, Party A will release an unqualified audit report to Party B and requests to correct within a definite time. Party B must submit a correction report and related records to Party A for acceptance or supervise his suppliers to fulfill corrections within a definite time.若有不合格项目在限期内未能完成整改，在

44、征得甲方书面同意后，乙方方可延期整改；If corrections can not be completed within the definite time, Party B must get Party As approval for delay若发现有不合格事项，甲方有权拒绝乙方所提供的产品。Any non qualified matter found, Party A has rights to refuse the products provided by Party B.乙方稽核乙方的供应商以及报告。Party B audits his suppliers and reports乙

45、方应定期对乙方的供应商进行稽核，并向甲方提供稽核报告；Party B must audit his suppliers regularly and provide audit reports to Party A.乙方应定期审核乙方供应商针对不合格项的整改报告；Party B must audit regularly correction reports of non-qualified items from his suppliers.乙方应及时通知甲方在乙方审核工程发现乙方供应商的重大不合格项，对提供产品有重大品质隐患的应及时处理。Party B must inform timely Pa

46、rty A of severe non-qualified items during project audits and deal with the products provided with big quality hidden trouble.质量目标要求Quality target requirements市场返修率。Market return rate年市场返修率指标Year market return rate index最终产品上市后，一年市场返修率在X%以下（即一年市场返修率X%）；甲方将按以下年市场返修率统计方法来监控每月市场返修率，并且以X%作为目标。Since prod

47、ucts launched, one year market return rate is below 9% (i.e. one year market return rate X% ). Party A will make evaluation of the year market return every month based on the formula. 49、DA：(Accumulated Defect Accepted )单月的故障受理量(不含保修期外、消费者非正常使用、未造成故障受理且可通过升级软件解决的软件故障,外观问题、甲方指定供应商器件故障和误判(“误判”指经过甲乙双方确认的误判)，选取的故障受理量以其所指向参数月的当月月份数据为准。AS：(Accumulated Shipment)累计出货量：从首次出货计算至参数月。Year Market return rate formula: year market return rate= 12* ( (ADA (Month-1) + ADA(Month-2) +ADA(Month-3) ) /
