10、程施工合同风险防范与控制一、建设工程施工合同风险防范与控制任何一个企业从设立、存续、发展一直到解散,风险无处不在。法律风险也是如此伴随着企业存续的每个阶段。然而,我们在向企业提供诉讼、仲裁法律服务时,深深地感受到绝大多数企业很少在防范法律风险上下功夫,通常将律师、法律顾问当成消防员(代理打官司),要求他们完成“灭火”工作;而对于企业设立、合同签订、变更、履行以及解除、投融资、购并、员工聘用、解聘以及商业秘密保护等重要经营环节,不能主动邀请律师提前介入,结果出现这里刚“灭完火”,那边又“着了火”。如此一来,企业把精力不是放在经营和健康发展上, 而是放在 疲于应对各类诉讼、仲裁案件上。建筑施工企业

11、的法律风险主要来源于项目经理部,项目经理部是施工企业最基本的生产经营单位;项目经理部的法律风险常常体现在建设工程施工合同,材料、设备采购合同的签订、履行以及劳动用工、劳务分包等各个方面。而贯穿在项目经理部承包经营活动始终的建筑工程承发包双方的权利义务关系,则主要是通过建设工程施工合同来确定的。由于建筑市场实行的是先定价后成交的期货交易,其远期交割的特性决定了建筑行业的高风险性。因此,尽可能有效地防activities, comprehensive and tamping Safety Foundation . 31、长期性、多样性、复杂性以及建筑工程的特点而决定的。常见的建设工程合同风险分为三类:发包人(业主)资信的风险,外界环境的风险,工程本身涉及工程技术、工程承包价在履行中是赢利还是亏损、索赔和保险等方面的风险。1发包人(业主)的资信风险:主要是指发包人能否按照合同约定履行自己的义务,包括发包人项目手续的合法性、业主能否按照合同约定支付工程进度款、工程结算款,发包人是否是项目的真正业主以及发包人既往履约情况等等。2外界环境的风险:实际是建设工程合同的客观风险,包括天灾人祸以及市场波动、国家政策和法律的变化等。如钢材、商品混凝土、 沥青等主要材料的市场价格变动;政府、国家政策和法律发生变化等影响项目顺利

51、可归类为工程变更风险、市场价格风险、时效风险等。最高人民法院关于建设工程价款优先受偿权问题的批复对承包人行使工程款优先权设置了一定限制的条件:(1)消费者交付购买商品房的全部或者大部分款项后,承包人就该商品房享有的工程价款优先受偿权不得对抗买受人;(2)建筑工程价款包括承包人为建设工程应当支付的工作人员报酬、材料款等实际支出的费用,不包括承包人因发包人违约所造成的损失; (3)建设工程承包人行使优先权的期限为六个月,自建设工程竣工之日或者建设工程合同约定的竣工之日起计算。3工程技术、经济索赔等方面的风险:主要源于建设工程施工合同履行中有关工程本身而产生的风险,如工程技术变更引发的工程量的变化,
