In the term of trusteeship, any costs incurred (involvi

9、ng employees taxes and charges, welfare, administrative expenses, corporate taxes and charges, workplaces fee, etc), deficit, legal liability and thereof, shall be undertaken by the Subcontractor. 分包商保证合法地营运 申请人子公司名称 ，在此期间，不能做出任何有损 申请人子公司名称 利益的事情，不能以 申请人子公司名称 的名义借贷，不能对外担保，不得从事任何违法事宜。在托管期间所产生的所有的费用（包

10、括员工税费、福利、行政费用、公司税费及办公场所费用等）、亏损及法律责任等，均由分包商承担。 Independent Contractor: Both the Company and the Subcontractor agree that the Subcontractor will act as an independent contractor in the performance of its duties under this contract. This Agreement shall not constitute or be construed as a partnership,

11、employer-employee relationship, franchisee-franchisor relationship, joint venture or agency agreement between the parties. Subcontractor shall have the right to enter into agreements with other clients provided such agreements do not adversely impact Subcontractors performance under this agreement.

12、Accordingly, the Subcontractor shall be responsible for payment of all taxes including Federal, State and local taxes arising out of the subcontractors activities in accordance with this contract, including by way of illustration but not limitation, Federal and State income tax, Social Security tax,

13、 Unemployment Insurance taxes, and any other taxes or business license fee as required. In addition, because you are representing yourself to 申请人子公司名称 as an independent contractor and the parties believe they are creating an independent contractor relationship, if at a later date, the IRS, EDD, or a

16、会安全税、失业保险税、及任何其他税金或要求的营业执照费。此外，因为您对于 申请人子公司名称 而言是独立承包商，且双方确信他们之间建立了独立承包商关系，如果此后，IRS、EDD或任何其他税务机关确定将您归类为独立承包商是不正确的，您同意向 申请人姓名以及申请人子公司名称 赔偿中国驻美国的子公司由于重新归类您的雇佣身份而支付的所有税金、罚息、及罚金。分包商接受的任何工作不得被分包给其他个人或分包给海外的个人或海外机构。9.Confidential Information: The Subcontractor agrees that any information received during a

17、ny furtherance of the subcontractors obligations in accordance with this contract, which concerns the personal, financial or other affairs of the Company will be treated by the subcontractor in full confidence and will not be revealed to any other persons, firms or organizations. The Subcontractor w

18、ill use best efforts and reasonable diligence to: (a) Use such Confidential Information only for internal business purposes; (b) Protect supplied Confidential Information in the same manner as the Subcontractor protects its own Confidential Information; (c) Not make copies of any such Confidential I

19、nformation or any part thereof without the written consent permission of the Company; (d)Not disclose to others any such Confidential Information or any part thereof without the written consent permission of the Company; (e) To reasonably limit dissemination of such Confidential Information to perso

20、ns within the Company organization who have a need to know or utilize such Confidential Information.9.保密信息：分包商同意在根据本合同履行分包商义务的过程中收到的涉及公司的个人、财务或其他事务的任何信息将被分包商完全保密，且将不会泄露给任何其他人员、公司或组织。分包商将尽力并合理尽职地：(a) 仅为了内部商业目的使用此类保密信息；(b) 以分包商保护其自身保密信息的相同方式保护提供的保密信息；(c) 未经公司书面同意【准许】，不复制任何此类保密信息或其任何部分；(d)未经公司书面同意【准许】，

21、不将任何此类保密信息或其任何部分披露给其他人；(e) 合理限制仅将此类保密信息透露给公司组织内部需要知晓或利用该保密信息的人员。10.Absent a separate written agreement regarding ownership, in entering this agreement, you hereby grant to Xx Inc.all rights, titles and interest in the works conceived or first produced by Xx Inc. or its clients and any material produ

22、ced by you or your employees under this Agreement, and you agree that such materials are “works made for hire” exclusively for Xx Inc. or its clients under the copyright laws of the United States. In the event that any such work shall not be a work made for hire under said copyright laws, you hereby

23、 assign to Xx Inc. or its clients all rights, titles, and interest in such work and to execute whatever assignment of copyright or other documents whatsoever as may be required or appropriate to transfer and confirm exclusive title in such work to the copyright therein to Xx Inc. 10.无需关于所有权单独签署书面协议，

24、一旦签署本协议，您在此向Xx Inc. 授予了Xx Inc. 或其客户构思或首先创作的作品、以及您或您的雇员根据本协议创作的任何材料中的一切权利、所有权和利益，且您同意该材料根据美国版权法仅对于Xx Inc. 或其客户而言是“雇佣产品”。如果任何此类作品根据上述版权法并不构成雇佣作品，您在此向Xx Inc.或其客户转让此类作品中的一切权利、所有权和利益，并签署可能要求或恰当的版权转让书或其他文件，以向Xx Inc.转让此类作品中的独家所有权和版权并确认此事。11.Non-Solicitation and Non-Compete: Subcontractors will not directly

25、 or indirectly employ or recruit for employment any employee or subcontracted person of 申请人子公司名称 during the term of this Agreement and for one (1) years thereafter without prior written consent of 申请人子公司名称 . In the event an employee or subcontracted person is hired without prior written consent, dur

26、ing the time specified, subcontractor will pay 申请人子公司名称 an amount equal to 40% of the gross yearly wages of the employee or subcontracted person as liquidated damages, not as a penalty. Subcontractor agrees that during the term of this Agreement and for one (1) years thereafter, Subcontractor will n

27、ot directly or indirectly solicit any current or prospective customers for the purposes of establishing any business relationship to provide services contemplated by this Agreement. Further, during the term of this Agreement and for one (1) years thereafter Subcontractor will not establish a busines

28、s directly competitive with 申请人子公司名称 , which includes businesses in the field of transcription, within territory services by 申请人子公司名称 .11.不招揽且不竞争：分包商在本协议期间及其后一（1）年，未经中国驻美国的子公司的事先书面同意，将不会直接或间接雇佣或招募中国驻美国的子公司的任何雇员或分包人员。若未经事先书面同意，在指定期限内雇佣了某位雇员或分包人员，则分包商将向中国驻美国的子公司支付一笔金额，其等于该雇员或分包人员年薪总额的40%，以作为违约赔偿金，而非罚金

29、。分包商同意，在本协议期间及其后一（1）年期间，分包商不会为了建立任何业务关系提供本协议指定的服务，而直接或间接招揽任何当前或潜在的客户。此外，在本协议期间及其后一（1）年期间，分包商不会在中国驻美国的子公司服务的区域内建立与中国驻美国的子公司直接竞争的企业，其包括转录领域内的企业。12.This agreement may be terminated by either party with or without cause and for any or no reason upon thirty (30) days written notice to the other party. Th

30、is agreement may be terminated by either party for cause upon three (3) days written notice by the other party. Cause for termination includes, but is not limited to, violation of the covenant not to compete, violation of the confidentiality clause, any other material breach of this Agreement, or if

31、 your work product is below the standard relative to the normal quality of work performed by Xx Inc.12.任意一方可以在有正当理由或无正当理由的情况下，且无论是否有原因，通过向对方发出提前三十（30）天的书面通知终止本协议。任意一方可以通过提前三（3）天向对方发出书面通知因正当理由终止本协议。终止的正当理由包括但不限于违反不竞争承诺、违反保密条款、对本协议的任何其他重大违反，或工作成果低于Xx Inc. 履行工作的正常质量标准。13.Assignment and Subcontracting:

32、Subcontractor shall not assign any right or interest under this agreement or delegate or subcontract any work or other obligation to be performed or owed under this agreement without the prior written consent of Company.13.转让和分包：未经公司事先书面同意，分包商不应转让本协议规定的任何权利或利益，或是委派或分包根据本协议须履行或承担的任何工作或其他义务。14. Benefi
