2、共和国合同法之规定，达成如下协议，由签约各方共同恪守。The Parties hereto have carried out mutual consultation on an equal basis with respect to the research and development, deliverables ownership, profit distribution, risk liabilities and any related technical and legal issues concerning the project contemplated herein, the

3、Parties have entered into this Contract on the basis of good faith, pursuant to the Contract Law of the Peoples Republic of China, and agree to be bound hereby: 第一条 合同性质Article 1 Contract Type:本合同属于：1、委托开发合同 ; 2、合作开发合同 This Contract is : 1. Authorized Development Contract ; 2. Joint Development Cont

4、ract 第二条 签约时间和地点Article 2 Date and Place of Execution本合同由上述签约方于2019年11月25日在深圳签订。This Contract is made and entered into as of Nov 25, 2019 by and between the foregoing Parties in Shenzhen. 第三条 项目名称 V1玩具Article 3 Project Name V1 toy 第四条 技术内容 Article 4 Technology Description 4.1 甲方提供以下研发信息给乙方：背景技术、开发目的

5、、技术方案、有益效果、实施例子、相关专利参考。Party A provides Party B with the information of the background technology, purpose of the invention, technical scheme, beneficial effects, and references of related patents. 4.2 乙方在一个月内完成样板的制作。 Party B shall complete making the prototypes within one month. 第五条 研究开发计划Article 5

6、 Research and Development Plan5.1 第一阶段 Phase one (1). 启动阶段：材料选定、设计文件的获得、工艺文件的分析、计算机系统的建立、3D打印耗材的购买、验证机械结构和整体方案设计思路的初步沟通；Initialization phase: select the materials, obtain the design documents, analyse the process files, establish the computer system, purchase the 3D printing filaments, verify the me

7、chanism and primarily communicate the design thought for the general solution; (2). 设计阶段：原理设计、电脑仿真、版图设计；Design phase: principle design, computer simulation, layout design; (3). 测试阶段：初测及继续测试。Test phase: primary test and consecutive test. 5.2 第二阶段Phase two根据第一阶段测试结果对方案进行修改，同时配合总体设计进行修改。Alter the solut

8、ion according to the first phase results, and start the second run.5.3 双方确定，乙方应在合同方案的关键样板验证合格后，根据甲方的请求，为甲方指定的人员提供技术指导和培训，或提供与完成方案相关的技术服务。With the both parties confirmation and on the request of Party A, Party B shall provide technical guidance and training to the personnel designated by Party A or p

9、rovide technical guidance and training to the personnel designated by Party A, or provide the technical service related in the fulfilment solution after the key prototypes of the solution are qualified by the verification.5.4 双方确定，在本合同有效期内，甲方指定ABC为甲方项目联系人，乙方指定EFG为乙方项目联系人，一方变更项目联系人的，应当及时以书面形式通知另一方。未及

10、时通知并影响本合同履行或造成损失的，应承担相应的责任。With the confirmation of the both parties, within the validity of the contract, Party A shall designate ABC as Party As project contact person. Party B shall appoint EFG as Party Bs project contact person. If any change of the contact person occurs, one party shall inform

If one party fails to promptly inform the other party, it shall be held responsible for any influence or damage caused by the untimely notification during the performance of the contract. 第六条 转委托Article 6 Transfer开发方/合作双方可以将部分开发工作转委托给第三方。The Contr

12、actor/Cooperation Parties may transfer part of the development work to a third party. 第七条 权利保障 Article 7 Warranty签约方保证本合同涉及的全部技术内容具有自主性和真实性，并不因本合同的履行而侵犯他人的合法权益。The Parties warrant that all the technologies under this Contract are proprietary and authentic, and will not infringe upon others legitimat

13、e rights and interests due to the performance of this Contract.第八条 费用及支付方式 Article 8 Expenses and Payment Method8.1 本合同费用总额为USD5000.00。其中：1）技术开发经费为USD3000.00；（2）采购相关材料等费用为USD800.00元；（3）相关技术服务费为USD1200.00。8.1 The total expenses under this Contract shall be USD5000.00, including:(1) technical developm

14、ent expenses: USD3000.00; (2) expenses for the purchase of relevant materials: USD800.00; and (3) relevant technical service fees: USD1200.00. 8.2 甲方应在合同签订的七天内一次性支付费用给乙方.The expenses payable by the Party A under the development contract shall be paid in one lump sum within seven days after signing t

15、he contract. 第九条 违约责任Article 9 Liability for Breach如果一方不能按照本协议执行而给另一方造成了损失，受害方有权利要求对方给予相应的赔偿。If any party is unable to perform this agreement and caused the loss of the other party, the victim has the right to ask for the corresponding compensation. 第十条 合同条例和争议Article 10 Dispute Settlement Method如因本

16、合同履行发生争议，双方应当协商解决，协商不成时，任何一方均可向深圳市龙岗区人民法院起诉。In case of any dispute in connection to or arising from the execution of this Agreement, both parties hereto shall settle the case through consultation. In case no settlement can be reached, either party may appeal to Shenzhen Longgang Peoples Court.第十一条 未尽事项Article 11 Further Matter本协议中的未尽事宜，双方将友好协商解决并签署补充协议或其它书面文件。Both parties expect to sign additional supplementary contracts on future
