15、or object of whatsoever nature including anything carried thereon as described in PART 1 to which the Tugowner agrees torender the service(s) as set out in Box 22.1. 被拖物被拖物指拖轮船东同意为之提供第 22 栏中服务的， 并在第一部分载明的不论任何性质的任何船舶、艇筏或物体包括其所载之物品。2. Price and Conditions of Payment(a) The Hirer shall pay the Tugowner

16、 the sum set in Box32 (hereinafter called "the Lump Sum").(b) The Lump Sum shall be payable as set out in Boxes32 and 33.(c) The Lump Sum and all other sums payable to the Tugowner under this Agreement shall be payable without any discount, deduction, set-off, lien, claim orcounter-claim,

17、each instalmentof the Lump Sum shallbefullyand irrevocably earned atthe moment itis due asset out in Box 32, Tug and/or Tow lost or not lost, andallother sums shall be fullyand irrevocablyearnedona daily basis.(d) All payments by the Hirer shall be made in the currency and to the bank account specif

18、ied in Box 33.(e)Intheeventthatthe average priceper metrictonneof bunkers actually paid by the Tugowner differs fromthe amounts specified in Box 36 then the Hirer or theTugowner,as thecase may be,shallpay tothe otherthedifference per metric tonne for every metric tonneconsumed duringthe voyage. The

19、averagepricespecifiedabove shallbe the averageofthe pricesper metrictonneactuallypaid by theTugowner on thebasisofquantitiespurchasedatthelastbunkeringportpriortothe voyage,any bunkering port during the voyage, and the firstbunkering port after completion of the voyage. The logbook of the Tug shall

20、be prima facie evidence of thequantity of bunkers consumed.(f)Any Delay Payment due under thisAgreement shallbepaidtothe Tugowner as and when earnedon presentationof the invoice.(g) The Free Time specified in Boxes 26 and 27 shall beallowedforthe connectingand disconnectingof theTowand allotherpurpo

21、sesrelatingthereto.Free Time shallcommence when the Tug arrives at the pilot station attheplace ofdepartureortheTug and Tow arrivesatthepilotstationattheplaceofdestinationoranchorsorarrivesatthe usualwaitingarea offsuch places.ShouldtheFree Time be exceeded,Delay Payment(s)at the ratespecified in Bo

22、x 29 shall be payable until the Tug andTow sail from the place of departure or the Tug is freeto leave the place of destination.2. 价格和支付条件(a) 租用人应付给拖轮船东第 32 栏中所规定的金额（以下称“承包价”）(b) 承包价应按第 32 和 33 栏的规定支付。(c) 根据本合同应支付给拖轮船东的承包价和一切其他款项均无任何回扣、抵销、留置、索赔或反索赔，不论拖轮和/ 或被拖物灭失与否， 承包价中每一期付款均应在第 32 栏规定到期之日，全部和不可取消地为

23、拖轮船东所得，所有其他款项则均应全部和不可取消地由拖轮船东按天取得。(d) 租用人的一切付款都应按第 33 栏指定的货币制服到该栏指定的银行帐号。(e) 如果拖轮船东实际支付的每公吨燃油的平均价格与第36栏所列的金额不同，则租用人或拖轮船东应根据航行期间所消耗的燃油按每公吨的差价补偿给对方。上述平均价格应是拖轮船东在航行前最后的加油港口、航行中的加油港口以及完成航次后的第一个港口所购油量实际支付的每公吨燃油平均价格。拖轮的航海日志应是燃油消耗量的原始证据。(f) 根据本合同应付的任何延迟费一经出具发票为拖轮船东所得时，应即支付给拖轮船东。(g) 第 26 和 27 栏中所规定的免费时间应用于被

24、拖物的接拖和解拖以及与此有关的其他目的。免费时间应从拖轮到达起拖地的引航站或拖轮和被拖物到达目的港的引航站或锚地，或者到达上述地点外的通常等待水域时起计算。如果超过免费时间，则在拖轮和被拖物驶离起拖港或拖轮解拖后驶离目的港之前的时间，应按第 29 栏所列费率支付延滞费。3. Additional Charges and Extra Costs(a) The Hirer shall appoint his agents at the place ofdepartureand place of destinationand portsof callorrefuge and shall provid

25、e such agents with adequate funds as required.(b)The Hirer shall bear and pay as and when they fall due:(i) All port expenses, pilotage charges, harbour and canal dues and all other expenses of a similar nature levied upon or payable in respect of both the Tug and the Tow.(ii) All taxes, (other than

26、 those normally payable by the Tugowner in the country where he has his principal place of business and in the country where the Tug isregistered) stamp duties or other levies payable inrespect of or in connection with this Agreement or thepayments of hire or other sums payable under thisAgreement o

27、r the services to be performed under or inpursuance of this Agreement, any Customs or Excisedutiesand any costs,dues or expenses payableinrespectof any necessary permits or licences.(iii)The cost oftheservices of any assistingtugs whendeemed necessaryby the Tugmaster or prescribedby Portor other Aut

28、horities.(iv) All costs and expenses necessary for thepreparation of the Tow for towing (includingsuch costsor expenses as those of raising the anchor of the Towor tending or casting off any moorings of the Tow).(v) The cost of insurance of the Tow shall be the sole responsibility of the Hirer to pr

29、ovide.(c)All taxes, charges, costs, and expenses payable by the Hirer shall be paid by the Hirer direct to thoseentitled to them. If, however, any such tax, charge, cost or expense is in fact paid by or on behalf of the Tugowner (notwithstanding that the Tugowner shall under nocircumstances be under

30、 any obligation to make such payments on behalf of the Hirer) the Hirer shall reimburse the Tugowner on the basis of the actual cost to the Tugowner 8upon presentation of invoice.3. 附加费和额外费用(a) 租用人应指定在起拖地、 目的地和中途停靠港或避难港的代理人，并根据要求向其提供足够的备用金。(b) 租用人须承担并支付到期应付的下列费用：(1) 所有的港口费、引航费、码头和运河费，以及拖轮和被拖物被征收或应付的

31、类似的所有其他费用。(2) 所有税收（拖轮船东在其主要营业地所在国及拖轮船籍所在国通常支付的除外） ，印花税，或者与本合同有关或根据本合同应支付的租金或其他款项和与根据本合同所提供的服务有关的其他税收、 海关或货物税。以及在办理任何许可证或执照方面所需的花费和税费。(3) 拖轮船长认为需要或者港口或有关当局指定的辅助拖轮的服务费用。(4) 为被拖物备航所需的全部费用（包括被拖物起锚，或照料或解缆的此类费用） 。(5) 被拖物的保险费应有租用人单独负责。(c) 租用人应付的所有税款及费用须直接支付给应得方，但如.果此项税款或费用实际上已由拖轮船东或已代表拖轮船东支付（尽管拖轮船东在任何情况下都没

32、有用代表租用人支付这种费用的义务） ，租用人都应在拖轮船东提交发票时按照实际的费用开支补偿给拖轮船东。4. War Risk Escalation ClauseThe Lump Sum is based and assessed on all war risk insurance costs applicable to the Tugowner in respectof the contemplated voyage in effect on the date of this Agreement. In the event of any subsequent increase or decre

33、ase in the actual costs due to the Tugownerfulfilling his obligations under this Agreement, the Hirer or the Tugowner, as the case may be, shall reimburse to the other the amount of any increase or decrease in the war risk, confiscation, deprivation or trapping insurance costs.4. 战争险伸缩条款承包价以本合同签订时对实

InterestIf any amounts due under this Agreement are not paid when due, then interest shall accrue and shall be paid in accordance with the provisions of Box 34, on all such amounts until payme

SecurityThe Hirer undertakes to provide, if required by theTugowner, security to the satisfaction of the Tugownerinthe formand inthe sum, atthe placeand at thetimeindicated in Box 35 as a guarantee for due p

36、erformanceofthe Agreement. Such securityshallbe returned to theguarantorwhen theHirer's financial obligationsunderthis Agreement have been met in full. (Optional, onlyapplicable if Box 35 filled in).6.保证金如果拖轮船东要求，租用人应在第35 栏所列的形式、数额、时间和地点提交使拖轮船东满意的保证金，作为其正常履行合同的保证，一旦租用人完成其在本合同中财务上的全部职责，该项保证金即应退还给

Place of Departure/Notices(a)The Tow shallbe tendered to the Tugowner at theplaceof departure stated in Box 24.(b)The preciseplace of departureshallalways be safeand accessible for the Tug to enter, to operate in andfor the Tug and Tow to leave and shall be a place wheresuc

38、h Tug is permitted to commence the towage inaccordance with any local or other rules, requirementsor regulations and shall always be subject to theapprovalof the Tugowner which shallnotbe unreasonablywithheld.(c) (i) The Tow shall be ready to sail from the PlaceofDeparturebetween the datesindicatedi

39、nBox 28 (a),hereinafter called the Initial Departure Period.(ii) The Hirer shall give the Tugowner such notice asisstipulatedinBox 28 inrespectofInitialDepartureNotice (Box 28 (b),FinalDeparture1PeriodNotice(Box28 (c) and Final Departure Time and Date Notice (Box28 (d).(iii) The Tow shall be offered

40、 to the Tugowner, dulycertificatedand otherwisein accordance withthe termsand conditions of this Agreement.(d) If the Hirer fails to comply strictly with the provisions of CI. 7(c) the date of departure shall bedeemed to be eitherthe lastday of the InitialDeparturePeriod or the last day of the Final

41、 Departure Period,whicheveris earlier,and thisdate shallbe bindingforall consequences arising in respect of Delay Payments and any other payments due or charges incurred in the performance of this Agreement.7. 起拖地 / 通知(a) 被拖物应在第 24 栏规定的起拖地交付给拖轮船东。(b) 起拖的准确地点应是拖轮可以安全及易于进入、 操作和使拖轮同被拖物安全驶离，并应是按照当地或者其他规

42、定、要求或法规能使拖轮获准启航的地点，同时还必须取得拖轮船东的认可。对此，拖轮船东不得无故拒绝。(c)(1) 被拖物须在第 28 栏 (a) 项的规定日期内（下称最初起拖期限）做好自起拖地起航的准备。(2) 租用人须按第 28 栏的规定， 给予拖轮船东有关最初起拖通知（第 28 栏(b) ）、最终起拖期限通知（第28 栏(c) ）和最终起拖时间和日期通知（第28 栏 (d) ）。(3) 按照本合同的条款和条件被拖物交付给拖轮船东时，须备有全部证书和其他证件。(d) 如果租用人没有严格按照第 7 款 (c) 项的规定，则起拖日期应被认为是最初起拖期限的最后一天， 或是最终起拖期限的最后一天（以早

43、者为准） ，该日期应对因执行本合同而发生的延滞费和其他支付的款项或费用所带来的一切后果具有约束力。8. Place of Destination(a) The Tow shall be accepted forthwith and taken over by the Hirer or his duly authorised representative at the place of destination stated in Box 25.(b) The precise placeofdestinationshallalwaysbe safeand accessible fortheTug

44、and Tow to enter,tooperatein, and for the Tug to leave and shall be a place wheresuch Tug ispermittedto redeliverthe Tow inaccordancewith any local or other rules, requirements orregulationsand shallalways be subjectto the approvalof the Tugowner, which approval shall not beunreasonably withheld.8.

Riding Crew(a)In the event thattheTugowner providesa RidingCrewforthe Tow, such crew and theirsuitabilityfortheworkshallbe inthediscretionof the Tugowner.

46、Allexpensesfor such personnel shall be for the account of theTugowner.(b) In theevent thatany personnelare placedon boardtheTow by the Hirerall expenses forsuch personnelwillbe fortheaccount of theHirerand such personnelshallbe at all times under the orders of the Master of theTug,but shallnot be de

47、emed tobe theservantsoragentsof the Tugowner.(c)The RidingCrew shallbe providedat theHirer'ssoleexpense with suitableaccommodation,food,freshwater,life saving appliances and all other requirements tocomply as necessarywiththe law and regulationsofthelaw of the Flag of the Tug and/or Tow and of t

48、he Statesthrough the territorialwatersof which theTug willpass.or enter. It is a requirement that members of the Riding Crew provided by the Hirer shall be able to speak andunder the Englishlanguage or any othermutual language.9. 随船船员(a) 如果拖轮船东在被拖物上配置随船船员， 此项船员及其对工作的适应能力应由拖轮船东判定。这些人员的所有费用由拖轮船东负担。(b)

Towing Gear and Use of Tow's Gear(a) The Tug owner agrees to provide free of cost to theHirer all towing haws

50、ers, bridles and other towing gear normally carried on board the Tug, for the purpose ofthe towage or other services to be provided under this Agreement. The Tow shall be connected up in a manner within the discretion of the Tugowner.(b) The Tugowner may make reasonable use at his discretion of the

51、Tow's gear, power, anchors, anchorcables,radio,communication and navigationalequipmentand allotherappurtenancesfreeof cost duringand forthe purposes of the towage or other services to be provided under this Agreement.10. 拖航设备及被拖物上索具的使用(a) 拖轮船东同意为执行本合同规定的拖航和其他服务而免费向租用人提供所有拖缆、龙须链和拖轮上通常携带的其他拖航用具。被拖物要按照拖轮船东自行决定的方法连接。(b) 拖轮船东在拖航期间为执行本合同所规定的拖航或其他服务，可自行决定免费合理使用被拖物上的索具、动力、锚、锚链、无线电、通讯和航海
