2、corporationinvestors,actingasaninvestmentagent,assistingininvestmentmanagementandprovidingIPOconsultationservices.乙方在英国及香港、中国（大陆）主要经营范围为：PartyB'smajoroperationinGreatBritain,HongKongandChinaareasfollows;A企业战略咨询：包括以中英为核心的世界投融资业务、并购业务、资本市场与证券、财务和法律顾问、战略发展顾问、招商引资。CorporationStrategyAdvisoryServices

8、nstoPartyBforIPOinUKStockMarket(includingMainBoardandGEMBoard).2、 私募融资：乙方为甲方输送的中国企业在英国境内进行私募融资；PrivateEquityFundFinancing:PartyBwillintroducetheUKPrivateEquityFundtoPartyAforpotentialChinaCorporation.3、 企业服务：乙方为甲方输送的中国企业提供在英国的分支以及独立机构注册及其管理服务，甲方为乙方输送的英国企业提供在中国的分支以及独立机构注册及管理服务；CorporationServices:Par

10、化经济交流：甲乙双方共同组织主办在中国以及英国境内的各种金融投资、文化经济交流活动以及国际间招商引资活动。CulturalandEconomicalExchangeProgram:PartyAandPartyBwillco-operatetoorganizevariousactivitiesinUKandPRCforFinancialInvestment,CulturalandEconomicalExchangeProgramandInternational-wiseBusinessDevelopmentConference.合作方式MannerofCo-operation1、 乙方授权甲方为

11、其在中国境内的代表机构，负责乙方在中国的合作项目及相关事务。PartyBauthorizedPartyAtoactastheRepresentationAgentofPartyBinMainlandChinatoperformtheco-operationbusiness.2、 甲方授权乙方为其在英国境内的代表机构，负责甲方在英国及国际的合作项目及相关事务。PartyAauthorizedPartyBtoactastheRepresentationAgentofPartyBinUKtoperformtheco-operationbusiness.3、 甲乙双方为对方提供双语翻译1名，负责双方日

12、常事务的沟通交流；BothPartieswillprovideabilingualtranslatorforeachothertotakecarebothpartiesdailyoperationandcommunicationmatters.4、 甲乙双方互设办事处及电话转、接听服务。BothPartieswillestablishtheirownrepresentationofficeandprovidecalltransferandpick-upservices.5、 甲乙双方共同建立高层定期沟通制度，保证各项工作的顺利开展.BothPartieswillmutuallydevelopp

13、eriodicalmanagementcommunicationsystemtoensuresmoothdevelopmentofco-operationbusiness.6、 甲乙双方各自认定对方为其在对方所在国的战略合作伙伴；为共同项目合作成功而努力。BothPartieswillrecognizeanotherpartyasthestrategicpartnerinitsownterritoryandstriveforthesuccessfulonco-operationbusiness.7、 甲乙双方同意，在本协议有效期内，一方可以使用另一方所有合作项目中拥有合法著作权或者合法授权的文

15、earlystated.8、 涉及商务考察和项目运作费用，以及利润分配等方面，甲乙双方可通过签定具体项目合同予以解决。RegardingtheexpensesandprofitsharingfortheBusinessInvestigationprogramandspecificco-operationproject,bothpartieswillresolveitinanotheragreement.三、合作承诺：Co-operationCommitment1、 友好合作、紧密配合、互相尊重、互相学习为基础；认可客观中西文化差异性，吸收优秀文化，谋求中西融合、和谐发展。BothParties

16、agreedtheco-operationarebuiltuponfoundationoffriendlyco-operation,closelysupport,mutuallyrespectandco-learningbase.BothPartieswillobjectivelyrecognizetheEasternandWesternculturaldifference,learningthebestpartsfromeachother,strikingforthebestharmonicdevelopment.2、 工作缜密细致、诚实守信、合法经营、各自承担法律义务。BothPartie

17、sagreedtoworkdeliberatelywithintegrity,operatelegallyandberesponsibleforindividualsownduty.4、 甲乙双方均认可本协议是对双方合作的一种框架性安排，涉及到具体项目再另行签订相关合同书。BothPartiesfullyrecognizethatthisagreementonlyservesasaframeworkofco-operation.Forthedetailsofindividualco-operationproject,anotherindependentagreementwillbeagreedandsigned5、 未尽事宜双方协商解决。Forthemattersnotcoveringinthisagreement,bothpartieswillmutuallydiscuss.6、 本协议有效期为5年，从2008年4月1日始至2012年3月30日止。协议期满，甲乙双方另行协商续签。ThisAgreementi
