18、blicofchinaandhasthepowerandauthoritytoownitspropertytoconsummatethetransactionscontemplatedinthiscontractandjointhelitigation,theborrowerhasthepowertohandleitassetsusedinoperation.2. theborrowerisatitsoptiontosignandperformthiscontract.itistheborrowerstruemeaningandhasthepowertosignthiscontractandi

19、tisnotbreachitarticleofassociationorregulationsorcontracts,theprocedureforsignatureandperformanceofthiscontracthasbeengonethroughandfullyeffectiveness.3. thealldocuments,materials,reportsandcertificatesprovidedtothelenderbytheborrowerforconsummationofthiscontractistrue,real,competeandeffective4. the

20、borrowershallnotconcealthefollowingeventswhichisbeinghappenedorhavebeenhappenedwhichwillcausethelenderrefusetoextendtheloan:(1) theborrowerortheprincipalexecutivesoftheborrowerinvolveinmaterialeventswhichbreachregulations,lawsorcompensationtoothers;(2) pendingactionsandarbitration;(3) theborrowersde

21、btsorproposeddebtsorliensandotherencumbrances;(4) theothermatterswillimpactthefinancialstatusorabilitiesofrepaymentforthedebts;(5) theborrowerbreachedcontractwhichisbetweentheborrowerandothercreditors.ii.theborrowerherebywarrantsasfollows:1. usingthecapitaloftheloanasusagesetforthinthiscontract,theb

22、orrowerwillnotusetheloanasequityinvestment;theborrowerwillnotusethecapitaloftheloaninvestinsecurity,future,realestateetc.theborrowerwillnotlendtotheothersprivatelyorinvolvingothermaterswhichisprohibitedbythecountry,theborrowerwillnotmisusingorappropriationoftheloan.2. makingpaymentandrelatedexpenses

24、filesandmaterials;4. anyanti-guarantyorothersimilardocumentswillnotmakeanyimpactontherightsandbenefitsofthelenders;5. acceptingthesupervisionofthelender,providesassistanceandcooperationforthelenderssupervisions;6. willnotreducetheregistrationcapital;priorapprovalfromthelendershallberequiredwhenthebo

25、rrowerchangesofshareholdersandoperationmanner(includingbutnotlimitedtojointventure,cooperation,jointlycooperation;dissolution,closedown,liquidation,transformation;merger;changetosharecompany,usethehousing,machineryorotherrealassetsortrademark,intellectualproperty,knowhow,landingusingrightsorotherint

26、angibleassetstoinvestinsharecompanyorinvestmentcompany,tradingofoperationrightorownrightbycontractingjointoperation,trusteeship)7. theborrowershallinformthelenderandwarrantstheliabilityunderitssecuritywillnotmorethannetassetsoftheborrowerwhentheborrowerguaranteeforotherpartyormortgageitsassets,thebo

29、nsorarbitration;10. theborrowershallkeepsufficientbalanceforrepaymentprior*totheduedate.11. theborrowershallkeepitsbanktransactionsregardingincomecollection,sellforeigncurrencyorbuyforeigncurrencyect.shallbeconductedatthelenderorotherbranchesofthelender,theturn-overforthecapitalshallsatisfythedemand

34、ct;(3) theborrowerbreachestherepresentationandwarrantssetforthinarticle11.(4) theborrowerbreachesotherloanagreementsorguarantyagreementsortheguarantorbreachtheguarantyagreementwhichmaymakeimpacttheborrowertoperformtheobligationsunderthiscontract.(5) conclusiveevidencetoshowthattheborrowerlosethecapa

35、cityofcreditorduringperformanceoftheobligationunderthiscontract,thefinancialconditionsoftheguarantorareseriouslydeterioratingorotherreasonscausedtheguarantorthecapacityofcreditdecline.(6) theborrowerbreachestheotherobligationsunderthiscontract.2. undertheabovecircumstances,thelendershallhaverightto:

36、(1) requesttheborrowertorectifywithintheperioddesignedbythelender;(2) ceaseinextendingtheloanorcancelthecredit;(3) declaretheloanunderthiscontractisdueandthelendershallhaverighttodeducttheoutstandingamountfromtheaccountoftheborrower,theborrowershallnotappealagainstthelender.(4) declaretheloanisdueun

37、derotherloanagreementsbetweenthelenderandtheborrower,requesttheborrowertorepaytheloanprincipals,interests,andotherexpenses.ii.thesettlementforthelenderbreachofthecontract1. thelenderfailstoextendtheloanasagreedinthiscontractwithoutanyreasons;2. thelenderbreachestheagreedinterestrateandcollectionaddi

38、nterestsorotherfees;3. thelenderbreachestheprovisionssetforthinarticle12;4. undertheabovecircumstances,theborrowershallhaverightto:(1) requestthelendertorectify;(2) repaytheloanaheadoftimeandrefusetopayanycompensationforprepaymentarticle 14 deductiontheborrowershallpayinfullforthepaymentwithoutanyco

39、unteractionoranycondition.article 15 assignmentofthedebtandcredit1. theborrowershallnotassignitsrightandliabilityunderthiscontracttootherthirdpartywithoutanywrittenapprovalofthelender;2. intheeventtheborrowerassignitsrightandliabilityunderthiscontracttootherthirdpartyunderthewrittenconsentofthelende

40、r;thethirdpartyshallabidethiscontractwithoutanycondition.article 16 performanceofobligationandwaiverofrights1. theborrowerisindependentcontractorunderthiscontract,itwillnotimpactbyanyotherrelationsbetweentheborrowerwithotherpartyexcepttheotherprovisionssetforthinthiscontract2. thelendergiveanyextens

44、china.article 18 disputeresolution,governinglawandwaiverofexemption1. theconclusion,interpretationanddisputeresolutionshallbesubjecttothelawsofthepeoplesrepublicofchin.thedisputesarisingfromtheexecutionofthiscontractshallbesettledthroughfriendlyconsultationbybothparties,incasenosettlementcanbereache

45、d,thedisputesshallbesubmittedtothepeoplescourtofthelocationofthelenderforjudgment.2. theborrowershallnotrejectanyobligationduringthesettlementofdisputes.3. theexecutionandperformanceofthiscontractandtherelatedtransactioniscivilbehavior,theborrowershallnotappealtotakeactiontoexemptfromtheobligationun

46、derthiscontract.(ifbothpartiesagreetoapplyarbitration,theabovetermshallbe:)1. theconclusion,interpretationanddisputeresolutionshallbesubjecttothelawsofthepeoplesrepublicofchin.thedisputearisingfromtheexecutionofthiscontractshallbesettledthroughfriendlyconsultationbybothparties,incasenosettlementcanbereached,thedisputesshallbesubmittedtochinainternationaleconomicandtradearbitrationcommissionforarbitration.2. thearbitrationshallbeconductedinaccordancewiththearbitrationlawofpeoplesrepublicofchinaandprovisionalrulesofprocedureofchinainternationaleco
