7、 A.G.，以下简称MG公司）及其它在美国的若干关联子公司共获得了美国Castle能源公司49的股份，Castle公司原先是美国的一家石油、天然气开采企业，德国金属公司参股后，通过融资帮助Castle公司建立了石油提炼加工厂。 MG公司的美国分公司MGRM与Castle公司签订了一份长期合约，包销Castle公司所有的石油提炼产品，以最近月份的原油价格加成若干美元作为购买价格。另一方面，MRGM公司在1992年与客户签订了一份10年的远期供油合同，承诺在未10年内以稍高于当时市价的固定价格定期提供给客户总量约1.6亿桶的石油商品 在1993年后期，MGRM公司在NYMEX建立了相当于5500万

8、桶的德克萨斯中质原油、无铅汽油和2号取暖油期货合约头寸（相当于55000张合约），互换头寸数量大约在1亿1.1亿桶之间。这1.6亿桶相当于Castle公司3年半的产量，或者说，相当于科威特85天的石油产量！而当时的NYMEX的无铅汽油和2号取暖油的每日交易量平均在1500030000张左右。这些套保头寸都是多头。 1993年底，石油输出国组织未能在减产问题上达成协议，油价价格直线下滑，从每桶19美元跌至1993年12月的15美元，反向市场变成了正向市场。跨期基差的反向变化，在加上面临庞大的保证金追缴，而其长期供油合约收益还未实现，所以出现了庞大的资金缺口。德国金属公司德国金属公司背景背景 12
