1、EXC LUSI VESUBDISTRIBUTORSHIP AGREEM ENTThis Agreement ("the Agreement") is enteredinto by and between: (hereinafter referred as "the Distributor") and (hereinafter referred as "the Supplier")of the second part (both of them hereinafter collectively referred to as "

2、;the Parties") WHEREBY IT IS AGREED AS FOLLOWS:Clause 1The Supplier hereby grants the Distributor an exclusive right as defined in Clause 3 to purchase and resell the Supplier's Products (as hereinafter defined) within the Territory of Greece, Cyprus and the Albania.The Distributor shall pu

3、rchase the Products from the Supplier and sell them to customers within the Territory in his own name and for his own account.The Distributor shall have the right to appoint his own sub distributors, sub agents and consultants.Clause 2In the performance of the duties, the Parties shall act in good f

4、aith towards each other and towards any third party. They shall discharge their obligations in compliance with sound business practice.The Parties may not without authorisation pass on or exploit such trade secrets as have come to their knowledge during the term of this Agreement.PRODUCTS AND TERRIT

5、ORYClause 3The Supplier grants the Distributor an exclusive right to sell the Products which are sold by the Distributor. These Products are for the moment: lambskin rollersThe Supplier guarantees the Distributor that the Products he sells will not be sold to another distributor in the following cou

6、ntries:a) Greece, b)Cyprus, c) AlbaniaTHE SUPPLIER'S OBLIGATIONSClause 4The Supplier agrees to: within the Territory only to supply the Products to the Distributor for sale in the Territory;not to supply the Products to the end-users within the Territory, including consumers;that enquiries, orde

7、rs and contracts, etc. concerning sales within the Territory shall be referred to the Distributor.Clause 5a) The Supplier is obliged to maintain the products in the good quality.b) The supplier undertakes to deliver the products of this Agreement to the distributor in 40 days.THE DISTRIBUTOR' S

8、OBLIGATIONSClause 61) The Distributor undertakes to buy the above amount of products :a) For the first year 150.000pcsb) For the second year 250.000pcsc) For the third year 300.000pcsd) For the fourth year .400.000pcse) For the fifth year .500.000pcs2)The Distributor undertakes not to buy from any o

9、ther Supplier any kind of lambskin rollers3) The Distributor undertakes to report at the end of each year how the Markets performed in Greece,Cyprusand Albania regarding the products of this Agreement. It, also, undertakes to report on competition on the Market and what share it holds.PRICES AND CHA

10、NGES IN PRICESClause 7The Distributor may determine his own resale prices.Normally, the Supplier shall notify the Distributor of any future price increases two (2) months in advance.Terms of sale and delivery shall be agreed separately.The Supplier shall keep the Distributor continuously informed of

11、 any changes in times and terms of delivery.TERMINATION OF CONTRACTClause 9This Agreement shall be effected until execution by the authorized representatives of both Parties and shall remain effective for five (5) years.The present Agreement shall be automatically renewed each year after the expirat

12、ion of its duration, unless one of the contracting Parties gives a termination notice to the other Party with registered mail and receipt of mail delivery at least two (2) months prior to the expiration the present Agreement or the expiration of each renewed period.Six (6) months before the expirati

13、on of the present Agreement each Party shall inform the other Party in writing with registered mail and receipt of mail delivery regarding its intention to extend or not the present Agreement.IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed by their duly authorized of
