6、me nt to be abided by the parties after frien dly n egotiati on.第一章一般委托贷款的金额、利率、期限及其它Article1 Amount,Interest Rate, Maturity Date and Other Terms of theGen eral En trusted Loa n第一条贷款币种和金额。此项委托贷款币种为人民币，金额为(大写)陆百万元(小写)Y 6,000,000.00(大小写不一致时，以大写为准，下同)。此项贷款为委托贷款。Item1 Currency and amount of loan. 11、，按本合同约定的逾期贷款罚息利率计收。Item3 In terest calculatio n and settleme nt. The in terest of loa n in the con tract will beaccrued on daily basis and settled by /(month/quarter/year), where the interest issettled by mon th, the date of settleme nt shall be the 20th day of each mon th; where thein terest is set

12、tled by quarter/year, the date of settleme nt shall be the 20th day of the lastmonth of the applicable quarter/year. Where the borrower fails to pay the loa n in terest on time, the entrustee will / (charge/not charge) compound interest; and where the entrustee charges compound interest, the compoun

13、d interest shall be based upon the default in terest rate agreed in the con tract.第四条贷款期限。本项委托贷款的期限为个月，自起至止。如借款人在经委托人同意之后提前归还此项贷款时，则按实际用款天数和用款金额计收利息。Item4 Maturity Date. The entrustment loan shall be used solely as short-term working capital for the enterprise,the management of which shall only through wiretran

15、sfer and recorded separately. It is not allowed to use the loa n in compa ny con structi on projects.第六条用款计划。/第七条贷款偿还。借款人的还款计划和还款方式约定如下：到期一次性还款本贷款的本息按期由借款人汇入委托人指定的账户。Item7 Repayme nt of loa n. Repayme nt schedule and method by borrower is agreed as follows: repay ALL the loan upon expiration of the

16、loan term, the principal and interest of this loan shall be remitted on time to the designated account of entruster by the borrower.第八条贷款担保。委托人确定的本项委托贷款的担保人为/_，担保方式为/_。担保合同另附。Item8 Loa n guara ntee. 19、e nee of annual in spect ion, etc.第二章委托人的权利与义务Article2 Rights and Obligati on s of the En truster第一条根据一般委托贷款委托代理协议 中的有关约定，委托人有权确定委托贷款的借款人、借款用途、借款金额、借款期限、借款利率、贷款展期等事项，并决定是否实行担保。Item11 According to The Agency Agreement of General Entrusted Loan, theentruster has the right to determine the borrower, pu

20、rpose, amount, term, interest rate and exte nsion of the en trusted loa n and further determ ine whether to impleme nt the guara ntee or n ot.第十二条委托人在受托人处开立委托资金专户并存入足额资金，要求受托人将委托贷款于日内汇划至借款人账户。Item12 The entruster shall open a special account for the entrusted fund at the entrustee sand deposit suffi

The borrower un dertakes that it will not raise any object ion on the aforeme nti oned tran sfer by en trustee.第十七条本项委托贷款实行担保的，委托人应自行对保证人的保证能力，抵（质）押物的权属和价值以及实现抵（质）押权的可行性进行审查。受托人不承担任何审查的义务。Item17 Where the en trusted loa n here un der has guara ntee, the en truster shal

30、ith respect to guarantee shall be undertakenby theen truster/.第十八条当借款人经营状况恶化，以及出现其他危及委托贷款资金安全的情况时，委托人有权通知受托人提前协助收回委托贷款资金。借款人同意受托人有权根据委托人的指示宣布委托贷款提前到期。Item18 Where the borrower bus in ess deteriorates or other circumsta nee endan geri ng the safety of the funds of the en trusted loa n occurs, the en

31、truster has the right to inform the entrustee to assist in collecting the entrusted loan in advanee. The borrower agrees that the en trustee has the right to declare the term in ati on of the en trusted loan in adva nee upon the en trustersin structi on.第十九条委托人有权直接向借款人催收委托贷款本息或通过法律手段提起诉讼。Item19 The

32、entruster has the right to directly collect the principal amount and interest of the entrusted loan from the borrower or taking legal actions to file a lawsuit.第三章受托人的权利与义务Article2 Rights and Obligati on s of the En trustee第二十条根据一般委托贷款委托代理协议中的有关约定，受托人有权要求委托人提供本笔委托贷款的确切用途，对于贷款用途的合法性存有疑虑的，可不予办理；Item20

33、 According to the agreement of Agency Agreement of General EntrustedLoan, the entrustee has right to request the entruster to provide definitive purpose of thisloan. Where the en trustee doubts the validity of the purpose of the loa n, it may reject to process the loa n.第二一条受托人根据委托人签发的一般委托贷款通知书中的内容与

34、本合同进行核对，在确认委托资金足额到位后，办理放款手续。Item21 The entrustee will exam the content of the General Entrusted Loan Notice issued by the entruster and this contract, and will process to release the loan upon confirmation of the sufficiency of the entrusted fund.第二十二条 受托人应根据委托人要求，及时将借款人还本付息资金划至委托资金 专户，并在资金划拨凭证上注明相应

35、资金为委托贷款本金或利息。Item22 Upon the entruster s request, the entrustee shall transfer the principal/interest repaid by the borrower to the designated account for the entrusted fund on time, and the entrustee shall put a note on the relevant voucher indicating that such fund is the principal or interest of

36、the entrusted loan.第二十三条 合同有效期内，借款人因经营管理不善，不按期归还贷款本息，或本 合同项下担保发生不利于贷款债权的变化，或借款人未按照本合同约定使用委托贷款资金 的，受托人可根据委托人的要求提前解除本合同，直接从借款人帐户中扣收贷款本息。Item23 During the term of the contract, where the borrower fails to pay the principal or interest of the loan timely due to deficient operation and management, or the

37、 guarantee hereunder changes in a way against the loan liability, or the borrower fails to use the loan as provided hereunder, upon the request of the entruster, the entrustee may terminate the contract in advance and deduct the amount equivalent to the principal amount and interest of the loan from

38、 the borrowers account.第二十四条 受托人应及时以书面方式向借款人催收未按期归还的本金和利息，对 借款人确实无力归还贷款的， 在保证期间内， 受托人应及时以书面形式向保证人催收。 并将 催收借款人和保证人的情况报告委托人。Item24 The entrustee shall inform the borrower in written notice of the principal/interest unpaid timely. If the borrower is unable to repay the loan, within the guarantee period

39、, the entrustee shall collect the loanfrom the guarantor in writing andreport the aforementioned situation to the entruster.第二十五条 受托人与借款人不在同地的，受托人可以将部分委托贷款事务转委托 给借款人所在地的中国工商银行营业机构办理。受托人对转托机构的行为承担责任。Item25 Where the entrustee and the borrower are not in the same city, the entrustee may assign certain

40、 matters related to the entrusted loan to operating entities of ICBC in the borrower s city. The entrustee shall be responsible for behaviors of its assig nees.第二十六条受托人接受委托人的委托，监督贷款使用的，监督措施为：/Item26 The en truster accepts the en trustme nt by en truster to supervise the usageof loa n, and its superv

41、isi on measureme nt is:/第二十七条本项委托贷款若实行担保，受托人应根据委托人的书面通知，与委托人指定的担保人签订有关担保合同，并办理必要的公证、登记手续。受托人有权按照本合同约定要求委托人或借款人支付办理担保过程中所发生的费用。Item27 Where the loan is guaranteed, the entrustee shall enter into a guarantee con tract with desig nated guara ntorby the en truster upon the en truster writte n no tice,an

The en trustee has the right to ask the en truster or the borrower to pay all fees in curred related to the guara ntee procedure in accorda nee with the agreeme nt of this con tract.第四章 借款人的权利与义务Article4 Rights and Obligat

43、i ons of the Borrower第二十八条借款人应在受托人的营业机构开立基本账户或一般存款账户，用于办理借款、还款、付息等事宜。Item28 The borrower shall open a basic settlement account or general deposit account at operating entity of the entrustee to be used for matters related to the loan/repayme nt/in terest payme nt, etc.第二十九条借款人在使用借款前，应根据约定用款计划向受托人一次或

44、分次提款。每次提款前，应提前/个工作日向受托人提交提款通知书。Item29 The borrower shall withdraw the fund in one time or by installment in accorda nee with the loa n use schedule before using the loa n. The borrower shall provide a loan withdrawal request notice to the entrustee_/_ working days in advanee beforeeach withdrawal.第三

45、十条借款人应按照约定用途使用该项委托贷款，不得挤占挪用贷款资金。Item30 The borrower shall use the loa n in accorda nee with the agreed purpose, and shall not un dertake any divers ion or embezzleme nt of loa n fund.第三十一条借款人应于本合同约定的结息日或还本日前在受托方开立的账户上备足当期应付的利息或本金，并按照约定偿还贷款本息。Item31 The borrower shall deposit sufficie nt funds into t

46、he acco unt ope ned at the entrustee to pay the interest or to repay the principal before the agreed date hereunder to pay the principal amount or interest, andrepay the principal amount and interest asagreed.第三十二条在合同有效期内，借款人须接受委托人和受托人对本贷款使用情况的检查和监督。借款人要及时向委托人和受托人提供有关财务会计报表及委托人和受托人要求 的其它资料。Item32 Wi

48、rustee may request.第三十三条借款人在合同有效期内，如发生重大投资、股份制改造、承包、租赁、联营、合并（兼并）、分立、与外资合资（合作）、产权有偿转让或申请解散等事宜，应提 前60日书面通知委托人和受托人。Item33 During the term of this con tract, the borrower shall inform the en truster and the en trustee in writi ng 60 days in adva nee where there occurs any sig ni fica nt in vestme nt, sh

56、中扣收贷款本息，而不必事先通知借款人：Item40 During the term of contract, the borrower will be deemed as default if any of the circumstances occurs. The entrustee has the right to, upon written instruction by the entruster, suspend the release of the loan and directly recover the principal amount and interest from the

57、 borrower s account in advance without prior notice to the borrower.（一）未按本合同约定偿还贷款本息的；Where the borrower fails to repay the principal/interest as agreed;（二）未按约定用途使用贷款的；Where the borrower fails to use the loan for the agreed purpose;（三）贷款逾期并经受托人催收仍不偿还的；Where the borrower fails to pay off the loan after maturity date and again fails to pay off the loan after the entrustee s notice to collect the loan;（四）不按委托人和受托人要求提供或提供虚假的财务会计报表等材料的；Where the borrower fails to provide financial stat
