3、hese terms and conditions: (i)“ Services means any andall services provided to the Client by Lloyd Register of Shipping (“ LR ), or any entity that is part of the LR Group, ashereinafter defined, including any classification of the Client s vessequipment or machinery; (ii) the “ Contract means any a

4、greement for supply of the Services, such as a request for services or any other document or agreement relating to the providing of Services; and (iii) the means LR, its affiliates and subsidiaries, and the officers, directors, employees, representatives and agents of any of them, individually or co

5、llectively.2. The Client will pay all invoices for the Services within 30 days of the invoice date. The LR Group entity that has provided the Services reserves the right to charge interest atan annual rate of 2% above the greater of the London Interbank Offered Base Rate (LIBOR) or the equivalent in

6、 the country where the Client maintains its principal office on any amount remaining unpaid beyond 30 days, and may withhold any or all Services until the arrears, including interest, are paid.3. The LR Group entity that provides the Services reserves the right to charge for any work that is additio

7、nal to that originally quoted.4. The LR Group will keep confidential and not use or disclose to any third party any technical information or operating data derived from the Client in connection with the Services except as may be required by law or as may be requested bythe Client. This obligation wi

8、ll survive termination of the Contract. This obligation will not apply to any technical information or operating data that was in the LR Group s possession before its disclosure to the LR Group entity in connection with the Services, that is or becomes part of theno fault of the LR Group or that bec

9、omes available to the LR Group from an independent source not under a confidentiality obligation. The Contract between an LR Group entity and the Client continues in force until terminated by the LR entity or the Client, after giving the other party 30 days written notice.6. If a Contract is termina

10、ted by an LR Group entity or the Client before the Services under the Contract are completed,the LR Group entityfees will be calculated on a pro rataLR Gbous up to the date of termination. Any reasonable costs directly attributed to early termination and any amounts then due to the LR Group entity w

11、ill immediately become payable.7. LR services do not assess compliance with any standardother than the applicable rules and codes of Lloyd s Regof Shipping, international conventions, or any other standards that are expressly agreed in writing by LR and the Client. Without limiting the generality of

12、 the foregoing, the issuance of a class certificate by LR does not in itself constitute a guarantee that the vessel is seaworthy and does not relieve the owner or operator of the vessel of its nondelegable duty to maintain the vessel in seaworthy condition.8. If the Client requires classification se

13、rvices relating to vessels, machinery, or equipment classed by LR in a jurisdiction in which LR itself does not do business (including without limitation Brazil, Canada, Greece, and the United States of America), the Client hereby acknowledges and agrees that these services will be performed by a su

14、bsidiary of LR that is part of the LR Group and that is authorised to conduct classification surveys and issue certificates on the vessel, machinery, or equipment, or by another person or entity thathas been approved by LR to perform the services. If classification services are performed by an entit
